CONSENT TO ASSIGNMENT OF LEASE
THIS CONSENT TO ASSIGNMENT OF LEASE is entered by and between the
CITY OF SANFORD, FLORIDA, as Lessor, hereinafter referred to as the "City" and
WILSON CENTER, INC., the Tenant, with VANIK INVESTMENTS, LLC, being the
Proposed Lessee by Assignment.
THE CITY AND THE TENANT ENTERED into an Agreement to Lease on the 27th
day of October, 2003, as recorded on November 8, 2003, at Official Records Book
5091, Page 662, Public Records of Seminole County, Florida. The City and the Tenant
entered into the Lease implementing the above - referenced Agreement to Lease on the
27 day of October, 2003, which document was not recorded in the Public Records of
Seminole County, Florida.
THE LEASE HAS BEEN AMENDED AS FOLLOWS:
(1). An amendment relating to public restrooms which eliminated a
requirement imposed upon the Tenant.
(2). An amendment relating to rent. With a new rent schedule.
(3). An amendment relating to insurance and use of property.
(4). An amendment relating to insolvency /bankruptcy.
(5). An amendment relating to a right of first refusal.
THE LEASE REQUIRES the consent of the City to the assignment of the Lease.
PURSUANT TO THE LEASE, the City has by this agreement, stipulated and
agreed between the above -named parties that the City consents to the assignment of
the Lease by WILSON CENTER, INC., to VANIK INVESTMENTS, LLC, under the same
terms and conditions as mentioned and described in the Lease and any amendments
thereto. Further, the City does release WILSON CENTER, INC., from liability for the
obligations as Tenant of the Lease.
IN WITNESS WHEREOF, the parties have this Agreement intending to be bound
thereby on the dates indicated below their signatures.
