SUB -LEASE
THIS SUB - LEASE, made and entered into this 7- 7 f day of
JC�uS , A.D., 1984, by and between SEMINOLE SUNRISE KIWANIS
CLUB, SANFORD, FLORIDA, hereinafter called "Lessor ", and the
SANFORD GYMNASTICS ASSOCIATION, INC., a Florida Corporation,
Sanford, Florida, hereinafter called "Lessee ",
W I T N E S S E T H:
For and in consideration of the sum of ONE DOLLAR, per
year, together with other good and valuable consideration, as
well as the covenants and agreements hereinafter contained,
Lessor does rent and hire unto Lessee and Lessee rents and hires
from Lessor the property in the City of Sanford, Florida,
described in the exhibit attached hereto and made a part hereof
upon the following terms and conditions:
1. Lessee understands that this is a Sub -Lease
under that certain Lease dated -1
1984, by and between the City of Sanford,
Florida, as Lessor and the Seminole Sunrise
Kiwanis Club, as Lessee, and that this Sub -
Lease involves only a portion of the property
leased to Lessor therein.
2. The term of this Sub -Lease shall be for a
period of thirty -nine (39) years and eight
months and said term shall commence on July 1,
1984, and terminate on February 28, 2024. The
rental sum shall be the sum of ONE AND NO 1100
($1.00) DOLLAR per year, the ONE AND N01100
($1.00) DOLLAR recited above being the consider-
ation for the first year of the term of this .a i
ti.
Sub - Lease.
3. Lessee shall have the right to use the property
which is the subject matter of this Sub -Lease
for gymnastics purposes. Lessee agrees to pro-
ceed within ,Z o days of the execution of
this Sub -Lease to make improvements on the
property.
4. At any time Lessee ceases to utilize the prop-
erty for gymnastics purposes, this Sub -Lease
shall immediately terminate and shall be of no
further force and effect.
A plan of improvements and time schedule shall
be presented to Lessor and the City of Sanford
for approval within the first six (6) months
of the Sub- Lease. The schedule as may be
amended by Lessee and Lessor and approved by
the City of Sanford, shall be followed and
complied with.
5. The parties specifically agree that all improve-
ments which are made on the property which are
of a permanent nature and affixed to the land
shall remain on the leased premises at the
termination of this Sub -Lease and shall be con-
sidered the property of the City of Sanford.
Lessee shall, during the term of this Sub -
Lease, and at its expense perform all necessary
maintenance and repairs to any facilities and
structures which are erected on the leased
premises, including parking areas.
6. The parties recognize that the leased premises
are within the area near the Sanford Airport,
which causes the property to be subject to
Airport zoning. Lessee agrees that the construc-
tion of any improvements on the property shall (,
conform to all Airport zoning requirements angA
further acknowledges that any violations of
such requirements shall be considered a breach
of this Sub - Lease.

7. Lessee at all times will indemnify and save
Lessor and the City of Sanford, Florida, harm-
less from any and all fault, liability, damage,
suits, or other costs arising out of or in any
way connected with the use or occupancy and
improvements to the demised premises by Lessee,
and in connection therewith, will maintain in
force during the lease term a policy or pol-
icies of insurance protecting Lessor and the
City of Sanford in a sum not less than ONE
HUNDRED THOUSAND AND NO /100 ($100,000.00)
DOLLARS for personal injury to any one person
and THREE HUNDRED THOUSAND AND N01100
($300,000.00) DOLLARS for personal injury from
any accident, and TWENTY FIVE THOUSAND AND
NO 1100 ($25,000.00) DOLLARS property damage.
Lessee shall also carry fire insurance on any
buildings constructed in an amount equal to
full insurable value, naming Lessor and the
City of Sanford as additional insureds.
8. Lessee shall not assign this Sub -Lease or sub-
let any portion of the leased premises without
the express written consent of Lessor and the
City of Sanford.
9. Lessee shall pay all taxes, both real and
personal, if any, caused by the improvement of

the leased premises and construction of a
building thereon.

"Lessor,." and the Seminole Sunrise Kiwanis Club, a civic club
situated in Seminole County, Florida, hereinafter called
"Lessee,"

well as the convenants and agreements hereinafter contained,
Lessor does rent and hire unto Lessee and Lessee rents and

of forty (40) years and said term shall commence
on July 1, 1984 and terminate on February 28, 2024.
The rental sum shall be the sum of ONE AND N01100
(.$1.00) DOLLAR per year, the ONE AND N01100 ($1.00)
DOLLAR recited above being the consideration for
the first year of the term of this Lease.

Attached is the original and one copy of the lease for the
city land that the Seminole Sunrise Kiwanis Club wishes to
utilize for a recreational area here in the City of Sanford.
The City Commission authorized the execution of this last evening
and these two copies have been signed by the City. Please have
the club vote to authorize the president to sign it and then to
have the signature witnesses and the attesting done and return
the original to the City of Sanford.
I think this will be a really wonderful and much needed project.

LEASE

Municipal Corporation, hereinafter called "Lessor ", and the
SANFORD GYMNASTICS ASSOCIATION, INC., a Florida corporation,
Sanford, Florida, hereinafter called "Lessee ",
W I T N E S S E T H:
For and in consideration of the sum of ONE DOLLAR, per
year, together with other good and valuable consideration, as
well as the covenants and agreements hereinafter contained,
Lessor does rent and hire unto Lessee and Lessee rents and hires
from Lessor the property in the City of Sanford, Florida,
described in the Exhibit attached hereto and made a part hereof
upon the following terms and conditions:
1. The term of this Lease shall be for a period of thirty
(30) years, said term shall commence on January 1,
1988, and terminate on December, 31, 2017. The rental
sum shall be the sum of ONE AND -NO /100 ($1.00) DOLLAR
per year, the ONE AND NO /100 ($1.00) DOLLAR recited
above being the consideration for the first year of the
term of this Lease.
2. Lessee shall have the right to use the property which
is the subject matter of this Lease for gymnastics
purposes. Lessee agrees to proceed within 180 days of
the execution of this Lease to make improvements on the
property and to complete them within 365 days of the
execution of this lease.
3. The Lessor during the entire term of this lease
reserves the right to vacate or create utility
easements on the leased premises and further reserves
the right to utilize, where appropriate and feasible in
Lessor's sole discretion, the premises for reclaimed
water irrigation purposes. If so utilized Lessor shall
install, maintain and operate the reclaimed water
irrigation system. The same shall not operate so as to
interfere with Lessee use of the building.
4. Lessor during the entire term of this lease reserves
for itself and the general public and Lessee grants to
Lessor and the general public the right to use any and
all parking areas and outside entrance restroom
facilities constructed by Lessee. The use of the
parking areas and outside restroom facilities shall be
available to the general public in connection with the
general public's use and enjoyment of the public park
area adjacent to the parcel subject to this lease.
5. At any time Lessee ceases to utilize the property for
gymnastics purposes, this Lease shall immediately
terminate and shall be of no further force and effect.
A Plan of improvements and time schedule shall be
presented to Lessor for approval within the first sixty
(60) days of the Lease. The schedule as may be amended
by Lessee and Lessor shall be followed and complied
with.
6. The parties specifically agree that all improvements
which are made on the property which are of a permanent
nature and affixed to the land shall remain on the
leased premises at the termination of this Lease and
shall be considered the property of the Lessor. Lessee
shall, during the term of this Lease, and at its
expense, perform all necessary maintenance and repairs
to any facilities and structures which are erected on
the leased premises, including parking areas. Lessee
shall maintain grounds in condition acceptable to
Lessor.
7. Construction on the site and use of the site will be
subject to all applicable city codes relative to these
matters.
8. Lessee at all times will indemnify and save Lessor
harmless from any and all fault, liability, damage,

suits, or other costs arising out of or in any way
connected with the use or occupancy and improvements to
the demised premises by Lessee, and in connection
therewith, will maintain in force during the lease term
