KNOW ALL MEN BY THESE PRESENTS that the CITY OF
SANFORD, FLORIDA, (hereinafter "City ") and DAVID N. BERRIEN,
CLERK OF THE CIRCUIT COURT (hereinafter "Clerk ") mutually
covenant and agree as follows intending to be bound:
WHEREAS, the Clerk desires to place a drop box on the
sidewalk in front of the Seminole County Courthouse, to be
located in the City's right —of —way, for the receipt of support
payments, fines, traffic tickets, et cetera; and
WHEREAS, the City in the spirit of intergovernmental
cooperation and desiring to serve its citizens and its neighbors
in Seminole County is agreeable to the placement of said drop
box.
NOW THEREFORE for and in consideration of $1.00 and
other good and valuable consideration paid by the Clerk this day
to the City, the receipt thereof being hereby acknowledged; it is
agreed:
1) The Clerk may at his own expense, after
coordination with the City engineers as to location, install a
drop box on the sidewalk in front of the Seminole County
Courthouse.
2) The Clerk shall indemnify, protect and defend the
City from any claim of any nature arising out of the use,
location, maintenance, or existence of said box regardless of the
nature of such claim or the origin of such.
3) The Clerk shall be solely responsible for the
security of the box and its contents and shall not look to the
City in any manner for recovery of any of the contents of said
box which might be lost, stolen or otherwise unaccounted for.
4) This agreement shall be binding on the parties'
successors and assigns.
5) This agreement may be terminated by either party
upon thirty days' written notice.
6) The Clerk shall be solely responsible for repairs
to the sidewalk or other City property upon the removal of the
box.
7) The City, by this agreement, assumes no
responsibility for the security of said box or its contents,
beyond its general police duty to preserve the peace and protect
lives and property. -
8) Should the Clerk fail to indemnify, protect and
defend the City for any claim as set forth in Paragraph 2 above,
the City shall be entitled to recover from the Clerk any judgment
which might be entered against it, plus its attorneys' fees and
costs of maintaining its own defense and enforcing the agreement.
WHEREUNTO the parties have set their hands and seals on
the dates indicated below.
