EXTENSION AND AMENDMENT LEASE AGREEMENT RELATING TO 400
EAST FIRST STREET
THIS EXTENSION AND AMENDMENT TO LEASE AGREEMENT
(Agreement) is entered into as of October 1, 2012 (Commencement Date),
between Sanford Chamber of Commerce, Inc., a Florida non- profit corporation,
(hereinafter the "Tenant " "), whose address is 400 East First Street, Sanford,
Florida 32771, and the City of Sanford, Florida (the "Landlord "), whose address is
City Hall, 300 North Park Avenue, Sanford, Florida 32771.
WHEREAS, the Landlord and Tenant entered into that certain tease
Agreement dated May 21, 2007, (the "Lease "), relating to and for the premises
(the "Premises ") described as 400 East First Street, Sanford, Florida, 32771,
which Premises is comprised of the building as well as the grassy area
surrounding the building; and
WHEREAS, the Landlord and Tenant desire to provide for the extension
of the Lease as well as the modification and clarification of various
responsibilities which arise under the provisions of the Lease; and
WHEREAS, the Landlord and Tenant desire to continue their relationship
and Landlord and Tenant relative to the Premises and to continue to work in a
cooperative and collaborative manner to accomplish the joint goal and objective
of enhancing the quality of life of all City of Sanford residents and the economic
well being of the City's business community.
WITNESSETH:
A. RATIFICATION OF LEASE TERMS AND CONDITIONS:
All provisions of the Lease, except as set forth in the following Section of this
Agreement shall remain in full force and effect.
B. AMENDMENTS TO LEASE:
(1). The provisions of Section 1 are modified to ensure that the Premises are
deemed to fully include not only the building, but also the grassy area abutting
the building constituting the entire lot which is not part of a street or parking lot.
(2). The provisions of Section 2 are amended to provide that the Lease is
extended through December 31, 2013 and shall automatically for one year terms
thereafter unless terminated by a party with thirty days written notice prior to the
end of a term.
(3), Section 7 is modified to clarify that the Tenant is responsible for
maintaining the carpet in the building, to provide that the maintenance of the roof
of the building is the responsibility of the Tenant and to provide that plumbing
facilities, water heaters, HVAC equipment and other mechanical equipment shall
not be the maintenance responsibility of the Landlord if damaged or in ill repair
as a result of use by the Tenant and that the plumbing facilities, water heaters,
HVAC equipment and other mechanical equipment are the general maintenance
responsibility of the Tenant provided, however, that the Landlord will be
responsible for replacement of such items if replacement is not due to the
improper use by the Tenant.
