GRANT OF EASEMENT FOR INGRESS/EGRESS

Corporation, whose ad ss is 1800 Mulberry Avenue, Sanford, Flonda 32771
. ("hereinafter referred to as "Grantor"), to and by the City of Sanford, Florida, a Florida
municipal corporation, whose address is 300 North Park Avenue, Sanford, Florida
32771 (hereinafter referred to as "Grantee");

~ WHEREAS, the Grantor warrants that it holds legal title to the properties
described in Exhibit "A" attached hereto and incorporated herein by this reference as
Parcel B and Parcel C; and
WHEREAS, the Grantor desires to facilitate the orderly use of the subject
property, in compliance with the laws, regulations and requirements of the Grantee for
use as a recreational trail; and
WHEREAS, Grantor desires to grant to the Grantee access to said real
properties for such trail purposes
NOW, THEREFORE, in consideration of the mutual covenants and agreements
contained herein, and other good and valuable considerations, the receipt and
sufficiency of which is hereby acknowledged, the parties hereto agree as follows:
1. The above recitals are true and correct and form a material part of the
Agreement upon which the parties have relied.
2. The Grantor warrants and represents that it is the present owner of the
properties described in Exhibit "A" attached hereto as Parcel B and Parcel C.
3. The Grantor hereby grants, conveys, and assigns to the Grantee, a
permanent, full, free, and exclusive right to accomplish the purposes of this Easement

and to travel, enter and exit without vehicles, upon, over and across, any portion of that
certain easement area located on the property described in Exhibit "A" attached hereto.
4. The purpose of the Easement is to provide access to adjoining properties
and to implement the proposed recreational trail. The recreational trail may be
subsequently altered, moved or removed, upon the mutual agreement of the Grantor
and the Grantee.
5. It is specifically acknowledged and agreed by and between the parties
hereto that the Grantee shall be entitled, in addition to all other uses related to the
purposes of this Easement, to utilize the easement area, as described in Exhibit "A"
attached hereto as Parcel B and Parcel C, for the benefit of the public. The Grantee
shall be entitled to connect the subject easement area to any other easement areas,
rights-of-way, or such other facilities as necessary. The Grantor shall be notified for
approval relative to the connection of the easement areas.
6. This entire Easement touches or concerns the subject property, and shall
run with the land. The Grantee agrees to pay the cost of recording this document in the
Public Records of Seminole County, Florida. This Agreement and Easement shall be
liberally construed to insure that the public purposes to be accomplished by the Grantee
are facilitated.
