PROJECT: Capital Improvement Element Update
CONSULTANT: Kimley-Horn and Associates, Inc.
Execution of the Work Order by the CITY shall serve as authorization for
the CONSULTANT to provide for the above project, professional services as set
out in the Scope of Services attached as Exhibit "A," to that certain Agreement of
April 3, 2007 between the CITY and the CONSULTANT and further delineated
in the specifications, conditions and requirements stated in the following listed
documents which are attached hereto and made a part hereof.

The CONSULTANT shall provide said services pursuant to this Work Order,
its attachments and the above-referenced Agreement, which is incorporated
herein by reference as if it had been set out in its entirety. Whenever the Work
Order conflicts with said Agreement, the Agreement shall prevail.
TIME FOR COMPLETION: The work authorized by this Work Order shall
be commenced upon issuance of a Notice to Proceed by the CITY and shall be
completed by November 24, 2008.
METHOD OF COMPENSATION:
(a) This Work Order is issued on a:

FUNDS AMOUNT
(b) If the compensation is based on a "Fixed Fee Basis," then the
CONSULTANT shall perform all work required by this Work Order for the sum of
FIFTEEN THOUSAND DOLLARS ($15,000). In no event shall the
CONSULTANT be paid more than the Fixed Fee Amount.
(c) If the compensation is based on a "Time Basis Method" with a Not-
to-Exceed Amount, then the CONSULTANT shall perform all work required by
this Work Order for a sum not exceeding
DOLLARS ($ ). The CONSULTANT's compensation shall be
based on the actual work required by this Work Order.
(d) If the compensation is based on a "Time Basis Method" with a
Limitation of Funds Amount, then the CONSULTANT is not authorized to exceed
the Limitation of Funds amount of
DOLLARS ($ ) without prior written approval of the CITY. Such
approval, if given by the CITY, shall indicate a new Limitation of Funds amount.
The CONSULTANT shall advise the CITY whenever the CONSULTANT has
incurred expenses on this Work Order that equals or exceeds eighty percent
(80%) of the Limitation of Funds amount. The CITY shall compensate the
CONSULTANT for the actual work performed under this Work Order.
(e) Payment to the CONSULTANT shall be made by the CITY in strict
accordance with the payment terms of the above-referenced Agreement.
(f) It is expressly understood by the CONSULTANT that this Work
Order, until executed by the CITY, does not authorize the performance of any
services by the CONSULTANT and that the CITY, prior to its execution of the
Work Order, reserves the right to authorize a party other than the CONSULTANT
to perform the services called for under this Work Order if it is determined that to
do so is in the best interest of the CITY.
IN WITNESS WHEREOF, the parties hereto have made and executed this
Work Order on the respective dates under each signature signing by and through
its duly authorized corporate officer having the full and complete authority to
execute same.

RE: Capital Improvements Element Update
Scope of Services
Dear Ms. Gerli:
Kimley-Horn and Associates, Inc. ("KHA" or the "Consultant" or "We") is
pleased to submit this Scope of Services (the "Scope of Services") to the
City of Sanford (the "Client") to provide professional consulting services to
assist the City with the update of the Capital Improvements Element of the
City's Comprehensive Plan.
SCOPE OF SERVICES
The CONSULTANT shall provide the following scope of services for the
Capital Improvements Element (CIE) Update for the City of Sanford's
Comprehensive Plan, as required by Florida Statutes.
Task 1 - Capital Improvements Element Update
1.1 Data, Inventory, and Analysis Update
KHA will update the data, inventory, and analysis (DIA) of the Capital
Improvements Element based upon the information provided by the Client.
The update will include updated information regarding revenue sources,
funding mechanisms, special funding sources, and the Level of Service
(LOS) strategy. KHA will also update the policy references in the DIA.
KHA will also prepare the level of service analysis for the following public
facilities:
. Sanitary sewer
. Solid waste
. Stormwater management

. Potable water
. Parks and recreation
. Transportation
. Public schools
KHA will utilize the information and analysis gathered as part of the
Evaluation and Appraisal Report (EAR) in preparing this analysis, along with
the data from the Seminole County Interlocal Agreement and Public School
Facilities Element.
1.2 Goals, Objectives, and Policies Update
KHA will update the goals, objectives, and policies (GOPs) based upon the
recommendations of the Evaluation and Appraisal Report and consistent
with Rule 9J-5.016, Florida Administrative Code.
1.3 Deliverables and Revisions
KHA will provide one printed copy and one electronic copy of the draft
element including the DIA and GOPs to the Client for review and comment.
KHA will revise the document based upon comments from the Client. KHA
will provide the Client with up to 20 copies of the final draft element for
public hearings and transmittal to DCA and reviewing agencies. KHA will
provide the client with one printed copy and one electronic copy of the final
element for adoption reflecting changes based on City, DCA and reviewing
agency comments as directed by City staff.
Task 2 - Adoption Hearing and Transmittal
2.1 Public Hearings
KHA will attend the Planning Board meeting and Commission transmittal
meeting, as directed, to adopt the CIE update.
2.2 Transmittal
KHA will assist the City, as directed, with the transmittal of the CIE update to
the Department of Community Affairs.
INFORMATION PROVIDED BY CLIENT
The following information shall be provided by the Client. We shall be
entitled to rely on the completeness and accuracy of all information provided
by the Client.

· Electronic copy of City's final 2007/2008 Budget
· Electronic copy of City's draft 2008/2009 Budget (when available)
SCHEDULE
We will provide our services as expeditiously as practicable to meet the
mutually agreed upon schedule to assist the City with adoption and
transmittal of the updated Capital Improvements Element to meet its
requirement for adoption by December 1. 2008, after which time the City
may be restricted from amending its future land use map.
FEE AND BILLING
KHA will perform the tasks in the Scope of Services for a lump sum of
$15,000.00.
ADDITIONAL SERVICES
Any services not specifically provided in the above scope of services, as
well as any changes in the scope you request, will be considered additional
services and will be performed at our then current hourly rates as we agree
prior to their performance. Additional services may include, but are not
limited to, the following:
· Response to the DCA ORC Report
· Attendance at additional meetings beyond those identified above
