This agreement between The CITY OF SANFORD, FLORIDA, as Lessor, hereinafter
referred to as the "City" and HARBOUR PLACE PARTNERSHIP as "Lessee ", is made pursuant
to the provisions of the lease between the parties dated October 23, 1995, hereinafter referred to
as the "Lease ". Paragraph 9 of the Lease requires the consent of the City to the assignment of the
Lease.
Pursuant to paragraph 9 of the Lease, it is by this agreement, stipulated and agreed
between the above -named parties that the City consents to the assignment of the Lease to Wilson
Center, Inc., under the same terms and conditions as mentioned and described in the Lease and
any amendments thereto. Further, the City does release Harbour Place Partnership from liability
for the obligations as Lessee of the Lease upon Wilson Center, Inc. executing this document and
accepting any and all liability arising under the Lease to Harbour Place Partnership. Wilson
Center, Inc., does hereby accept Assignment of the Lease and any and all liability arising under
said Lease.
Further, the parties confirm that the description of the property subject of the Lease is as
follows:
A Portion of Lot 1, Sanford Riverfront Project, according to the Plat thereof as
recorded in Plat Book 14, Page 88, Public Records of Seminole County, Florida,
more particularly described as follows:
Begin 140 feet North 69 degrees 16 minutes 45 seconds West of the easterly most
corner of Lot 1; thence run North 69 degrees 16 minutes 45 seconds West 260
feet; thence run South 41 degrees 26 minutes 19 seconds West 144.33 feet; thence
run South 69 degrees 16 minutes 45 seconds East 311.059 feet; thence run North
20 degrees 43 minutes 15 seconds East 135 feet to the Point of Beginning;
(Containing 0.885 acres; 38545.6 square feet)
The Lessor hereby consents to the new Lessee, WILSON CENTER, INC., entering a
leasehold mortgage with Colonial Bank, N.A.
IN WITNESS WHEREOF, the parties have executed this agreement intending to be
bound thereby on the dates indicated below their signatures.
