All work is to be performed as per the Scope of Work document. Any changes to the scope of
work will be provided by Source One Network Services in writing before the work described in the
amended S.O.W. is to commence.
All terms of SONS' independent contractor agreement with Comnet Corp dated August 13`h, 2012
will remain in effect for the duration of this project.
WAIVER OF RIGHT TO FILE LIEN
(a) As a material provision of this Agreement and a condition to INDEPENDENT
CONTRACTOR's rights hereunder, INDEPENDENT CONTRACTOR agrees that under no
circumstances, will lie /shelit file, attempt to file or threaten to file any lien or notice of lien
against CUSTOMER, CUSTOMER's agents, employees, contractors, divisions, parents,
subsidiaries or affiliates, in connection with Work performed pursuant to this Agreement and
expressly waives any right, if any, to do so, whether or not such lien or notice would
otherwise be authorized or meritorious under Federal, State or Local laws or regulations;
(b) In the event that, notwithstanding his/herlts agreement not to file any lien or notice or threat
of such lien, as set forth in Section 17(a), above, INDEPENDENT CONTRACTOR or
hislherlits agent or employee does in fact file said lien or notice of lien, it shall be deemed a
material breach of this Agreement and a failure of a material and express condition to
INDEPENDENT CONTRACTOR's right to receive any payment for Work performed or to be
performed in connection with this Agreement;
(c) INDEPENDENT CONTRACTOR hereby appoints SOURCE ONE as his/herlts agent and
attorney -in fact for the limited purpose of discharging said lien or notice, including, but not
limited to the right to file a release and /or satisfaction of said lien and SOURCE ONE will be
entitled to recover from INDEPENDENT CONTRACTOR, all reasonable costs and expenses
incurred in connection with discharge, release and /or satisfaction of said lien, including
reasonable attorneys fees;
(d) INDEPENDENT CONTRACTOR further agrees to indemnify and hold harmless SOURCE
ONE, its agents, employees, contractors, subsidiaries, divisions or affiliates from all claims,
causes of action, demands, suits and /or costs and fees asserted by CUSTOMER against
SOURCE ONE in connection with the filing of said lien or notice of lien by INDEPENDENT
CONTRACTOR, it agents, employees or subcontractors;
Payment Terms 30 days net plus 2 business days for mailino once the proiect is completed.
