Construction Contract
This agreement is made and entered on November 17, 2008, 2008 , by and between
Harvest time International, as "owners" or "owner," of 225 N. Kennel Rd. Sanford, 1;132771,
acid Beresford Contracting, Inc., of Deland, Florida general contractor license number
t:GC1515277, as "contractor."
1. The contractor promises and agrees to the owners that, for the consideration
mentioned below, contractor will design, construct, build, equip and deliver a the construction
services as specifically described in Exhibit "A" attached hereto and incorporate by reference
l erein, on the structure located at 225 N. Kennel Rd. Sanford, Fl 32771, (the "property").
Owner has faith and trust in the contractor and in contractor's skill and experience in construction.
2. The owners promise and agree to and with the contractor that they will, in
consideration of the agreement being executed and performed by the contractor as specified, pay
or cause to be paid to the contractor the sum of $10,125.00 (Ten Thousand One Hundred
Twenty Five dollars and zero cents) in the following manner:
A. $10,125.00 (Ten Thousand One Hundred Twenty Five dollars and zero
gents) when all of the following conditions are met: (a) 25% - ($2,531.25) is due upon signing
and agreement of said contract by both parties involved ( "owner & "contractor ") (b) remaining
75% ($7,593.75) is due when all work is completely finished to owners' complete satisfaction;
ind the project is ready for delivery to owners.
3. Prior to the final payment, contractor must furnish owners, on forms approved by
owners, an affidavit signed by contractor stating that all persons performing any part of the work
have been paid in full up to the date of the affidavit or listing those who have not been paid in full
and the amount each is due, and contractor must also furnish owners, on forms approved by
owners, waivers and releases of lien (effective up to the date of the waiver and release) from
contractor and from everyone else who has performed or supplied any part of the work. The
affidavit form and the waiver and release forms for final payment will be effective for all work
performed and not just for work through the date signed. If any affidavit shows that someone
performing or supplying part of the work has not been paid in full, or if owners receive a Notice
to Owner or otherwise has cause to believe that there are persons other than contractor
performing part of the work, owners may pay that person directly and deduct the amount paid
from the amounts due to contractor, but in doing so owners will not be deemed to have contracted
directly with that person.
4. Except for extras, additions, and deletions requested by owners and approved as
described elsewhere in this agreement, contractor may not change the above price unless owners
fail to direct contractor to commence construction within 60 days after the date this agreement is
signed by owners and contractor. If owners fail to do so, the contract price will be adjusted to
include all price changes for the additional cost of material, subcontractors and labor directly
attributable to the delay, plus 10% for overhead and profit.
5. Subject to the provisions of this agreement, contractor agrees to use its best
efforts to complete the improvements 60 days from the date that owners direct contractor to

commence construction. Contractor agrees that time is of the essence of this agreement and that
t re damages that owners would incur due to delay in completion of construction would be
i npractical to determine. The parties agree that contractor must pay owners the sum of $10.00 for
each day after 30 days that the improvements are not complete. Contractor will not be liable for
delays directly caused by strikes, fires, wars, natural disasters, or accidents beyond the control of
contractor or its subcontractors and materialmen and will have additional time to complete the
work in case of any of the above; provided however, that contractor must at all times proceed
(•xpeclitiously with the work and must order all materials and labor on a timely basis in order to
avoid delays whenever possible and must work weekends and overtime, if necessary, to complete
1 he work by the above completion date. Contractor must plan for adverse weather.
6. Contractor agrees to provide all the materials, labor, services, expertise, and
;quipment required to construct the improvements described in the attached descriptions, and will
)rovide all scaffolding and tools necessary for the performance of the work, all of which is
ncluded in the price set forth above. Contractor will use only artisans, subcontractors, and
workers that are approved by contractor in its sole discretion, but will furnish to owners in writing
the name, address, phone number, and supervisor for every subcontractor and materialman.
Subcontractor includes subsubcontractors, subsubsubcontractors, etc. All work must be
constructed in a good and workmanlike manner using new, high- quality materials and labor that
are free from faults and defects and that conform to the plans and this agreement. Contractor may
use materials that are not new only if owners give their prior written consent.
7. Owners acknowledge that the attached drawings, descriptions, specifications, and
lists of options are as complete at the time this agreement is executed as they can be, and that they
will continue to evolve during construction. Contractor agrees to obtain owners' consent to each
change, addition and modification of the plans before proceeding to construct same.
S. It is understood and agreed that if any fixtures or materials called for by the
specifications are unavailable or have been discontinued, the contractor will obtain owners'
permission before making any substitution, and all substitutions must be of equal or better
quality •
9. Any allowance not completely used will be applied to increase other allowances,
will be applied toward additions to this agreement, or will be otherwise applied to credit owners'
account with contractor.
10. Should the owners at any time during the building of the structure require any
alterations to, or deviations from, or additions to, or omissions in the plans or this agreement, they
may make the change or changes when practicable, and the change or changes will in no way
injuriously affect or make void this agreement; but the differences must be added to or deducted
from the amount of the agreement as the case may be by a fair and reasonable valuation
determined by contractor and owners on the basis of the actual cost plus 10% for contractor's
overhead and profit, and contractor and owners must sign addenda for such changes. The
adjustment to the contract price will be reflected in the final payment due under this agreement.
However, the contractor will be allowed the additional time reasonably necessary to complete the

1• ehest of the owners, but contractor must first give written notice to owners at the time of the
c hange as to the additional time that will be required.
11. While owners may inspect the property during construction, owners will not in
-,ny way interfere with workers nor give any orders to any workers on the job. All comments must
be directed by owners solely to an officer of the contractor or its construction superintendent or
)they authorized personnel on the job.
12. Owners may engage inspectors, engineers and other persons as they desire and at
heir expense to inspect the work at any time and from time to time. Owners are not obligated to
.aspect or verify contractor's work for compliance with this agreement or with building codes.
13. Contractor is responsible for all construction means, methods, techniques,
sequences and procedures and for coordinating all phases of the work.
14. Contractor must comply with all laws, rules, regulations, codes, ordinances and
orders of city, county, state, and federal governments and other public authorities having
jurisdiction over the work. Contractor must immediately inform owners if any of the plans do not
conform to any of those requirements. Contractor is responsible for all safety precautions on the
job site.
15. During construction and until final payment, contractor must protect and secure
owners' property and the materials and items located thereon from the elements and from theft.
Contractor bears the risk of loss caused by damage to materials, tools, equipment, and the work.
16. Contractor is responsible to owners for the acts and omissions of contractor and
its employees and of contractor's subcontractors and materialmen and anyone else performing
work under the contractor. Contractor will indemnify and hold the owners harmless from all
claims, damages, losses, expenses, attorneys fees, and demands arising out of or resulting in
whole or in part from any act or omission of contractor or its agents, employees, subcontractors,
materialmen or others working for contractor,
17. If either party fails to perform any material term or condition of this contract, and
that failure continues for a period of 30 days after written notice of the failure to perform, it will
constitute a default, on which the other party may terminate this contract and pursue all other
remedies available at law or equity. If contractor defaults in the performance of this agreement,
owners will, in addition to any other rights, have the right to stop the contractor from working, to
engage another contractor(s) to finish the work, to deduct the cost of engaging another
contractor(s) from the contract price, to recover from contractor as damages the amount by which
the total paid by contractor exceeds the contract price adjusted by any change orders, and to
recover interest, costs and attorney's fees from contractor.
18. The parties understand and agree that time is of the essence in this agreement.
19. The warranties, representations and agreements contained in this agreement will
survive the performance, closing and final payment under this agreement for a period of One
year. This agreement is made in the State of Florida and is to be governed by Florida law. This

agreement may be signed in more than one counterpart, in which case each counterpart
constitutes an original of this agreement. Wherever used here, the singular includes the plural, the
plural includes the singular, and pronouns are to be read as masculine, feminine or neuter as the
context requires. The prevailing party in any litigation, arbitration or mediation relating to this
agreement will be entitled to recover its reasonable attorney's fees from the other party for all
