AGREEMENT BETWEEN THE CITY OF SANFORD AND NEEL-SCHAFFER INC./
RFP NUMBER: 18/19-20 GRANT CONSULTING SERVICES
Ac%THIS AGREEMENT (hereinafter the "Agreement") is made and entered into this
y of June, 2019, by and between the City of Sanford, Flori d a , a F I o r i d a
municipality, (hereinafter referred to as the "City"), whose mailing address is 300 North
Park Avenue, Sanford, Florida 32771, and Neel -Schaffer, Inc., a Mississippi
corporation, whose principal and mailing address 125 South Congress Street; Suite
1100; Jackson Mississippi 39201, (hereinafter referred to as "Neel -Schaffer"). The City
and Neel -Schaffer may be collectively referenced herein as the "parties".
WITNESSETH:
IN CONSIDERATION of the mutual covenants, promises, and representations
contained herein and other good and valuable consideration, the receipt and sufficiency
of which is hereby acknowledged, the parties hereto agree as follows:
Section 1. Recitals. The above statements are true and form a material
part of this Agreement upon which the parties have relied.
Section 2. Authority. Each party hereto represents to the other that it has
undertaken all necessary actions to execute this Agreement, and that it has the legal
authority to enter into this Agreement and to undertake all obligations imposed on it.
The persons executing this Agreement for each party certify that they are authorized to
bind the party fully to the terms of this Agreement.
Section 3. Scope of Agreement; Direction of Goods.
(a). This Agreement is for the goods set forth in the attachments hereto and
Neel -Schaffer agrees to accomplish the provision of services specified in the
attachments for the compensation set forth in those documents relating to the provision
of grant consulting services.
(b). It is recognized that Neel -Schaffer shall provide services as directed by
the City.
(c). The City's contact/project manager for all purposes under this Agreement
shall be the following:

Section 4. Effective Date and Term of Agreement. This Agreement
shall take effect on the date that this Agreement is fully executed by the parties hereto.
This Agreement shall be in effect for a term of 3 years with the opportunity for additional
1 year renewal periods when in the best interest of the City. The total Agreement length,
including all renewals, shall not exceed 5 years. The decision to renew or extend this
Agreement shall be at the discretion of the City. Neel -Schaffer shall review the quality
and status of the grant consulting services delivered to the City with the City on a semi-
annual basis. In any event, this Agreement shall remain in effect until the services to be
provided by Neel -Schaffer to the City under each work order have been fully provided in
accordance with the requirements of the City; provided, however, that, the
indemnification provisions and insurance provisions of the standard contractual terms
and conditions referenced herein shall not terminate and the protections afforded to the
City shall continue in effect subsequent to such goods being provided by Neel -Schaffer.
No goods, services or actions have been provided prior to the execution of this
Agreement that would entitle Neel -Schaffer for any compensation therefor.
Notwithstanding the foregoing, the City may unilaterally terminate this Agreement in the
event that the City is not satisfied with the goods, services or actions provided by Neel -
Schaffer within the 6 calendar months commencing on the first day of the first month
after this Agreement commences.
Section 5. Compensation. The parties agree to compensation as set forth
in the attachments hereto, with the initial purchase of goods being in the amounts set
forth in the attachments hereto and as may be set forth in each purchase/work order
issued by the City.
Section 6. Standard Contractual Terms and Conditions. All "Standard
Contractual Terms and Conditions", as provided on the City's website, apply to this
Agreement. Such Terms and Conditions may be found at the City's website; which can
be reached at: (https://www.sanfordfl.gov/departments/finance/purchasing/contract-
terms-and conditions or www.SanfordFL.gov). The parties shall also be bound by the
purchasing policies and procedures of the City as well as the controlling provisions of
Florida law. Work orders shall be used, in accordance therewith, in the implementation
of this Agreement to the extent deemed necessary by the City in its sole and absolute
discretion.
Section 7. Neel-Schaffer's Mandatory Compliance with Chapter 119,
Florida Statutes, and Public Records Requests.
(a). In order to comply with Section 119.0701, Florida Statutes, public records
laws, Neel -Schaffer must:
(1). Keep and maintain public records that ordinarily and necessarily would be
required by the City in order to perform the service.
(2). Provide the public with access to public records on the same terms and
conditions that the City would provide the records and at a cost that does not exceed
the cost provided in Chapter 119, Florida Statutes, or as otherwise provided by law.
(3). Ensure that public records that are exempt or confidential and exempt
from public records disclosure requirements are not disclosed except as authorized by
law.
(4). Meet all requirements for retaining public records and transfer, at no cost,
to the City all public records in possession of Neel -Schaffer upon termination of the
contract and destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements. All records stored electronically
must be provided to the City in a format that is compatible with the information
technology systems of the City.
(b). If Neel -Schaffer does not comply with a public records request, the City
shall enforce the contract provisions in accordance with this Agreement.
(c). Failure by Neel -Schaffer to grant such public access and comply with
public records requests shall be grounds for immediate unilateral cancellation of this
Agreement by the City. Neel -Schaffer shall promptly provide the City with a copy of any
request to inspect or copy public records in possession of Neel -Schaffer and shall
promptly provide the City with a copy of Neel-Schaffer's response to each such request.
(d). IF THE CONTRACTORIVENDOR HAS QUESTIONS
REGARDING THE APPLICATION OF CHAPTER 119, FLORIDA
STATUTES, TO THE CONTRACTOR'S (VENDOR'S) DUTY TO
PROVIDE PUBLIC RECORDS RELATING TO THIS CONTRACT,

Section 8. Time is of the Essence. Time is hereby declared of the essence
as to the lawful performance of all duties and obligations set forth in this Agreement.
Section 9. Entire Agreement/Modification. This Agreement, together
with all "Standard Contractual Terms and Conditions", as provided on the City's website
and the attachments hereto (the documents relative to the procurement activity of the
City leading to the award of this Agreement) constitute the entire integrated agreement
between the City and Neel -Schaffer and supersedes and controls over any and all prior
agreements, understandings, representations, correspondence and statements whether
written or oral in connection therewith and all the terms and provisions contained herein
constitute the full and complete agreement between the parties hereto to the date
hereof. This Agreement may only be amended, supplemented or modified by a formal
written amendment of equal dignity herewith. In the event that Neel -Schaffer issues a
purchase order, memorandum, letter, or any other instrument addressing the goods or
services, work, and materials to be provided and performed pursuant to this Agreement,
it is hereby specifically agreed and understood that any such purchase order,
memorandum, letter, or other instrument shall have no effect on this Agreement unless
agreed to by the City, specifically and in writing in a document of equal dignity herewith,
and any and all terms, provisions, and conditions contained therein, whether printed or
written or referenced on a Web site or otherwise, shall in no way modify the covenants,
terms, and provisions of this Agreement and shall have no force or effect thereon.
Section 10. Severability. If any term, provision or condition contained in
this Agreement shall, to any extent, be held invalid or unenforceable, the remainder of
this Agreement, or the application of such term, provision or condition to persons or
circumstances other than those in respect of which it is invalid or unenforceable, shall
not be affected thereby, and each term, provision and condition of this Agreement shall
be valid and enforceable to the fullest extent permitted by law when consistent with
equity and the public interest.
Section 11. Waiver. The failure of the City to insist in any instance upon
the strict performance of any provision of this Agreement, or to exercise any right or
privilege granted to the City hereunder shall not constitute or be construed as a waiver
of any such provision or right and the same shall continue in force.
Section 12. Captions. The section headings and captions of this Agreement
are for convenience and reference only and in no way define, limit, describe the scope
or intent of this Agreement or any part thereof, or in any way affect this Agreement or
construe any provision of this Agreement.
Section 13. Counterparts. This Agreement may be executed in any
number of counterparts, each of which shall be deemed an original, but all of which,
taken together, shall constitute one and the same document.
Section 14. Binding Effect. This Agreement shall be binding upon and
inure to the benefit of the successors in interest, transferees and assigns of the parties.
Each party hereto represents to the other that it has undertaken all necessary actions to
execute this Agreement, and that it has the legal authority to enter into this Agreement
and to undertake all obligations imposed on it. The signatories hereof represent that
they have the requisite and legal authority to execute this Agreement and bind the
respective parties herein.
Section 15. Remedies. The rights and remedies of the parties, provided for
under this Agreement, are in addition to any other rights and remedies provided by law
or otherwise necessary in the public interest.
Section 16. Governing law, Venue and Interpretation. This Agreement is
to be governed by the laws of the State of Florida. Venue for any legal proceeding

related to this Agreement shall be in the Eighteenth Judicial Circuit Court in and for
Seminole County, Florida. This Agreement is the result of bona fide arms length
negotiations between the City and Neel -Schaffer, and all parties have contributed
substantially and materially to the preparation of the Agreement. Accordingly, this
Agreement shall not be construed or interpreted more strictly against any one party.

interest.
IN WITNESS WHEREOF, the City and Neel -Schaffer have executed this
instrument for the purpose herein expressed.

Neel -Schaffer, Inc. is honored to present our "Statement of Qualifications" to support the City of
Sanford with Grant Consulting Services. In accordance with the City's requirements, we are enclosing
six (6) copies, one (1) unbound original, five (5) bound copies and one (1) PDF copy of the entire
submittal on a memory stick that outline our capability and qualifications to provide the services
required under this solicitation. These services would be offered from our local Sanford, FL office
located at 112 South Sanford Avenue.
Firm Profile / Firm History
Neel -Schaffer and our predecessor firms have provided
consulting services throughout Florida since 1919. Neel -
Schaffer was founded in 1983 and today is one of the
largest employee -owned and privately held engineering
and planning firms in the Southeastern United States
with over 500 employees in nine states. Local
government work makes up a majority of our business,
and our corporate structure enables Neel -Schaffer to
maintain a strong commitment to local communities as
evidenced by our 38 local offices. These offices are backed by regional technical resource centers
providing national -level planning and engineering expertise to our clients. In Florida, Neel -Schaffer
has local offices in Maitland, Sanford, and Melbourne. Our Maitland office serves as a regional
headquarters for the Central Florida area.

We have served the City of Sanford through a Continuing Engineering Consulting contract since 2016
and feel that we have earned your trust that we will be responsive and get the job done right. We
recently assisted the City by initiating and developing a Florida Department of Economic Opportunity
Technical Assistance Grant for Multimodal Planning that was successfully awarded for $48,500.

Our Sanford office was created to oversee our Complete
Communities Group, initiated to help us define and focus our

�Group project identification based on grant criteria. The nature of the
office in downtown Sanford promotes involvement in local
stakeholder meetings and participation in civic functions and helps our staff to be more connected
through face-to-face meetings.
Project Manager and Team Our team structure will include a Project Manager for day-to-day
communications with the City and overall responsibility for successful delivery of task work orders.
The Project Manager, Ginger Hoke, PLA, will be the single point of contact. Ginger has over 29 years
of experience in urban planning and design. She is also an expert in trails and bicycle/pedestrian
safety and is one of the most experienced Safe Routes to School professionals in Central Florida. She
has extensive experience in trail funding and during her employment with Seminole County, obtained
over $38 million in funding for trails and park acquisition, design, and construction. Ginger is a
Professional Landscape Architect and joined Neel -Schaffer earlier this year. She provides
community -focused planning, concept and project development; stakeholder and community
outreach, and policy and implementation strategies. Ginger specializes in identifying projects and
positioning them to better compete with available funding and partnership opportunities.
Our Principal in Charge, Rosemary R. Aldridge, P.E., CHMM, has over 30 years of experience in
engineering, environmental planning, and telecommunications. She currently serves as an advisor
for Brownfields redevelopment planning for the City of Birmingham and is working with multiple
communities on broadband initiatives. She brings a sensitivity to both historic and natural resources,
serving on the Sanford Historic Preservation Board and the Central Florida Zoo Facilities Committee,
and she has extensive experience performing environmental impact studies for federally funded
projects under the National Environmental Policy Act. She will ensure appropriate assignment of
resources to this contract and work with our Project Manager to assign the appropriate personnel to
each task. She will also seek feedback from the City, so we can strive to fully meet your expectations.

To increase the effectiveness of the City's resources, Neel-Schaffer's standard model is to help our
clients identify grant and funding opportunities to make projects a reality. We are very active in the
American Council of Engineering Companies (ACEC) which provides a great resource of information on
trends, regulatory changes, and funding sources. As a firm, Neel -Schaffer is committed to sharing
experience, lessons -learned, and new ideas throughout the firm. For the past five years, Neel -Schaffer
has conducted the "Neel -Schaffer Hour" monthly to communicate innovation, new project experience,
and achievements to the entire company. This communication method has allowed us to learn from
our many offices and staff resources and reach out to them when we encounter similar projects. Our
firm's monthly newsletter, regular newsbytes, and manager meeting discussions help us spread the
word about our team's successes and lessons learned. In the last several years, Neel -Schaffer has

We have brought an interdisciplinary team together within our firm to address the major issues that
our clients typically face. Many times, the key to resolving these issues is funding, and we continue to
add staff who bring key relationships and proven track records in winning the necessary funds to get
projects off the ground. Below are summaries of our key personnel for this contract and their roles.
Ginger Hoke, PLA — Project Manager (ginger.hoke@neel-schaffer.com)
Ginger will lead our grants team, and alongside our Principal, Rosemary Aldridge, will work with the
City to identify funding needs and associated projects. Depending on the service area, she will identify
expertise from the team to lead the grant effort and ensure the work is completed on time and meets
our quality standards and the overall goals for the project. She brings expertise in multimodal
transportation planning, trails, and community development projects and funding.
Ginger has been a Sanford resident for over 16 years and has supported the City through funding many
projects while employed as the Seminole County Greenways and Trails Principal Coordinator. She has
performed planning and design work within the City as a consultant and is active and prominent in the
community as owner of her former design and planning firm, Hoke Design, as a historic home restorer,
and as a Chair of the 2017 Sanford Tour of Homes, bringing over 1,000 visitors to Sanford. She is a
member of the Sanford Historic Trust and formerly server on the board of the Main Street Association.
She recently led the successful Sanford grant application for the Department of Economic Opportunity,
and Neel -Schaffer is pending award of a contract by the City to complete this critical multimodal study.
Rosemary R. Aldridge, PE, CH — Principal (rosemary.aldridge@neel-schaffer.com)
Rosemary Aldridge will serve as Principal in Charge. In this role, she will work alongside the Project
Manager to identify projects and resources, as well as seeking input from our Advisory team for
funding opportunities and strategies. She brings expertise in Brownfields Assessment and
Redevelopment, Transportation Planning studies and funding, and community Broadband.
She has been a Sanford resident for five years and has worked in various capacities with the City of
Sanford including her role as Principal on multiple engineering and planning contracts for the City of
Sanford. She opened Neel-Schaffer's Sanford office in 2016 and since then has been appointed to the
Sanford Historic Preservation Board and newly formed Citizens Academy Advisory Board. She also
serves on the Central Florida Zoo Facilities Committee, and the firm supports the Zoo through
charitable giving, volunteering, and providing engineering support. She is active in the Sanford Historic
Trust and the annual Tour of Homes as well as many other Sanford events. She is a Senior Vice
President of the firm and the Florida Operations Manager. She collaborated with Ginger on the recent
successful Sanford Department of Economic Opportunity Technical Assistance Grant.
David Bowman — Advisor/Strategy (david.bowman@neel-schaffer.com)
David is a Senior Vice President of the firm and provides leadership and coordination for funding
strategies throughout the firm. He is actively engaged in major Economic Development initiatives and
site selection throughout the South. He serves in a leadership position with the American Council of
Engineering Companies, an advocacy organization for engineering and infrastructure. He has expertise

in water/wastewater utilities and has developed winning funding strategies for major facilities. He has
sought support from elected officials at the state and federal level as a representative of our clients.
Roy Neel — Advisor/Strategy (roy.neel@peel-schaffer.com)
Roy is a special advisor to the firm and is located in Washington, DC where he has his own political
strategy consulting firm. He tracks legislative initiatives that affect engineering and infrastructure and
keeps our firm appraised of upcoming opportunities early in the process. He serves as a government
liaison with federal and state agencies and serves as an advocate for our clients in Washington.
Patti Clare, AICP — Grants Specialist (patti.clare@neel-schaffer.com)
Patti is an award-winning, nationally recognized expert in Community Planning and Redevelopment
and has developed many large-scale, grant -funded urban renewal and redevelopment projects. She
will be assigned as a Grant Manager or assist Ginger on grant planning activities in the areas of

brings expertise in transportation and transit aspects of projects and incorporates sustainable practices

While employed with City of Louisville (KY) and local non-profit development organizations, she led
two major initiatives for the City including a successful $16.9 million TIGER grant application and
award. She later joined Neel -Schaffer and was able to help complete the TIGER grant project for Bus
Rapid Transit along a highly dangerous and congested corridor in Louisville. She also successfully led
redevelopment of a major Brownfields site into Louisville Slugger Field. She is currently assisting with
preparations for the Sanford multimodal study under the Department of Economic Opportunity grant
and is working with Ginger in developing a Comprehensive Analysis of the Lake County Transit system.

Jeff joined Neel -Schaffer in 2016 after 31 years with the Kentucky Transportation Cabinet,
Transportation Planning and Traffic Sections, where he was instrumental in prioritizing projects for
both planning and implementation funding. He will be assigned as a Grant Manager and Grant Writer
and will assist with Public Outreach strategies to ensure public support. In his career, he has
successfully led many grant efforts and was involved at a variety of levels with Public Involvement,
Environmental Justice, Community Impacts Assessments, Identification and Prioritization of
Transportation Needs, Bicycle and Pedestrian Facility Planning, and Context Sensitive Solutions.

Frank is a former Federal Emergency Management Agency (FEMA) employee who has assisted Neel-
Schaffer's clients through Public Assistance for cleanup cost recovery and mitigation support. He
works under both Neel -Schaffer and our Emergency Management subsidiary firm, True North. He
recently assisted the Seminole Tribe of Florida and the Central Florida Zoo with cost recovery following
Hurricane Irma. He is a member of our winning team for a recent win with the Texas Government Land

Charles is an Environmental Engineer and an expert in water and wastewater utilities with over 30
years of experience. He has worked with many of our clients in developing funding strategies and
grant applications. He works out of our Maitland office and is currently leading projects with Orange
and Brevard County Utilities as well as Seminole Tribe of Florida. Charles will be assigned as a Grant
Manager or Grant Writer for projects pertaining to water, wastewater, stormwater, and environmental
issues. He relocated to Florida several years ago but continues to support major utility projects
throughout the firm assisting with CDBG funded projects in Mississippi, many that came about after
massive damage by Hurricane Katrina. He assists smaller utilities with CDBG and SRF grants/loans and
recently attended training by FDEP on the latest SRF requirements. He is active in AWWA, APWA, and
FWEA. He also performs studies, planning, and cost estimates to support these grants.

Dana is a former City Transportation Director for City of Murfreesboro, TN. He has expertise in Traffic,
Congestion Management, and Transit and has a proven track record in developing state -funded

awarded over $5 million in state funding for transportation improvements for sidewalks, roadway, and

implementation was also part of the firm's
responsibility.
Jackson County (MS) Utility Authority Water and
Wastewater Capital Improvement Program and
Operational Program: This involved creating State
Legislation for the creation of a new Utility District
serving 150,000 people. Once the District was created
capital improvement plan was developed along with
operational plan. The operational plan included the
implementation of the rate structure.
Mississippi Major Economic Impact Authority Water
Transmission: This project involved providing water to
Nissan in Canton, MS from the City of Jackson, MS.
The 14 -mile water transmission supply line provided
over 1.0 MGD of supply to the industrial facility.
Operational, rate agreements, and coordination with
the Public Service Commission were task managed in
addition to the design and construction.

joining Neel -Schaffer, she spent over 30 years in
the public and non-profit sectors, most recently
serving as Deputy Director for Louisville Metro
Government's Office of Advanced Planning. While
with the Office of Advanced Planning, Ms. Clare
led the transportation planning efforts for
Louisville Metro.
Prior to her position at the Office of Advanced
Planning, Ms. Clare was Deputy Director of the
Louisville Downtown Development Corporation
(LDDC), a non-profit organization focused on the
economic vitality and development of downtown
Louisville. In her role at the LDDC, Ms. Clare
served as project manager of major
redevelopment plans and projects. In her role
with the LDDC Ms. Clare worked to knit a very
large downtown together through urban design,
streetscape connectivity and development

TIGER Grant, Louisville Metro Government. Ms.
Clare served as Project Manager for development
of the TIGER grant application. In her role, she
worked collaboratively with Metro departments
and external consultants to select and define the
project and assemble a winning grant application
for a three -pronged approach to the revitalization
of the Dixie Highway Corridor. The project
included ITS/Signal System and Technology
Upgrades, Complete Streets and Safety/Access
Management Improvements and Bus Rapid
Transit. Louisville Metro Government was
awarded a $16.9 million grant and the project is
now under construction. Dixie Highway will be

(2018), Alabama Department of Transportation: Mr.
Moore was the assistant writer of two Competitive
Highway Bridge Program Grant applications for the

bridges located on 1-85 within Opelika, Alabama. The
Line Creek project consists of the replacement of six

Coordinated and managed all project development
phases as well as funding and contracts between the
City, TDOT, MTSU, and utilities. This $18.3 million
roadway widening project is locally managed and
consist of improving a .8 -mile section of Middle
Tennessee Boulevard contiguous to MTSU between
East Main Street and Greenland Drive. The project
includes four travel lanes, bike lanes, sidewalks,
medians, underground utilities and installation of six
signalized intersections and CCN cameras that
connect, via project -installed fiber optic cable, to the
existing Traffic Operations Center (TOC) located in
City Hall. The project is currently under construction.
Park & Ride Lot: Funding Specialist. Obtained CMAQ
funding and oversaw locally administered
construction of park and ride lot for regional bus
service and vanpool operations.
Murfreesboro Service Assessment: Project Planner.
Developed scope and coordinated consultant led
service assessment for local transit system operations
that identified ridership demographics, system use,
and daily activity along Murfreesboro's seven fixed
routes. Ridership survey was conducted to help

Murfreesboro Transit Facility Needs Assessment and

wildfire season in California. True North assisted
CalRecycle in reviewing and reconciling remediation
contractor invoices to support FEMA reimbursement

were made by CalRecycle. In addition, the team will
analyze all invoices reviewed by CalRecylce prior to

project are FEMA compliant. The True North team
will stay on task throughout the FEMA audit to assist
CalRecycle in resolving any issues associated with
invoices, documents, support, etc., needed from the
prime contractors in order for CalRecyle to receive
FEMA reimbursement.
1-10 Mobile River Bridge and Bayway Widening,
Alabama Department of Transportation: This project
is being designed to increase capacity of 1-10 by
constructing a new six -lane bridge across the Mobile
River and widening the existing 1-10 bridges across
Mobile Bay from four to eight lanes. Neel -Schaffer
was contracted as a sub -consultant to provide
preliminary design services for environmental, traffic
engineering and ITS, bike and pedestrian facilities,
and hydraulic analysis for the project. Mr. Kyzer
coordinated with the other contractors on the
project team to set up a billing process that was in
compliance with the overall Alabama Department of
Transportation contract.
FDOT District 7 Debris Monitoring: Mr. Kyzer
provided tracking of costs related to debris
monitoring activities, contractor activities, and

Professional History
Mr. Bryan joined Neel -Schaffer in 2007 and has 14
years of experience in the creation of detailed
bicycle and pedestrian plans, planting plans,

facilities such as streetscapes, parks, and athletic
complexes. Many of these projects were funded
through various grants written and administered by
Mr. Bryan. He also has created plans for office
parks, residential subdivisions, and detailed site

spaces that are safe for all modes of transportation,
including bicycle, pedestrian, and vehicular. Mr.
Bryan is an advocate for cycling, hiking and

project provides safe access throughout the campus
and includes brick paving, decorative lighting,
benches, bike racks, trash receptacles and emergency
call stations. Upon completion, the plaza was named
in honor of the two first African Americans to enroll at

USM Fence & Landscape Improvements, Hattiesburg,
MS: Project Landscape Architect. Provided design for
a decortive fencing, brick columns and associated

signalized crossing locations and provided aesthetic
improvements along high profile frontage. Funding

Mr. Neel is a business and political consultant for Neel -Schaffer. He graduated from Vanderbilt University in
1972 and earned a Master of Public Administration from Harvard University in 1983. In 1977, he joined AI
Gore's congressional staff. He stayed throughout Gore's congressional career, rising to the position of Chief of
Staff in Gore's Senate office. In 1992, he managed Gore's vice-presidential campaign; he then participated in
the White House transition and became Chief of Staff to the Vice President. In 1994, after 17 years of service
to Gore, Neel went on to serve as President Clinton's Deputy White House Chief of Staff. He currently serves
as chief of staff for former Vice President Al Gore and his organizational advocacy on climate change. He also
served for seven years as President and CEO of the US Telecom Association representing the regional Bell
companies and almost 1,000 local telecom companies. Neel is an Adjunct Professor of Political Science at

of Florida and a 100 percent Federal cost share for debris removal and emergency protective measures
(Categories A and B) for the first 30 days. Neel -Schaffer was called in to assist the Tribe in quantifying
their costs for each category at four reservations in South Florida and preparing the necessary
documentation to seek reimbursement from FEMA. Subsequently, the Tribe was able to qualify for full
reimbursement. Frank German is a former FEMA employee and brought significant skill and knowledge

Team Experience Prior to Employment with Neel -Schaffer
Ginger Hoke, PLA - Project Manager Ginger Hoke, PLA has been employed with Neel -Schaffer since
March 2018. Prior to that, she owned her own planning and design firm in Sanford called Hoke Design
and was also previously employed with city and county agencies in Central Florida. Her experience
prior to Neel -Schaffer includes:
Safe Routes to School – Ms. Hoke has performed walk zone studies and assisted with grant applications
for over 60 schools in Central Florida resulting in millions of dollars of Safe Routes to School funding.
Seminole County - TEA -21 grants, Florida Communities Trust Grant and TEA -21 grant for $8 Million,
two FCT grants, Seminole County Greenways and Trails Master Plan: Project Manager (while employed
as Seminole County Principal Trails Coordinator) for the creation of the GIS -based Seminole County
Greenways and Trails Master Plan (winner of ESRI GIS Award, 2000). Researched alignments for several
trail corridors. Worked with cities and adjacent counties to coordinate planning and funding. Received
grants for land acquisition, design and construction totaling over $9 million. Initiated a Regional Trails
Working Group to share knowledge and to coordinate and promote regional trail connectivity.
Seminole County Trails Referendum: Team member (while employed as Seminole County Principal
Trails Coordinator) in the successful passage of the $25 million Natural Lands 2000 "Completing the Trails
Connection" referendum. Identified projects, developed cost estimates and worked with municipalities
and numerous agencies to prioritize trail construction. Initiated and guided the development of the
Seminole County Trails Website and the creation of an educational video. Awarded $2 million to Sanford
for construction of the Riverwalk.
Cross Seminole Trail - Seminole, Orange County, Winter Springs and Oviedo group application initiated
by Ginger Hoke: Project Manager (while employed as Seminole County Principal Trails Coordinator) for
design, funding and development of portions of the Cross Seminole Trail. Assisted municipalities with
grant applications to increase total project funding to $8 Million.
ISTEA funding for City of Sanford Riverwalk Conceptual Design: Provided subconsultant services to
develop the alignment and design concepts for the two-mile long Riverwalk trail along Lake Monroe,
Sanford FL. Assisted with successful grant application for funding.

Patti Clare, AICP formerly served as Deputy Director for Louisville Metro Government's Office of
Advanced Planning. She also served as the Deputy Director of the Louisville Downtown Development
Corporation, a non-profit organization focused on the economic vitality and development of
downtown Louisville. In both position, identifying and applying for grant funding was a major part of
her role. Prior to joining Neel -Schaffer in 2015, she successfully led Louisville's effort in obtaining a
$16.9 million TIGER grant. A description of this grant is provided below.
2015 TIGER Grant: Transforming Dixie Highway TIGER Grant, Louisville Metro Government. Ms. Clare
served as Project Manager for development of the TIGER grant application. In her role, she worked
collaboratively with Metro departments and external consultants to select and define the project and
assemble a winning grant application for a three -pronged approach to the revitalization of the Dixie
Highway Corridor. The project included ITS/Signal System and Technology Upgrades, Complete Streets
and Safety/Access Management Improvements and Bus Rapid Transit. Louisville Metro Government
was awarded a $16.9 million grant and the project is now under construction. Dixie Highway will be
Louisville's first BRT corridor.
B. Awards
City of Webster, FL Master Plan: Ginger Hoke, PLA was Project Manager for a City-wide Comprehensive Master
Plan that included trails and sidewalks, bicycle facilities, streetscaping, equestrian facilities, scenic views and
housing. This project won the 2017American Planning Association (APA) National Vernon Deines Merit Award

U.S. 45 Bypass Location Study, Columbus, MS: Rosemary Aldridge served as Project Manager for an
environmental corridor study funded by the US Department of Transportation. The study involved
nine miles of four -lane highway with five new interchanges on new location. Part of the study included
a pilot program to increase public involvement through outreach with elementary schools. Ms.
Aldridge led this initiative to develop appropriate activities for third and fifth grade students that
mirrored the NEPA process. The activities were designed to primarily engage minority, low-income,
and non-English speaking students about the project and create activities that they could share with
their parents. The project received increased media attention due to this program, and the attendance
at public meetings was dramatically increased above the typical turnout. This project won regional and
national awards, including the Southern Public Relations Federation Lantern Award and a Federal
Highway Administration Environmental Excellence Award.
Patti Clare, AICP, of Neel -Schaffer was awarded the 2016 William Bowdy Award for Outstanding Life -
Time Achievement as a Kentucky Planner by the American Planning Association. Her work in
developing grant -funded project opportunities throughout her career as a City Planner and Economic
Development professional contributed to her success and recognition.

Neel -Schaffer will provide services under this contract out of our local Sanford office where our Project
Manager, Ginger Hoke, PLA, and our Project Principal, Rosemary Aldridge, PE, are located. We will staff this
project with a multi -disciplined team with expertise in a wide range of areas that can respond to any potential
needs or opportunities presented by the City.
A. State your firm's technical approach to the project and the interpretation of the scope of services
required.
The City is requesting consultant services to help them maximize the benefits available from grant
resources and to ensure the commitments and requirements for the grant are fully met. To meet
these goals, we have assigned an experienced local Project Manager, Ginger Hoke, PLA, who has
extensive experience with many grant sources in the State of Florida and also has a thorough
understanding of the City's business and operations. Ginger has lived, worked, volunteered, and
owned businesses in the City of Sanford for over 15 years. She has also served in a similar position for
Seminole County as the Principal Trails Coordinator during which time she developed projects to
promote a $25 Million Natural Lands Referendum that provided trail funding to implement numerous
mile of the Greenways and Trail Master Plan that she developed. She worked with team members,
municipalities and adjacent counties to apply for numerous successful grants that generated funding
for land acquisition and trail development. She was instrumental in obtaining grant money for the
Cross Seminole Trail, Flagler Trail, Seminole Wekiva Trail and Sanford's Riverwalk. These experiences
have given her the level of knowledge and commitment to Sanford to fulfill this grant consulting role in
a very unique and positive way. She is currently serving the City of Sanford on a Florida Department of
Economic Opportunity Technical Assistance grant that Neel -Schaffer identified, brought to the City,
and developed the successful application to win the grant.
Ginger will work closely with Rosemary Aldridge, PE, to share knowledge of City operations and
opportunities. Rosemary currently leads project development efforts with the Public Works
Department and serves on the City's Historic Preservation Board, the Central Florida Zoo Facilities
Committee, and the newly formed Sanford Citizen's Academy Advisory Board. Ginger and Rosemary
have both worked closely with the City in these capacities, and together, they bring a complete
understanding of the City's goals and how to get things done. Additionally, they understand the
importance of follow-through and will work with the granting agency to be sure that all rules are
followed, and that funding requirements and deadlines are met.
B. Define the adequacy of resources, including personnel, labor, equipment and supply resources, and
other requirements to provide the requested services.
Neel -Schaffer is a 500 -person engineering and planning firm, and the main form of funding for our
municipal projects is state and federal grant money. We support many cities who rely heavily on
outside funding, and without it, our projects could not move forward. We work closely with our
municipal clients as well as state and federal agencies to identify grant sources, match them to

Fully understanding grant criteria and matching grants to the right projects:
As previously stated, it is important to identify funding sources early in the planning of projects to
ensure that projects fully meet the intent of the grants and can successfully be awarded funds. Having
experienced grant staff who are familiar with the funding agencies and have been awarded grants from
the granting agency before also helps to ensure a complete understanding of what the grantor is
looking for, what to expect if awarded, and how to manage the grant through implementation.
Developing and communicating a compelling grant proposal:
Using staff experienced in working with the various grant agencies, and who understand what the
grantor is looking for, goes a long way in building a successful grant application. Developing and
communicating a winning grant approach requires excellent writers but also eye-catching graphics and
compelling data. Neel -Schaffer utilizes our in-house professional graphics design team and the latest
software to create before and after photosimulations and 3-D renderings to help the grant selection
committee visualize the project. We have in-house drone photography capabilities to depict project

TITLE: GRANT CONSULTING SERVICES
a. It is noted that Professional Liability, builder's risk, garage keepers and garage liability is not required
unless applicable conditions exist. If clarification is needed the CONTRACTOR must request
clarification from the City of Sanford Purchasing Office.
b. Vendor, Contractor, bidder shall provide, to the City of Sanford "City," prior to commencing any
work, a Certificate of Insurance which verifies coverage in compliance with the requirements outlined
below. Any work initiated without completion of this requirement shall be unauthorized and the
City will not be responsible.
c. The City reserves the right, as conditions warrant, to modify or increase insurance requirements outlined
below as may be determined by the project, conditions and exposure
➢ Certification Terms and Conditions
It is noted that the City has a contractual relationship with the named vendor, contractor or provider
(collectively referred hereinafter as Contractor) applicable to a purchase order, work order, contract or
other form of commitment by the City of Sanford, whether in writing or not and has no such contractual
relationship with the Contractor's insurance carrier. Therefore, the onus is on the Contractor to insure
that they have the insurance coverage specified by the City to meet all contractual obligations and
expectations of the City. Further, as the Contractor's insurance coverage is a matter between the vendor
and its insurance carrier, the City will turn to the Contractor for relief as a result of any damages or
alleged damages for which the Contractor is responsible to indemnify and hold the City harmless. It is
understood that the Contractor may satisfy relief to the City for such damages either directly or through
its insurance coverage; exclusions by the insurance carrier notwithstanding, the City will expect relief
from the Contractor.
a. The insurance limits indicated above and otherwise referenced are minimum limits
acceptable to the City. Also, all contractor policies shall to be considered primary to
City coverage and shall not contain co-insurance provisions.
b. All policies, except for professional liability policies and workers compensation policies shall
name the City of Sanford as Additional Insured.
c. Professional Liability Coverage, when applicable, will be defined on a case by case basis.
d. In the event that the insurance coverage expires prior to the completion of the project, a
renewal certificate shall be issued 30 days prior to said expiration date.
e. All limits are per occurrence and must include Bodily Injury and Property Damage.
f. All policies must be written on occurrence form, not on claims made Form, except for
Professional Liability.
g. Self -Insured retentions shall be allowed on aM liability coverage.
h. In the notification of cancellation: The City of Sanford shall be endorsed onto the policy
as a cancellation notice recipient. Should any of the above described policies of Sanford
in accordance with the policy provisions.
i. All insurers must have an A.M. rating of at least A -VII.
j. It is the responsibility of the Prime CONTRACTOR to ensure that all sub -contractors
retained by the Prime CONTRACTOR shall provide coverage as defined here -in before and
after and are the responsibility of said Prime CONTRACTOR in all respects.
k. Any changes to the coverage requirements indicated above shall be approved by the City of

under this tab? Under the evaluation criteria (page 11) it lists Tab E as Fee Structure Price —
Acceptance of Terms and Conditions. Please clarify which attachments and information should
be included under Tab E, since Attachment F is requested to be included under Tab D.

The Contractor certifies that no segregated facilities are maintained and will not be maintained during
the execution of this contract at any of its establishments.
The Contractor further certifies that none of its employees are permitted to perform their services at
any location under the Contractor's control during the life of this contract where segregated facilities
are maintained.
The Contractor certifies further that it will not maintain or provide for its employees any segregated
facilities at any of its establishments, and that he will not permit his employees to perform their
services at any location, under his control, where segregated facilities are maintained.
As used in this certification, the term "segregated facilities" means any waiting rooms, work area, rest
rooms and wash rooms, restaurants and other eating areas, time clocks, locker rooms and other
storage or dressing areas, parking lots, drinking fountains, recreation or entertainment areas,
transportation, and housing facilities provided for employees which are segregated by explicit
