INTERLOCAL AGREEMENT
BETWEEN THE U.S. 17 -92 CRA AND THE CITY OF SANFORD
WATER AND SANITARY SEWER LINE EXTENSION PROJECT
THIS INTERLOCAL AGREEMENT, is made and entered into this J

REDEVELOPMENT AGENCY, a Public Agency created by Resolution No. 97 -R-
130, pursuant to Chapter 165, Florida Statutes, whose address is
Seminole County Services Building, 1101 East First Street, Sanford,
Florida 32771, hereafter referred to as the "CRA ", and the CITY OF
SANFORD, a Florida municipal corporation, whose address is 300 North
Park Avenue, Sanford, Florida 32771, hereafter referred to as the
"CITY ".
W I T N E S S E T H:
WHEREAS, U.S. Highway 17- 92,a.nd South Maple Avenue between 6"
Street and 11th Street are roads ' v hibh are located in the CITY limits
and within the U.S. 17 -92 Community Redevelopment Area and are of
significant interest and concern to the citizens of the CITY and
Seminole County; and
WHEREAS, the improvement of water lines in this area will
contribute to the general health, safety and welfare of the residents
and businesses of the CITY and Seminole County; and
WHEREAS, the CITY and the CRA have worked together in a
cooperative manner relating to this area and desire to continue to
mutually cooperate with each other in order to enhance the quality of
life of the citizens of the CITY and Seminole County.

NOW THEREFORE, in consideration of the promises, covenants and

commitments contained herein and other good and valuable
consideration, the receipt, adequacy, and sufficiency of which are
hereby acknowledged as to both parties, the parties agree as follows:
SECTION 1. PURPOSE OF THIS AGREEMENT. The purpose of this
Agreement is to provide for water system upgrades along U.S. Highway
17 -92 and South Maple Avenue between 6th Street and 111h Street,
hereinafter referred to as the "PROJECT AREA ". Attached as Exhibit B
are maps of the PROJECT AREA.
SECTION 2. TERM OF AGREEMENT. The term of this Agreement shall
be two (2) years.
SECTION 3. CITY'S OBLIGATIONS. Throughout the term of this
Agreement the CITY shall provide.• all services to the PROJECT AREA
�trrr necessary to complete the water=:'- system upgrades as described in
Exhibit A, attached hereto, including hiring and coordinating all
contractors for the Project, securing all necessary permits and

providing for all necessary engineering and design work.
(a) Prior to beginning construction of the improvements
described in Exhibit A, the CITY shall obtain a performance bond in
the amount of SIXTY THOUSAND AND N01100 DOLLARS ($60,000.00) from its
contractors for the project to cover the cost of landscaping and
shall, in addition, obtain an easement from Universal FML permitting
Pebble Junction access to the upgraded water and sewer lines.
(b) The CITY shall indemnify and hold the CRA harmless from and
against all liability, claims, demands, attorneys fees (both at trial

and on appeal), judgments and costs relating to personal injuries,

including death, and property damage arising from CITY's acts and
omissions in the performance of the CITY's obligations under this
Agreement.
(c) The CITY shall be solely responsible for any costs incurred
in the performance and service under this Agreement in excess of the
reimbursement amount as stated in Section 4 below.
SECTION 4. CRA OBLIGATIONS. The CRA shall:
(a) The CRA agrees to reimburse the CITY for the cost of
materials, equipment and services needed to complete the Project not
to exceed FOUR HUNDRED SIXTY -FOUR THOUSAND ONE HUNDRED FORTY -FIVE AND
N01100 DOLLARS ($464,145.00). ONE HUNDRED FIFTY -FOUR THOUSAND SEVEN
HUNDRED FIFTEEN AND NO /100 DOLLARS ;(.$154,715.00) of said reimbursement
'fir+ shall be paid to the CITY upon`exer_ution of this Agreement and ONE
HUNDRED FIFTY -FOUR THOUSAND SEVEN HUNDRED FIFTEEN AND N01100 DOLLARS
($154,715.00) when the project reaches fifty percent (50 %) completion,
with the final reimbursement to be paid upon completion and inspection
of the Project by the CRA and upon submission of all invoices for
materials and equipment used for the Project to the CRA by the CITY.
All costs for materials, equipment and services exceeding FOUR HUNDRED
SIXTY -FOUR THOUSAND ONE HUNDRED FORTY -FIVE AND N01100 DOLLARS
($464,145.00) shall be the sole responsibility of the CITY.
(b) The CRA shall review the final Project design, the Scope of
Work and the deliverables prior to the start of work, to ensure that
the proposed Project is consistent with the CRA's goals and standards.

The CPA shall also review the Project upon completion of the Scope of
Work to certify that it has been completed in accordance with the
approved final design, Scope of Work and deliverables. The CRA shall
not be obligated to make its final payment due on the Project until
the Project has been completed to the satisfaction of the CRA, except
as provided in Section 4(a).
SECTION 5. ASSIGNMENT. This Agreement shall not be assigned by
either party without the prior written approval of the other, however,
this prohibition shall not prevent either party from meeting its
obligations hereunder by using independent contractors.
SECTION 6. PUBLIC RECORDS. The parties shall allow public access
to all documents, papers, letters or other materials which have been
made or received by the parties in.,Gonjunction with this Agreement_
*40/ SECTION 7. RECORDS AND AUDhZS'* The parties shall maintain any
and all records, documents, papers, and other evidence pertaining to
the work performed under this Agreement. Such records shall be
available at reasonable times and places during the term of this
Agreement and for so long as such records are maintained thereafter.
Records shall be maintained in accordance with State law, including
but not limited to Chapter 119, Florida Statutes, and generally
accepted accounting and auditing principles.
SECTION 8. NOTICES.
(a) Whenever either party desires to give notice to the other,
notice may be sent to:

(b) Either of the parties may change, by written notice as
provided herein, the addresses or persons for receipt of notices or
receipt of invoices. All notices shall be effective upon receipt.
SECTION 9. HEADINGS. All sections and description headings in
this Agreement are inserted for convenience only, and shall not affect
the construction or interpretation..•Qf..this Agreement.

`4W SECTION 10. ENTIRE AGREEMENT-:" This Agreement constitutes the
entire agreement of the parties with respect to the subject matter of
this Agreement, and may not be modified or amended except by a written
instrument equal in dignity to this Agreement, and executed by the
parties to be bound by the amendment to the Agreement.
SECTION 11. COUNTERPARTS. This Agreement may be executed in any
number of counterparts, each of which, when executed and delivered,
shall be an original, but all counterparts shall together constitute
one and the same instrument.

Former Scotty's Site)
Survey, Design, and Permitting Services
BASIC SERVICES OF THE CONSULTANT
1.1 The CONSULTANT agrees to perform professional engineering services in
connection with the project as hereinafter stated.
1.2 The CONSULTANT will serve as the CITY's professional engineering
representative in those phases of the project to which this Scope of Services
applies, and will give consultation and advice to the CITY during the
performance of his services.
1.3 The purpose of the project is to provide water system upgrades to improve
pressures and flows to areas west of U.S. 17 -92, between 6th St. and 11th St.
in order to encourage business development in the area. Additionally, the
sewer line extension will provide sewer service to the large parcel that was
the former Scotty's site, which is slated for redevelopment. Since the purpose
of the improvements is to encourage development, the project has been
designated to receive funding from the U.S. 17 -92 Community
Redevelopment Agency (CRA). This Scope includes coordination with the
CRA. Exhibits B -1 and B -2 contain maps showing the proposed water and
sewer improvement locations.
2.1 Task 1 - Surveying Services
2.1.1 The CONSULTANT, through its survey department, will conduct a
topographic survey to include the public rights -of -way of a total length of
approximately 2,000 feet of public right -of -way. The topographic right -of -way
surveying will include the portion of S. Maple Ave. beginning at W. 11th Street
and extending north to W. 8th Street (1,000 ft. — full right -of -way), and will then
extend to the east along W. 8th Street to the west side of U.S. Highway 17 -92
(275 ft. — full right -of -way), and along the west side of U.S. 17 -92 extending
north to W. 6th Street (675 ft. — west half right -of -way and also 20 feet west of
right -of -way).
2.1.2 Surveying related to the right -of -way and lot lines is as follows:

The survey will show the location of easements, lot lines, and rights -of-
way based on plat maps and record books.
2. Boundary work to establish the specific field location of property lines,
easements, and right -of -way is not included.
3. The surveying includes field locating sufficient documentation to
determine the right -of -way along the route.
2.1.3 The topographic survey will include locating improvements within the right -of-
way including mailboxes, driveways, signs, fences and the edge of pavement.
2.1.4 Soil borings at up to 4 locations will be drilled by the geotechnical
subconsultant. The survey will include locating horizontally and vertically the
drilled boring locations.
2.1.5 The route survey will also include locating above ground visible utility
components such as utility poles, traffic signal poles and controller cabinets,
,4, transformers, telecommunication service boxes, meter boxes, valve boxes,
and hydrants. The survey will also locate flagged utilities, including City of
Sanford water mains, reclaimed water mains and sewer force mains flagged
by the City.
2.1.6 Surveying of below grade utilities is limited to the following:
A. Gravity type sanitary sewer pipeline inverts and diameters will be
measured at visible and accessible sanitary sewer manholes. The
horizontal locations and vertical top elevation measured at the
manhole rim will also be surveyed.
B. Storm sewer pipeline inverts and diameters will be measured at each
end of the pipeline, measured at visible and accessible storm sewer
structures such as manholes, mitered end sections, endwalls, curb
inlets, and grate inlets. The horizontal locations and vertical top
elevation measured at the storm structure will also be surveyed.
2.1.7 Isolated trees with a trunk diameter of 3" and larger plus shrubs located within
the right -of -way at the proposed construction areas will also be located by
survey; however, where there are thick stands of trees and shrubs within the

right -of -way along the right -of -way line, the tree line will be located, but a
detailed tree survey within these areas is not included.
2.1.8 The survey will show spot elevations including swales, edge -of- pavement,
and right -of -way line at 50 -ft cross sections, with additional spot elevations
shown at structures and changes in grade.
2.1.9 Since the existing U.S. 17 -92 right -of -way is occupied with very little apparent
room within which to construct the new water main, it is contemplated that the
City will need to secure utility easements across the east side of the three
parcels along the west right -of -way line of U.S. 17 -92 between W. 6th St. and
W 8th St. Sketches and Descriptions for the proposed utility easements will
be prepared by the CONSULTANT through its surveying department along
the east property line of the three parcels.
2.1.10 It should be noted that topographic surveying at the former Scotty's site for
the sewer line extension is not contemplated since there is an existing survey
that can be used.
2.1.11 Two signed and sealed surveys will be provided to the City at the completion
of the survey phase.
2.2 Task 2 - Design and Permitting Services
2.2.1 The CONSULTANT will field review the route and completed survey to assess
construction areas, proposed new water main location, and add information to
completed survey as necessary.
2.2.2 The CONSULTANT will hire a geotechnical consultant to drill up to 4 borings
along the pipeline route. The results of the geotechnical exploration will be
presented in a geotechnical engineering report, which will address the
following items: Existing site conditions; Exploration, testing, and sampling
methods; Subsurface soil conditions encountered and soil classifications;
Depth to groundwater at the time of the exploration and estimated seasonal
high groundwater levels; Pipeline design recommendations, including
excavation and fill recommendations and pertinent soil parameters, and
whether the existing soils are suitable for use during construction for bedding
and backfilling; Construction recommendations (site preparation, use of
unsuitable soils, dewatering, bedding, backfili) will also be included in the
report.

2.2.3 The CONSULTANT will prepare preliminary plans consisting of plan view of
the water main, sewer manholes and lines, plus proposed valves, connection
points and hydrant locations, and prepare Preliminary Opinion of Probable
Construction Cost (POPCC)
2.2.4 The CONSULTANT will meet with the CITY to review preliminary plans and
POPCC, and will make revisions as requested by CITY.
2.2.5 The CONSULTANT will prepare construction plans (2000 linear feet route)
that will be approximately 90% complete. The construction plans to be
prepared under this Scope of Services include:

2.2.7 The CONSULTANT will prepare a Project Manual consisting of Technical
Specifications and front end bidding documents and update the OPCC.
2.2.8 The CONSULTANT will meet with the CITY to review 90% plans, Project
Manual, and OPCC, and will make minor revisions as requested by CITY.
2.2.9 The CONSULTANT will fill out and submit permit applications and plans to
FDEP and CSX (2 Separate FDEP Permits, 2 Separate CSX Permits). This
Scope includes payment of permit application fees as follows: $650 (FDEP
Water Permit Application), $500 (FDEP Sewer Permit Application) and $500
each or a total of two CSX Encroachment Inventory Fees ($1000 Total).
Note: In the event additional fees are charged due to rule changes, revisions
to fee structures, or additional assessments charged by the agencies, then
those fee increases beyond the total fee budget of $2,150.00, will be paid by
the CITY to the CONSULTANT as an additional fee.
2.2.10 The CONSULTANT will Review CSX Pipeline Crossing Agreements (one
each for the water and sewer crossings), and make recommendations to the
City on the proposed Agreements.

2.2.11 The CONSULTANT will revise the plans, project manual, OPCC based on
CITY and County review comments, submit 100% plans and Project Manual
to the CITY.
2.2.12 The CONSULTANT shall at the request of the RPA or CRA Boards give
updates on the project.

of the Project by the CRA and upon submission of all invoices for
materials and equipment used for the Project to the CRA by the CITY.
All costs for materials, equipment and services exceeding FOUR HUNDRED
SIXTY -FOUR THOUSAND ONE HUNDRED FORTY -FIVE AND N01100 DOLLARS
($464,145.00) shall be the sole responsibility of the CITY.
(b) The CRA shall review the final Project design, the Scope of
Work and the deliverables prior to the start of work, to ensure that
the proposed Project is consistent with the CRA's goals and standards.

The CRA shall also review the Project upon completion of the Scope of
Work to certify that it has been completed in accordance with the
approved final design, Scope of Work and deliverables. The CPA shall
not be obligated to make its final payment due on the Project until
the Project has been completed to the satisfaction of the CRA, except
as provided in Section 4(a).
SECTION 5. ASSIGNMENT. This Agreement shall not be assigned by
either party without the prior written approval of the other, however,
this prohibition shall not prevent either party from meeting its
obligations hereunder by using independent contractors.
SECTION 6. PUBLIC RECORDS. The parties shall allow public access
to all documents, papers, letters or other materials which have been
made or received by the parties in.conjunction with this Agreement.
* wl SECTION 7. RECORDS AND AUDiTS.- The parties shall maintain any
and all records, documents, papers, and other evidence pertaining to
the work performed under this Agreement. Such records shall be
available at reasonable times and places during the term of this
Agreement and for so long as such records are maintained thereafter.
Records shall be maintained in accordance with State law, including
but not limited to Chapter 119, Florida Statutes, and generally
accepted accounting and auditing principles.
SECTION 8. NOTICES.
(a) Whenever either party desires to give notice to the other,
notice may be sent to:

SECTION 11. COUNTERPARTS. This Agreement may be executed in any
number of counterparts, each of which, when executed and delivered,
shall be an original, but all counterparts shall together constitute
one and the same instrument.

A resolution of the City Commission of the City of Sanford,
Florida, supplementing the provisions of Resolution Number
2165, and authorizing the submission of a request to the
United States Highway Corridor 17 -92 Community
Redevelopment Agency to fund the construction and design of
water and sewer line extensions in the vicinity of U.S. Highway
17 -92 and 7th Street in an amount estimated at $464,145.00 for
design and construction work; providing for conflicts and
providing and effective date.
Whereas, on June 24, 1997 the Seminole County Board of County Commissioners
adopted Resolution 97 -8 -130, establishing the United States Highway 17 -92 Corridor
Community Redevelopment Agency (the "CRA"), pursuant to Section 163.357, Florida Statutes,
and determining that the United States Highway 17 -92 Corridor Community Redevelopment
Area (the Community Redevelopment Area) is a blighted area; and
Whereas, on December 16, 1997, the Seminole County Board of County Commissioners
'Vft..I approved Ordinance No. 97 -54, which adopted a Community Redevelopment Plan for the
Community Redevelopment Area; and
Whereas, on December 16, 1997, the Seminole County Board of County Commissioners
adopted Ordinance No 97 -55, which authorized the establishment of a Redevelopment Trust
Fund, as provided for in Section 163.387, Florida Statutes, in which tax increment revenues
deriving from the Community Redevelopment Area will be deposited for the purposes of
financing particular elements of the Community Redevelopment Plan and may only be expended
to implement the Community Redevelopment Plan; and
Whereas, on December 22, 1997, the City Commission of the City of Sanford adopted
Resolution Number 1775, which, pursuant to Section 163.356, Florida Statutes, concurred with
the Community Redevelopment Plan adopted by the Seminole County Board of County

Commissioners in order that the portions of the Community Redevelopment Area and the
programs and projects of the Community Redevelopment Plan that fall within or which will be
implemented within the corporate limits of the City of Sanford will function as intended by
Seminole County and the cities within Seminole County as well as the controlling provisions of
State law; and
Whereas, on October 21, 1998, the City entered into a Multi -Party Interlocal Agreement
Establishing the U. S. Highway 17 -92 Corridor Redevelopment Planning Agency (Multi -Party
Agreement) with Seminole County, the City of Casselberry, the City of Lake Mary and the City
of Winter Springs to establish a partnership for the purposes of carrying out the intent of the
Community Redevelopment Plan; and
Whereas, the purposes of the Community Redevelopment Plan include the eradication of
blight as evidenced by the lack of necessary service utility conditions fostering visual blight; and
,%MW,. Whereas, the project area in the vicinity of U.S. Highway 17 -92 and 7`h Street, which is
located in the Community Redevelopment Area, shows evidence of the lack of necessary utilities
and blighted conditions; and
Whereas, the City is proposing the design and construction of water and sewer lines in
the vicinity of U.S. Highway 17 -92 and 7th Street which is an area that is located in the
Community Redevelopment Area in order to eliminate the blighted condition, advance economic
development and increase the valuation of property in the Community Redevelopment Area,
consistent with the criteria for development projects set forth in the Multi -Party Agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SANFORD, FLORIDA;
Section 1: Recitals. The recitals set forth in the whereas clauses to this Resolution are
hereby adopted as the legislative and administrative findings of the City Commission.

construction work. Additionally, upon receiving funding, the City Manager is authorized to take
all implementing administrative actions to accomplish the design work and construction work as
proposed.
Sec ' n 3. • Conflicts. All resolutions or parts of resolutions in conflict with this
Resolution are hereby repealed. This Resolution shall be supplemental to the provisions of
Resolution Number 2165.

Action Item #1 Sanford Water & Sanitary Sewer Line Extension Project. Location:
from 6th Street to 11th Street on the west side of US 17 -92
John Metsopoulos stated the City of Sanford was requesting to extend water lines from
6th Street to 11th Street on the west side of US 17 -92, and a sanitary sewer line to the
former Scotty's site..'He further stated currently the area was served by a 2" water line
and the former Scotty's site was serviced by a septic system which hindered
development efforts in this area of US 17 -92. He also stated the current owner of the
Scotty's site, had agreed to post a""$60,000 bond that would ensure the landscaping and
also grant easements across their property to allow Pebble Junction access to the water
and sanitary sewer lines. He then stated Bill Marcous, from the City of Sanford was
available'; to answer any questions. He lastly stated CPH Engineering had secured the
permits from CSX to do the work and the project was ready to go, and that this was a
very good project for Sanford and development on the 17 -92 corridor.
Bob Tunis, from the City of Sanford stated this had been a problem in Sanford for years
and to solve it would be a major accomplishment.
Commissioner Sally McGinnis made a motion to approve the request.
The Board unanimously seconded the motion.
