The Contract Documents consist of this Agreement, Conditions of the Contract (General, Supplementary and other
Conditions), Drawings, Specifications. Addenda issued prior to execution of this Agreement, other documents listed
in this Agreement and Modifications issued after execution of this Agreement, all of which form the Contract, and
are as fully a part of the Contract as if attached to this Agreement or repeated herein. The Contract represents the
entire and integrated agreement between the parties hereto and supersedes prior negotiations, representations or
agreements, either written or oral. An enumeration of the Contract Documents, other than a Modification, appears in

ARTICLE 5 PAYMENTS
5.1 PROGRESS PAYMENTS
5.1.1 Based upon Applications for Payment submitted to the Architect by the Contractor and Certificates for
Payment issued by the Architect, the Owner shall make progress payments on account of the Contract Sum to the
Contractor as provided below and elsewhere in the Contract Documents.
5.1.2 The period covered by each Application for Payment shall be one calendar month ending on the last day of
the month, or as follows:

5.1.3 Provided that an Application for Payment is received by the Architect not later than the day of a month, the

5.1.4 Each Application for Payment shall be based on the most recent schedule of values submitted by the
Contractor in accordance with the Contract Documents. The schedule of values shall allocate the entire Contract
Sum among the various portions of the Work. The schedule of values shall be prepared in such form and supported
by such data to substantiate its accuracy as the Architect may require. This schedule, unless objected to by the
Architect, shall be used as a basis For reviewing the Contractor's Applications for Payment.
5.1.5 Applications for Payment shall show the percentage of completion of each portion of the Work as of the end
of the period covered by the Application for Payment.
5.1.6 Subject to other provisions of the Contract Documents, the amount of each progress payment shall be
computed as follows:
1 Take that portion of the Contract Sum properly allocable to completed Work as determined by
multiplying the percentage completion of each portion of the Work by the share of the Contract Sum
allocated to that portion of the Work in the schedule of values, less retainage of Ten percent percent
10 %). Pending final determination of cost to the Owner of changes in the Work, amounts not in
dispute shall be included as provided in Section 7.3.9 of AIA Document A201Tnt-2007, General
Conditions of the Contract for Construction;
2 Add that portion of the Contract Sum properly allocable to materials and equipment delivered and
suitably stored at the site for subsequent incorporation in the completed construction (or, if approved

4 Subtract amounts, if any, for which the Architect has withheld or nullified a Certificate for Payment as
provided in Section 9.5 of A IA Document A201-2007.
5.1.7 The progress payment amount determined in accordance with Section 5.1.6 shall be further modified under
the following circumstances:
1 Add, upon Substantial Completion of the Work, a sum sufficient to increase the total payments to the
full amount of the Contract Sum, less such amounts as the Architect shall determine for incomplete
Work, retainage applicable to such work and unsettled claims; and
Section 9.8.5 of.dU Document A201-2007 requires release of applicable retainage upon
Substantial Completion of Work with consent ojstrrety, if any.)
2 Add, if final completion of the Work is thereafter materially delaved through no fault of the Contractor,
any additional amounts payable in accordance with Section 9.16.3 of AIA Document A201-2007.
5.1.8 Reduction or limitation of retainage, if any, shall be as follows:

Contractor when
1 the Contractor has fully performed the Contract except for the Contractor's responsibility to correct
Wort: as provided in Section 12.2.2 of AIA Document A201-2007, and to satisfy other requirements,
if any, which extend beyond final payment; and
2 a final Certificate for Payment has been issued by the Architect.
5.2.2 The Owner's final payment to the Contractor shall be made no later than 30 days after the issuance of the
Architect's final Certificate for Payment, or as follows:

4.1 The Owner shall pay the Contractor the Contract Sum in current funds for the Contractor's performance of the
Contract. The Contract Sum shall be Two hundred ninetv three thousand seven htldred three dollars and thirty cents

A. This agreement made and entered into by and between KP Contractors LLC hereinafter called the
Contractor and Ace Air Conditioning hereinafter called the Subcontractor.
B. Contract price includes all labor, material, supervision, equipment, hoisting, delivery, permits, taxes,
installation, and incidentals of the complete HVAC system PER PLANS, SPECIFICATIONS, LOCAL
BUILDING CODES, & ATTACHED EXHIBITS for Boulevard Plaza, LLC 3200 N. Military trail
Boca Raton FI. 33431, hereinafter called Owner, in accordance with the Contract dated the 191 day of
January, 2018, between the Owner and the Contractor, and the general and special conditions of said
Contract, and in accordance with the drawings and specifications and addenda of said construction by
Architects, all of which documents in their ENTIRETY are hereinafter referred to as the Main
Contract.
C. To be bound by the terms of said Main Contract with the Owner (including every part of it and all the
general and special conditions, drawings, specifications and addenda), in any way applicable to this
Subcontract, and also by the subcontract general terms and conditions, which are hereby referred to
and made a part of this Subcontract, Subcontractor certifies that the Main Contract has been read byhim.
D. Contract documents are listed on the attached Exhibit B and are included as part of this subcontract
agreement.
E. This is a "Paid when Paid Contract". Pay requests must be received in our office on or before the 201
of each month. LATE INVOICES WILL NOT BE PROCESSED UNTIL THE FOLLOWING
MONTH- NO EXCEPTIONS. Payment shall be made within 10 days of receipt of payment from the
owner. Use AIA form G703 (1992 Edition) to submit applications for payment with a schedule of
values to date.
F. Subcontractor is subject to the following conditions:
a. Subcontractor responsible for timely submittal of all shop drawings and submittals for
approval.
b. Subcontractor responsible for clean up of all related trash to designated container. Failure to
do so will result in a backcharge.
c. Subcontractor must submit warranty. Operation & Maintenance manuals and As -Built
drawings shall be delivered at 80% completion as indicated by the schedule of values.
d. Subcontractor must provide Workman's Compensation Insurance and full coverage General
Liability Insurance as per Article d in the subcontract general terms and conditions prior to
commencement of work and to any payments against this contract. If not provided, the cost
will be deducted from the contract.
e. Performance of any work related to the project constitutes acceptance of all items of this,
contract.
f. Please be aware that all the terms and conditions of Florida Statute 715-12, Florida Prompt
Pay Act apply.
g. Subcontractor will be responsible to complete their work within the constraints of the
schedule as reasonably modified by the Contractor.
h. Subcontractor is responsible for coordinating parking and field office location with the project
superintendant.
i. Subcontractor responsible for providing us with a list of all sub -subcontractors, vendors,
material & equipment suppliers that will be used under this contract throughout the duration
of this project & as per Article s on the subcontract general terms and conditions.
j. No work in addition to this contract shall be performed withoutprior written change order
signed by a KP Contractors officer.

k. Subcontractor shall provide a site specific safety plan. Subcontractor, its employees and subs
shall conform to all OSHA safety standards that govern this project including, but not limited
to the wearing of hardhats (at all times), safety shoes, shirts, long pants, safety goggles (as
required); fall protection program, Material Safety Data Sheets (MSDS), barricades, toe
boards, etc. Any and all penalties and/or fines charged to Subcontractor or to the General
Contractor resulting from his or hers (subcontractors) negligence or non-compliance shall be
borne solely by Subcontractor.
1. Subcontractor change orders: All change order requests with complete pricing (estimate) must
be submitted and received in our office within 5 days of acknowledging any changes. Change
orders with extreme urgency will be faxed to our office within 24 hours. Change orders that
are submitted after the above time periods will not be accepted or processed.
in. Backcharges incurred will be deducted on subcontractor's current monthly draw request in the
form of a deductive change order to the contract. We will issue a notice to perform and must
receive written notice from your firm within 48 hours with compliance or if you disagree with
the deductive change order in any way. Written response must include detailed reasons and
backup, ie. photos, reports, etc. if written response is not received within the specified time
frame and/or work has not been performed it is agreed as part of the contract that the
backcharged amount(s) will be deducted from the next subcontractor payment. No response
will mean an acceptance of the backcharge.
n. All attachments to this contract must originate and be incorporated into KP Contractors LLC
Subcontract Agreement. All negotiations on scope of work, payment schedule, exclusions,
qualifications, etc. must be discussed and approved prior to the issuance of any KP
Contractors Contract to the Subcontractor. Any other additions in the way of attachments
and/or items written on Agreement, by the subcontractor, after the fact, will render the
Subcontract Agreement null and void.

The hourly ratings of the joint system are equal to the hourly fire rating of the wall.
3. Joint System — Max separation between bottom of fluted deck surface and top of gypsum board (at the time of installation of the joint system) is 1
12 in. (38 mm). The joint system is designed to accommodate a max 50 percent compression or extension from its installed width. The joint
system consists of the following:
A. Forming Material' — Mn 4 pct (64 kg/m3) density mineral wool ball insulation cut to the shape of the fluted deck, 50 percent larger than the

An alternative assembly sequence for F above:
Where construction is limited to application of gypsum
panels from one side, 'L' runners are anchored to
door and ceiling with suitable attachments at 24
inches on center. If 'L' runners frame an opening in
concrete, a 24ndh-by624nch 'L' runner is used to
permit fasteners to be driven further from concrete
edge. The 1 inch coreboard is fastened to angle
runners with two 1'/.4nch Type S screws placed 3
inches in from each edge. Two layers of/, inch USG
SHEETROCK FIRECODE' Type C gypsum panels
are laminated to one side of 1 inch coreboard with all

vertical joints being offset at least 3 inches. Joints
need not be taped or finished on inside.
Alternative Construction: As an alternative for all of
the above described constructions. Imperial Gypsum
Base of the same thickness and core type shall be
substituted for the gypsum panels. Joints on the face
layer, other than the inside of shaft or dud partitions,
may be covered with tape and the entire surface is
covered with a minimum of/,, inch of USG Veneer
Plaster (Imperial or Diamond Interior Finish) in
accordance with manufacturer's directions.

To provide a fire -resistive protection to corridor
ceilings or the underside of stairs.
USG'J' runners are attached to all existing horizontal
and vertical framing intersected at the boundaries of
the area to be protected. The'J' runners are attached
to the existing framing members using mechanical
fasteners spaced at a maximum of 24 inches on
center and having an assigned design load of 200
pounds in either shear or pullout USG C-H studs of
the required gauge are attached to the'J' runners at
24 inches on center by means of two Types S-12,1/r
inch panhead screws to frame the wails and/or soffits
of the enclosures. Comers of the enclosure which do
not intersect existing framing are built up of two 'J'
runners fastened togetherwith two Type S-12,'/,4nch
panhead screws at 24 inches on center. The USG C-
H studs are fastened to the'J' runners as previously
described. Onewinc h-thick SHEETROCK brand
Gypsum Liner Panels, 24 inches wide, is installed on
the interior face of the enclosure within the slots of the
C-H studs. No screw attachments are required.
Where the Gypsum Liner Panel intersects the 'J'
runners against the existing horizontal and/or vertical
framing, 15/,4nch Type S screws are installed at a
maximum of 12 inches on center.
Gypsum panels are attached to the exterior surfaces
of the framing in the manner required for the fire -
resistive rating as follows:
One -flour construction consists of one layer of 5/, inch
SHEETROCK FIRECODEo Type C gypsum panels
applied parallel to the C-H studs, with all vertical joint
on studs. The panels are fastened to each C-H stud
and end 'J' runners with 14nch Type S screws 12
inches on center in the field and at edges. Joints and
screw heads on the outer face panels are finished
with SHEETROCKJoint Tape and SHEETROCK Joint
Compound.
2. Two-hour construction consists of a base layer of
inch SHEETROCK FIRECODE• Type C panels
applied parallel to the C-H studs and attached with f-
inch Type S screws at 24 inches on center in the field
and at edges. The finish layerof'/,-inch SHEETROCK
FIRECODE°Type C panels are applied either parallel
or normal to the C-H studs, with joints staggered 24
Inches from the base layer. One and five -eights -inch
Type S screws at 12 inches on center in the field and
at edges fasten the finish layer. Joints and screw
heads on the outer layer only are finished with
SHEETROCK Joint Tape and SHEETROCK Joint
Compound.
H. USG Cavity Shaft Wall for Two -Hour Horizontal
Membrane or Horizontal Duct Shaft Protection
Basically the same as described in paragraph 'G'
above, but uses three layers of inch SHEETROCK
FIRECODE°Type C gypsum panels. (See Figure III-H
at the end of this report) The base layer is applied
Identical to the base layer described in item G.2.
above. The second layer is applied the same as the
base layer, except that joints are offset 24 Inches and
11/,4nch type S screws are 4 inches on center. The
face layer is installed perpendicular to the C-H studs
with 2'/,4nch screws 12 inches on center. Butt joints
in face layer fall between C-H studs and are secured
with 1'/,4nch Type G screws 8 inches on center.
Treatment of wallboard joints and fasteners is not
neoessery.
Materials
USG Steel C-H studs are roll formed from ASTM A
526 steel having a minimum yield strength of 33,000
psi.
Cement for laminating - SHEETROCK Setting Type
Joint Compound.
For taping and sealing joints - SHEETROCK Joint
Tape and SHEETROCK Joint Compound.
SHEETROCK FIRECODE° is a USG registered
trademark for a Type X core gypsum panel. Type C is
a USG trademark for an improved Type X core. USG
Type C panels may be substituted for any Type X
gypsum panel permitted by the code, provided the
panel thickness is the same.
4.0 INSTALLATION
USG Drywall Shaft Partition Systems shall be installed
in accordance with the fire rated assembly details and
other information contained in this report

Face panels are bundled in two panel groups and
bound with a red, white and blue tape with panel
designation printed on the tape.
SHEETROCK brand Gypsum Liner Panels are
shipped unbundled in units with end banding. The
face and back paper is green. The long edges are
paper wrapped and have a'/, -inch bevel on top and
bottom edge. The back of each liner panel has an
Underwriters Laboratories, Inc. Label that denotes UL
design U438, lists USG File No. R 1319 and identifies
the panel as USG Type SLX (shaft liners fire -rated).

1. The report does not include structural evaluation of
the products listed.
2. All cut openings and horizontal joints in metal -framed
shaft partitions with coreboard must be cased with
system metal framing.
