INSPECTION The Subcontractor acknowledges that it has visited the site and is familiar with all of the existing conditions that may affect the work. 4. PAYMENT Contractor shall pay Subcontractor for the performance of this subcontract the sum of Twenty -Seven Thousand Eight Hundred Dollars ($27,800.00) with retainage to be held at a rate of Ten Percent (10%) subject to additions and deductions for changes agreed upon or determined, as provided below in this subcontract. The obligation to pay is subject to Subcontractor's first submitting an Application for Payment to Contractor on the 25th day of each month for the value of work performed and materials under the Subcontract, less amount previously submitted for payment no later than the 25th of the following month. At Contractor's option, checks may be made jointly payable to Subcontractor's suppliers and/or Subcontractors. The Subcontractor expressly contemplates that payments to him are contingent upon the Contractor receiving payment from the Owner and the Subcontractor expressly agreeing to accept the risk that he will not be paid for work performed by him in the event that the Contractor, for whatever reason, is not paid by the Owner for such work. The Subcontractor states that he relies primarily for payment for work performed on the credit and ability to pay of the Owner, and not of the Contractor, and thus the Subcontractor agrees that payment by the Owner to the Contractor to the Subcontractor shall be a condition precedent to any payment obligation of the Contractor to the Subcontractor. The Subcontractor agrees that the liability of the surety on the Contractor's payment bond, if any, for payment to the Subcontractor, is subject to the same conditions precedent as are applicable to the Contractor's liability to the Subcontractor. Contractor agrees that the balance and retainage shall be due and payable within thirty (30) days after acceptance of Subcontractor's work by the owner, or architect, or engineer, if any, as the case may be, if the contract be at that time fully performed, and subject to the condition that final payment shall not be due until Subcontractor has delivered to Contractor a complete release of all liens arising out of the contract herein, on a form to be furnished by the Contractor and receipts in full covering all labor, materials and equipment for which a lien could be filed or, in the alternate, a bond satisfactory to Contractor indemnifying him against such liens. Subcontractor, by accepting final payment, waives all claims, which he might have against Owner or Contractor. Payment shall be made within ten (10) days of receipt of payment therefore from the Owner. It is further understood and agreed that no payment on account shall operate as approval of said work or materials, or any part thereof. The following events are absolute conditions precedent to any payment by Contractor (or Owner) to Subcontractor: 1. Receipt by Contractor of funds from Owner so as to permit Contractor to make payment to Subcontractor. This is a pay when paid clause. Under no circumstances shall Subcontractor be entitled to payment unless and until Contractor has been paid, 2. Completion of the work in accordance with the Plans and Specifications; 3. Acceptance of Subcontractor's work by the Contractor and Owner; 4. Sworn certification of Subcontractor that all labor, Subcontractors, materialmen and suppliers have been paid in full; and 5. Sworn partial release of lien waiver through the date of the payment request as provided in theform. As an additional condition precedent to final payment, Subcontractor shall provide sworn final release of lien waivers by the Subcontractor and all its Subcontractors, materialmen and suppliers. Division Description Awarded Amount 16 Electrical $27,800.00 5. COMMENCEMENT, PERFORMANCE, STANDARDS AND COMPLETION OF WORK Time is of the essence of Subcontractor's performance. Subcontractor shall commence work promptly following 2 of 6 Contractor's orders to do so and shall so conduct the work as not to delay or interfere with Contractor in any of its operations. Subcontractor shall proceed in such order and sequence as Contractor in any of its operations may direct so as to enable Contractor to complete its work within the time specified in the general contract, or as such work may be extended. In any event, Subcontractor agrees to complete its work by 12/3112018. Should Subcontractor be delayed in the completion of such work by the act or default of the owner or of the architect, if there by any, or of the Contractor or any person employed by the Contractor upon the work, or by any damage caused by fire or by combined action of the workers in no way caused by or resulting from default or collusion on the part of the Subcontractor, then the time fixed for the completion of the work shall be extended for a period equivalent to the time lost by reason of any of the above-mentioned causes; but no allowance shall be made unless a claim for such extension is presented in writing to the Contractor within five (5) days after occurrence of such delay. Should the Subcontractor fail to complete the work by the above-mentioned date, or if the Subcontractor shall delay the progress of the work except for the reasons provided above so as to cause any loss for which the Contractor may become liable, then the Subcontractor shall reimburse the Contractor for any loss resulting from any such delay. Safety: Subcontractor acknowledges that safety is of the utmost importance on this project and Subcontractor agrees to comply with work rules imposed by Contractor, including but not limited to drug screening of workers and specialized safety training. Subcontractor agrees to follow the Contractor's Safety Program by employing good safety practices and conducting regular, frequent safety meetings. Subcontractor further agrees to take corrective action immediately upon receipt of a Safety Citation from the Contractor. Subcontractor will notify Contractor immediately of any unsafe working condition encountered by Subcontractor on the Work premises. Subcontractor shall be responsible for the safety of its employees and of its work area, including ingress and egress to and from the work area. Questions regarding the application of work rules and safety standard will be directed to Contractor. Subcontractor shall designate an onsite supervisor who will be responsible for subcontractor's compliance with all Federal, State and local rules and ordinances concerning work place safety and coordination and compliance with Contractor's and Owner's Safety rules. Within forty-eight (48) hours of any incident involving injury to persons or damage to property which arises or is alleged to have arisen on account of any work done by Subcontractor under this agreement or any firm or individual to whom Subcontractor may have sublet work, Subcontractor shall submit to Contractor copies of written reports of such incident. It is understood that Subcontractor is an independent contractor and that Contractor shall have no right to direct the means and methods of the operations of employees of Subcontractor. Subcontractor agrees to maintain a familiarity with conditions existing over the entire premises on which the work is located so that it will be aware of dangerous conditions, whether obvious or hidden, and Subcontractor agrees to warn others, including its employees, subcontractors and suppliers of unsafe conditions on the premises. Substance Abuse Policy: Subcontractor agrees to itself and on behalf of its agents, employees and sub -subcontractors that the workplace will be free of alcohol, drugs and/or related substances, and understands that use of or being under the influence of the same is expressly prohibited. Subcontractor shall at all times maintain a substance abuse policy (written if required by law) for its agents, employees and sub -subcontractors. Any failure by Subcontractor to conform to the provisions of this paragraph shall constitute breach of contract and shall entitle Contractor to its rights as if Subcontractor had failed in its performance under this Contract. Cleanup: Contractor provides dumpster for Subcontractor to clean-up work areas, and: (1) at all times keep the Project free from debris and unsafe conditions resulting from Subcontractor's Work, (2) remove from the Project location, as often as required or as directed by Contractor, any rubbish and surplus materials which may accumulate from Subcontractor's work, and (3) broom clean each work area and remove all spots and stains from each work area prior to discontinuing work in the same. If Subcontractor fails to immediately commence compliance with such clean-up duties within twenty-four (24) hours after Contractor gives Subcontractor oral or written notice of noncompliance, Contractor may implement such clean-up measures without further notice and deduct the cost thereof from any amounts due or to become due Subcontractor. 6. TERMINATION The Contractor may terminate this subcontract for convenience at any time, even though the Subcontractor may not be in default, and in such event, shall be liable to the Subcontractor only for the actual costs incurred by the Subcontractor at that point. 7. PAYMENTS BY SUBCONTRACTOR: LIENS Subcontractor agrees to pay for all materials, equipment, labor and instrumentalities used in or in connection with the performance of this subcontract when and as bills or claims become due. Subcontractor shall indemnify, hold harmless and protect the premises, contractor and the owner from and against any claims and mechanics liens, including 3 of attorney's fees and costs. Contractor may retain monies for such indemnification. 8. EXTRA WORK The Subcontractor shall not be entitled to receive any extra compensation for extra or additional work of any kind, regardless of whether the work was ordered by the Contractor or any of its representatives, unless such extra order is given in writing and signed by the authorized representative of the Contractor prior to the work being performed. Should the Contractor direct the Subcontractor in writing to perform any extra or additional work, at the direction, request or instance of the owner, then the Subcontractor shall promptly perform extra or additional work and shall receive in payment for such work such amount as the Contractor and the Subcontractor mutually agrees upon. 9. INDEMNIFICATION To the fullest extent permitted by law, Subcontractor shall indemnify, defend, and hold harmless Owner and Contractor (including its affiliates, parents and subsidiaries) and all of their. agents and employees from and against all claims, damages, losses, and expenses, including but not limited to attorney's fees, arising out of or resulting from the performance of Subcontractor's Work, if same is caused in whole or in part by any negligent act, omission, and/or intentional tort of or by Subcontractor, its agents, employees, or sub -subcontractors, or anyone directly or indirectly employed or hired by them or anyone for whose acts they may be liable, regardless of whether or not such damage, claim, loss, or expense is caused in part by a party indemnified hereunder. In any and all claims against Owner, Contractor (including its affiliates, parents and subsidiaries) and other contractors or subcontractors, or any of their agents or employees, by any employee of Subcontractor, anyone directly or indirectly employed by Subcontractor, or anyone for whose acts Subcontractor may be liable, the indemnification obligation under this section shall not be limited in any way by any limitation on the amount of type of damages, compensation or benefits payable by or for Subcontractor under worker's or workmen's compensation acts, disability benefit acts, or other employee benefit acts. The indemnification obligations in this paragraph shall not be construed to negate, abridge, or reduce other rights or obligations of indemnity that otherwise exist as to a party or person described in this paragraph. 10. INSURANCE Subcontractor shall take out and maintain in full force and effect during the performance of the work the following insurance policies and limits: General Liability $1,000,000 per occurrence/$2,000,000 aggregate Workers' Compensation/Employers Liability Statutory Limits The General Liability policy shall name Restoration & Construction Specialists, LLC. as an additional insured on a primary basis per the ISO CG 2010 (11185) or its equivalent. A Waiver of Subrogation in favor of Restoration & Construction Specialists, LLC, must be included as respects to the General Liability. A certificate of insurance indicating all the above shall be furnished to the Contractor prior to start of any work onsite. The Certificate of insurance shall indicate that Contractor/Certificate Holder must be given 30 day notice of cancelation of any insurance coverage required above. 11. COMPLIANCE WITH LAWS Subcontractor agrees to comply with all federal and state laws, codes and regulations and all municipal laws, ordinances and regulations, present or future, applicable to the work to be performed under this subcontract and to obtain at its own expense all licenses and permits necessary for the performance of the work under this subcontract. Subcontractor shall pay all taxes, assessments and premiums under the federal Social Security Act, any applicable unemployment insurance, worker's compensation, disability benefits, sales tax, use tax, personal property tax laws or other applicable laws not or later in effect payable by reason of or in connection with any part of Subcontractor's work. 12. WARRANTYCOW r �y,�v i�ls lt- kA -v �► ct-vr� awe, np� OrrotmH mt C).,tl- l$ Subcontractor warrants that the labor, workmanship shall be free from defects or a period of one (1) year from Substantial Completion of the project. This warranty is separate and apart and has no impact or limitation upon any other warranties including but not limited to manufacturer's warranties, or the indemnification and insurance obligations contained in the contract. Subcontractor further agrees that Subcontractor shall, at Subcontractor's sole expense, properly mend and make good any defective materials and/or workmanship provided or performed by Subcontractor to the entire approval and acceptance of Contractor and Owner and their authorized representatives. Should Subcontractor refuse or neglect to proceed at once with the correction of rejected or detective materials and/or workmanship after receiving notice to do so, it is agreed that Contractor shall have the defects remedied or changes made at Subcontractor's expense, and Subcontractor agrees to pay to Contractor on demand any and all loss and/or expense paid or incurred by Contractor remedying such defects and/or making such changes, together with interest thereon, at the rate of ten percent (10%) per annum, until paid, in addition to all other losses, damages and extra expenses that Subcontractor may become liable for under this Master Contract and/or any addendum. 13. EXCLUSION OF CONSEQUENTIAL DAMAGES 4 of 6 In no event shall Contractor be liable for consequential damages even if Contractor has been advised of the possibility of such damages. Contractor's liability for damages shall not exceed the subcontract price. Said limitations of liability shall apply to any and all claims or actions brought by Subcontractor, whether in contract or in tort. 14. LEGAL ACTIONS; ARBITRATION Any claim or dispute arising out of this subcontract shall be determined exclusively in an appropriate legal action in the court of appropriate jurisdiction in Duval, Florida, by a judge sitting without a jury. Such determination shall be subject to the rights of appeal accorded to such action by the laws of Florida. The parties specifically and irrevocably waive any right that they may have to demand a trial before jury in any such action. All disputes or claims between Contractor and Subcontractor arising out of this subcontract, or the performance of any Work hereunder, shall be decided by litigation unless the Contractor at its sole option, advises the Subcontractor within sixty (60) days of the dispute or claim arising or within sixty (60) days after the subcontract is completed or terminated, whichever occurs later, that Contractor elects to have the dispute or claim decided or solved by way of arbitration. In that event, the dispute shall be submitted to binding arbitration in accordance with the Construction Industry Rules of the American Arbitration Association. In the event that Contractor is a prevailing party in any lawsuit or arbitration arising from this Subcontract, Contractor shall be entitled to recover its reasonable attorney's fees, costs and expenses. This subcontract shall be governed by the laws of the state of Florida. 16. ASSIGNMENT The Subcontractor shall have no right to assign this subcontract or any interest in it, or any money due or to become due under this subcontract, without the prior written consent of the Contractor. Any assignments not so provided for shall be absolutely void. 16. Bankruptcy If before completion of Subcontractor's performance of this subcontract, the Subcontractor shall file a petition in bankruptcy or be adjudicated as bankrupt, or should any proceedings be file under the Bankruptcy Act either voluntarily or involuntarily, or should subcontractor be appointed, or if Subcontractor is unable to make payroll or pay its suppliers, or is insolvent, then this subcontract shall at the option of the Contractor immediately terminate. No modification or alteration of this subcontract shall be effective unless evidenced by an instrument in writing signed by both parties.
