Construction Agreement ,

This Construction Agreement is made and entered into on this 15th of June, 2016 (the "Effective
Date"), between Shaffer, Brothers Construction, INC. (the "Contractor") and Azim Manji on
behalf of the Florida Department of Education, whose address is Lexington Plaza, Suite 1450,
1450 W. 1St Street Sanford, FL (collectively, the "Owner").
Recitals:
A. Contractor is in the business of remodeling single-family dwellings and commercial
properties.
B. Owner desires commercial renovation, in accordance with the requirements of this
Agreement.
C. `Contractor agrees to remodel the above -referenced home (the "Project") in conformity
with the terms of this Agreement, and all applicable permits, rules, regulations; and
laws.
Agreement:
Now therefore, subject to the terms and conditions of this Agreement, and in
consideration of the mutual promises set forth below and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, Contractor and
Owner hereby covenant, stipulate and agree as follows:
1. Recitals: The above recitals are true and correct and are incorporated herein by this
reference.
2. Scope of Work: The Contractor's scope of work shall be as identified in Exhibit "A"
attached hereto and made a part hereof by reference (the "Scope of Work").

Dibursem nts for the balance of the contract price ("Draws") shall be in the amounts

If changes to the Scope of Work are desired by the Owner after construction has commenced,
Contractor will advise Owner of the additional cost, and Owner will either accept or reject the
changes in writing. No changes in this Agreement, or in the Scope of Work, shall be made or
performed unless in writing, signed by both Contractor and the Owner. The Contractor shall not
perform oral requests for additional work or changes. Any changes in work shall be subject to
the teems and conditions set forth by the parties in writing.
5. Substantial Completion:
The project shall be deemed "Substantially Complete" when all of the work is one hundred
percent (100%) complete (except for punch -list work) in accordance with this Agreement and
final inspections are complele,d and approved by the applicable building department
Completion Date").— `
6. Insurance during Construction:
The contractor shall maintain such insurance as will protect it and the Owner from claims under
Worker's Compensation'Acts and other employee benefit acts, from claims for damages
because of bodily injury, including death, and from claims from damage to property which may
arise during work performed under this agreement, whether such work be performed by, the
Contractor or by any subcontractor, or laborer.
All such policies, except workers compensation, shall name Owner as additional insured and
shall include a provision requiring the insurer to give Owner at least (30) days'. written notice
prior to modification, cancellation, or termination.
7. Warranty:
Contractor warrants that all work shall be free from defects in workmanship and defects in
materials for a period of,1 year from the date that the Project is Substantially Complete (the
Limited -Warranty"). Contractor shall make or authorize repairs at its own expense and shall be
necessary to correct defects covered by the Limited Warranty as promptly and as reasonably as
possible, provided the Owner gives written notice of such defects within 1 year of the date that
the Project is Substantially Complete. Notwithstanding anything herein contained to the
contrary, Contractor warrants that the' Project and construction of same shall be constructed
and renovated according to the industry standards at the time of construction and that all
materials on the Project will be new.

B. Governing law and Venue:
This Agreement is being executed and delivered in the State of Florida and shall be governed
by, construed and enforced in accordance with the laws of the State of Florida. Venue for any
action shall be in the County where the Project is located.
9. , Unenforceable Provisions:
If any term, covenant, warranty, paragraph, clause, condition, or provision of this Agreement is
held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of
the provisions of this Agreement shall remain in full force and effect, and shall in no way be
affected, impaired or invalidated thereby, and this Agreement shall be construed as if such
invalid; void, or unenforceable provisions were omitted.
10. Supersedes all Previous Agreements:
This agreement supersedes any and all previous agreements, either oral or in writing, between
the parties hereto with respect to the subject matter of this Agreement. This Agreement
constitutes the entire Agreement between Owner and Contractor, and no oral understanding,
representation, promise or any other statement whatsoever made by anyone whomsoever
shall be binding on either party hereto unless same is contained herein or in another
instrument attached hereto and made a part of this Agreement and duly signed by all parties.
11. Changes in Writing:
No changes or modifications or this Agreement shall be valid unless in writing and signed by all
of the parties of this Agreement. No waiver of, or any provision of this Agreement shall be valid
unless in writing and signed by the person or party against whom charged.
12. Final Completion and Walkthrough:
At such time as the Project is Substantially Complete, Contractor shall provide notice to Owner
of the same and advise that the project is ready for inspection and acceptance. Upon receipt of
notice, Owner shall promptly make such an inspection and in the event Owner does not find
the work satisfactorily completed and acceptable, Owner shall furnish to Contractor a detailed
written within ten (10) days from receipt by Owner of the Contractor's Notice of Completion,
setting forth in detail any deficiencies claimed by Owner (the "Punchlist Work"). If such
statement of deficiencies is furnished to Contractor, then Contractor shall, within ten (10) days
of receipt of same, remedy the Punchlist Work in accordance with the terms of this Agreement.
If Owner does not provide a statement of deficiencies within ten (10) days, an additional cost
will be incurred to complete any Punchlist tasks.
13. Allowances:
The Scope of Work sets forth various allowance items. Where the cost of the particular item
chose by the Owner differs from the allowance amount there will be either a credit or charge
for the difference at the next scheduled draw.

Exterior Approach:

Install approx.'145' iron pipe handrail for specified ramps as per survey
Access/ Egress:

Remove door to bathroom and replace with outswing door
Reinstall mirror at proper height (40" above floor)

RESPONSE: Drawing has been revised to include one van accessible space signage; See sheet
A0.0.
2. Ramp #1 has a rise greater than 6 inches and a run longer than 72 inches; handrails are not present
on both sides.
RESPONSE: Drawing has been revised to show handrails on both sides of existing ramp; See
sheets A0.0 & A0.1.
3. Ramp #2 has a run longer than 72 inches; handrails are not present on both sides.
RESPONSE: Drawing has been revised to show handrails on both sides of existing ramp; See
sheets A0.0 & A0.1.
4. Permanent rooms and spaces within the suite are designated with signage.
RESPONSE: Drawing has been revised with a note and detail requiring permanent rooms
and spaces with designated signage; See sheets A0.1 & A2.1.
5. The rear egress door has a twist type lock.
RESPONSE: Door shall be removed and replaced with 3070 hollow core type with thumb
turn cylinder lock; See sheet A2.1.
6. The restroom door swings into the clear floor space required at the lavatory.
RESPONSE: Per FBCA, restroom door is allowed to swing into the clear floor spaces for
lavatory and/ or toilet as long as no fixtures intrude the clear floor space; No action taken.

7. Clear floor space for a wheelchair to turn around is not available within the toilet room.

8. The mirror in the toilet room is mounted higher than 40 inches above the floor, measured to the
bottom of the reflecting surface.
RESPONSE: Detail on drawing showing correct heights for mirror has been added to
drawing; Contractor shall relocate mirror; See sheet A2.1.
9. The coat hook is mounted higher than 48" above the floor.
RESPONSE: Accessory note on drawing shows correct height for coat hook; Contractor shall
