The Contractor has a contract for construction with the Owner for the Project, which contract is hereinafter referred to as the Prime Contract which provides for the furnishing of labor, materials, equipment and services in connection with the construction of the Project. A copy of the Prime Contract, (from which compensation amounts may be deleted and to which this Subcontractor is bound) and the Prime Contract's Contract Documents enumerated therein, are available to the Subcontractor upon request, and herein incorporated by reference. The Subcontractor hereby agrees with Contractor to furnish all labor, material, equipment, daily cleanup, unloading, storage and installation of owner fumished equipment (as may be required within contract work scope, layout, coordination and supervision, necessary to comply with this Agreement and the Scope of Work as well as perform said Work in accordance with the conditions set forth in the drawings, details, plans, and specifications as listed in Exhibit "A" as prepared by the Architect ("Plans and Specifications"). The Subcontractor acknowledges that he/she is bound by, and shall adhere to, in strict accordance, with all provisions and requirements of the Storm Water Pollution Prevention Plan (SWPPP). The Subcontract Documents consist of (1) this Agreement; (2) the Prime Contract and the Prime Contract's Contract Documents enumerated therein; (3)'change orders to Prime Contract issued subsequent to the execution of the Agreement; (4) change orders and CCDs to this Agreement issued after its execution; and (5) all Exhibits herein. These form the "Subcontract Documents", and are as fully a part of this Agreement as if attached to this Agreement or repeated herein. 1. Subcontractor agrees to provide sufficient manpower to maintain the Contractor's Project schedule within a normal work week. Should overtime or additional man power be required for the Subcontractor to maintain the Contractor's Project schedule, it shall be at Subcontractor's sole expense. Subcontractor shall coordinate with other trades as necessary in order to ensure the Work is completed in a complete, neat and workman like manner. Attendance is mandatory at Project meetings by Subcontractor's foreman. While every attempt will be made to minimize Subcontractor's trips to the Project, it is understood that multiple trips may be required. Subcontractor shall make arrangements for its own loading, unloading, scaffolding and provide daily cleanup of its trash and debris to ensure a neat, productive and safe working environment. Subcontractor hereby acknowledges that he has received, read and is thoroughly familiar with the Plans and Specifications and that the methods, sequences, and procedures described therein for the Work are agreed upon and correct. The Subcontract Price includes all costs associated with any sales, use, personal property and transportation taxes required for completion of the Work under this Agreement. The Subcontractor accepts that the Architect/Engineer on this Project has A. ROGERS CONSTRUCTION COMPANY LLC Page 2 of 7 Subcontract Agreement been employed by the Owner and not the Contractor. The Subcontractor agrees that any damages or costs it sustains that may be associated with errors or omissions of the Architect/Engineer (In whole or in part) are not the responsibility of the Contractor and the Contractor shall not be liable to Subcontractor for any such damages or costs. 2. The Subcontractor shall provide all labor, materials, tools, accessories, scaffolding equipment and installation which may be necessary to properly execute this Agreement, including in this Agreement all items necessary or usual to complete the Scope of Work in a workmanlike manner which is complete in every respect to the satisfaction of the Owner. Architect and Engineer and to Contractor. Contractor will furnish to the Subcontractor such additional information and plans as may be prepared by the Architect to further describe the Work to be performed by the Subcontractor and the Subcontractor shall conform to and abide by the same. 3. The Subcontractor shall be bound to Contractor and, to the extent that the provisions of the Prime Contract apply to the Work of the Subcontractor, the Subcontractor shall assume toward the Contractor all obligations and responsibilities which the Contractor, under such documents, assumes towards the Owner and the Architect. If the Subcontractor varies from the Plans and Specifications, Contractor shall have the right at all times to order any such varied Work to be removed or replaced at the Subcontractor's sole cost and expense or to receive from the Subcontractor in payment, the costs equivalent to the difference In value of the work performed and that required to make the Work compliant with the Plans and Specifications, it being at the sole option and discretion of Contractor to elect either such remedy. If Contractor elects for Subcontractor to replace said varied work, the Subcontractor shall, within 24 hours of written notice of such varied Work, remove, replace, or repair work to the complete and final approval of the Architect, Engineer and/or Contractor. In addition to all other remedies provided for hereunder, or by applicable law, Subcontractor's failure to make said repairs will result in Contractor, without the need for additional notice, supplementing the Work of Subcontractor, and/or performing the Work itself. The charge for these repairs, including repairs to damages caused to the work of other subcontractors, will be deducted from any balance due to Subcontractor on the Subcontractor Price. If the balance owed the Subcontractor is not sufficient to cover the total cost of such repairs, the Contractor reserves the right to institute legal proceedings against the Subcontractor for the balance plus attorney's fees, costs, and interest. 4. If required by this Agreement, Subcontractor shall submit shop drawings, submittal data, brochures and samples to Contractor and as many duplicate copies as Contractor may require and no later than ten (10) days following execution of this Agreement. Subcontractor shall furnish and obtain approval of same before commencing the Work. The correctness of all measurements, including field measurements, shall be the responsibility of Subcontractor. Approval of shop drawings or submittals by the Architect, Engineer, or Contractor does not relieve Subcontractor from complying with requirements of the Plans and Specifications, the Subcontract Documents, the Prime Contract (as applicable to the Work), from coordinating the shop drawings with requirements of the Work, or from errors and omissions in said shop drawings. 5. The Subcontractor shall secure and protect its Work and shall be liable for all loss or damages of any kind which may happen to the Work or any materials to be incorporated therein at any time prior to the final completion and acceptance thereof. Contractor shal -- notnot be responsible for any damages to the Work or property of the Subcontractor unless such damage shall be caused by theAeW negligence of Contractor. d5D 6. Subcontractor guarantees his Work against all defects of material or workmanship and guarantees that such Work shall be in strict compliance with the Subcontract Documents and the Plans and Specifications for the period of time specified in the Subcontract Documents, or if no guarantee is called for by the Subcontract Documents, Subcontractor's guarantee shall be for a period of one (1) year from the date of acceptance of the Project by the Owner, or any longer period of time as required by any applicable laws or regulations. Subcontractor's guarantee shall include all costs of repairing and replacing Subcontractors Work so as to make it comply strictly with the Subcontract Documents and the Plans and Specifications Subcontractor further agrees to indemnify, defend and save harmless Contractor from all claims resulting or arising out of such defects of materials or workmanship, or failure of Subcontractor's Work to comply strictly with the Subcontract Documents. 7. Subcontractor shall at all times keep the building and premises free from rubbish and debris caused by its operations and upon completion have the Work free and clear from all obstructions and hindrances. Whenever in the sole opinion of Contractor, the building and premises are not free from such rubbish, debris, obstructions and hindrances, it shall be the right of Contractor, after 24 hour written notice to Subcontractor, to remove same and charge the cost thereof to the Subcontractor. The cost shall be charged to the Subcontractor at the rate of $25.00 per hour per man and $50.00 per day per truck, and further, Contractor may deduct said charges for clean-up from Subcontractor's next progress payment. 8. As time is of the essence, Subcontractor shall mobilize and commence its Work as directed by Contractor. From its commencement of the Work, Subcontractor agrees to diligently and continuously prosecute and complete the Work and to coordinate the Work with all other work being performed on the Project. All such Work shall be performed in accordance with the Project schedule, any revisions to the Project schedule, and any other scheduling requirements listed in this Agreement, with due consideration that other work is dependent upon the Work of Subcontractor for proper and timely completion. The Subcontractor shall not delay, impede, obstruct, hinder, or interfere with the commencement, progress, or completion of the whole or any part of the Work or other work on the Project. 9. As soon as practicable after execution of this Agreement, the Contractor shall provide the Subcontractor copies of the Contractor's Project schedule and schedule of submittals. The Subcontractor shall be notified of subsequent changes in the Project and submittal schedules and additional scheduling details. However, the Contractor reserves the right to revise, amend and/or update the Project Schedule as appropriate during the course of the Project and Subcontractor agrees to be bound by any such changes. Should the Subcontractor, at the sole discretion of the Contractor fail to keep up with the progress of the Work, then the Subcontractor may be Z.A. ROGERS CONSTRUCTION COMPANY LLC Page 3 of 7 Subcontract Agreement directed by the Contractor to accelerate its Work by working overtime, providing additional personnel, extra crews and/or equipment with no additional compensation to be paid to the Subcontractor. Notwithstanding anything herein to the contrary, the Subcontractor waives the requirement of a written notice and agrees to note the progress of the work to be performed pursuant to the Prime Contract, so that it shall know when it is possible to begin the installation of its Work and shall have all of its materials to be incorporated, designed, purchased, manufactured, assembled and ready for installation whenever the condition of the building shall permit such installation. Subcontractor shall begin the Work covered by this Agreement as soon as the construction upon which the Work is to be done is ready for the Work to be performed, and shall carry on the Work promptly, efficiently and at a speed that will not cause delay in the progress of Contractor's work or other portions of the work carried on by other subcontractors. Subcontractor shall prosecute certain portions of Work in preference to others, if so ordered by Contractor. 10. The Contractor shall not be obligated or liable to the Subcontractor for, and the Subcontractor hereby expressly waives any claims against the Contractor, Owner and the Architect/Engineer on account of any damages, costs or expenses of any nature which the Subcontractor, or its sub -subcontractors or any else to whom it may be responsible to may incur as a result of any delays, interferences, suspensions, changes in sequence or the like arising from or out of any act or omission of the Contractor, Owner or the Architect/Engineer, it being understood and agreed that the Subcontractors sole and exclusive remedy in such event shall be an extension of time to complete its Work for a period of time equivalent to the time lost by reason of any and all of the aforesaid causes; provided, however, that the Subcontractor shall not be entitled to any such extension of time unless the Subcontractor: (1) notifies Contractor in writing of the cause or causes of such delay, obstruction, hindrance or interference within forty eight (48) hours of the commencement thereof; and (2) demonstrates that it could not have anticipated or avoided such delay, obstruction, hindrance or interference and has used all available means to minimize the consequences thereof. Subcontractor acknowledges that provision of such notice is an essential condition precedent to Subcontractor's rights in connection with any such delays, obstructive hindrances or interferences to Contractor's ability to fully identify, and expeditiously, address and avoid such cause or causes, and, accordingly. Subcontractor expressly waives all rights and damages with respect to any such cause or causes for which notice hereunder was not provided. Notwithstanding the foregoing, if the Prime Contract is at variance with granting such time extension, then the provisions of the Prime Contract shall control. 11. Any cost incurred by the Contractor attributable to a delay by the Subcontractor shall be recoverable by the Contractor from the Subcontractor. Subcontractor agrees to indemnity and hold Contractor harmless from the Owners rights or claims for liquidated delay damages set forth in the Prime Contract between Owner and Contractor and applicable to the failure to achieve timely completion of any applicable milestone dates, or Substantial and/or Final Completion of the Project, to the extent Subcontractor's unexcused failure to timely progress and complete its Work causes, in whole or in pro -rata portion, such delay ('Owner's Liquidated Damages"). 12. The Subcontractor shall, prior to commencement of the Work, report any deficiencies of any preceding work to Contractor in writing, and Subcontractor's commencement of Work without having reported any such deficiency shall constitute an admission by Subcontractor that such preceding work was properly done and, as a result, Subcontractor shall not be entitled to any additional compensation for the performance of the Work regardless of the condition of such preceding work. Subcontractor shall be responsible for determining for himself the field dimensions, material and labor re 'rements rela'n>fo his work and shall not rely on estimates or statements of Contractor's with respect to such matters. 13. Subcontractor shall indemnity, defend mith as hereinafter defined, and hold harmless Owner, Engineer, Architect, Architect's and Engineer's consultants, Contractor, their successors and assigns and their employees specifically including their directors, officers, employees, agents, servants and any other persons directly or indirectly engaged in any activity connected with the performance of this Contract or the Subcontractor's Work) (each an "Indemnitee," and collectively, Indemnitees") from and against any and all liabilities, claims, lawsuits, losses, damages, liens, or expenses, including attorneys' fees, due to damages to persons or property caused in whole or in part by any act, omission, or default of: i) Subcontractor or its employees; ii) Any of Subcontractor's contractors, subcontractors, lower tier subcontractors, materialmen, or agents of any tier or their respective employees; or iii) Contractor or its officers, directors, agents, or employees. However, such indemnification shall not include claims of, or damages resulting from, gross negligence, or willful, wanton or intentional misconduct of Contractor or its officers, directors, agents or employees, or for statutory violation or punitive damages, except and to the extent the statutory violation or punitive damages are caused by or result from the acts or omissions of Subcontractor or any of Subcontractor's contractors, subcontractors, lower tier subcontractors, materialmen, or agents of any tier or their respective employees. Subcontractor agrees that the indemnification given herein shall be limited to the amount of loss suffered by Indemnitee, or $1,000,000 per occurrence, whichever is less, which amount is stipulated by the parties to bear a reasonable commercial relationship to this Contract and was included in the Project's bid documents, if any. 14. Indemnification On Public Projects. If the Project is for a public agency or in connection with a public agency's project, then Subcontractor shall indemnity and hold harmless Contractor, and its officers and employees, from liabilities, damages, losses and costs, including, but not limited to, reasonable attorney's fees, to the extent caused by the negligence, recklessness, or intentional wrongful misconduct of Subcontractor and persons employed or utilized by Subcontractor in the performance of this Contract. 15. Contractor shall not be held liable for theft or vandalism to Subcontractor's work or materials. It is hereby agreed that Subcontractor is required to purchase such insurance to cover said losses. 16. Prior to commencement of the Work, Subcontractor shall furnish Contractor Certificates of Insurance showing that Subcontractor has, and will maintain throughout the Agreement, insurance in companies acceptable to Contractor of the following types R.A. ROGERS CONSTRUCTION COMPANY LLC Subcontract Agreement Page 4 of 7 and amounts (or such additional amount as Owner and/or the Prime Contract may require): i) Commercial General Liability: Subcontractor's Commercial General Liability shall include coverage for, but not limited to, premises/operations, employees as insureds, explosion, collapse and underground (XCU), broad form contractual liability (including personal injury) assuming the tort liability of another party, products/completed operations, independent contractors, broad form property damage and personal and advertising injury. The Comprehensive General Liability shall be written on an occurrence basis, with minimum limits of: General Aggregate - Per Project $2,000,000 Products and Completed Operations Aggregate $2,000,000 Each Occurrence $1,000,000 Personal/Advertising Injury $1,000,000 Excess Liability Umbrella Form Other HAN Umbrella Form Each Occurrence $1,000,000 Aggregate $1,000,000 The coverage must be endorsed to name Contractor and Owner as an "additional insured" (Form CG2010 11/85 or equivalent - meaning the additional insured coverage form to include work in progress - i e, all acts or omissions or any other liability of additional insured arising out of Subcontractor's Work performed for additional insureds or Subcontractor's use of premises, equipment and facilities of additional insureds - i.e. ongoing operations and completed work - i.e. Completed Operations). The "Additional Insured" form shall state that this Insurance shall be primary without right of contribution from any other insurance available to the "additional insureds" and the amount of the company's liability under this policy shall not be reduced by the existence of such other insurance. Additional insured status, including the form number, shall be noted on the Certificate of Insurance. A copy of the additional insured endorsement form is to be attached to the Certificate of Insurance. A Waiver of Subrogation in favor of Contractor and its insurer(s) is to be provided and to be noted on the Certificate of Insurance. ii) Comprehensive Automobile Liability: Subcontractor's Comprehensive Automobile Liability shall be written on an occurrence basis covering all Owned, Non -Owned and Hired Vehicles with a minimum limit of liability for bodily injury and property damage of $1,000,000 Combined Single Limit. The policy shall contain an Additional Insured and Waiver of Subrogation endorsement in favor of Contractor and Owner and the policy shall state that this insurance shall be primary without right of contribution from any other insurance available and the amount of the company's liability under this policy shall not be reduced by the existence of such other insurance. Additional Insured status and Waiver of Subrogation shall be noted on the Certificate of Insurance. iii) Workmen's Compensation Insurance: Subcontractor's Workers Compensation shall meet the statutory requirements of all States in which work is to be performed and shall contain an Employer's Liability insurance section with limits in a minimum amount of at least 1,000,000 Each Accident / $1,000,000 Disease - Policy Limit / $1,000,000 Disease - Each Employee. The policy shall contain a Waiver of Subrogation endorsement in favor of Contractor and its insurer(s). The Certificate of Insurance shall note the Waiver of Subrogation. 16.1 If any of the above coverages are subject to or are in excess of any deductibles or self -retention, these amounts must be stated on the Certificate of Insurance, and said deductibles and self -retention will be the sole responsibility of Subcontractor. 16.2 It is understood and agreed that the insurance coverage and limits, required above, shall not limit the extent of Subcontractor's responsibilities and liabilities specified within this Agreement or by law. 16.3 Should the Subcontractor fail to maintain a current Certificate of Insurance with the Contractor, then Contractor may declare subcontractor in default. If at any time such insurance is not in force, Contractor may retain all monies due and owing to the Subcontractor and refuse Subcontractor entry to the job site until such time a properly executed Certificate of Insurance is received by Contractor. 16.4 Should Subcontractor fail or neglect to provide the required insurance, Contractor shall have the right, but not the duty, to provide such insurance and deduct from any money that may be due or become due to Subcontractor for any and all premium or costs Contractor incurs. Equivalent insurance coverage must be obtained from each sub -subcontractor and Supplier, if any, before permitting them on the site of the project. Otherwise, such insurance for Sub -subcontractors and Suppliers must be included within Subcontractor's insurance policies. 17. All Work shall be in complete compliance with Federal, State, and Municipal Rules, Regulations, Codes, Laws, By -Laws, Statutes, Regulations, and Industry Standards. Subcontractor shall comply with all federal, state and municipal laws, codes, regulations and ordinances effective where the Work under this Agreement is to be performed, and shall pay all taxes and contributions imposed or required by any law for any employment insurance, pensions, retirement funds, or similar purposes, in respect to the Work under this Agreement and the employees of Subcontractor in the performance of said Work. Subcontractor shall comply with the federal occupation safety and Health Act of 1970 and related amendments. Subcontractor shall be responsible for compliance with all workmen and public safety laws, ordinances and regulation relating to the work and Subcontractor agrees to indemnity and hold harmless Contractor and Owner from all liability, cost and expense of whatever nature arising out of the failure, in whole or in part, directly or indirectly, of the Subcontractor, its agents, employees or sub -subcontractors to so comply with such laws, regulations and standards. Subcontractor shall comply with OSHA regulations and Contractor's safety requirements, a copy of which has been made available to Subcontractor. 18. The Subcontractor may be ordered in writing by the Contractor, without invalidating this Agreement, to make changes in the Work within the general scope of this Agreement consisting of additions, deletions or other revisions, including those required by modifications issued to the Prime Contract. The Subcontractor, prior to the commencement of such changed or revised Work, shall submit within five (5) days to the Contractor written copies of a claim for adjustment to the Subcontract Price and/or an extension of time to complete the Work for such revised Work in a manner consistent with requirements of the Subcontract Documents. Subcontractor shall not perform any additional work on which the request is based without a formal written direction to proceed from the R.A ROGERS CONSTRUCTION COMPANY LLC Page 5 of 7 Subcontract Agreement Contractor in the form of a Change Order ("Change Order") or a Construction Change Directive ("CCD"). 19. If the Contractor and the Subcontractor are unable to agree upon the terms of a Change Order and therefore fail to execute a Change Order in connection with same, the Contractor may, without invalidating this Agreement, issue a CCD ordering the Subcontractor to proceed with the additions, deletions or other revisions to the Work, with both parties fully reserving their rights as to adjustments, if any, of the time to complete the Work, the Subcontract Price or any other terms or conditions as provided for herein. Upon receipt of a CCD, Subcontractor shall promptly proceed with the changed work. 20. No alterations or changes shall be made in Subcontractors work nor shall Subcontractor perform any extra work except on Contractor's written order. 21. Should Subcontractor at any time refuse or neglect to supply a sufficient number of properly qualified workmen or a sufficient quantity of materials of proper quality, or abandon the Work or fail in any respect to prosecute the Work covered by this Agreement with promptness and diligence, or otherwise be in material default of this Agreement; or, in the event that a petition in bankruptcy shall be filed by or against Subcontractor, Subcontractor shall make an assignment for the benefit of creditors or enter into any other form of creditor management or admit in writing an inability to meet any obligation as same become due or in the event that a final monetary judgment shall be entered against Subcontractor and same remains unsatisfied for more than thirty (30) days, Contractor may, at its option, following forty-eight (48) hours written notice to the Subcontractor (and without prejudice to any other rights or remedies the Contractor may have available to it pursuant to this Agreement, at law or in equity), either: (i) furnish and install labor, equipment and materials deducting all cost directly and indirectly associated therewith, including without limitation Contractor's reasonable overhead, and supervision costs from monies due or that may become due to this Subcontractor under this or any other agreement by and between the Contractor and this Subcontractor on this or any other projects; or (ii) terminate this Agreement, take possession of all materials and equipment, including without limitation materials and equipment stored both on and off site and employ labor and furnish materials and equipment required to complete the Work. (Unless the Subcontractor agrees to fully cure its defaults) within the forty- eight (48) hour period and commences such corrective remedy within said forty-eight (48) hour period and diligently and promptly cures the default in question). Should the Contractor elect to correct such default as provided in item (i) above, or elect to terminate this Agreement as provided in item (ii) above, Subcontractor acknowledges and agrees by executing this Agreement that the Subcontractor shall not be entitled to receive any progress and/or final payment(s) under this Agreement, and any -other subcontract between Contractor and Subcontractor (provided only if the balance due under this Agreement is insufficient to cover all of the Contractor's direct and indirect costs and expenses with any default) until the Project is completed. If Subcontractor has entered into other subcontract(s) with Contractor in addition to this Agreement, then a default under this Agreement shall, at Contractor's election, also constitute a default under the other subcontract(s) between Subcontractor and Contractor, and a default under any other subcontract(s) between Subcontractor and Contractor shall at Contractor's election also constitute a default under this Agreement. Should Subcontractor become indebted to Contractor under any other subcontract(s), then Contractor may offset such indebtedness against any sum owed by Contractor to Subcontractor under this Agreement. Should Subcontractor become indebted to Contractor under this Agreement, then Contractor may offset such indebtedness against any sum owed by Contractor to Subcontractor under any other agreement(s) between Subcontractor and Contractor. 22. If the Subcontractor is declared by the Contractor to be in default of this Agreement under any provision contained herein, and Subcontractor continues to be in default of this Agreement after the forty-eight (48) hour cure period has expired for failing to comply with any of its obligations to the Contractor under this Agreement, the Contractor may, after said forty-eight (48) hour cure period has expired, terminate the Agreement and complete, repair, and/or correct the Subcontractor's Work, deducting all costs directly and indirectly associated with said termination, including without limitation Contractor's reasonable overhead and supervision costs from monies due or that may become due the Subcontractor under this Agreement and any other subcontract executed between the Contractor and Subcontractor on any other project (provided only if the balance due under this Agreement is insufficient to cover all of the Contractor's direct and indirect costs and expenses associated with any termination). If the unpaid balance of this Agreement and/or any other subcontract between the Contractor and Subcontractor should exceed the expense of completing, repairing, or correcting the Subcontractor's Work hereunder, the Subcontractor shall pay the difference to the Contractor upon receipt of written demand from the Contractor. 23. If the Owner terminates the Prime Contract for the Owner's convenience, the Contractor shall deliver a corresponding written notice of termination for convenience to the Subcontractor. 24. Upon receipt of written notice of termination, the Subcontractor shall: 1 cease operations as directed by the Contractor in the notice; 2 take actions necessary, or that the Contractor may direct, for the protection and preservation of the Work; and 3 except for Work directed to be performed prior to the effective date of termination stated in the notice, the Subcontractor shall, at the Contractor's sole discretion, (i) terminate all existing sub -subcontracts and purchase orders and enter into no further sub -subcontracts and purchase orders, and/or (it) as directed by the Contractor, assign any selected sub - subcontracts and/or purchase orders to the Contractor and/or the Owner. 25. In case of such termination for the Owner's convenience, the Subcontractor shall be entitled to receive payment to the extent of Work executed. 26. The Subcontractor shall pay promptly when due all labor and materials used. Subcontractor shall, as often as required by the Owner or by the Contractor, furnish a sworn statement showing all parties who furnish labor or materials to the Subcontractor, with their names and addresses the amount paid to date and the amount due or to become due to each. Subcontractor agrees to turn said work over to Contractor in good condition and free and clear from all claims, encumbrances and liens for labor, services, and materials, and R.A. ROGERS CONSTRUCTION COMPANY LLC Page 6 of 7 Subcontract Agreement shall give evidence of such by providing releases of lien for labor, service, or materials purchased for use In the prosecution of said work upon demand by Contractor shall furnish releases of lien from all Subcontractor's suppliers, sub -subcontractors and vendors supplying labor, services, or materials used or purchased for use in the prosecution of the Work and any other party in contract with Subcontractor entitled to record a lien, and agrees to protect and save harmless Contractor and Owner from all claims, encumbrances, and liens arising out of or related to the performance of the Work and all maintenance required under the Subcontract Documents, and should Subcontractor, during the progress of said Work, or at any time thereafter, fail to pay for all labor, services, and materials used or purchased for use in the prosecution of said Work, and should a lien be recorded against the Property, the Subcontractor shall, within ten (10) days of receipt of notice from the Contractor regarding such lien, either obtain (at no cost to the Contractor or Owner) a lien discharge bond from a surety and in a form acceptable to the Contractor or cause the lien to be discharged. If the Subcontractor fails to obtain a lien discharge bond acceptable to the Contractor or fails to discharge such lien within such ten (10) day period, the Contractor shall have the right to either: (i) withhold all further payments to the Subcontractor until a lien bond acceptable to the Contractor is provided by the Subcontractor or until the lien is discharged; or (ii) withhold from the next progress payment or any other sum payable to the Subcontractor, an amount equal to one hundred and fifty percent (150%) of the amount of such lien plus overhead and profit not to exceed ten percent (10%). The Contractor may either: (a) apply amounts so withheld to discharging such liens; or (b) retain such amounts until such lien is discharged or released by the Subcontractor or the lienor and shall thereafter credit to the Subcontractor any amounts remaining after payment of the fees and expenses the Contractor incurs in connection with such liens. The Subcontractor agrees to indemnity and hold harmless the Contractor from all costs and expenses, including attorney's fees, incurred by the Contractor in connection with such liens unless such liens result from the Contractor's failure to comply with its obligations under this Agreement. 27. Subcontractor shall not sublet, assign or transfer this Agreement or any Work or payments due hereunder without Contractor's written consent, and such consent shall not relieve Subcontractor of its obligations hereunder. 28. In the event of any claim or dispute arising out of, or related to this Agreement, Contractor may first require Subcontractor to participate in a mediation of the dispute by a single mediator, the expense of which shall be shared equally by the parties Should the Contractor require mediation, it shall take place within forty-five (45) days of the Contractor's written notice and shall occur in Orange County, Florida. 29. In the event mediation does not resolve the dispute, or, alternatively, Contractor determines mediation is not required, Contractor may require Subcontractor to submit any claim or dispute that arises out of or relates to the Agreement to binding arbitration which, unless the parties mutually agree otherwise, shall be in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association currently in effect. Demand for arbitration shall be filed in writing with the Subcontractor, the American Arbitration Association, and the Architect. 29.1 A demand for arbitration shall be made within the time limits specified in the conditions of the Prime Contract as applicable, and in other cases within a reasonable time after the claim has arisen, and in no event shall it be made after the date when institution of legal or equitable proceedings would be barred by the applicable statute of limitations. 29.2 Consolidation or Joinder. No arbitration arising out of or relating to the Agreement shall include, by consolidation or joinder or in any other manner, any person or entity not a party to the Agreement under which such arbitration arises, unless it is shown at the time the demand for arbitration is filed that (1) such person or entity Is substantially involved In a common question of fact or law, (2) the presence of such person or entity is required if complete relief is to be accorded in the arbitration, (3) the interest or responsibility of such person or entity In the matter is not insubstantial, and/or (4) such person or entity is not the Architect, the Architect's employee, the Architect's consultant, or an employee or agent of any of them. Subcontractor is required to ensure that the arbitration requirements set forth in Article 7 are incorporated into and set forth in all downstream subcontracts and purchase orders. 29.3 In the event there is a dispute pending or a dispute arises between Contractor and Owner, Subcontractor agrees that Contractor shall have the unilateral right to require Subcontractor to abate any claim it may have against Contractor until such time as the Contractor's dispute with Owner is fully and finally resolved. Alternatively, Subcontractor consents to the joinder of any dispute with Contractor into any dispute between Owner and Contractor. Furthermore, the pendency of a dispute shall not interfere with the progress of the Work by Subcontractor nor limit the right of Contractor to proceed, in good faith, to remedy an alleged default by Subcontractor. 29.4 Venue and Jurisdiction. If Contractor demands or compels arbitration pursuant to this Agreement, it shall be brought in Orange County, Florida. If Contractor does not demand or compel arbitration, any litigation shall be brought in Orange County, Florida. Florida law shall govern this Agreement and all disputes arising hereunder 29.5 Should Contractor employ an attorney to enforce any of the provisions hereof, or to collect damages for the breach of the Agreement, or to prosecute or defend any suit resulting from, or arising out of, the Agreement, or to recover on the surety bond given by Subcontractor. Subcontractor and its surety, (If any) jointly and severally agree to pay Contractor all reasonable costs, changes expenses and attorney's fees expended or incurred therein. 30. As a strict condition precedent to payment, Contractor must receive a certificate(s) of Insurance as described in paragraph 16 above, and Federal Tax I.D. number for Subcontractor. Contractor reserves to themselves the right to demand and receive duly receipted bills for all materials and labor in any way entering into this Work before making payments. 31. No partial payment made for Work under this Agreement shall be conclusive evidence of the performance, either wholly or in 0;zQ R.A. ROGERS CONSTRUCTION COMPANY LLC Subcontract Agreement Page 7 of 7 part, of this Agreement, and the final payment shall not be construed to mean acceptance of defective work or improper materials. 32. On the 20th day of each month Subcontractor shall present to Contractor, on Contractor's standard application for payment form, a statement of the work done during the billing period. The Contractor may, at its option on each payment, retain 10%, or the percentage specified in the Subcontract Documents, until final payment is received from the Owner. The final payment including retainage shall be made upon the Subcontractor having furnished all required documentation, and acceptance of the entire project by the ArchitecUEngineer and the Owner, and delivery of the final payment to the Subcontractor shall be made within twenty days of the Contractors receipt of the final payment from the Owner. 33. Subcontractor specifically acknowledges that no payment, partial or final, shall be due or owed to the Subcontractor from the Contractor or Contractor's surety unless and until, as a STRICT CONDITION PRECEDENT, Contractor receives payment for Subcontractor's Work from the Owner. Contractor shall only be obligated to make payment for any approved requisition to the extent of payment actually received by the Contractor from the Owner in respect thereof. Subcontractor assumes the risk of non-payment by the Owner on the Project to the Contractor. If the Contractor is not paid by the Owner, then neither the Contractor nor its Surety is required to pay the Subcontractor. 34. At the time of submission of its applications for payment, Subcontractor, and any of its sub -subcontractors, third -tier subcontractor and material suppliers, shall execute and deliver an original current Partial Release and Waiver of Lien pursuant to Florida Statutes, Chapter 713. 35. The Contractor reserves the right to make progress payments against the Subcontractor's Subcontract Sum via a Joint Check. If Contractor chooses to elect to make payment by Joint Check, Subcontractor shall execute and also require each of its lower tier subcontractors, suppliers and vendors to execute a separate Joint Check Agreement. The Joint Check Agreement is attached hereto as Exhibit "E." Subcontractor shall provide Contractor a separate Joint Check Agreement executed by the Subcontractor and each sub - subcontractor, supplier and vendor within three days of execution of sub -subcontract, purchase order or agreement. Contractor, at its discretion, may pay Subcontractor and all sub -subcontractors, suppliers and vendors pursuant to the terms of the Joint Check Agreement. 36. If required by this Agreement, Subcontractor shall furnish and deliver to Contractor a performance bond and a payment bond, in the full amount of the Subcontract Price, in such form and with such surety as Contractor alone shall deem acceptable, conditioned generally upon Subcontractor's faithful performances of the Agreement and its payment of all claims arising therefrom. The original of said bond shall be delivered to the Contractor within ten (10) days from the execution of this Agreement, but in any event, prior to commencement of any Work by the Subcontractor. 37. This Agreement and the Subcontract Documents, insofar as they relate in any part or in any way to the Work undertaken herein, constitute the entire agreement between the parties hereto, and it is expressly understood and agreed that there are no agreements or promises by and between the parties, except as aforesaid, and that any additions thereto or changes therein shall be in writing. This Agreement must be signed and returned to the Contractor within ten (10) days of the date of this Agreement as written above. A signed acknowledgement copy will be forwarded to the Subcontractor ten (10) days following Contractor's receipt of the signed Agreement from Subcontractor. No Work shall be performed under this Agreement prior to its execution, and any Work so performed shall be considered as acceptance of all items and conditions herein, and shall bind the Subcontractor to the Contractor, as if fully executed by the Subcontractor. 38. Contractor may assign this Agreement to the Owner at any time and without the prior written consent of the Subcontractor. 39, All Exhibits are hereby incorporated into this Agreement and Subcontractor is bound by conditions contained therein. Power should be restored. If the GFCI fails to operate in this manner, the GFCI is defec- tive. If the GFCI interrupts power to the pump without the test button being pushed, a ground current is flowing, indicating the possibility of an electric shock. Do not use this pump. Disconnect the pump and have the problem corrected by a qualified service representative before using. ACALITION This pump is for use with permanent swimming pools and may also be used with hot tubs and spas if so marked. Do not use with storable pools. A permanently -installed pool is constructed in or on the ground or in a building such that it cannot be readily disassembled for storage. A storable pool is constructed so that it is capable of being readily disassembled for storage and reassembled to its original integrity. General Warnings Never open the inside of the drive motor enclosure. There is a capacitor bank that holds a 230 VAC charge even when there is no power to the unit. The pump is not submersible. The pump is capable of high flow rates; use caution when installing and programming to limit pumps performance potential with old or questionable equipment. Code requirements for the electrical connection differ from state to state. Install equipment in accordance with the National Electrical Code and all applicable local codes and ordinances. Commercial pools or spas constructed on or after December 19, 2008, shall utilize: A) A multiple main drain system without isolation capability with suction outlet covers that meet ASME/ANSI All 2.19.8a Suction Fittings for Use in Swimming Pools, Wading Pools, Spas, and Hot Tubs and either: i) A safety vacuum release system (SVRS) meeting ASME/ANSI Al 12.19.17 Manufactured Safety Vacuum Release systems (SVRS) for Residential and Commercial Swimming Pool, Spa, Hot Tub, and Wading Pool Suction Systems and/or ASTM F2387 Standard Specification for Manufactured Safety Vacuum Release Systems SVRS) for Swimming pools, Spas and Hot Tubs or ii) A properly designed and tested suction -limiting vent system or iii) An automatic pump shut-off system. Commercial pools and spas constructed prior to December 19, 2008, with a single submerged suction outlet shall use a suction outlet cover that meets ASME/ANSI AtI2.19.8a and either: A) A SVRS meeting ASME/ANSI Al 12.19.17 and/or ASTM F2387, or B) A properly designed and tested suction -limiting vent system, or C) An automatic pump shut-off system, or D) Disabled submerged outlets, or E) Suction outlets shall be re -configured into return inlets. For Installation of Electrical Controls at Equipment Pad (OWOFF Switches, Timers and Automation Load Center) JACALITIOP41 Install all electrical controls at equipment pad, such as on/off switches, timers, and control systems, etc. to allow the operation (startup, shut -down, or servicing) of any pump or filter so the user does not place any portion of his/her body over or near the pump strainer lid, filter lid or valve closures. This installation should allow the user enough space to stand clear of the filter and pump during system start-up, shut down or servicing of the system filter. WHISPERFLO® High Performance Pump Installation and User's Guide HAZARDOUS PRESSURE: STAND CLEAR OF PUMP AND FILTER DURING START UP Circulation systems operate under high pressure. When any part of the circulating system (i.e. locking ring, pump, filter, valves, etc.) is serviced, air can enter the system and become pressurized. Pressurized air can cause the pump housing cover filter lid and valves to violently separate which can result in severe personal injury or death. Filter lank lid and strainer cover must be property secured to prevent violent separation. Stand clear of all circulation system equipment when turning on or starting up pump. Before servicing equipment, make note of the filter pressure. Be sure that all controls are set to ensure the system cannot inadvertently start during service. Turn off all power 10 the pump. IMPORTANT. Place filter manual air relief valve in the open position and wait for all pressure in the system to be relieved. Before starting the system, fully open the manual air relief valve and place all system valves in the "open" position to allow water to flow freely from the tank and back to the tank. Stand clear of all equipment and start the pump. IMPORTANT: Do not close filter manual air relief valve until all pressure has been discharged from the valve and a steady stream of water appears. Observe filter pressure gauge and be sure it is not higher than the pre -service condition. General Installation Information All work must be performed by a qualified service professional, and must conform to all national, state, and local codes. Install to provide drainage of compartment for electrical components. These instructions contain information for a variety of pump models and therefore some instructions may not apply to a specific model. All models are intended for use in swimming pool applications. The pump will function correctly only if it is properly sized to the specific application and properly installed. SAVE THESE INSTRUCTIONS INSTALLATION Only a qualified plumbing professional should install the WhisperFI& High Performance Pump. Refer to 'Pump Warning And Safety Instructions"on pages ii - iii for additional installation and safety information. Location Be sure the pump location meets the following requirements: Note: Do not install this pump within an outer enclosure or beneath the skirt of a hot tub or spa unless marked accordingly. 1. Install the pump as close to the pool or spa as possible. To reduce friction loss and improve efficiency, use short, direct suction piping returns. 2. Install a minimum of 5 feet (1.52 meters) from the inside wall of the pool and spa. Canadian installations require a minimum of 9.8 feet (3 meters) from pool water level. 3. Install the pump a minimum of 3 feet (.9 meters) from the heater outlet. 4. Do not install the pump more than 10 feet (3 meters) above the water level. 5. Install the pump in a well ventilated location protected from excessive moisture (i.e., rain gutter downspouts, sprinklers, etc.) 6. Install the pump with a rear clearance of at least 3 inches (76.2 mm) so that the motor can be removed easily for maintenance and repair. Piping 1. For improved pool plumbing, it is recommended to use a larger pipe size. When installing the inlet and outlet fittings (male adaptors), use thread sealant. 2. Piping on the suction side of the pump should be the same or larger than the return line diameter. 3. Plumbing on the suction side of the pump should be as short as possible. 4. It is recommended that a valve, elbow or tee installed in the suction line should be no closer to the front of the pump than five (5) times the suction line pipe diameter Example: A 2 inch (50.8 mm) pipe requires a 10 inch (254 mm) straight run in front of the suction inlet of the pump. This will help the pump prime faster and last longer. ELBOW REAR CLEARANCE 3 IN. (76.2 CM) MINIMUM 3IN. - MINIMUM Pump Rear Clearance 5 x SUCTION PIPE DIAMETER Recommended Piping Fittings and Valves 1. Do not install 90° elbows directly into pump inlet. 2. Flooded suction systems should have gate valves installed on suction and discharge pipes for maintenance, however, the suction gate valve should be no closer than five times the suction pipe diameter as described in this section. 3. Use a check valve in the discharge line when using this pump for any application where there is significant height to the plumbing after the pump. 4. Be sure to install check valves when plumbing in parallel with another pump. This helps prevent reverse rotation of the impeller and motor. WHISPERFLO° High Performance Pump Installation and User's Guide z RISK OF ELECTRICAL SHOCK OR ELECTROCUTION. This pump must be installed by a licensed or certified electrician or a qualified service professional in accordance with the National Electrical Code and all applicable local codes and ordinances. y Improper installation will create an electrical hazard which could result in death or serious injury to users, installers, or others due to electrical shock, and may also cause damage to property. Always disconnect power to the pump at the circuit breaker before servicing the pump. Failure to do so could result in death or serious injury to service people, pool users or others due to electric shock and/or property damage. Read all servicing instructions before working on the pump. Electrical Wiring Installation 1. Be sure all electrical breakers and switches are turned off before wiring motor. 2. Be sure the supply line voltage matches the motor voltage listed on the motor plate (example 230 VAC or 115 VAC). If they do not match, permanent motor damage may occur. 3. Use strain relief and be sure all electrical connections are clean and tight. 4. Cut wires to the appropriate length so they don't overlap or touch when connected to the terminal board. 5. Permanently ground the motor using the green ground terminal located on the inside of the motor canopy or access plate, see Figure 1. Use the correct wire size and type specified by National Electrical Code. Make sure the ground wire is connected to an electrical service ground. 6. Bond the motor to the pool structure in accordance with the National Electrical Code. Use a solid No. 8 AWG or larger copper conductor. Run a wire from the external bonding to the pool bonding structure. 7. Connect the wire from the accessible bonding lug on the motor to all metal parts of the swimming pool, spa, or hot tub structure and to all electrical equipment, metal conduit, and metal piping within 5 feet (1.52 meters) of the inside walls of the swimming pool, spa, or hot tub. For Canada, a 6 AWG or larger solid copper bonding conductor is required. 8. The pump should be permanently connected to either a circuit breaker, 2 -pole timer or 2 -pole relay. If AC power is supplied by a GFCI circuit breaker, use a dedicated circuit breaker that has no other electrical loads. WHISPERFLO° High Performance Pump Installation and User's Guide Pentair offers 2 -Pole 20 Amp GFC/ breakers P/N PA22OGF) which offer 6 milliamp personnel protection while meeting 2008 to current NEC Standards for Pool Pumps. Note: When the pump is started and stopped by removing power with a relay or timer, a two -pole device should be used to apply and remove power to both POWER LINE TERMINALS. Figure 1. Field Wiring Compartment MAINTENANCE DO NOT open the strainer pot if pump fails to prime or if pump has been operating without water in the strainer pot. Pumps operated in these circumstances may experience a build up of vapor pressure and may contain scalding hot water. Opening the pump may cause serious personal injury. In order to avoid the possibility of personal injury, make sure the suction and discharge valves are open and strainer pot temperature is cool to touch, then open with extreme caution. ACAUTION I To prevent damage to the pump and for proper operation of the system, clean pump strainer and skimmer baskets regularly. Pump Strainer Basket The pump strainer basket (or'strainer pot', 'hair and lint pot'), is located in front of the volute. Inside the chamber is the basket which must be kept clean of leaves and debris at all times. View basket through the'See Through Lid' to inspect for leaves and debris. Regardless of the length of time between filter cleaning, it is most important to visually inspect the basket at least once a week. A dirty basket will reduce the efficiency of the filter and heater and also put an abnormal stress on the pump motor which would result in a costly repair bill. Cleaning the Pump Strainer Basket 1. Turn off the pump at the circuit breaker. 2. Relieve pressure in the system by allowing the water to cool. 3. Gently tap the clamp in a counter -clockwise direction to remove the clamp and lid. 4. Remove debris and rinse out the basket. Replace the basket if it is cracked. 5. Put the basket back into the housing. Be sure to align the notch in the bottom of the basket with the rib in the bottom of the volute. 6. Fill the pump pot and volute up to the inlet port with water. 7. Clean the cover, O-ring, and sealing surface of the pump pot. Note: It is important to keep the lid O-ring clean and well lubricated. 8. Reinstall the lid by placing the lid on the pot. Be sure the lid O-ring is properly placed. Seat the clamp and lid on the pump then turn clockwise until the handles are horizontal. 9. Turn the power "ON" at the house circuit breaker. Reset the pool time clock to the correct time. 10. Open the High Flow manual air relief valve on top of the filter. 11. Stand clear of the filter. Start the pump. 12. Bleed air from the filter until a steady stream of water comes out. Close the High Flow`" Manual Air Relief Valve. THIS SYSTEM OPERATES UNDER HIGH PRESSURE. When any part of the circulating system (e.g., Lock Ring, Pump, Filter, Valves, etc.) is serviced, air can enter the system and become pressurized. Pressurized air can cause the lid to separate which can result in serious injury, death, or property damage. To avoid this potential hazard, follow above instructions. Winterizing You are responsible for determining when freezing conditions may occur. If freezing conditions are expected, take the following steps to reduce the risk of freeze damage. Freeze damage is not covered under warranty. To prevent freeze damage, follow the procedures below: 1. Shut off electrical power for the pump at the circuit breaker. 2. Drain the water out of the pump housing by removing the two thumb -twist drain plugs from the housing. Store the plugs in the pump basket. 3. Cover the motor to protect it from severe rain, snow and ice. Note: Do not wrap motor with plastic or other air tight materials during winter storage. The motor may be covered during a storm, winter storage, etc., but never when operating or expecting operation. In mild climate areas, when temporary freezing conditions may occur, run your filtering equipment all night to prevent freezing. Shaft Seal Replacement The Shaft Seal consists primarily of two parts, a rotating member and a ceramic seal. The pump requires little or no service other than reasonable care, however, a Shaft Seal may occasionally become damaged and must be replaced. Note: The polished and lapped faces of the seal could be damaged if not handled with care. 7. Remove the shaft cap located at the back of the motor and hold the shaft secure with a '/2 inch open-end wrench. 8. To unscrew the impeller from the shaft, twist the impeller counterclockwise. 9. Remove the four bolts from the seal plate to the motor, using a 9/16 inch wrench. WHISPERFLO° High Performance Pump Installation and User's Guide AC'AUTION DO NOT run the pump dry. If the pump is run dry, the mechanical seal will be damaged and the pump will start leaking. If this occurs, the damaged seal must be replaced. ALWAYS maintain proper water level. If the water level falls below the suction port, the pump will draw air through the suction port, losing the prime and causing the pump to run dry, resulting in a damaged seal. Continued operation in this manner could cause a loss of pressure, resulting in damage to the pump case, impeller and seal and may cause property damage and personal injury. Pump Reassembly 1. When installing the replacement shaft seal, use silicone sealant on the metal portion before pressing into the seal plate, being careful to keep off of the seal face. Ensure the seal is fully seated and allow 24 hours for sealant to cure. (Complete seal plate w/seal replacement kit available, P/N 350201/350101.) 2. Before installing the ceramic section of the seal into the impeller, be sure the impeller is clean. Use a light density soap and water to seal the seal. Press the seal into the impeller with your thumbs and wipe off the ceramic and carbon faces with a clean cloth. 3. Remount the seal plate to the motor by installing bolts in an X pattern and tightening to 70 in -lbs. 4. Clean the motor shaft thread and the impeller insert, then screw the impeller onto the motor shaft. 5. Screw in the impeller lock screw (counter -clockwise and tighten to 25 in -lbs. while holding the motor shaft with wrench). 6. Remount the diffuser onto the seal plate. Make sure the plastic pins and holding screw inserts are aligned. 7. Grease the diffuser O-ring and seal plate gasket. 8. Grease the bolt threads, assemble the motor sub- assembly to the strainer pot -pump body by using the two through bolts for proper alignment. Do not tighten the through bolts until all 6 bolts are in place and finger tightened. Torque in a rross nattPrn to 110 in -lbs. 9. Fill the pump with water. 10. Reinstall the pump lid and plastic c see the next section, 'Restart Instri 11. Reprime the system. Restart Instructions If pump is installed below the water level of the pool, close return and suction lines prior to opening hair and lint pot on pump. Make sure to re -open valves prior to operating. Priming the Pump The pump strainer pot must be filled with water before the pump is initially started. Follow these steps to prime the pump: 1. Remove the pump lid plastic clamp. Remove the pump lid. 2. Fill the pump strainer pot with water. 3. Reassemble the pump cover and plastic clamp onto the strainer pot. The pump is now ready to prime. 4. Open the air release valve on the filter, and stand clear of the filter. 5. Turn on the switch or time clock. 6. When water comes out of the air release valve, close the valve. The system should now be free of air and recirculating water to and from the pool. 7. For 2 -speed pumps: Pump should run on high-speed for priming. The pump should not run longer than 8 minutes before priming is achieved. Pump will not prime - Air leak, too much air. Check suction piping and valve glands on any suction gate valves. Secure lid on pump strainer pot and be sure lid gasket is in place. Check water level to be sure skimmer is not drawing air. Pump will not prime - Not enough water. Be sure the suction lines, pump, strainer, and pump volute are full of water. Be sure valve on suction line is working and open (some systems do not have valves). Check water level to make sure water is available through skimmer. Pump stainer gasket is clogged. Clean pump strainer pot. Pump strainer gasket is defective. Replace gasket. Reduced capacity and/or Air pockets or leaks in suction line. Check suction piping and valve glands on any suction head. gate valves. Secure lid on pump strainer pot and be sure lid gasket is in place. Check water level to be sure skimmer is not drawing air. Clogged impeller. Turn off electrical power to the pump. Disassemble (see page 4, 'Pump Disassembly') Clean debris from impeller. If debris cannot be removed, complete the following steps: 1. No la utilice con piscinas desmontables. Una piscina con instalaci6n Permanente es una piscina construida en el suelo o an una base de manera que no puede ser desmontada. Salt is an inherently corrosive material. While the levels of salt required for proper operation of an electronic chlorine generator are relatively low when compared to sea water and other salt solutions, placing any amount of salt in your pool increases the likelihood of corrosion or other deterioration of pool equipment and any surfaces used in and around your pool. Metal parts and certain natural and man-made surfaces are particularly susceptible to corrosion and deterioration when used in and around salt water pools. Pentair does not represent or otherwise guarantee that the proper use of an electronic chlorine generator will prevent corrosion or other deterioration of pool equipment and any surfaces used in and around your pool. INTELLIBRITE® 5g Color Pool and Spa Lights Installation and User's Guide IntelliBrite® 5g Color Pool and Spa Lights Overview The IntelliBrite65g Color Pool and Spa lights system gives you brilliant vivid multi -colors with spectacular effects for your pool. The energy efficient colored LED array utilizes IntelliBrite® color light technology and can cycle through colors at varying speeds and in different sequences of color. Choose one of the seven pre-programmed color light shows or select one of the five fixed colors to create virtually endless range of dramatic underwater lighting effects for a spectacular effect in your pool and spa. The IntelliBrite lens geometry (pool light only) provides a choice between two light beam shapes; wider coverage with less intensity, or narrower coverage with more intensity. For more information, see page 16. Operating Pool and Spa Lights Using a Wall Switch (12 VAC) The color pool and spa lights can be manually controlled using a standard wall -mount light switch. Multiple IntelliBrite lights can be connected via a junction box and a 12 VAC transformer to a single switch so that all lights can be switched on and off together. IntelliBrite lights can also be automatically controlled via Pentair IntelliTouch®, EasyTouch® and SunTouch® Control Systems. For more information refer to the IntelliTouch User's Guide (P/N 521075), EasyTouch User's Guide (P/N 521044), and SunTouch User's Guide (P/N 520785). Using an External Safety Isolation Transformer for Multiple IntelliBrite 12 VAC Lights When using multiple IntelliBrite 12 VAC lights on a 300 Waft safety isolation transformer, it is recommended that no more than three IntelliBrite pool lights and one (1) IntelliBrite Spa light be used. Check the GFCI ground fault wiring and reset if necessary. Light does not function properly. Check the light wiring connection to the junction box at the pool side and to the AC power switch. Be sure that there is proper AC power applied to the light. IntelliBrite 5g Color Pool and Spa lights can be controlled using a standard wall - mount light switch. Multiple IntelliBrite lights can be connected via a junction box to a single switch so that all lights can be switched on and off together. IntelliBrite lights are controlled by cycling AC power from a standard wall switch. By turning the switch on and off a specific number of times, the light activates one of the seven light show modes, fixed colors, and enables the "Hold" and "Recall" feature. Powering on the light When the IntelliBrite light is powered on, a momentarily white light will illuminate, followed by the previously selected color. Note: If power to the light is off for more than five (5) seconds, the last color show mode or fixed color that was saved will be displayed. INTELLIBRITE® 5g Color Pool and Spa Lights Installation and User's Guide 3 Selecting a light show mode or fixed color Switch power on to the light. A white light will momentarily illuminate, followed by the previously selected color. To select a color show mode (1-7) or fixed color 8-12), turn the wall switch off/on a specific number of times. Each number (1-12) shown below corresponds to the number of times to power -cycle the switch to activate a color light show or fixed color. For details about saving color effects while in "show" modes, see "Hold" and "Recall' feature on page 4. 1 SAm Mode: Cycles through white, magenta, blue and green colors d 11 White: Fixed color. E 12 Magenta: Fixed color. 3 13 Hold: Save the current color effect during a color light show. Z 14 Recall: Activate the last saved color effect. Example: To select California Sunset Mode; turn the light on, then turn off and on six times. During the off/on switching process, no illumination will occur, During the off/on switching process, before the selected color is displayed, no illumination will occur for a brief second. This operating mode is normal during the switching process. During this period the pool and spa will be dark and precautions should be taken to avoid unforeseen accidents. Failure to observe this warning may result in serious injury or death to pool and spa users. Saving a Color Mode or Fixed Color When power is switched off to the IntelliBrite® Color Lights, the last color show mode or fixed color will be saved. To select a color light show mode or fixed color mode, rotate the dial so that it points to the desired selection. The color mode selections start in a clockwise direction from the 9 o'clock position. Hold and Recall Feature Note: When IntelliBrite color lights are powered on, the previously selected color will be displayed, unless the HOLD or RECALL feature was previously enabled. Hold button/LED: Press this button (LED on) to capture and save a color effect while displaying one of the light show modes. When the button is pressed, the LED will be on, indicating that the color effect is captured. Recall Button/LED: Use this button (LED on) to activate the last saved color effect. When the button is pressed, the LED will be on, indicating that the color effect is being dis la ed. IntelliBrite®Controller (optional) Instead of using a wall switch, IntelliBrite lights can be used with an IntelliBrite Controller (sold separately). The IntelliBrite Controller [P/N 600054] provides complete control of IntelliBrite lights and IntelliBrite landscape lights. It's easy to select a lighting feature, just dial in any one of the pre-programmed color light shows or fixed colors. The IntelliBrite Controller can control individual or multiple IntelliBrite lights. Multiple IntelliBrite lights can be connected via a junction box to an IntelliBrite Controller so that all lights can be switched on and off together. Using Multiple IntelliBrite® Color Lights When using multiple IntelliBrite lights, the total allowable light wattage is 300 Watts maximum. The electrical system inspection using this kit must be performed by trained and certified personnel. To be certain that the pool's electrical system meets all applicable requirements, the electrician should also consult the local building department. Use only Pentair wet niches to insure proper bonding and grounding connections. INTELLIBRITEm 5g Color Pool and Spa Lights Installation and User's Guide The following removal and installation instructions describe how to remove and install the IntelliBrite color pool and color spa light assembly. Also use these instructions after completing the following light replacement procedure: IntelliBrite Color Spa Light and Face Ring Gasket and Lens Removal and Installation instructions, on page 19. Always install a new lens gasket (part number 79101601). Failure to bring the pool or spa's electrical system up to code requirements before installing the underwater light will create an electrical hazard which could result in death or serious injury to pool users, installers, or others due to electrical shock, and may also cause damage to property. 1. WARNINGI Switch off main electrical switch or circuit breaker, and the switch which operates the IntelliBrite underwater light. 2. To remove light fixture assembly from the pool. Remove the special bronze pilot screw at top of face ring. Remove the IntelliBrite light assembly from the niche and place it on the deck. 3. Cut the cord about 12 inches (30.5 cm) from the back of the light assembly. 4. Remove Junction Box cover, disconnect the light fixture wires, and pull the cord through the conduit. Tip: Before pulling the cord, tape the new cord to the existing cord, This might make it easier to feed the new cord through the conduit (see following step). 5. Feed the new light fixture cord through the conduit from the niche to the Junction Box. Note: Depending on the length of the conduit, special tools may be required to pull the cord through the conduit. 6. Leave at least four (4) feet of cord to coil around the light fixture; see Figure 1 on page 9. This four (4) feet (1.2192 m) of cord coiled around the light allows the light to be serviced after the pool is filled with water. 7. Cut the cord at the Junction Box, leaving at least size (6) inches of cord to make connections. 8. Strip six (6) inches (15.2 cm) of the outer cord jacket from the cord to expose the three insulated conductors. Be careful not to damage the insulation on the three (3) inner conductors). Read page 3 before starting the installation procedure. BEFORE STARTING:The following steps 1-7 (page 6-7) describe the tasks that must be completed by the electrician before the IntelliBrite light fixture is installed. See Figure 1 diagram on page 9. Be sure that the pool or spa meets the requirements of the current National Electrical Code (N.E.C.) Article 680-22 and all local codes and ordinances. A licensed or certified electrician must install the electrical system to meet or exceed those requirements before the underwater light is installed. Place the nut aside for reinstallation. Remove the face ring and uni-tension wire clamp from the light housing. With the light resting on its base, carefully pry off the gasket to remove the lens. Set the lens aside for installation later. Discard the gasket. Note: A NEW LENS GASKET P/N 79101601) MUST BE USED EACH TIME THE LIGHT IS REASSEMBLED. See page 17 for Replacement Kit part numbers. Unplug the two connector plugs from the circuit board. Lift up the circuit board and remove it from the light housing base. 10. Place the assembly on the deck. Note: It is not necessary to drain down the pool. Be sure to keep the pilot screw from the IntelliBrite color spa light This screw mounts and electrically grounds the housing securely to the mounting ring and wet niche. Failure to use the screw provided could create an electrical hazard which could result in death or serious injury to pool users, installers or others due to electrical shock. Remove the face ring and wire clamp from the light housing and set aside for installation later. Note: A 120 VAC to 12 VAC external transformer is required for the 12 VAC model IntelliBrite® Color Spa light. See page 2 for more information. Note: The IntelliBrite® Color Spa Light fixture is a sealed light assembly with no replaceable circuit board assembly. Only the lens, gasket and face ring can be removed from the sealed light assembly for replacement. With the light assembly resting on its base, carefully pry off the gasket to release the lens. Discard the gasket. A NEW LENS GASKET MUST BE USED EACH TIME THE SPA LIGHT IS REASSEMBLED 6. Disconnect the IntelliBrite Spa color light assembly cord from the junction box. Cut the cord near the back of the light assembly and discard the light. INSTALLING THE INTELLIBRITE® COLOR SPA LIGHT WITH NEW GASKET: Install a new gasket during reassembly of the IntelliBrite color spa light. A NEW LENS GASKET (P/N 79108600) MUST BE USED EACH TIME THE LIGHT IS REASSEMBLED. 8. Install the new gasket onto the lens: With the light housing resting on its base, place the lens then the gasket on top of the light housing. 9. INSTALL FACE RING: Place the face ring on top of the lens/gasket/ housing. Rotate the light housing to align the "TOP" position arrow indicator label on the rear of the housing is aligned with the pilot screw on the face ring. Place the face ring on top of the gasket. Make sure that the lens and gasket are centered correctly on the light housing. PILOT SCREW 10. INSTALL UNI -TENSION CLAMP: With the hook ends of the circular uni-tension clamp pointing down, spread the clamp and place it in the "U" recesses of the locking levers. Be sure the hook ends of the clamp are located between the pair of locking levers as shown below and that the wire clamp is properly engaged with all of the lock levers. 12. Place a cloth on the ground to protect the lens. Turn the light over so the lens is resting on the cloth. Be sure the orientation of the wire clamp and the bolt connection is positioned at 45°. Clear Deck Space: To be compliant with ADA guidelines, the lift must be installed in a location that is clear from obstacles and pacer pool deck other hazards. Clear deck space is defined by the figure to the right. This rectangle is 48" long (along the pool J] wall) and 36" wide. r-- -i E 12! Pool/Spa Depth: ; 305 To comply with ADA guidelines the lift must be installed 48 min where the water depth does not exceed 48". If the entire 1 2° pool is deeper than 48" this requirement does not apply. Anchor Location/Installation: The lift anchor centerline must be no less than 6", but no greater than 22" from the pool/spa wall or any feature that sticks out past the pool/spa wall, such as a coping). The lift is installed in a single 2.375" I.D. anchor. New Construction Anchor Installation a. Place the anchor in the desired location following above guidelines. b. Locate a bonding source to bond (ground) the anchor. The steel rebar-bonding grid of the pool deck is the best choice for bonding the anchor. Attach a No. 8 solid copper wire NEC Section 680-22) from the bonding bolt on the base of the anchor to the bonding grid. c. Secure anchor in place at the proper height - anchor may be cemented in place. Set the anchor so that the finished top is 1/8" to 1/4" below finished deck level - allowing for anchor cap to be put in place when the lift is not in use. d. Use the carpenter's level to level the anchor making sure the Aspen II mast will be vertically straight up and down (perpendicular to the deck) in all directions. It is important that the mast be vertically straight to ensure ease of rotation when the lift is fully loaded. e. Place tape over the anchor hole before pouring concrete deck - not allowing concrete to enter anchor opening. f. Pour concrete deck and finish. Allow the concrete to cure for at least 7 -days before installing and using the lift. 3 800.791.8056 • www.spectrumproducts.com Existing Facility Anchor Installation There are many different configurations of footing shapes and sizes to resolve the forces of the lift; a general case footing that has been calculated for Spectrum is a minimum slab 2'6" Square by 10" thick anchor centered, with a minimum of four #4 bars each way centered. An engineer stamped letter can be furnished by Spectrum if requested. a. From the center of the desired anchor location, using a marking pen or chalk, mark a square of the dimensions provided by Spectrum Aquatics, or another engineer stamped footing. This is the concrete to be removed to accommodate the installation of the lift's anchor. It is recommended that the anchor be located at least 6" from any expansion joint, crack, drain, or similar structure in the concrete deck. b. Use a concrete cutting saw; cut the square out of the existing concrete deck. Using a heavy/sledge hammer to break the cut section of concrete — remove the section of concrete from the deck. Attach a No. 8 solid copper wire (NEC Section 680-22) from the bonding bolt on the base of the anchor to the bonding grid. Note: If the concrete deck is 8" thick or more, an alternative anchor installation method may be used. In lieu of saw cutting the concrete deck, a concrete core drill may be employed to cut a 4" diameter hole at the desired anchor installation location. Epoxy or hydraulic cement may be used to secure the anchor in place. Make sure the anchor is properly bonded. d. Place tape over the anchor hole before pouring concrete — not allowing concrete to enter anchor opening. e. Fill the hole in the deck around the anchor with non -expanding concrete. Set the anchor so that the finished top is 1/8" to 1/4" below finished deck level — allowing for anchor cap to be put in place when the lift is not in use. 4 800.791.8056 - www.spectrumproducts.com f. Use a carpenter's level, to level the anchor making sure that the Aspen II mast will be vertically straight - up and down (perpendicular to the deck) in all directions. It is important that the mast be vertically straight to ensure ease of rotation when the lift is fully loaded. Allow the concrete to cure for at least 7 -days before installing and using the lift. Assembly Instruction The following tools will be required to complete assembly and installation of the lift: 9/16" ratchet and open-end wrench 1/2" ratchet or open-end wrench 3/16" socket wrench (allen wrench) LIFT ASSEMBLY NOTE: All steps reference the exploded view on page 3. ICAUTIONI Do not rotate the actuator end fitting — handle with care. a. Stand the mast assembly up in the anchor that is installed in the pool/spa deck. b. Carefully remove shrink wrap holding the actuator to the mast assembly C. Attach the actuator end fitting as shown on page 3 using: 1 - 3/8" Shoulder Bolt 1 %" x 5/16" - 18 1 - 3/8" Flat washers 1 - 5/16" - 18 Nylock nut d. Slide the battery down until it mates with the Wireless Receiver, and locks into place. Connect the battery cable to the receiver. When properly installed the battery will sit flush against the top of the Wireless Receiver. The Control Box battery indicator light should indicate a fully charged Battery (Green Light). If the battery indicator light does not illuminate, ensure that the battery is turned on by pressing the push button on the front of the battery case to the on (in) position. If the battery indicator light shows amber or red, charge battery before moving to the next step. e. Test lift operation by pushing the up and down toggle switch on the Wireless Receiver to ensure the lift is operational (See page 8 for instructions on using Wireless Transmitter). Then run the actuator into the fully extended position by pressing the up button until the actuator stops moving. Leave the lift in this position for the next steps. f. Adjust footrest to desired height using installed 3/8" - Button Head Bolt. 7/32" ALLEN WRENCH INCLUDED WITH LIFT TIGHTENING POSITIVELY LOCKS LIFT INTO THE ANCHOR Tighten the anchor locking bolt by access through a hole one inch up from the top of the anchor on deck. The included 7/32 Allen wrench will fit a 3/8" button head internal to the mast. This internal fastener is at an angle and can be tightened down until there is no lift movement in the anchor. The figure above shows the location and approximate angle of the anchor locking mechanism for the lift. Test the lift for proper operation. 7 800.791.8056 - www.spectrumproducts.com OPERATOR'S GUIDE Lift Operation WARNINGI Read all operating instructions before operating the lift. Make sure that all individuals using the lift have read the instructions and have been made aware of all safety precautions. WARNINGI Operate the lift exactly as described in the instructions above. Failure to do so may result in damage to the lift or personal injury. WARNINGI Do not exceed the maximum lifting capacity of 350 lbs. This may result in damage to the lift or personal injury. WARNINGI Do not rotate the lift directly into the deck or pool/spa wall. This may result in damage to the lift or personal injury. WARNINGI Unless operating in an emergency, Lift should not be forced to rotate. This will cause damage to the rotational components of the lift. Basic Principals of Lift operation Activation of the Transmitter (Bottom Button, with a lock on it a As a safety feature of this transmitter, there is a lockout O button that is just below the four directional arrows. To activate the transmitter (wake from sleep mode), the lockout button needs to be pushed and held for a full 2 seconds. If L? the transmitter is not used within two minutes after the LOCK OUT BUTTON transmitter has been activated, it will go back into sleep mode. Liftinq (UPHA): Pressing the (A) button causes the seat to rise. The seat will continue to rise as long as the button is pressed, or until the lift reaches its highest extent. Releasing the button at any time during travel will also cause the lift to stop. Lowering (DOWN)(v): Pressing the (v) button causes the seat to lower. The seat will continue to lower as long as the button is pressed, or until the lift reaches its lowest extent. Releasing the button at any time during travel will also cause the lift to stop. 8 800.791.8056 • www.spectrumproducts.com Rotation (CLOCKWISE)( ): Pressing the U button causes the lift to rotate clockwise. The lift will continue to rotate in this direction as long as the button is pressed. Releasing the button at any time during rotation will stop the lift from rotating. Rotation (COUNTERCLOCKWISE)(,4): Pressing the (4) button causes the lift to rotate counterclockwise. The lift will continue to rotate in this direction as long as the button is pressed. Releasing the button at any time during rotation will stop the lift from rotating. Note: If the lift is overloaded at the seat, a clutch in the actuator will ratchet, this will be evident by a very noticeable clanking noise and the lift will shake but not move. After weight is taken off of the seat, the lift will resume normal operation. If this happens check the lift and pivots for structural damage before resuming a safe lifting procedure at or under the 350# working load limit. PROGRAMMING A NEW TRANSMITTER TO THE RECIEVER Note — The Transmitter will be programmed to the lift when you receive it; the only time you will have to follow this procedure is if you replace a Transmitter or buy an extra Transmitter. To Program a new transmitter to the lift, first disconnect the battery from the receiver. Hold the lockout button on the transmitter for two full seconds. Then press and hold the up button on the Transmitter to be programmed, while reconnecting the battery to the receiver. Continue holding the up button on the Transmitter until the lift clicks once or moves up (the lift is most likely at the top of its range, so you may try either rotation button and watch for lift movement). If the lift does not work with the new transmitter, try the procedure again; making sure that the transmitter is unlocked. If you are not able to program the new Transmitter to your lift, please call Spectrum Customer Service at 406-532-6321. BATTERY CHARGING S INSTALLATION The battery comes fully charged, but will need charging after the first several hours of use. Charging time is approximately twelve hours for the first few charges, four hours after the first two full battery cycles at which point the battery will reach maximum capacity. The lift comes with a battery charger for use in dry locations. Charge the battery as follows: Plug the battery charger into a standard* outlet. The green LED on the charger will light up, indicating that the charger is on. Plug the charging cable into the charging port on the back of the battery. If the battery is up to the charged voltage, the LED on the charger will stay green. If the charger determines that the battery needs to be charged, the LED on the charger will change to red. 9 800.791.8056 - www.spectrumproducts.com The red LED will turn green when the battery is fully charged. This charger has internal monitoring circuitry that will not overcharge the battery, if the battery is left on the charger for extended periods of time the charger will go into short charging cycles at intervals to keep the charge level at optimal. Charger accepts 110 VAC When the battery is fully charged, remove it from the battery charger and install the battery on the lift. The Battery Capacity Indicator on the receiver will show a green LED, indicating that the battery is fully charged and installed properly. When the LED changes to amber the lift is still OK to use. However when the LED changes to red, or an audible tone is heard during a lift cycle, the battery pack needs to be recharged. To keep the battery from discharging to the point of causing damage, it is important to charge the battery at least once every 3 months, even if the battery has not been installed on the lift. When the lift is not in use, and the battery is installed on the lift, the battery will hold a charge much longer if the push button switch is placed in the off (out) position. This electrically disconnects the battery from the unit, and will allow the battery to go up to 3 months without a charge cycle. If the switch is left on continuously, the battery may need to be charged weekly. It is important to note that with this switch in the off (out) position, the battery capacity indicator light on the receiver will be off, and the lift will not work. After initial break in, the battery should last approximately 90 cycles at the full 350# load rating of the lift before it needs recharging. The battery will need to be replaced after 500 to 800 charge cycles or 3-4 years if properly maintained (approximately 20,000 lifting cycles). To activate the Emergency Up/Down rocker switch (located on the left side of the receiver), rock the switch and the lift will move in the direction indicated. These buttons can be used if the transmitter battery dies, or in the event of an emergency. CHANGING A TRANSMITTER BATTERY To change the transmitter battery, turn the transmitter over and unscrew four small Phillips head screws. Carefully open the transmitter case and remove the battery. This battery is stocked at most stores where coin batteries are sold, it is a 3V lithium Type 2032. Under normal operating conditions this battery should last at least two years. Care and Maintenance The following should be performed periodically to ensure safe and dependable use. 1. Remove any discoloration with a 3M scratch pad (stainless steel components only). Wipe clean with a sponge dampened with Spectra Clean. Repeat these steps several times to passivate the stainless steel. Spectra Clean kits are available from Spectrum 10 800.791.8056 - www.spectrumproducts.com Part Number 202050-00). Do not spray with high-pressure water, only clean with non - chlorinated water. 2. Check all electrical connections — Check any external electrical cables for wear and/or breakage in the outer insulation. 3. Check all mechanical connections — inspect the Nylock Nuts on all moving parts and make sure they are snug. Lubricate all pivot points with light oil (3-1). 4. To maintain the battery properly, the battery must be fully charged at least every 3 months. If the battery goes for longer than 3 months without a charge, the battery will have reduced capacity. 5. Apply Dielectric grease to the battery connections and receiver connections where the battery and receiver meet.
