Said Contract Price shall be firm, and shall not be increased during construction for any reason except as set for the herein. Allowances by Builder are attached hereto as Exhibit A. 2. PAYMENT Owners shall pay Builder 90 ,(Seven Thousand Seven Tiundred Sixty Doltarsl prior to commencement of construction. Disbursements for the balance shall be made to Builder during the course of construction pursuant to the draw schedule set forth on Exhibit B: attached hereto The " Draw Schedule"). 3. COMPLETION The work to be performed under this contract shall commence within 30 (Thirty) working days after receipt of all required permits. Said construction shall be completed within approximately 120 (One Hundred Twenty) days from the date of permit issuance. Notwithstanding the foregoing, construction shall not commence until the recorded Notice of Commencement is posted at the property. The Builder shall be responsible for obtaining the building permit for the residence prior to commencing construction. 4. GUIDELINE The work will be constructed in conformance with the Project Documents, which have been examined and approved by the Owner. No other agreements exist, and any prior statement, arrangement or understanding, expressed or implied not contained in this agreement will not be recognized or binding on Builder. Agreements made with Workmen or Subcontractors or Suppliers on the job are specifically not recognized. This agreement can be modified only by written agreement signed by both parties. COMPLIANCE The work will be completed in compliance with all laws, ordinances, rules, regulations and building codes of the applicable government authorities. If codes, ordinances, laws or regulation change during construction, the cost to comply with these regulation shall be an additional cost for which Builder shall be entitled to additional compensation. All code changes, as well as changes required by any community architectural review board, which will result in additional costs, will be charged to Owners. All work will be done using quality materials and workmen skilled in their trades. 7. QUALITY OF WORK All work shall be performed in a professional and workmanship -like manner, and shall conform to the minimum standards published by the National Association of Home Builders of the United States. 8. LOCATION The Builder shall be responsible for the correct location of the structure on the lot, establishment of all lines, grades and layout of the residence in accordance with the plans. 9. BUILDI:NG GUIDELINES Based on the guidelines of the Florida Building Code and all other guidelines used by state and local building departments, the methods of construction used by the Builder, if not detailed on the plans, is entirely up to the Builder and may not be dictated by the Owner. 10. CONTROL The Project Documents, which include the Plans and Specifications, and other documents enumerated in the Construction Agreement, are intended to supplement each other. In case of conflict, priority of the Project Documents will be in the following descending order: a) Specifications b) Plans c) Any third party specifications 11. OWNER DIRECTIVE Under no circumstance shall the Owner direct or instruct a Subcontractor, Supplier or Workman to perform any task or duty. All correspondence or instruction shall be directed to and executed through the Builder. Builder shall not be bound by such directive or order. Any costs associated with such unauthorized directive shall be charged to owner plus 40%. 12. SPECIFICATIONS The work to be performed and the materials to be used by the Builder are itemized in the Construction Specifications, which shall be superior to the other plans in case of conflict. Omitted details in the Plans and Specifications shall be left to the reasonable discretion of the builder. 13. PERMISSION TO BUILD The Owner shall be solely responsible for obtaining, if applicable, any zoning variances and/or the Homeowner's Association approval for the work to be performed, including but not limited to researching said requirements, making the proper applications, and otherwise fulfilling any requirements in this regard. 14. SIGNATURES If the original agreement has two or more Owner signatures, any change order or other document requiring a signature after work commences will be accepted with only one Owner signature and shall be considered binding and a part of the original agreement. 15. HANDWRITTEN CHANGES Handwritten changes to the printed documents that are properly initialed by both parties shall supersede all printed provisions. Any proposed timeline or outlines schedule of completion should be regarded only as a suggested timeline and shall not serve as a legal and binding deadline. Due to the nature of this type of construction, (unforeseen conditions, Subcontractor scheduling, inspections, inclement weather and change orders) Builder cannot promise the project to be free of delay. 17. PAYMENTS Both parties agree that the following rules shall govern and control payments to the Builder: a) The owner understands that the builder expects and anticipates the timely payment of progress draws and other authorized costs. b) The Owner agrees to pay the Builder for all contractual payments within three days of the time the work as progressed to a prescribed milestone and upon receipt of a payment request. c) Minor punch list items shall not provide the Owner with an excuse to withhold otherwise qualified draw payments. d) In the event the Owner has received a Notice to Owner reflecting work or materials in a specific draw request, the Builder will provide the Owner with a lien release from that specific supplier. e) As an alternative to item "d" above, the Builder may require the Owner to pay the vendor via a joint check for the outstanding amount, the outstanding balance to then be paid to the Builder. f) All payments shall be made by bank check or wire transfer drawn on a US financial institution, payable in US dollars, made payable to Brentwood Construction & Remodeling. g) Under no circumstances shall the Owner make the Builder's checks payable joint to any third party unless specifically authorized by the Builder in writing in advance. h) The Owner shall not pay any of the Subcontractors or Suppliers directly unless specifically authorized by the Builder in writing in advance. i) No deductions or additional or unauthorized charges will be made from the Builder's funds unless specifically agreed to by the Builder in writing in advance. j) Approval of each draw request and payment of such by the Owner shall serve as indication that the Owner is satisfied with the progress of the project and workmanship and materials are acceptable as specified in the Builder's specifications, with the exception of minor punch list items. k) Final payment shall be paid as described in the Substantial Completion clause. 18. ALLOWANCES If the Agreement includes allowances, they shall be administrated as follows: a) No allowance purchases will be made without the specific written authorization of the Owner. b) If the actual cost paid by the Builder exceeds the allowance amount stated in the specifications; the Owner shall pay the Builder the additional amount, plus an additional 25%. c) If the actual cost paid by the Builder is less than the allowance amount, the Owner will receive a face value credit for the difference. No additional overhead or profit will be returned on an allowance item. d) The Builder may purchase an allowance item from any source of his choice, unless specifically instructed otherwise by the Owner. e) All materials shall be paid for by the Builder. The Owner should not pay for any materials unless approved by the Builder. f) Allowances for materials shall include all fasteners, adhesives, hardware, and other related products unless specifically stated otherwise. g) Allowances for both labor and materials are inclusive of both as described herein. h) All allowances include applicable sales tax. i) NOTE: Any allowance amount included in the proposal or Agreement (not provided by the Owner or Architect) is only an educated guess by the Builder. The allowance amount shall serve as a starting point. Actual products selected by the Owner are dependent on the Owner's budget and taste, and may be higher or lower than the Builder's allowance. 19. RIGHT TO STOP WORK If any payment under this Agreement is not made when due, the Builder may suspend or stop (at the Builder's discretion) work on the job until such time as all payments due have been made. OVERDUE ACCOUNTS Any monies due the Builder under this Agreement that remain unpaid for more than ten days shall accrue interest on the unpaid balance at the rate of 1.5% per month for every month it remains unpaid. 21. LIENS Failure to pay persons supplying materials or services according to the terms of this Agreement may result in the filing of mechanics liens on the Owner's property. The Builder shall protect the Owner from potential liens by preparing Contractor's Affidavit with each progress payment. The Owner has the right to receive from the Builder the names and addresses of all persons or firms who supplied labor and/or material to the project at the Builder's order so that the Owner may personally solicit lien releases from the said Subcontractors and Suppliers if Owner so desires. 22. NOTICE TO OWNER You may, during the course of your project, receive via registered U.S. Mail, a document from one or more Subcontractors or Supplies called Notice to Owner. The purpose of the Notice to Owner is to inform the Owner that potential lienors, who do not have an agreement with the Owner, may make a claim against the Owners' property. Notice to Owner must be sent to the Owner no later than 45 days from the furnishing of labor or materials by the lienor. 23. CHANGE ORDERS: Client may make, depending on the current status of construction and at Builder's discretion, changes to the plans and specifications. Builder shall provide client with a price for any such changes. Said price will be at Builder's sole discretion and determination. Upon being presented with the price by Builder, Client shall either approve such change and immediately (within three (3) days) pay to Builder the full cost of such change, or shall reject the change and Builder shall complete construction in accordance with the original plans. If it is necessary to stop work to consider the requested change, Builder will notify client of any additional fee it deems appropriate, in its sole discretion, to consider the requested change. Any and all changes required by a homeowners association, architectural review board, government entities or any other third party outside the control of Builder, shall be at client's expense calculated as Builder's cost, including material, labor, delivery, real estate commissions, applicable sales taxes, marketing and other fees paid to third parties plus an allocation for builder's overhead, supervision, warranty and profit of twenty five percent (25%). Changes made in excess of the contract price and later cancelled by the client, will be credited back to the client at the stated allowance or change order amount, less any costs incurred by the builder. a) In no way may any change be performed or directed by the Owner. b) All Change Orders shall be paid 100% in full before proceeding with that change. c) It is anticipated that all change orders will extend the construction schedule. 24. CHANGE ORDERS — NOT ACCEPTED BY OWNER The first three Change Orders the builder spends writing and pricing (that the Owner does not accept) will not be charged. Time required to prepare additional Change Orders requested by the Owner and prepared by the Builder and not accepted by the Owner will be charged to the Owner at $50.00. 25. FINAL PAYMENT a) Final payment is considered due at substantial completion according to the Substantial Completion and Walk-Through/Punch List clauses. b) The Builder appreciates the Owners' understanding of the Final Payment process and asks that Final Payment be made according to this signed Agreement. 26. SUBSTANTIAL COMPLETION Substantial completion shall be interpreted as the date when the construction is sufficiently complete so that the Owner can occupy or utilize the improvement or when the governing municipal building department conducts its filial inspection in a satisfactory manner inspection passes). PRODUCT SELECTION Owner shall be required to submit to Builder, as requested (and according to the project specifications), selections of product, including but not limited to, plumbing fixtures, electrical fixtures, cabinets, tile, trim and paint colors. 28. PLAN BY OTHERS The Builder assumes full responsibility for the code compliance of all construction plans drawn by him. In the event that the Owner has secured the services of a third party to prepare the construction drawings, and it is later discovered that the drawing details do not meet building code requirements or local zoning ordinances, this shall be treated as a change order. 29. THIRD PARTY DIRECTIVE Any changes, alterations, additions to, or deletions from the drawings and specifications, which may be required by the local municipal building department or utility, or any other third party, shall constitute a Change Order. 30. NON -SPECIFIED CONDITIONS Any detail, item, product, finish or location or such (hereafter called "condition"), not specified on the plans or in the specifications will be left up to the discretion of the Builder to select or choose that condition. Examples of these conditions are: Framing fasteners types and sized), framing techniques, flashing sizes, electrical outlet, switch and breaker panel elevations, AC thermostat locations, door handle locations, and rim returns, Builder will make every effort to alert Owner of any detail or condition that is not considered normal or standard, so that the Owner may be involved in the decision of such. If the Owner is not satisfied with a non -specified condition the Builder has selected or produced and would like it changed, the Builder has the right to charge the Owner to remove, replace or change that condition in accordance with the Change Order paragraph. 31. SOIL CONDITIONS a) Builder assumes the ground on which the new structure is being built is solid and stable. Unless specified, no allowance for soil analysis has been included in Final Agreement amount. b) Builder shall not be responsible for structural failure due to unstable ground conditions (even if engineering proves the soil to be adequately compacted) as a result of, but not limited to, underground utility failure, floods, natural settling, sinkholes and earthquakes. c) Owner may elect to test soils prior to construction in an effort to reduce the risk of building on poor soil. Soil testing can confirm the condition of the existing soil. 32. HAZARDOUS MATERIALS a) The Builder specifically has not investigated or researched or has knowledge of the existence of any product containing asbestos, lead or any other substance or product considered a hazardous material currently used or incorporated in this project. b) The Builder assumes that no hazardous product exists within the existing conditions, within any building or on any part of the physical property. c) If at any point, before, during or after the project is completed, discovery reveals that hazardous material exists on the project site and is require to be removed or is part of the project that it is being removed as part of the demolition process, the cost to remove such material as directed by the responsible governmental agency shall be treated as a change order. 33. PORTABLE TOILET a) Per the local building department, if there is no bathroom facility available for the Builder's workmen, then the Builder is required to provide a portable toilet on the project site. b) The toilet needs to be placed close to the front curb so that it may be serviced. c) The Owner should be aware that the portable toilet might visually be unsightly from the Owners' home and/or the neighbor's home. d) The portable toilet may also emit a foul odor. This is considered normal. 34. CHILDREN The Owner should make sure children are kept away from the project work areas and workmen at all times. Certain tools and materials may present lift -threatening dangers to children. A curious child moving about the project site may distract a workman and cause an accident. It shall be i Page 5 of 13 ACCEPTED BY BUILDER ACCEPTED BY OWNER(S) Page 6 of 13 the Owners' responsibility to make sure children and any other guests or invitees are kept away from the project site. 35. PETS Brentwood Construction & Remodeling assumes no responsibility for any injury, loss or death of any pets that live on or around the construction site. It shall be the responsibility of the owner to secure the pets in a location not accessible by any person working on or around the construction site. 36. PERSONAL PROPERTY It shall be the responsibility of the owner to secure all personal property. Brentwood Construction & Remodeling shall not be responsible for any theft of personal property. It shall be the responsibility of the owner to remove all personal property from the project. Brentwood Construction & Remodeling shall not be responsible for damage to personal property that remains in or around the project. 37. UNDERGROUND UTILTIES Unless specified, removal or relocation of underground utilities, included but not limited to, gas, water, irrigation, electric, phone and cable) found while digging are not included in the Agreement amount. Any removal and/or relocation of such utilities shall be done in accordance with the Change Orders paragraph. 38. DRIVEWAY AND SIDEWALK CRACKS a) Unless specifically outlined in the Agreement, Builder is assuming he may use the Owners' driveway and/or yard to transport material, via delivery trucks (including the placement of a trash dumpster on the driveway and/or yard), to the project location. b) Builder shall not be liable for damage to exterior surfaces due to cracks, indentations or any type of damage resulting from the above activities. 39. MATERIALS SURPLUS Any surplus of materials not used on the project, or fixtures removed during demolition, shall become the property of the builder unless specified otherwise. 40. UNDISCLOSED STRUCTURAL CONDITIONS a) Owner is representing to the builder that the house on which the new structure is being built is free from termite damage, water damage, and is structurally sound. b) Builder shall not be responsible for undisclosed conditions that may be found through the course of construction. Should conditions be encountered that require additional work, this shall be considered to be a change order. 41. UNIFORMITY OF MATERIALS a) Stone: Stone materials may fluctuate in color, thickness, durability and texture. b) Marble: Marble materials may fluctuate in color, thickness, durability and texture c) Wood: Wood materials may fluctuate in color, thickness, durability and texture d) Brick/Pavers: Bricks/Pavers may fluctuate in color, thickness, durability and texture e) Concrete: Concrete may fluctuate in color, thickness, durability and texture. Concrete should also be expected to exhibit nonstructural cracking. 42. SUPERVISION a) The Builder shall provide the necessary supervision to complete the scope of work. The Owner should be aware, however, that although the superintendent or project manager will manage and oversee the project on a daily and weekly basis, the project will not be supervised full time or for 8 hours a day. Sometimes the superintendent will merely stop by to check on progress, and other times he may remain on the project for several hours to help work out a particular detail. The builder promises no set schedule for the superintendent's appearance on the project site. b) If the Owner should enter into dialogue with a Subcontractor, Supplier or Workman, the Owner should keep in mind that nay written or specified documentation shall supersede any conflicting directive given to a Subcontractor, Supplier or Workman. c) If the Owner wishes not to be disturbed by a Subcontractor, Supplier or Workman, then such a request should be stated to the Builder so that proper signage can be displayed on the project site. In some cases, Builder and Subcontractors shall also be permitted to work on Saturday and Sunday depending on Homeowner Association and/or municipality rules and regulations. 44. INSURANCE REQUIREMENTS a) The Builder shall maintain general liability insurance and shall monitor Subcontractors to verify their workers' compensation and liability insurance. This insurance shall cover damages to persons or property entering the project site at the request of the Builder. b) The Builder will obtain Builder's Risk insurance in the amount necessary to cover the improvements to the property as a result of this agreement. The cost of said insurance is part of the construction cost of this home. 45. MEDIATION AND ARBITRATION Any controversy, claim or dispute arising out of, from or relating to this Agreement or Buyer's purchase of the Property (including any claims under the Warranty) shall be settled by binding arbitration in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association ("AAA") and the Federal Arbitration Act Title 9 of the United States Code) using a single arbitrator and judgment rendered by the arbitrator may be confirmed, entered and enforced by the Circuit Court of the Ninth Judicial Circuit, Orange County Florida, the Court having exclusive jurisdiction. Each party shall bear its own costs and legal fees for the arbitration. Exclusive venue for such arbitration proceedings shall be in Orlando, Florida. 46. PHOTOGRAPHY & MARKETING During and/or after completion of the project, Brentwood Construction & Remodeling reserves the right to professionally film, photograph and market the work that has been completed. This includes, but is not limited to, the use of photographs in various magazines, posting them on our web site, displaying them in our office, and submitting them to newspapers and professional industry magazines, etc. This form of marketing enables our company to promote and show examples of our completed work. The Owner reserves the right to withhold their name from any articles or material that is published in relationship to their project. 47. WARRANTY Builder hereby disclaims and waives any and all statutory, express and/or implied warranties including but not limited to the warranties of habitability, merchantability or fitness for a specific purpose. a) Buyer's sole remedy and warranty is that set forth in the Brentwood Construction & Remodeling Homeowner's Manual, acceptance of which is acknowledged by Buyer. The Builder's Limited Warranty includes a limited one (1) year warranty for materials and workmanship and a ten (10) year warranty for certain specified structural defects to basic structural components. These components include the foundation, concrete or wood floor systems, exterior walls, load -bearing interior partitions, and roof trusses and rafter systems. b) This Limited Warranty remains with the Residence and is transferable to future owners, and is in exclusion of, and in lieu of, all statutory and other warranties and guaranties, expressed or implied, written or oral, including but not limited to any implied warranties of fitness, habitability, or merchantability, save and except all manufacturers guaranties or warranties which shall be enforced according to their own terms. c) Under no circumstances shall Builder be liable for any consequential damages or damages for loss in the value of the home, even if Builder was put on notice of that possibility. Buyer's sole remedy under the Limited Warranty is for the performance of services and not for the recovery of any monetary claim or reimbursement. d) Builder shall assign and pass through to Buyer any and all manufacturers' warranties. LEAD PAINT: We understand that there may be building components that are coated with lead, and, as a result, persons andl or pets may have been exposed to lead while inhabiting this structure. We understand that the work to be done may disturb such building components and create additional risk of lead exposure. Brentwood Construction e? Remodeling hasproposed that all inhabitants of this structure undergo blood tests to establish existing lead levels, and that an atomic absorption test be conducted to ascertain the lead levelpresent in building components and home furnishings. We have declined this proposal. Knowing that our decision will make it difficult, if not impossible, to determine in the future whether any lead exposure could be attributable to the prior inhabitation of this structure rather than the current work being performed, we hereby release Brentwood Construction & Remodeling its officers, directors, shareholders, employees, agents, successors, and assigns, from any liability whatsoever to the undersigned and our children, thirdparties, Builder's employees, subcontractors, and material men jor lead exposure which may result from its work; and we assume all associated risks and agree to indemnib,, defend, and hold harmless Brentwood Construction & Remodeling from any and all such claims. Radon Gas: Radon is a naturally occurring radioactive gas that, when it has accumulated in a building in sufficient quantities, may present health risks to persons who are exposed over time. Additional information regarding radon and radon testing may be obtained from your county public health unit. Builder has made no independent inspection of the Property to determine the presence of conditions which may result in radon gas; however, Builder is not aware of any such condition. Energy -Efficiency Rating Disclosure. To Prospective Buyers: Florida law gives Buyer the right to have the energy -efficiency rating determined for the Unit. Should Buyer wish to have the Unit rated, Buyer must arrange to have the energy -efficiency rating determination performed at Buyer's expense. Swimming Pool Safety: If this Agreement includes a residential swimming pool, Builder must provide Buyer a document containing the requirements of the Swimming Pool Safety Act (F.S. 515) and a copy of the publication adopted by the Department of Health under F.S. 515.31 that provides information on drowning prevention and the responsibilities of pool ownership. MOLD AND CHEMICAL DISCLOSURE AND DISCLAIMER ADDENDUM This Addendum is entered into between Builder and Buyer as part of that certain Home Building Agreement ("Agreement') entered into by the parties this 5a' day of April, 2012. Mold Mold is a type of fungus. It occurs naturally in the environment, and it is necessary for the natural decomposition of plant and other organic material. It spreads by means of microscopic spores borne on the wind, and is found everywhere life can be supported. Residential home construction is not, and cannot be, designed to exclude mold spores. If the growing conditions are right, mold can grow in your home. Mold can grow in many areas of the home including on food, such as bread or cheese, bathroom tile, air conditioning ducts, wall cavities, attics, crawl spaces and basements. Mold requires the following three items to grow: 1) a food source, such as fabric, carpet or even wallpaper, or by building materials, such as drywall, wood and insulation; 2) a temperate climate between 400 F and 100' F.); and 3) moisture to grow. Moisture is the only factor that can be controlled in a residential setting. By minimizing moisture, a homeowner can limit mold growth. It only takes 24 to 48 hours for mold to develop. Proper maintenance and good housekeeping practices are important in limiting mold growth. You should take all reasonable precautions to prevent or reduce spills, leaks, overflows, condensation, high humidity and other sources of water intrusion in your home. All buildings contain some level of molds or fungus. While all mold is not necessarily harmful, certain strains of mold have been shown to have adverse health effects in susceptible persons. The Center for Disease Control states that a causal link between the presence of toxic mold and serious health conditions has not been proven. Chemicals Every home contains products, materials and industrial chemicals that are used in constructing the home which may cause allergic or other bodily reactions in certain individuals. You should consult your physician to determine if there are chemicals that may adversely affect you or members of your family. The construction products used in building your home contain, among others, some of the following chemicals in measurable amounts: WATER or MOISTURE (contains or allows the growth of molds, mildew and fungus) FORMALDEHYDE (e.g. in carpeting and pressed wood products) ARSENIC (e.g. in treated wood products) FIBERGLASS (e.g. in insulation products) PETROLEUM AND PETROLEUM PRODUCTS (e.g. in vinyl and plastic products) METHYELENE CHORLIDE (e.g. in paint thinners) If you are not comfortable with the fact that these chemicals or substances will exist in some amount in the home you are purchasing, you should not purchase this home. Disclaimer Whether or not your home experiences mold growth depends largely on how you maintain your home. Whether you or a family member experience any adverse health effects due to exposure to mold or chemicals depends largely on your personal susceptibility to those conditions.
