ARTICLE 4 PAYMENTS
4.1 Based on Contractor's Applications for Payment certl fled by the Architect or Designer, the Owner shal I pay the

6.2 The Owner shall be responsible for purchasing and maintaining the Owner's usual liability insurance and shall
provide property insurance to cover the value of the Owner's property. The Contractor is entitled to receive an increase

7.2 Owner's Right to Stop the Work
If the Contractor fails to correct Work which is not in accordance with the Contract Documents, the Owner may direct
the Contractor in writing to stop the Work unti I the correction is made.
7.3 Owner's Right to Carry Out the Work
If the Contractor defaults or neglects to carry out the Work in accordance with the Contract Documents and fails
within a seven day period after receipt of written notice from the Owner to commence and continue correction of such
default or neglect with diligence and promptness, the Owner may, without prejudice to other remedies, correct such
deficiencies. In such case, the Contract Sum shall be adjusted to deduct the cost of correction from payments due the
Contractor.
7.4 Owner's Right to Perform Construction and to Award Separate Contracts
7A.1 The Owner reserves the right to perform construction or operations related to the Project with the Owner's own
forces, and to award separate contracts In connection with other portions of the Project,

ARTICLE 8 CONTRACTOR
8.1 Review of Contract Documents and Field Conditions by Contractor

familiar with local conditions under which the Work is to be performed, and correlated personal observationswith requirements
of the Contract Documents;: 8.
1.2 The Contractor shall carefully study and compare the Contract Documents with each other and with information
furnished by the Owners Before commencing activities, the Contractor shall (1) take field measurements and

duration of the mutually agreed upon Production Schedule. Any agents, consultants, employees, subcontractor or
other associates of Contractor utilizing these guest rooms will fully adhere to the Contractor Code of Conduct policy
attached to this agreement. Should Contractor elect to utilize on site accommodations, Contractor will notify Owner
at least thirty days in advance of project commencement of intent to do so and agree at that time to a speclf led
maximum total number of room nights Provision of onsite accommodations can be cancelled at any time with or
without cause at Owner's sole discretion, Any rooms required by the Contractor beyond the initially agreed upon
number of room nights will be at Contractors sole expense and responsibility.
Contractor, for itself and its agents, employees, invitees, subcontractors, consultants and affiliates hereby agrees to
defend and hold Owner harmless from and against any and all costs, claims, suits, damages and liabilities arising out
of any use or occupancy of the Owner's lodging facilities by Contractor or such other parties. Any property damage
caused as a result of lodging pursuant to this Section shall entitle Owner to offset any amounts necessary to repair such
damage against any amounts owed to Contractor under this Agreement. This remedy of Owner shall be In addition to,
and not in lieu of, any other rights and remedies available to Owner at law or In equity.
8.5 Warranty
The Contractor warrants to the Owner and Architect or Designer that:(l) rnaterlals and equipment furnished under the
Contract will be new and of good quality unless otherwise required or permitted by the Contract Documents; (2) the
Work will be free from defects not inherent in the quality roquired or permitted,, and (3) the Work will conform to the
requirements of the Contract Documents, Any material or equipment warranties required by the Contract Documents
shall be issued In the name of the Owner, or shall be transferable to the Owner, and shall commence in accordance
with Section 12.5,
8.6 Taxes
The Contractor shall pay sales, consumer, use, and similar taxes that are legally required when the Contract is
executed,
IMPORTANT NOTE REGARDING SALES TAXES
Contractor must retain and submit all receipts for materials purchased on behalf of this project that Incur $100 or
greater in sales tax to the Owner upon completion of the Project. If the Contractor is unable to support a material
purchase and the Owner is assessed taxes/penalties/interest from an audit, the Owner wl II have the right to bill these
costs back to the Contractor, Contractor must maintain record of all costs and keep Invoices for a period of "seven (7)
years following the completion of the Project. Electronic, scanned copies of the invoices are acceptable.
8.7 Permits, Fees and Notices
8.7.1 Local municipality/governmental, permit and inspection fees that are required to be obtained directly by
Contractor for the proper execution of the Project shall be funded directly by Owner without mark up. Contractor
shall provide a check request together with all necessary supporting documentation,10 days prior to the required
submission of payment, Owner shall provide check payment(s) associated with such permits) made payable to
appropriate authority directly to Contractor for processing at the time of application. This process shall only apply to
all such fees that were identified during the contract negotiation with Owner and detailed in the attached bid document
and dons not apply to any sub -contractor related fees, Contractor remains responsible for all other aspects of
coordination of and compliance with permit requirements.
8,7.2 The Contractor shall comply with and give notices required by agencies having jurisdiction over the Work. If
the Contractor performs Work knowing it to be contrary to applicable laws, statutes, ordinances, codes, rules and

8.8 Submittals

8.9 Use of Site
The Contractor shall confine operations at the site to areas permitted by law, ordinances, permits, the Contract
Documents, and the Owner.
8.10 Cutting and Patching

damages, losses and expanses, including but not limited to attorneys' fees, arising out of or resulting from
performance of the Work, provided that such claim, damage, loss, or expense is attributable to bodily injury, sickness,
disease or death, or to Injury to or destruction of tangible property (other than the Work itself), but only to the extent
caused by the negligent acts or omissions of the Contractor, a subcontractor, anyone directly or Indirectly employed by
them or anyone for whose acts they may be liable, regardless of whether or not such claim, damage, loss or expense is

ARTICLE 9 ARCHITECT OR DESIGNER

9.9 The Architect or Designer's duties, responsibilities, and limits of authority as described In the Contract
Documents shall not be changed without written consent of the Owner. Contractor, and Architect or Designer,.
Consent shall not be unreasonably withheld.
ARTICLE 10 CHANCES IN THE WORK
10.1 The Owner, without invalidating the Contract, may order changes in the Work within the general scope of the
Contract, consisting of additlons, deletions or other revisions, and the Contract Sum and Contract Time shall be
adjusted accordingly, in writing. If the Owner and Contractor cannot agree to a change in the Contract Sum, the Owner
shall pay the Contractor its actual cost plus reasonable overhead and profit.
10.2 The Owner may authorize or order minor changes in the Work that arc consistent with the intent of the Contract
Documents and do not involve an adjustment in the Contract Sum or an extension of the Contract Time. Such

10.3 If concealed or unknown physical conditions are encountered at the site that differ materially from those

ARTICLE 11 TIME
11.1 Time limits stated In the Contract Documents are of the essence of the Contract
11.2 If the Contractor is delayed at any time in progress of the Work by changes ordered in the Work, or by labor
disputes, fire, unusual delay In deliveries, unavoidable casualties, or other causes beyond the Contractor's control, the

ARTICLE 12 PAYMENTS AND COMPLETION
12.1 Contract Sum
The Contract Sum stated in this Agreement, including authorized adjustments, is the total amount payable by the
Owner to the Contractor for performance of the Work under the Contract Documents.
12.2 Applications for Payment
12.2.1 At least ten days before the date established for each progress payment, the Contractor shall submit to the
Owner an Itemized Application for Payment for Work completed in accordance with the values stated in this
Agreement. The Application shall be supported by data substantiating the Contractor's right to payment as the Owner
or Architect or Designer may reasonably require, such as evidence of payments made to, and waivers of liens from,
subcontractors and suppliers. Payments shall be made on account of materials and equipment delivered and suitably
stored at the site for subsequent incorporation in the Work. If approved in advance by the Owner, payment may
similarly be made for materials and equipment stored, and protected from damage, off the site at a location agreed
upon In writing. All Applications for Payment shall be accompanied by a Partial Release of Lien and the final

an amount determined in accordance with the terms of the applicable subcontracts and purchase orders.

12.5 Substantial Completion
12.5.1 Substantial Completion is the stage in the progress of the Work when the Work or designated portion thereof
is sufficiently complete In accordance with the Contract Documents so the Owner can occupy or utilize the Work for
its intended use.
12.52 When the Contractor believes that the Work or designated portion thereof is substantially complete, it will
notify the Owner and the Owner will make an inspection to determine whether the Work is substantially complete.
When the Owner determines that the Work is substantially complete, the Owner shall establish the responsibilities of
the Owner and Contractor, and fix the time within which the Contractor shall finish all items on the list. Warranties
required by the Contract Documents shall commence on the date of Substantial Completion of the Work or designated
portion thereof unless otherwise agreed upon by Owner and Contractor,
12.6 Final Completion and Final Payment
12.6.1 Upon receiptof a final Application for Payment, the Owner will inspect the Work, When the Owner finds the
Work acceptable and the Contract fully performed, the Owner will promptly proceed to process final payment in
accordance with terms of the Contract Documents:
12.6.2 Final payment shall not become due until the Contractor submits to the Owner releases and waivers of liens,
and data establishing payment or satisfaction of obligations, such as receipts, claims, security interests, or
encumbrances arising out of the Contract.
12.6.3 Acceptance of final payment by the Contractor, a subcontractor or supplier shall constitute a waiver of claims
by that payee except those previously made in writing and identified by that payee as unsettled at the time of final
Application for Payment.
ARTICLE 13 PROTECTION OF PERSONS AND PROPERTY
The Contractor shall be responsible for initiating, maintaining and supervising all safety precautions and programs,
including all those required by law in connection with performance of the Contract. The Contractor shall take
reasonable precautions to prevent damage, injury, or loss to employees on the Work and other persons who may be
affected thereby, the Work and materials and equipment to be incorporated therein, and other property at the site or
adjacent thereto, The Contractor shall promptly remedy damage and loss to property caused in whole or in part by the
Contractor, or by anyone for whose acts the Contractor may be Liable.
ARTICLE 14 CORRECTION OF WORK
14.1 The Contractor shall promptly correct Work rejected by the Owner as failing to conform to the requirements of
the Contract Documents, The Contractor shal I bear the cost of correcting such rejected Work, including the costs of
uncovering, replacement, and additional testing..
14.2 In addition to the Contractor's other obligations including warranties under the Contract, the Contractor shall,
for a period of one year after Substantial Completion, correct work not conforming to the requirements of the Contract
Documents.
14.3 If the Contractor fails to correct nonconforming Work within a reasonable time, the Owner may correct it in
accordance with Section 7.3
ARTICLE 15 MISCELLANEOUS PROVISIONS
15.1 Assignment of Contract
Neither party to the Contract shall assign the Contract as a whole without written consent of the other.

15.2 Tests and Inspections
15.2.1 At the appropriate times, the Contractor shall arrange and bear cost of tests, inspections, and approvals of
portions of the Work required by the Contract Documents or by laws, statutes, ordinances, codes, rules and
regulations, or lawful orders of public authorities.
15.2.2 If the Owner and/or Architect or Designer requires additional testing, the Contractor shall perform those tests.
15.2.3 The Owner shal I [rear cost of tests, inspections, or approvals that do not become requirements until after the
Contract is executed. The Owner shall directly arrange and pay for tests, inspections, or approvals where building
codes or applicable laws or regulations so require.
15.3 Governing Law
Agreement shall be construed under and governed by the laves of the state of Virginia.
ARTICLE 16 TERMINATION OF THE CONTRACT
16.1 Termination by the Contractor
If the Work is stopped under Section 12.3 for a period of 30 days through no fault of the Contractor, the Contractor
may, upon seven additional days' written notice to the Owner and Architect or Designer, terminate the Contract and
recover from the Owner payment for Work executed including reasonable overhead and profit, and costs incurred by
reason of such termination.
16.2 Termination by the Owner for Cause
16.2.1 The Owner may terminate the Contract if the Contractor
1 repeatedly refuses or fails to supply enough properly skilled workers or proper materials;
2 fails to make payment to subcontractors for materials or labor in accordance with the respective
agreements between the Contractor and the subcontractors;
3 repeatedly disregards applicable laws, statutes, ordinances, codes, rules and regulations, or lawful
orders of a public authority; or
A is otherwise guilty of substantial breach of a provision of the Contract Documents.
16.2.2 When any of the above reasons exist, the Owner, after consultation with the Architect or Designer, may
without prejudice to any other rights or remedies of the Owner and after giving the Contractor and the Contractor's
surety, if any, seven days' written notice, terminate employment of the Contractor and may
1 take possession of the site and of all materials thereon owned by the Contractor, and
2 finish the Work by whatever reasonable method the Owner may deem expedient.
16.2.3 When the Owner terminates the Contract for one of the reasons stated in Section 16.2.1, the Contractor shall
not be entitled to receive further payment until the Work is finished.
16.2.4 If the unpaid balance of the Contract Sum exceeds costs of finishing the Work, such excess shall be paid to the
Contractor. If such costs exceed the unpaid balance, the Contractor shall pay the difference to the Owner. This
obligation for payment shall survive termination of the Contract.
16.3 Termination by the Owner for Convenience
The Owner may, at any time, terminate the Contract for the Owner's convenience and without cause. The Contractor
shall be entitled to receive payment for Work executed, and costs incurred by reason of such termination, along with
reasonable overhead and profit on the Work not executed.
ARTICLE 17 OTHER TERMS AND CONDITIONS
Disputes
In the event of a dispute or disputes arising that cannot be successfully resolved between both parties; both parties
agree to proceed with resolution through litigation in Richmond, Virginia, not through arbitration or mediation. The
prevailing party, as determined by the fact -finder, shal I be entitled to its attorney fees on conclusion of any such
litigation, based on an equitable allocation of fees considering the amounts involved in the dispute, the time, effort and

6. Possession of weapons, firearms or explosives by any Contractor personnel at any time on the
Job site, without prior documented Owner authorization, will result In Immediate removal from the
Project.
7. Job site stereos/ radios are prohibited in all areas.
Safety:
1. The Contractor will comply with all OSHA standards and/or applicable state job safety and health
standards.
2. All areas of work in progress must be kept clean and safe at all times.
3_ Areas under construction should be kept separate from guest occupied areas and clearly marked
with signage/partitions or barricades.
4. Tools, storage areas, and materials will be kept safe and secure from guests at all times.
5. The Contractor will maintain sufficient first aid equipment for personnel.
6. The Contractor will sweep clear out all loose debris, nails and screws, trash, etc at the end of
each day and secure construction areas from guest access.
Contractor Accommodations:
If the Owner has agreed to provide onsite lodging for Contractor's personnel, the Contractor is
responsible for ensuring all personnel conduct themselves in an appropriate and professional manner, at
all times, so as not to disrupt the hotel or impact the hotel guest's experience in any way. The following
are obligations of the Contractor utilizing onsite accommodations...,
1. Number of rooms available to the Contractor is not to exceed the number approved in writing by
the Owner at any time during the project.
2. Contractor must clearly communicate to the hotel general manager the number of guestrooms
required for Contractor personnel with one weeks advance notice.
3. Check-in/check-out times for all Contractor personnel should be provided to hotel general
manager with one weeks' notice.
4. Names of all personnel staying on site and room numbers they are occupying will be provided to
the general manager one week in advance.
5, Room type and location will be determined by the hotel general manager according to availability.
6. Contractor personnel will double occupy rooms (two per room for typical crew, one room for
superintendent/foreman).
7. Contractor personnel shall conduct themselves in a professional manner at all times while on the
property. If for any reason the general manager feels the presence of any or all of the
Contractor's personnel on property is disruptive to the hotel guests' In any way, the General
Manager may, at their discretion, demand that Contractor personnel vacate their on -site
accommodations and rind alternative accommodations at the expense of the Contractor.
8. Contractor personnel shall not utilize any hotel amenities or services provided for guests. This
Includes, but Is not limited to, dining and bar facilities, complimentary breakfast, exercise facilities;
pool, and outdoor recreational facilities.
9. Contractor will be responsible for all costs incurred by personal utilizing accommodations
including phone, pay per view TV, Internet charges, room service etc.
10. Contractor will be responsible for any damage to rooms caused by personnel utilizing
accommodations.
11. Contractor personnel shall not loiter in public areas of hotel where guest have access at any Bmo.

The following is a Code of Conduct that shall be followed by the Contractor and all personnel, sub-
contractors, suppliers, and delivery companies under their control/responsibility while on site.
Communication:
The Contractor shall meet with hotel operations representative at least twice daily to discuss the
following,.,
1, Progress —Discuss progress made during the previous day and work planned for the next 5
days. Describe the type of work scheduled and detail any potential for guest impact/ disruptive
activities such as noise, dust, vibrations, deliveries, painting that generates odor, etc..
2, Deliveries Provide notice of expected deliveries, detailing size and type of delivery vehicle as
well as unloading/staging strategy for handling large items.
Personnel — Provide the number of Contractor personnel on site and working, type of work they
will be completing, and In which area(s). The Contractor must Inform hotel operations of any
change in personnel,
4: Emergency Contact — Designate onsite point of contact(s) for both Contractor and hotel
operations for any emergency commun`icatlons - on call 24 hours a day.
5. Rooms Out of Service — Maintain a rooms out of service status, and schedule, for hand over
and return of rooms for the week ahead..
6. Guest Complaints • Review any complaints or adverse comments from guests regarding work in
progress, stored materials, or on site personnel. Ni guest complaints and resolutions must bg
documented and re' orted to the Owner.
General Practices:
1, All Contractor and subcontractor personnel shall at all times wear a uniform, name badge or
other clothing Identifying them as crewmembers whilo working on site. Personnel must maintain
a high standard of personal grooming and professional workman appearance. Clothing should be
clean and in good condition. Torn jeans and flip flops are not allowed, Shirts must be worn at all
times. Personnel will be removed from the Project for inappropriate presentation at sole
discretion of the General Manager or Owner's representative.
2. Smoking is not permitted anywhere inside the hotel at any time. Smoking will only occur in a
designated area specified by the Hotel General Manager.
1 The Owner will be immediately notified of any events negatively impacting guest experience. The
Contractor will document all guest complaints and solutions.
4. The use or possession of alcoholic beverages or illegal substances by Contractor personnel, at
any time, will result in Immediate removal from the Project.
5, Any violent, threatening or harassing behavior or communications by any Contractor personnel
toward any person will result in immediate removal from the Project.

Gomez Construction is pleased to present to you a proposal for the re -piping of the Spring
Hill Suites- Sanford. This proposal is based on the drawings by RTM, as well as a site visits.
The Phase One scope of work is as follows:
The hotel is assumed to be shut down for 4 weeks duration of the phase one
work.
We will need to remove most of the hall way ceilings on the first floor to install
the new mains (which will be task One)
On the first floor we will cut openings In the lobby and meeting rooms to access
the risers
Guest rooms we will need to make 4 openings from the Floor to the ceilings. We
will access these from inside the rooms avoiding the hallways as much as possible
on 2nd to 511, floor
Ice machine work we will have to do in their areas and will need to replace wall
covering (material by owner)
We will do the mains in the lobby as well as connections to existing risers.
Approximately 28 rooms will be included in this work as well. All other rooms and
riser replacements are assumed to take place at a future time and therefore not
included in this scope of work
We are planning on putting drywall back in the first floor corridor where we
remove it to Install the mains.
We will repair all drywall removed to like condition and repaint the area.
The bar sinks in the rooms we will have to cut the inside of the cabinet and
patch with laminate
We will use a licensed electrician for removing and reinstalling any electrical
Items. Allowance of $3,000 is included for hallway lighting only.

I. Uponor PEX A for all domestic hot water, cold water and hot water return mains and piping
within the guest units. Type L copper stub outs at the fixtures on the bottom of the

2. Provide circuit solvers for hot water return line for balancing the system. Where necessary.
3; Insulation of hot water and hot water return mains. No Insulation on existing hot water
piping.
4. Remove all existing Pro Set black plugs and replace with Pro Set white Pro Seal plugs where
possible and use mineral wool and caulking where plugs cannot be replaced. Phase
rooms only.
S. Provide new Moen shower valves and shower heads for all guest unit showers for only Phase
1 rooms. Per Submitted Cut Sheet
6. Plumbing permit.

Walls will be cut floor to ceiling at all re -pipe areas.

Re -pipe units directly over the lobby area approximately 25 rooms.
Work to be done during four week hotel shut down.

Phase 1 Specific Exclusions:
Modern Plumbing will not be responsible for any leaks that occur on existing piping
that has not been re -piped when the building water energized after Phase 1.
Protection or security for hotel items in rooms and BOH areas to be provided by
others.
The following items are excluded from this scope of work;

Phase 2 Scope of work is the total Cost to complete the re -piping of the rooms, back of

Dollars $725,208.00. Phase 1 cost with plumbing materials is $509,583.00, the
balance is the remainder for the remaining scope of work is $215,625.00.
