CONSTRUCTION AGREEMENT
Benmar Construction, Inc. (hereinafter "Contractor'; CGC No.: 1523581) and
Duval BBQ II, Ltd.
Mandarin BBQ, LLC,
Inverness BBQ, Ltd.,
Bushnell BBQ, LLC,
Hereinafter "Owner") enter into this Construction Agreement this 14 day of February, 2018 and
agree as follows:
ARTICLE 1 - THE CONTRACT DOCUMENTS
The Conttdbt Documents consist of this Agreement, Drawings, Specifications, and Modifications
issued after execution of this Agreement, all of which form the Contract, and are as fully a part
of the Contract as if attached to this Agreement or repeated herein. The Contract represents the
entire and integrated agreement between the parties hereto and supersedes prior negotiations,
representations, or agreements, either written or oral. If anything in the other Contract
Documents, other than a Modification, is inconsistent with this Agreement, this Agreement shall
govern.
ARTICLE 2 - THE WORK OF THIS CONTRACT
The Owner desires for Contractor to perform remodeling services as identified in the plans and
specifications on the following restaurant locations:

Owner shall sign an estimated budget takeoff prior to any work being performed on the above
referenced locations.
The Contractor shall be solely in charge of means, sequences, techniques, methods ,and
procedures in construction of the Project and for coordinating the same until completion, and
shall:
1. Unless otherwise specifically provided in the Contract Documents, provide all
labor, materials, equipment, tools, construction equipment and machinery,
transportation, and other facilities and services necessary for the proper execution
and completion of the Project whether temporary or permanent and whether or not
incorporated or to be incorporated in the Project.
2. Secure the building permit and all other permits and governmental fees, licenses
and inspections necessary for the proper execution and completion of the Project.
3. Give any notices and comply with all laws, ordinances, and regulations bearing on
the construction Project.
4. Keep the premises free from excessive accumulation of waste materials or rubbish
caused by his operations, and at the completion of the Project remove all his
waste materials and rubbish from the Project as well as his tools, construction
equipment, machinery and surplus materials. It is understood by Owner that a
clean worksite may not correspond with compliance with health code for
operating restaurants. Contractor will remove equipment and materials as
necessary to permit daily .restaurant operations, but shall not be responsible for
compliance with any standard necessary for restaurant operation.
The Owner shall supply electrical power and water as necessary to complete the Project.
ARTICLE 3 — INSURANCE:
The Contractor shall carry builder's risk insurance, including liability, theft, fire and extended
coverage upon the Project from the date of the commencement of the construction. The
Contractor will carry Workmen's Compensation insurance sufficient to cover any claims for
personal injury of his employees arising out of the Project, in the minimum amount of
500,000.00. Contractor shall supply Owner with an acceptable certificate evidencing this
coverage.
All policies except Workmen's Compensation have been endorsed to include Owner as an
additional insured including completed operations on a primary and non-contributory basis. All
policies include a Waiver of Subrogation in favor of Owner.

ARTICLE 4 DATE OF COMMENCEMENT. AND SUBSTANTIAL COMPLETION
The date of commencement of the Work shall be a date set forth in a notice to proceed issued by
the Owner for each individual restaurant location identified in Article 2. Subject to adjustments,
it is anticipated that the Contractor shall. achieve Substantial Completion of the entire Work
within ten (10) to twelve (12) weeks of the date of commencement on each individual -restaurant
location. It is understood and anticipated that the work schedule will be impacted by the
necessity of working around normal restaurant operating hours and keeping the worksite
available for continuous use as a restaurant while work progresses. As a result, the substantial
completion date. is understood to be an estimate and extensions of that date shall be freely
provided by owner by Change Order under Article 6, provided that the work is diligently
pursued.
ARTICLE 5 CONTRACT SUM
The Owner shall pay the Contractor the Contract Sum in current, funds for the Contractor's
performance of the Contract. The Contract Sum is the Cost of the Work as defined in Article 7
plus the Contractor's Fee. The Contractor's Fee is equivalent. to $50,000.00 per restaurant
location. The $50,000.00 shall be payable in -equal installments of $9,500.00 in every Progress
Payment Request every two weeks with $2,500.00 payable on closeout of the, applicable
government permit.
ARTICLE 6 - CHANGES IN THE WORK
In -the event Owner shall desire a change in the scope of work that requires the extension of
construction operations beyond (12) twelve weeks, Owner and Contractor shall agree upon a
Change Order to cover the additional contractor's. fee for the extended work:
ARTICLE 7 - COSTS TO BE REIMBURSED
The term Cost of the Work shall mean costs necessarily incurred by the Contractor in the proper
performance of the Work. The Cost of the Work shall include only the items set forth below:
1. Wages or salaries of construction. workers directly employed by the Contractor to
perform the construction of the Work at the site or at' 0ffsite workshops;
2. Payments made by the Contractor to Subcontractors in accordance with the requirements
of the subcontracts and this Agreement;
3. Costs of Materials and Equipment Incorporated in the Completed Construction;
4. Costs, including transportation and storage at rthe. site, of materials and equipment
incorporated, or to be incorporated, in the completed construction;
5. Costs of materials in excess of those actually installed to allow for reasonable waste and
spoilage. Unused excess materials, if any, shall become the Owner's property at the
completion of the Work;
6. Costs of transportation, storage, installation, dismantling, maintenance, and removal of
materials, supplies, temporary facilities, machinery, equipment and hand. tools not

customarily owned by construction workers that are, provided by the Contractor at the site
and utilized in the performance of the Work;
7. Rental charges for temporary facilities, machinery, equipment, and hand tools not
customarily owned by construction workers that are provided by the. Contractor at the
site, and the costs of transportation; installation, dismantling, minor repairs, and removal
of such temporary facilities; machinery, equipment, and hand tools;
8. Costs of removal of debris from the site of the Work and its proper and legal .disposal;
9. Costs of materials and equipment suitably stored off the site at a mutually acceptable
location, subject to the Owner's prior approval;
10. Premiums for that portion of insurance and bondsrequired by the Contract Documents that
can be directly attributed to this Contract; 11.
Sales, use, or similar taxes imposed by a governmental authority, that are related to the Work
and for which the Contractor is liable; 12.
Fees and assessments for the building permit, and for other permits, licenses, and inspections,
for which the Contractor is required by the Contract Documents to pay; 13.
Fees of laboratories for tests required by the Contract Documents; 14.
Royalties and license fees paid for the use of a particular design, process, or product, required
by the Contract Documents; 15.
Costs of document reproductions and delivery charges; 16.
Legal, mediation and arbitration costs, including attorneys' fees, other than those arising from
disputes between the Owner and Contractor, reasonably incurred by the Contractor after
the execution, of this. Agreement in the- "performance of the Work and with the Owner'
s prior approval,which. shall not be unreasonably withheld; 17.
Other costs incurred in the performance of the Work, with the Owner's prior approval; 18.
Except with the Owner's prior written approval, the Contractor shall not make advance payments
to suppliers for materials or equipment which have not been delivered and suitably
stored at the site; 19.
Costs incurred in taking action to prevent threatened damage, injury; or loss, in case of an emergency
affecting the safety of persons and property; and 20.
Costs of repairing or correcting damaged or nonconforming Work executed by the Contractor;
Subcontractors, or suppliers, provided that such damaged or nonconforming Work
was not caused by the negligence of, or failure to fulfill a specific responsibility by, the
Contractor, and only to the extent that the cost of repair or correction is not recovered by
the Contractor from insurance, sureties, Subcontractors, suppliers, or others. ARTICLE
8 - SUBCONTRACTS AND OTHER AGREEMENTS Those
portions of the Work that the Contractor does not customarily. perform with the Contractor'
s , own personnel shall be performed under subcontracts or other appropriate agreements
with the Contractor. The Owner may designate specific .persons from whom, or entities
from which, the Contractor shall obtain bids. The Contractor shall -obtain bids from Subcontractors,
and from suppliers of materials or equipment fabricated especially for the Work, " Page

who are qualified to perform that portion of the Work in accordance with the requirements of the
Contract Documents, including such insurance as may be required by the Owner. The Contractor
shall deliver such bids to the Owner with an indication as to which bids the Contractor intends to
accept. The Owner then has the right to review the Contractor's list of proposed subcontractors
and suppliers and object to any subcontractor or supplier. The Contractor shall not be required to
contract with anyone to whom the Contractor has reasonable objection and may terminate any
Subcontractor in its sole discretion for any reason at any time.
ARTICLE 9 - ACCOUNTING RECORDS
The Contractor shall keep full and detailed records and accounts related to the Cost of the Work,
and exercise such controls, as may -be- necessary for proper financial management under this
Contract and, to substantiate all costs incurred. The accounting and control systems shall be
satisfactory to the Owner. The Owner and the Owner's auditors shall, during regular business
hours and upon reasonable notice, be afforded access to, and shall be permitted to audit and
copy, the Contractor's records and accounts, including complete documentation supporting
accounting entries, books, job cost reports, correspondence, instructions, drawings, receipts,
subcontracts, Subcontractor's proposals, Subcontractor's invoices, purchase orders, vouchers,
memoranda, and other data relating to this Contract. The Contractor shall preserve these records
for a period of three years after final payment, or for such longer period as may be required by
law.
ARTICLE 10 PAYMENTS
The Contractor shall provide the Owner with a statement of costs incurred through a specified
date ("Progress Payment Request") every two weeks. The statement of costs shall identify any
amounts due third parties. Owner may make payment directly to third parties identified in the
statement of costs provided that Owner obtains a release of Lien and Waiver of Claim from third
party as a precondition of payment. In addition to the costs incurred, Progress Payment Request
shall include a portion of the Contractor-'s Fee as identified above. Owner shall make payment
of the amount identified in the Progress Payment Request not later than fifteen (15) days
following receipt of the Progress Payment Request. There shall be no retainage deducted or
held by owner.
Final. payment, constituting the entire unpaid balance of the Contract Sum, shall be made by the
Owner to the Contractor when the Contractor has fully performed the Contract, except for the
Contractor's responsibility to perform corrective work, if any, which extends beyond final
payment, and the Contractor has submitted a Final Payment Request for the Cost of the Work
through the date of completion. Within 15 days of the. Owner's receipt of the Contractor's Final
Payment Request Owner shall make payment as requested' or make payment of any amounts not
it dispute and request mediation of any amounts Owner disputes.
Payments due and unpaid under the Contract shall bear interest from the date payment is due at
the rate of 12% per annum.

ARTICLE 11— STATUTORY PROVISIONS

ANY CLAIMS FOR CONSTRUCTION DEFECTS ARE SUBJECT TO THE NOTICE AND
CURE PROVISIONS OF CHAPTER 558, FLORIDA STATUTES."
Fla. Stat. §713.015
ACCORDING TO FLORIDA'S CONSTRUCTION LIEN LAW (SECTIONS 713.001-713.37,
FLORIDA STATUTES), THOSE WHO WORK ON YOUR PROPERTY OR PROVIDE
MATERIALS AND SERVICES AND ARE NOT PAID IN FULL HAVE A RIGHT TO
ENFORCE THEIR CLAIM FOR PAYMENT AGAINST YOUR PROPERTY. THIS CLAIM IS
KNOWN AS A CONSTRUCTION LIEN. IF YOUR CONTRACTOR OR A
SUBCONTRACTOR FAILS TO PAY SUBCONTRACTORS, SUB -SUBCONTRACTORS,
OR MATERIAL SUPPLIERS, THOSE PEOPLE WHO ARE OWED MONEY MAY LOOK
TO YOUR PROPERTY FOR PAYMENT, EVEN IF YOU HAVE ALREADY PAID YOUR
CONTRACTOR IN FULL. IF YOU FAIL TO PAY YOUR CONTRACTOR, YOUR
CONTRACTOR MAY ALSO HAVE A LIEN ON YOUR PROPERTY. THIS MEANS IF A
LIEN IS FILED YOUR PROPERTY COULD BE SOLD AGAINST YOUR WILL TO PAY
FOR LABOR, MATERIALS, OR OTHER SERVICES THAT YOUR CONTRACTOR OR -A
SUBCONTRACTOR MAY HAVE FAILED TO PAY. TO PROTECT YOURSELF, YOU
SHOULD STIPULATE IN THIS CONTRACT THAT BEFORE ANY PAYMENT IS MADE,
YOUR CONTRACTOR IS REQUIRED TO PROVIDE YOU WITH A WRITTEN RELEASE
OF LIEN FROM ANY PERSON OR COMPANY THAT HAS PROVIDED TO YOU A
NOTICE TO OWNER." FLORIDA'S CONSTRUCTION LIEN LAW IS COMPLEX, AND IT
IS RECOMMENDED THAT YOU CONSULT AN ATTORNEY.

Should it be necessary to enforce this Contract by litigation, the prevailing party shall be entitled
to reasonable attorney's fees and court costs, including costs of appeal.
Any action brought under this Contract shall be interpreted under the laws of the State of Florida
and brought in the Courts of Marion County, Florida.
The plans and specifications are supplied by Owner. If the plans and specifications are not in
compliance with the laws or codes either by error or omission, the ,cost incurred by Contractor
for compliance will be reimbursable. Contractor shall not be responsible to identify deficiencies
in the Work performed by --the Owner's Architect or Engineer. Neither shall this Agreement be
interpreted as causing Contractor to assume liability for the actions or omissions of Owner or any
other party over whom the Contractor does not have control. Contractor shall not be responsible,
under any circumstances, for consequential damages.
This Contract represents the entire agreement between the parties. Any prior agreements,
representations, understandings and oral statements if not expressed in this Contract are void and
have no effect. Owner shall not assign this Agreement in whole or part without the prior written
consent of Contractor. This Contract shall inure to the benefit of and be binding upon the parties
hereto, their respective heirs, personal representatives, administrators and permitted assigns.

The City of Sanford requires payment of a plan review fee at the time of permit submittal. A copy of the executed contract is required
in order to calculate a plan review charge and will be considered the estimated construction value of the job at the time of submittal.
The actual construction value will be figured based on the current ICC Valuation Table in effect at the time the permit is issued, in
accordance with local ordinance. Should calculated charges figured off the executed contract exceed the actual construction value,
credit will be applied to your permit fees when the permit is issued.
