AGREEMENT FOR CONTINUING SERVICES
FOR THE DESIGN, PERMITTING AND
CONSTRUCTION SERVICES FOR THE
AUGMENTATION FACILITY - PHASE 11

This Agreement made on tho day of2,L41 ,-200e-between the CITY OF
SANFORD, FLORIDA (hereinafter called the CI'fY) and CPH ENGINEERS, INC. (hereinafter called
the ENGINEER), is mutually agreed upon and declared an authorized Amendment to an
Agreement dated December 7, 1983, between the parties, herein setting forth the scope, terms and
conditions of the work herein authorized.
In case of any conflict between this Amendment and the aforementioned Agreement of December
7, 1983, this Amendment shall govern for the work described herein.
SECTION I
PURPOSE OF AMENDMENT
1.1. Introduction
The City of Sanford, City of Lake Mary and Seminole County have entered into an
Agreement for the construction and improvement of reclaimed water distribution
infrastructure (December 2, 1996, as amended December 10, 1998) related to the
Rinehart Road and Heathrow areas of Seminole County. The three parties now desire
to reduce groundwater withdrawal from the Floridan Aquifer in Seminole County by
expanding reclaimed water use in lieu of potable water for irrigation. The new
agreement between the three parties calls for an increase in the capacity of the Sanford
Reclaimed Water Augmentation Facility to:
• Reduce groundwater withdrawal;
• Meet the high demand for water; and
• Conserve the limited high quality groundwater supplies in Seminole County for
the future.
The City of Sanford has received a St. Johns River Water Management District
(SJRWMD) Consumptive Use Permit (CUP) to withdraw water from Lake Monroe to
supplementthe City's reclaimed water supply, provide additional water supply, augment
the current reclaimed water system and meet peak irrigation demands. In addition, the
City has received a grant from the US EPA, through the SJRWMD, in the amount of
$1,739,234 for the construction of a two -phased reclaimed water augmentation facility
at the Sanford North Water Reclamation Facility. The grant requires the City to provide
a total of forty-five percent (45%) in matching funds for the projects.
Construction of the Sanford Reclaimed Water Augmentation Facility - Phase I is near
completion and a startup of the facilities should occur within the next four weeks. The
project included the construction of deep bed, automatic backwashing filters; a tertiary
filtration and chemical control building; chemical feed facilities; miscellaneous yard
piping improvements; electrical, controls and instrumentation improvements; SCADA
system improvements; flow metering and chemical pacing systems; and a temporary
pumping system.
To meet the demands for water within this area of the County, in association with the
Tri -Party Agreement between the City of Sanford, City of Lake Mary and Seminole
County, and to maintain the project on schedule and meet the timetable set with the
EPA, and the Tri -Party Agreement, the Phase 11 improvements to the Sanford
Reclaimed Water Augmentation Facility must proceed immediately at the Sanford North
WRF. The Phase 11 improvements, which are in accordance with the City's
Comprehensive Plan and Master Wastewater Plan, and the Program developed and
approved by the US EPA and SJRWMD, and the Tri -Party participants, calls for the
following improvements:
1. Improvements to the Sanford Reclaimed Water Augmentation Facility:
• Construction of a Additional Deep Bed, Automatic Backwashing Filters;
• Construction of a Permanent Reclaimed Water Augmentation Pumping Station;
• Construction of Permanent Influent Structure around the influent line in Lake
Monroe;
• Construction of a Filter Reject Water Solids Thickening System;
• Yard piping modifications;
• Electrical, Controls and Instrumentation System modifications; and
• SCADA System Modifications
2. Improvements within the Sanford Reclaimed Water Distribution System (Sanford
Main WTP/Mayfair Golf Course location):
• 2.0 MG Reclaimed Water Ground Storage Tank;
• Reclaimed Water Distribution System Pumping Station;
• Yard piping modifications;
A new section of 20 -inch reclaimed water distribution main from the pumping
station to County Road 46A;
• Electrical, Controls and Instrumentation System modifications; and
0 SCADA System Modifications
1.2 Purpose
This purpose of this Amendment is to generally provide professional engineering
services for the design, permitting and construction engineering and inspection
services associated with the Sanford Reclaimed Water Augmentation Facility -
Phase 11 improvements.
SECTION 2
DESIGN AND PERMITTING
2.1. Specific services of the ENGINEER shall include the following:
A. The Engineer agrees to perform professional engineering services in connection
with the project hereinafter stated.
B. The Engineer will serve as the City's professional engineering representative in
those phases of the project to which this Scope of Services applies, and will give
consultation and advice to the City during the performance of his services.
C. Coordinate with the surveyor employed by the ENGINEER to obtain the
following:
1. Topographic survey for the proposed improvements at the Sanford
Reclaimed Water Augmentation Facility;
2. Topographic survey for the proposed improvements at the Sanford Main
WTP/Mayfair Golf Course; and
3. Half-R/W survey of the portion of the reclaimed water line route along
Country Club Road and CR -46A.
D. Coordinate with the geotechnical firm employed by the ENGINEER for obtaining
soil borings and recommendations at the Sanford Reclaimed Water
Augmentation Facility and the Sanford Main WTP/Mayfair Golf Course for
foundation stability and compaction requirements for the proposed facility
structures. Also included will be general classifications of soils and
recommendations regarding drainage and stormwater detention pond
percolation rates and recovery periods.
E. Prepare hydraulic analyses to recommend the size of the reclaimed water main
and the size of the reclaimed water pumps required.
F. Prepare a preliminary site layout for the proposed Phase 11 improvements at
both the Sanford Reclaimed Water Augmentation Facility and the Sanford Main
WTP/Mayfair Golf Course.
G. Prepare hydraulic calculations for the proposed reclaimed water augmentation
facility improvements at the Sanford North Water Reclamation Facility.
H. Meet with City Utilities Department and Operating personnel and coordinate the
basis of design for the proposed improvements based on operational
experience.

K. Prepare stormwater calculations and assist the CITY in obtaining an MSSW
Stormwater Permit from FDEP for site improvements at the Sanford Reclaimed
Water Augmentation Facility and the Sanford Main WTP/Mayfair Golf Course.
H. Prepare structural calculations.
Prepare contract documents (specifications) for the proposed improvements at
the Sanford Reclaimed Water Augmentation Facility and the Sanford Main
WTP/Mayfair Golf Course.
J. Prepare quantities and an opinion of probable construction cost for the proposed
improvements at the Sanford Reclaimed Water Augmentation Facility and the
Sanford Main WTP/Mayfair Golf Course.
K. Prepare a preliminary design report as required by Chapter 62-600.715, F.A.C.
and an abbreviated engineering report as required by Chapter 62-610.310(2)(a),
F.A.C.
L. Prepare the FDEP Permit Application for the improvements at the Sanford
Reclaimed Water Augmentation Facility and the Sanford Main WTP/MayfairGolf
Course and assist the City in permitting the project with FDEP. To keep the
project on schedule an engineering report will be prepared and the facility will
be permitted based on said report. This will allow the City to obtain an FDEP
Permit prior to September 2001. The plans and contract documents
(specifications) will continue to be worked on during the permit review period.
M. Through an Electrical Subconsultant provide the Electrical Design for the
proposed improvements at the Sanford Reclaimed Water Augmentation Facility
and the Sanford Main WTP/Mayfair Golf Course to meet Class I Reliability
Standards. In addition, prepare facility lighting plans and SCADA system
improvements to be integrated with the City's existing SCADA System at the
Sanford North WRF.
N. Provide construction administration, engineering and inspection services for the
proposed improvements at the Sanford Reclaimed Water Augmentation Facility
and the Sanford Main WTP/Mayfair Golf Course.
1. Conduct preconstruction and monthly progress meetings with the
contractors.
2. Review shop drawings; review and prepare monthly pay applications from
the contractor.
3. Prepare quarterly EPA disbursement applications and documentation;
4. Coordinate all proposed work and improvements with the City, SJRWMD,
EPA, FDEP and the Contractors.
5. Prepare field orders, work directives and change orders as, and if,
necessary.
6. Provide construction inspection services associated with the proposed
improvements.
7. Prepare the necessary FDEP and EPA documentation for clearing all
improvements for operation.
8. Perform project closeout activities associated with the proposed
improvements.
9. Present record documents to the City Utility Department in accordance with
the Project Specifications.
SECTION 3
SUPPLEMENTARY SERVICES OF THE ENGINEER
3.1. If authorized by the CITY, the ENGINEER shall furnish or obtain from others,
supplementary services of the following types which will be paid for by the CITY as
an additional cost as outlined in Section 5.
3.2. Additional services due to significant changes in the scope of the project or its
design including, but not limited to, changes in size, complexity, character of
construction, or due to time delays in initiating or completion of the work as
described herein.
3.3. Except as otherwise provided herein, services or additional costs associated with
revising previously accepted studies, reports, or other documents prepared by the
ENGINEER when such revisions are due to causes beyond the ENGINEER's
control.
3.4. Additional services resulting from public protests, administrative hearings, orsimilar
matters.
3.5. Preparing to serve and/or serving as an Expert Witness for the CITY in any
litigation, public hearing, condemnation proceeding, right-of-way or easement
acquisition or negotiation, or other legal / administrative proceeding.
3.6. Additional engineering services required by revisions to regulations (after the date
of this Amendment) as applicable to the U.S. EPA, Florida Department of
Environmental Protection (FDEP), or other regulatory agency requirements.
3.7. Additional services in connection with the project including services normally
furnished by the CITY as described in Section 4 herein and services not
otherwise provided for in this Agreement.
SECTION 4
CITY RESPONSIBILITIES
4.1 In addition to the specific responsibilities hereinbefore described, the CITY will:
A. Advise the ENGINEER of his requirements for the project and designate a
person to act as the CITY's representative with respect to the work to be
performed under this Amendment, and such person shall have complete
authority to transmit instructions, receive information, interpret and define the
CITY's policies and decisions pertinent to the work covered by this Amendment.
B. Obtain and provide data requested that is reasonably available on the project
along with operational and maintenance requirements and easement and right-
of-way requirements.
C. Guarantee access to and make all provisions for the ENGINEER to enter upon
public and private lands as required for the ENGINEER to perform his work
under this Amendment.
D. Make facilities accessible for inspection.
E. Examine all studies, reports, sketches, schedules, and other documents
presented by the ENGINEER and render decisions pertaining thereto within a
reasonable time so as not to delay the work of the ENGINEER.
F. Assist in obtaining approval of all governmental authorities having jurisdiction
over the project, and such approvals and consents from such other individuals
or bodies as may be necessary for completion of the Project.
G. Furnish or direct the ENGINEER, in writing, to provide at the CITY's expense,
any subconsultant services not designated in Section 2, if advised by the
ENGINEER and CITY concurs that they are necessary.
H. Furnish, or direct the ENGINEER, in writing, to provide at the CITY's expense,
necessary additional services as stipulated in Section 3 of this Amendment, or
other services as required.
Provide such legal, accounting, financial and insurance counseling services as
may be required for the project, and such auditing services as the CITY may
require.
J. Give prompt written notice to the ENGINEER whenever the CITY observes or
otherwise becomes aware of any defect in the Project.
SECTION 5
PAYMENT
5.1. Payment for services and expenses of the ENGINEER are to be asset forth below.
The ENGINEER agrees to perform the work (Design and CEI services) outlined in
this Agreement and Exhibit A-1 (which is part of the Tri -Party Agreement between
Sanford, Lake Mary and Seminole County,) for a lump sum fee of $322,423.
5.2. The OWNER will make prompt monthly payments in response to ENGINEER's
monthly statements without retention for all categories of services rendered under
this Agreement.
5.3. Charges for the services rendered by principals and employees as witnesses in any
litigation, hearing or proceeding will be computed at a rate of $1,200 per day or any
portion thereof (but compensation for time spent in preparing to appear in any such
litigation, hearing or proceeding will be computed in accordance with the payment
method as set forth herein).
5.4 If this Agreement is terminated during prosecution of the services prior to
completion of the services of Section 2, payments to be made in accordance with
Section 5 on account of that and all prior work under this Agreement shall be due
and payable, and shall constitute total payment for services rendered. In addition,
upon termination, the ENGINEER shall be paid for any additional services
authorized and rendered under Section 3.
SECTION 6
GENERAL CONDITIONS
6.1. Since the ENGINEER has no control over the cost of labor, materials, or equipment
or over any construction method of determining prices, any opinion of probable
construction cost which may be provided in the services of this Amendment are
made on the basis of his experience and qualifications and represent his best
judgment as a design professional familiar with the construction industry, but the
ENGINEER cannot and does not guarantee that the construction cost will not vary
from opinions of probable construction cost prepared by him. Similar limitations
apply to construction schedules reviewed or prepared by the ENGINEER.
6.2. The CITY and the ENGINEER each binds himself and his partners, successors,
executors, administrators and assigns to the other party of this Agreement and to
partners, successors, executors, administrators, and assigns of such other party in
respect to all covenants of this Amendment. Nothing herein shall be construed as
creating any personal liability on the part of any officer or agency of any public body
which may be a party hereto, nor shall it be construed as giving any rights or
benefits hereunder to anyone other than the CITY and the ENGINEER.
IN WITNESS WHEREOF, the parties hereto have made and executed this Amendment
the day and year first above written.
