AGREEMENT FOR CONTINUING SERVICES

SANFORD, FLORIDA (hereinafter called the CITY) and CPH-ENGINEERS, INC. (hereinafter
called the ENGINEER), is mutually agreed upon and declared an authorized Amendment to an
Agreement dated December 7,1983, between the parties, herein setting forth the scope, terms and
conditions of the work herein authorized. It is the intent of this Amendment to provide for
Engineering and Construction services in connection with the design of Y2K compatible
SCADA systems, purchase of the SCADA equipment, and installation of the SCADA
systems at the water treatment facilities and water reclamation facility to make the facilities
Y2K compliant.
In case of any conflict between this Amendment and the aforementioned Agreement of
December 7, 1983, this Amendment shall govem for the work described herein.
SECTION 1
1.1. Purpose
The City of Sanford owns and operates two water treatment facilities (Main WTP
and Auxiliary WTP) and one water reclamation facility (Sanford North WRF). The
Main WTP and Sanford North WRF utilize Instrumentation and Controls/SCADA
systems to process information, monitor treatment processes, control operation of
unit processes and equipment, generate reports, etc. The current system is
antiquated having been installed in the mid 1980's and has been determined to be
non -Y2K compatible by the system integrator. To avoid the potential short-term and
long-term interruptions in water and wastewater treatment associated with the Y2K
problem, and to ensure that the City's abilityto deliverthese services isn't impacted,
it is imperative that the City of Sanford modify their existing Instrumentation and
Controls/SCADA systems. This program involves designing, constructing and
training of personnel and start-up prior to the turn of the century.
This Amendment work is to generally provide professional engineering, construction
and training services for upgrading and modifying the Main WTP and Sanford North
Water Reclamation Facility's Controls and Instrumentation / SCADA Systems to
make them Y2K compatible and take advantage of newer, faster and fault tolerant
computer hardware and software. The work should provide the City of Sanford with
a fully operational and reliable system into the next century.
The proposed system will also have the capability of being expanded to a system
wide network in the future, encompassing the Main WTP, the Sanford North WRF,
the "new" Sanford South WRF, Site 10 and the City's wastewater lift stations. All
proposed hardware and software for the project is industry standard, non-
proprietary, and all program source code and configuration files will be provided.

SECTION 2
SCOPE OF SERVICES
2.1. Under this Agreement, the ENGINEER will provide modifications (design,
equipment, construction, and training services) to the existing Instrumentation and
Control / SCADA systems at the following treatment facilities:
* Main Water Treatment Facility;
9 Sanford North Water Reclamation Facility.
The Instrumentation and Control / SCADA systems shall be complete and fully
operational systems that are newer, faster, fault tolerant, and Y2K compliant. The
complete system will include:
* Engineering Design of the SCADA systems;
• Generation of Supporting Documentation for the systems including Product
Data Sheets, 1/0 Database, Panel Layouts, Wiring Diagrams, and Loop
Diagrams;
• Supply of the controls and instrumentation equipment, computer hardware
and software, design and creation of the 3-D enhanced computer graphic
displays and additional SCADA, Integration and Configuration features for
the treatment facilities;
• Installation of all equipment at the treatment facilities and Panel
modifications;
• On -Site Start-up services associated with the proposed Instrumentation and
Controls / SCADA system modifications;
• Operator Training;
On-site Y2K testing of the current Modicon equipment to determine whether
additional equipment modifications, beyond those in this scope of service,
are required;

* On-site and Field support;
* Project specific O&M Manuals; and
* A System warranty.
Through subconsultants, the ENGINEER will provide needed controls and
electrical engineering design services for the project.
2.2 Water Treatment Facility SCADA Modifications
2.2.1. Water Treatment Facility Control Panel Upgrade
The existing Main CTU backpanel will be removed from the enclosure and
replaced with a new pre -wired backpanel. The new backpanel will have a
Modicon Compact Processor with enough 1/0 plus 15% spares to
accommodate the existing 1/0. The existing radio will be relocated to the
new backpanel for communications with the RTU's. The new backpanel will
be completely assembled, tested and programmed for the required
functionality. The Control Panel will be comprised of the following:

The following software will be provided on the workstation:

2.3 Sanford North Water Reclamation Facility SCADA Modifications
The Sanford North Water Reclamation Facility will be upgraded to take advantage
of newer, faster, fault tolerant, Y2K Compatible computer hardware and software.
2.3. 1. Water Reclamation Facility Supervisory Software
The following software will be provided on the workstations:
* Microsoft Windows NT;
• Office 97 Professional (Free upgrade to Office 2000 if not available at
the time of purchase);
Wonderware InTouch Factory Suite Full Development Software (for
one workstation);
Wonderware InTouch Factory Suite Runtime Software (for the other
workstation);
* PC Anywhere or Laplink Remote Terminal Software; and
* Win -911 Alarm Pager Annunciation Software.
All versions of the software identified above shall be the latest versions
available at the time of purchase.
2.3.2 Water Reclamation Facility SCADA System Hardware
Two (2) complete Operator Workstations will be provided. The computers
will include the following:

2.4 SCADA System Configuration
A complete SCADA System will be provided at both the Main Water Treatment
Facility and the Sanford North Water Reclamation Facility. The SCADA system will
be supplied completely configured specific to the actual process installation. All
graphic displays shall be developed and rendered in 3D utilizing AutoDesk's 3D
Studio Max, or equivalent, before importing the displays into Wonderware for
dynamic linking. All configured graphics shall be equivalent in style and format.
Proposed SCADA system block diagrams for the water and water reclamation
facilities are presented in Attachment A.
Complete SCADA System, (MMI), Integration and Configuration, including
• Point Database Creation/Entry;
• Graphic Display Configuration;
• Real Time and Historical Trend Graph Configuration;
• Control Loop Displays Configuration;
• Report Generation and Linking;
• Utilities Configuration;
• Custom Help Screen Generation in HTML format; and
• Security Configuration.

Templates will be supplied to the City of Sanford for the remote sites so that the City
may modify the SCADA system to add additional remote sites in the future.
2.5 As -Built and Loop Diagrams
New As -Built Drawings and Loop Diagrams for all modified control panels and loops
will be supplied by the Engineer for the Main Water Treatment Plant. A new
SCADA system block diagram will be provided for modifications at the Sanford
North Water Reclamation Facility. All drawings will be ISA compliant in Autocad
Format. These drawings shall also be incorporated into the SCADA system using
ACAD View.
2.6 Y2K Compliance
All components and systems provided within this amendment are "Y2K" compliant
The modifications to the existing system should provide the City with a reliable
operational system into the next century.
2.7 Testing and Reporting
Within the first thirty (30) days after the notice to proceed, the Engineer will test the
existing SCADA system Remote Telemetry Units (BTU's) to verify that the units and
radios are Y2K compliant. The Engineerwill provide the OWNER a complete report
from the testing. If any of the components fail to pass the compliance test, the
ENGINEERwill provide written recommendations of modifications that can be made
to remedy the situation along with the costs associated with the modifications.
During the same tests, the ENGINEER will verify if the existing SCADA system
radios are capable of communicating to non-proprietary radios.
2.8 Service
A factory trained service engineer will be furnished at the time of start-up to inspect
the installation of the facilities and completed system, place the system into initial
operation, calibrate and instruct operating personnel on the proper use of the
Equipment and Material. A service and training schedule is presented below:

2.9 Remote Dial -Up Access
The new SCADA systems at the treatment facilities will support remote Dial-up
access for factory support, consultant engineering assistance or operations
personnel remote monitoring.
2.10 Phone Support
The Engineer and SCADA System Integrator shall both provide continuous,
unlimited phone support, through a modem connection, for three (3) years at no
charge to the OWNER as part of this Addendum. A laptop computer for continuous
support SCADA system support shall be purchased and retained bythe ENGINEER
as part of this Addendum.
2.11 Warranty
The Instrumentation and Control / SCADA systems shall be warranted for one (1)
year from start-up of the systems.

2.12 Future Expansion Capabilities
The proposed Instrumentation and Control / SCADA systems can be expanded to
a system wide network, encompassing the water treatment facilities, Sanford North
Water Reclamation Facility and the Sanford South Water Reclamation Facility. All
proposed hardware and software is industry standard non-proprietary. All program
source code and configuration files will be provided to the OWNER allowing a third
party to modify the system in the future if desired.
2.13 Accelerated Schedule
A. Y2K testing and verification, as described above will be accomplished within
thirty (30) days of execution of this Amendment.
B. The new Instrumentation and Control / SCADA system modifications can be
provided, tested, personnel trained and start-up accomplished by September 30,
1999 if the Amendment is executed by March 31, 1999.
2.14 Other specific services of the ENGINEER shall include the following:
A. Meet with City Engineering and Treatment Facility Operating personnel and
coordinate the project. The ENGINEER will coordinate with the City to
determine the number and types of reports that need to be generated at each
treatment facility and ensure that they are developed within the SCADA system
for automatic/manual generation.

SECTION 3
SUPPLEMENTARY SERVICES OF THE ENGINEER
3.1. If authorized by the CITY, the ENGINEER shall furnish or obtain from others,
supplementary services of the following types which will be paid for by the CITY as
an additional cost as outlined in Section 5.
3.2. Additional services due to significant changes in the scope of the project or its
design including, but not limited to, changes in size, complexity, character of
construction, or due to time delays in initiating or completion of the work as
described herein.
3.3. Preparing to serve and/or serving as an Expert Witness for the CITY in any
litigation, public hearing, or other legal / administrative proceeding.
3.4. Additional services in connection with the project including services normally
furnished by the CITY as described in Section 4 herein and services not
otherwise provided for in this Agreement.
SECTION 4
CITY RESPONSIBILITIES
4.1 In addition to the specific responsibilities hereinbefore described, the CITY will:
A. Advise the ENGINEER of his requirements for the project and designate a
person to act as the CITY's representative with respect to the work to be
performed under this Amendment, and such person shall have complete
authority to transmit instructions, receive information, interpret and define the
CITY's policies and decisions pertinent to the work covered by this Amendment.
B. Obtain and provide data requested that is reasonably available on the project.

C. Guarantee access to and make all provisions for the ENGINEER to enter upon
public and private lands as required for the ENGINEER to perform his work
under this Amendment including obtaining authorization for use of the property
where the Instrumentation and Controls / SCADA system is to be located. This
also includes locations where existing equipment is currently installed (e.g., RTU
locations, etc.).
D. Make facilities accessible for inspection.
E. Examine all studies, reports, sketches, schedules, and other documents
presented by the ENGINEER and render decisions pertaining thereto within a
reasonable time so as not to delay the work of the ENGINEER.
F. Furnish or direct the ENGINEER, in writing, to provide at the CITY's expense,
any subconsultant services not designated in Section 2, if advised by the
ENGINEER and CITY concurs that they are necessary.
H. Furnish, or direct the ENGINEER, in writing, to provide at the CITY's expense,
necessary additional services as stipulated in Section 3 of this Amendment, or
other services as required.
I. Provide such legal, accounting, financial and insurance counseling services as
may be required for the project, and such auditing services as the CITY may
require.
Give prompt written notice to the ENGINEER whenever the CITY observes or
otherwise becomes aware of any defect in the Project.
SECTION 5
5.1. Payment for services and expenses of the ENGINEER are to be as set forth below.
5.2 The ENGINEER agrees to perform this work on a lump -sum basis. The ENGINEER
agrees to perform the services outlined in Sections 2 and 3 of this Amendment for
a lump sum fee of $176,500, which is broken down as follows:

5.3. The CITY will make prompt monthly payments in response to ENGINEER's monthly
statements without retention for all categories of services rendered under this
Agreement and for reimbursable expenses incurred.
5.4. Charges for the services rendered by principals and employees as witnesses in any
litigation, hearing or proceeding will be computed at a rate of $1,200 per day or any
portion thereof (but compensation for time spent in preparing to appear in any such
litigation, hearing or proceeding will be computed in accordance with the payment
method as set forth herein).
5.5. If this Agreement is terminated during prosecution of the services prior to
completion of the services of Section 2, payments to be made in accordance with
Section 5 on account of that and all prior work under this Amendment shall be due
and payable, and shall constitute total payment for services rendered. In addition,
upon termination, the ENGINEER shall be paid for any additional services
authorized and rendered under Section 3.

SECTION 6
GENERAL CONDITIONS
6.1. The CITY and the ENGINEER each binds himself and his partners, successors,
executors, administrators and assigns to the other party of this Agreement and to
partners, successors, executors, administrators, and assigns of such other party in
respect to all covenants of this Amendment. Nothing herein shall be construed as
creating any personal liability on the part of any officer or agency of any public body
which may be a party hereto, nor shall it be construed as giving any rights or
benefits hereunder to anyone other than the CITY and the ENGINEER.
