SUBJECT: Traffic Signal Maintenance Agreements with Seminole County
Bob:
Attached are copies of seven (7) executed Traffic Signal
Maintenance Agreements between City of Sanford and Seminole County,
covering certain signals for which City has maintenance respon-
sibility. These agreements should be considered effective imme-
diately. Intersections covered include the following: State Route
46 and Park Avenue; U.S. 17-92 and Wal Mart Plaza; U.S. 17-92 and
State Street; U.S. 17-92 and Park Drive; U.S. 17-92 and 20th
Street; U.S. 17-92 and 15th Street; and U.S. 17-92 and 3rd Street.
It is requested that you establish necessary contacts with the
County Traffic Signal Maintenance Supervisor for the implementation
of these agreements.
By copy of this memorandum the originals of the seven (7) exe-
cuted agreements are forwarded to City Clerk for safekeeping.

Re: Traffic Signal Maintenance Agreements
Dear Steve:
Enclosed are seven (7) executed Traffic Signal Maintenance
Agreements which were previously forwarded by your letter of July
20, 1987. As you will note the Agreements which you forwarded for
the signals for Fire Station No. 1 and Fire Station No. 2 have not
been executed. After discussion with our Public Works Department,
it has been determined that we will continue to maintain those
signals, at least for the time being. I understand that some con-
sideration is being given to tying the signal for Fire Station No.
1 to the signals at 13th Street and 15th Street on French Avenue.
If that comes to past, we will probably need to execute a main-
tenance agreement for that signal.
Two (2) signed originals of each Agreement are forwarded. it
is requested that one (1) be returns� tT teCity following execu-
tion by Mr. Streetman.

SIGNAL MAINTENANCE INTER -LOCAL AGREEMENT
THIS AGREEMENT entered into this CKV)

by and between SEMINOLE COUNTY, a political subdivision of the
State of Florida (hereinafter referred to as "County"), and the
CITY OF Sanford a Florida municipal corporation (hereinafter
referred to as "City").
WITNESSETH:
WHEREAS, Florida law provides for inter -local agreements
between cities and counties for the performance of their
respective administrative and service luntlons; and
WHEREAS, the City and the County desire, pursuant to Chapter -
163 of the Florida Statues, to enter Into an inter -local
agreement whereby the County will, on a cost basis, maintain that
certain traffic signal installed by the City and the County at
the inter -section of State Road 46 & Park Avenue, a City street
and a StateroadIn the city of Sanford.
NOW, THEREFORE, in consideration of the mutual convenants
herein contained, It is agreed as follows:
1. The County will maintain within the City that certain
traffic signal Installed at the intersection of State Road 46 and
Park Avenue to the extent of the County's capability in ter -ms of
ordinary repairs and availability of parts, It being understood
by both parties, that in the event of major damage to the signal
controller which Is beyond the County's ability to repair, it
may be necessary to remove the controller and place the signal in
temporary flashing mode until the said controller can be repair -ed
elsewhere, or replaced, In which event the City agrees to
reimburse the County for all costs of such major repair or
replacement.
2. The City will pay to the County that month, an amount
representing and the actual cost of those services described In
Paragraph I above, upon receipt of an itemized statement from the
County Indicating the actual cost of payroll, parts, and mileage
expended for signal maintenance In the preceding month.
3. In consideration of the County's performing services
covered herein at cost, City agrees that County's performance
hereunder shall be as City's agent, and the City agrees to hold
the County harmless from and defend the County and the officers
and employees thereof against any claims or liabilities,
including attorneys Sees, resulting from performance of the
services provided hereunder.
4. This Agreement shall take effect on
1987, and remain in force until terminate -d.
S. Either party may cancel this Agreement at any time by
giving the other party thirty (30) days written notice thereof.
6. if for any reason any provision hereof shall be
inoperative, validity and effect of all other pr'a-!0±on0 shall
not be affected hereby.
7. No modification or waiver of any provision of this
agreement shall be valid unless in writing signed by both
par -ties.

the signal in temporary flashing mode until the said controller
can be repaired elsewhere, or replaced, in which event the City
agrees to reimburse the County for all costs of such major repair
or replacement.
2. The City will pay to the County that month, an amount
representing and the actual cost of those services described in
Paragraph I abovw* upon receipt of an Itemized statement from the
County Indicating the actual cost Of payroll, parts, and mileage
expended for signal maintenance in the preceding month.
3. In consideration of the County's Performing oevvlaeo

hereunder shall be as City's agent, and the City agrees to hold
the County harmless from and defend the County and the officers
and employees thereof against any claims or liabilities,

terms of ordinary repairs and availability of parts, it being
understood by both parties, that In the event of major damage to
the signal controller which Is beyond the County's ability to
repair, It may be necessary to remove the controller and place
the signal in temporary flashing mode until the said controller-

agrees to reimburse the County for all costs of such major repair
or replacement.
