SOLAR PURCHASE CONTRACT
TERMS, CONDITIONS &WARNINGS
Windmar Home Florida Inc.
THESE SOLAR PURCHASE AGREEMENT TERMS, CONDITIONS & WARNINGS (the "Agreement") is made
pursuant to and supplementing the Solar Purchase Contract hereby attached (the "Contract") and is entered into by and
between Windmar Home Florida, Inc., ("WINDMAR"), a Florida Profit Corporation located at 7575 Kingspointe Parkway,
Suite 11, Orlando, Florida 32819, and the person or company identified within the Contract ("Customer") (collectively at
time referred to as the "Parties").
NOW, THEREFORE, in consideration of the mutual covenants and promises hereinafter set forth, the Parties hereto agree
and acknowledge that this Agreement constitutes the entire understanding between the Parties, and further agree as follows:
1. Scope and Authority. WINDMAR is the licensed solar contractor, and by signing below, Customer understand
that WINDMAR will be designing and procuring the installation of Customer's system for renewable energy purposes (the
System"), either personally or by hiring licensed sub -contractors (the "Project"). Customer further warrants that he is the
owner -occupier ofthe premises and that Customer has the required authorization to enter into this Agreement.
2. Mechanic Liens Warning. ACCORDING TO FLORIDA'S CONSTRUCTION LIEN LAW (SECTIONS
713.001-713.37, FLORIDA STATUTES), THOSE WHO WORK ON YOUR PROPERTY OR PROVIDE MATERIALS
AND SERVICES AND ARE NOT PAID IN FULL HAVE A RIGHT TO ENFORCE THEIR CLAIM FOR PAYMENT
AGAINST YOUR PROPERTY. THIS CLAIM IS KNOWN AS A CONSTRUCTION LIEN. IF YOUR CONTRACTOR OR
A SUBCONTRACTOR FAILS TO PAY SUBCONTRACTORS, SUB -SUBCONTRACTORS, OR MATERIAL
SUPPLIERS, THOSE PEOPLE WHO ARE OWED MONEY MAY LOOK TO YOUR PROPERTY FOR PAYMENT,
EVEN IF YOU HAVE ALREADY PAID YOUR CONTRACTOR IN FULL. IF YOU FAIL TO PAY YOUR
CONTRACTOR, YOUR CONTRACTOR MAY ALSO HAVE A LIEN ON YOUR PROPERTY. THIS MEANS IF A LIEN
IS FILED YOUR PROPERTY COULD BE SOLD AGAINST YOUR WILL TO PAY FOR LABOR, MATERIALS, OR
OTHER SERVICES THAT YOUR CONTRACTOR OR A SUBCONTRACTOR MAY HAVE FAILED TO PAY. TO
PROTECT YOURSELF, YOU SHOULD STIPULATE IN THIS CONTRACT THAT BEFORE ANY PAYMENT IS
MADE, YOUR CONTRACTOR IS REQUIRED TO PROVIDE YOU WITH A WRITTEN RELEASE OF LIEN FROM
ANY PERSON OR COMPANY THAT HAS PROVIDED TO YOU A "NOTICE TO OWNER." FLORIDA'S
CONSTRUCTION LIEN LAW IS COMPLEX, AND IT IS RECOMMENDED THAT YOU CONSULT AN ATTORNEY.
3. Right to Cancel. You, Customer, have the right to cancel this Agreement, without penalty, within three (3)
business days of the signing of this Agreement. During this three -business day period, you may cancel by electronic mailing,
faxing, or hand delivering of a written notice. If you cancel pursuant to this Section, any payments made or any negotiable
instrument executed will be returned within thirty (30) days following WINDMAR's receipt of your cancellation notice.
Notwithstanding the foregoing paragraph, if Customer cancels at any time after the three -business day period and
prior to installation Customer will be responsible for any and all costs WINDMAR determines to have incurred including
rendered services and equipment.
4. Best Price "Apples -to -Apples" Guarantee. WINDMAR offers a best price guarantee to Customer on competing
proposals that match its product, service and warranty offering, hence the "apple -to -apple". If Customer provides evidence of
a better price from another company's comparable proposal, WINDMAR will match the price. This best price guarantee last
until WINDMAR conducts the site survey or ten (10) days after contract signing, whichever happens first.
5. Extra Work and Change Orders. Extra Work and Change Orders become a part of this Agreement once the order
is prepared in writing and signed by the Parties prior to the commencement of any work covered by the new changed order.
The order must describe the scope of the extra work or change, the cost to be added or subtracted from the Agreement and the
effect of the order will have on the schedule of progress payments. WINDMAR's or any sub -contractor failure to comply
with the requirements of this Section does not preclude the recovery of compensation for work performed based upon legal or
equitable remedies designed to prevent unjust enrichment.

6. Title. Title to all equipment and materials will remain with WINDMAR until the balance is paid in full.
WINDMAR reserves the right to collect interest from the Customer at the rate of 2% per month (24% APR) on any past due
amount. If any legal action or other proceedings is brought to enforce this Agreement or because of an alleged dispute,
breach or misrepresentation in connection with any of the provisions of this Agreement, the successful or prevailing party
shall be entitled to recover reasonable attorney's fees and other costs incurred in the action or proceeding in addition to any
other relief to which they may be entitled.
7. Interconnection Fees/Umbrella Insurance Policy. Interconnection fees and insurance requirements vary per
utility supplier. Customer is exclusively responsible for such fees and insurance costs which are to be paid for by Customer to
their utility supplier/retailer who supplies electricity. Actual connections are performed by Customer's utility
supplier/retailer and are not a responsibility of WINDMAR.
8. Homeowner's Associations ("HOA") or Historic District Regulation Compliance. Customer will be responsible
to notify WINDMAR in writing of any HOA, Historic District, and/or any other association or landmark to be complied with
in order to obtain Project approval. Customer will be solely responsible for any HOA, Historic District or any other type of
fee required in order to obtain Project approval. Customer further agrees to hold WINDMAR harmless for any violations of
HOA and/or Historic District rules or regulations unless Customer duly notified such rules or regulations in accordance with
this section and WINDMAR incurred in gross negligence with regards to those rules or regulations during the Project.
9. Promotional or Additional Items. Any item, merchandise or equipment listed as a Promotional or Additional Item
in this Agreement is provided by WINDMAR as is and drop -shipped or delivered WITHOUT including installation and/or
any service by WINDMAR. WINDMAR does not provide any type of warranty or guarantee on Promotional or Additional
Items.
10. Tax Credit. Any tax issues and their applicability are the sole responsibility of Customer. WINDMAR shall not be
required to assist Customer in completing any Federal, State, or local tax rebate, tax credit, tax deduction, or other tax -related
filings or forms which could be filed by Customer, its agents, or affiliates with a governmental or taxing authority, including
the Internal Revenue Service ("IRS"). WINDMAR has not, does not, and will not make any warranty or covenant regarding
the applicability of any tax rebate, tax credit, tax deduction, tax treatment, tax status, or other tax -related issues.
11. Warranty and Repairs. The panel and inverter manufacturers used by WINDMAR offer twenty-five (25) year
warranties on their equipment. WINDMAR shall warrant its workmanship for services, but not equipment, provided for a
period of ten (10) years from the moment the System is installed in Customer's property ("Substantial Completion").
WINDMAR offers a total of ten (10) years workmanship warranty on roof penetrations. If Customer finds a breach of
WINDMAR of any of the warranties set forth in this Agreement, Customer shall give WINDMAR a written notice of the
non -conformity within thirty (30) days of such discovery but in no event later than the expiration of the warranty period. If
Customer fails to give written notice of such non -conformity to WINDMAR within such timeframe, any claims arising out of
or related to the alleged defect are waived. Upon receipt of such notice, WINDMAR shall repair, cause to repair, or replace,
at his own option, such non -conformity. WINDMAR's liability under this Agreement will be limited to the lower of the cost
of repairing the System, or any part thereof, or replacing the System, or any part thereof, with an equivalent and at
WINDMAR's sole option.
12. Terms of Payment. An initial payment of twenty percent (20%) of Contract Amount is due at contract signing. The
second payment of thirty percent (30%) of Contract Amount will be billed and paid previous to installation. A third payment
of fifty percent (50%) of PRICE will be billed and paid once the System passes inspection. If not paid within a 10 — day
period the SELLER may levy a late payment charge equal to two percent (2%) monthly on any overdue amount. If Customer
acquires a loan from a finance company that pays WINDMAR directly, it is the Customer's sole responsibility to read and
agree to the terms and conditions of such finance company and this Agreement will be considered an independent and
entirely separate contract.
13. Permits and Inspections. Customer will be solely responsible for final City or County inspection of premises for
permit purposes and to make the necessary arrangements to be available for the same. Furthermore, WINDMAR is not
responsible for covering any outstanding permits that need to be closed in order for the System to be installed or be
completed. Customer shall be present at the installation time to verify and confirm completion with the installers. Failure to
do so will require the installer to revisit the property at the sole cost of Customer.

14. Confidentiality. Customer acknowledges that this Agreement has been specially packaged to meet Customer's
specific needs and is strictly confidential. It is a term of this Agreement that Customer will not disclose the pricing set out in
the Agreement to equipment supply companies, installers, or sub -contractors, and you, the Customer, agree that if you breach
this term, WINDMAR will suffer damages and irreparable harm.
15. Non -Guaranteed Performance. Customer acknowledges that the System performances vary from site to site and
season to season, and that average production estimates are non -binding estimates based on industry standard data available
for your locations and therefore, WINDMAR does not guarantee the level ofoutput or performance of the System.
16. No Asbestos. This Agreement is entered on the basis that no asbestos exist on the heating, ventilating, or air
conditioning system at the site or any area in which WINDMAR will be required to perform work. WINDMAR is not
authorized nor qualified to handle asbestos, and will immediately stop work if asbestos is encountered, and any asbestos will
not be disturbed as a result of the work WINDMAR is required to perform. Customer shall be responsible for all asbestos
abatement and removal.
17. Impossibility. In such instance that WINDMAR must cancel this Agreement, Customer shall be entitled to a
complete refund, less any deposit applied on rendered services including any installed equipment. In no event shall Customer
be entitled to any other damages whatsoever. In the event Customer cancels the Contract, unless specified in Section 2 of
this Agreement, WINDMAR shall be entitled to retain the full deposit, plus reasonable compensation for any labor already
performed, if any.
18. Force Majeure. Cancellation of any services due to any reason beyond WINDMAR's control (i.e. an "Act of
God") shall be considered Force Majeure and shall suspend respective service obligations until reasonable possibility of
continuance. WINDMAR shall not be responsible for any equipment or materials that are destroyed or lost because of Force
Majeure.
19. Release of Liability. Customer hereby releases and forever discharges WINDMAR, its owner, officers, and any
and all affiliates (collectivelly "Releases") from all liability, whether in contract, tort, or otherwise arising out of or relating to
this Agreement and all work related to the Solar Purchase Contract, except for gross negligence. Customer shall indemnify
and hold WINDMAR harmless for any third -party actions relating to performance hereunder.
20. Governing Law. The construction, performance, and enforcement of this Agreement and the Contract shall be
governed by the laws ofthe State of Florida. Jurisdiction and venue in any action to enforce or interpret this Agreement shall
be Miami -Dade County, Florida, either on Federal or State level and both parties waive their right to object to Miami -Dade
County as forum non conveniens. Both Parties recognize having the opportunity to consult independent counsel before
signing this Agreement.
21. Severability. In the event that any of the provisions of this Agreement are held to be invalid or unenforceable, in
whole or in part, for any reason, all other provisions will nevertheless continue to be valid and enforceable.
I HEREBY DECLARE I HAVE READ THIS AGREEMENT, ACKNOWLEDGE RECEIPT OF THE SAME, AND AGREE TO
THE AFOREMENTIONED TERMS, CONDITIONS & WARNING SET FORTH HEREIN.

SOLAR PHOTOVOLTAIC PERMIT GUIDELINES
FIRE DEPARTMENT
All permit application packages must be complete prior to acceptance. You must check each box to the
left or indicate n/a on this submittal. A complete application package shall include the following:
Permit Application completed, signed and notarized. Application must include correct address and
parcel I.D. number.
Cbpy of a contract, signed by the contractor and the property owner, indicating the documented
construction value of the project.
Copy of. -applicable contractor's license issued by the State of Florida (if the contractor is the
applicant):
site specific notarized power of attorney shall be required from the licensed contractor if
he/she appoints an employee of his/her company to sign the permit application as the contractor.
Certificate of insurance indicating worker's compensation insurance coverage and naming the City of Sanford as
certificate holder, or a copy of a worker's compensation exemption issued by the State of Florida (must be submitted
with each application if contractor is the applicant).
Owner Builder Statement / Affidavit (if the owner is the applicant).
Must sign in person at the Building Department)
Provide two copies of a complete basic roof layout indicating the proposed location and orientation of the solar
panel array(s).
Provide two copies of signed and sealed engineering for the attachment of the solar photovoltaic system the roof.
Wind design data is required on the drawings per FBC 1603.1.4 to meet 139 mph ultimate design wind
speed for risk category II buildings
Provide the phase, voltage and amperage of the existing electrical service.
Provide two complete copies of the support rail specifications and installation manual.
Provide two complete copies of the power inverters specifications and installation manual.
Provide two complete copies of the photovoltaic module specifications and installation manual.
Provide two copies of an electrical schematic drawing that includes the complete circuitry from the solar panels
through the power inverter to the electrical service panel for the building including conductor types and sizes,
conduit types and sizes, junction box type and sizes, the size/rating and location of all of the over current protection
devices (e.g. fuses, circuit breakers), the rating and location of all of the disconnects and all bonding/grounding
compliant with NEC article 690.
An electrical permit submitted by a licensed electrical contractor is required for the portion of the electrical circuit
from the supply side ofthe power conditioning unit through to the building's electrical service as required by Florida
Administrative code 61G4-15.021(3)(d) which states "Solar photovoltaic systems. Solar contractors may install
new or replace existing power and control wiring in photovoltaic (PV) source circuits, PV output circuits, battery
storage system circuits, and power conditioning unit. In an interactive system that operates parallel with a primary
source of electrical energy, this work is limited to the PV supply side of the power conditioning unit. In a stand-
alone, or non -grid connected system, the work above -referenced shall be limited to the PV supply side of the power
conditioning unit and shall not include wiring integral to the building premises. All work shall be done in accordance
with the National Electric Code."
