SCHEDULE 12-26-07 CODE Jan 14-Feb 15, 112008 This Contract is made by and between Wiginton Corporation, and the Contractor named above: SCOPE OF WORK DEFINED AS: (attach proposals as necessary) — proposals are NOT to be executed. 1. Infrared moisture scan entire existing roof for wet insulation. 2. Sweep roof free of all dust and debris. 3. Cut existing EPDM membrane and let relax before installation of new roof system. 4. Install new Johns Manville 1/z"x 4'x 8' wood fiber roof insulation mechanically fastened thru existing roof into metal roof deck over entire roof per manufactures installation instructions. 5. Install Johns Manville 1/2" tapered insulation crickets at roof scuppers to eliminate current water pooling. 6. Install Johns Manville 60 mil White mechanically fastened TPO single ply roof system thru existing roof into metal roof deck over entire existing roof. 7. Install Johns Manville vinyl clad metal scuppers and pitch pan flashings. 8. Remove existing and re -install lightning protection in adhesive and new white fasteners on new TPO membrane. 9. Install 24 gauge mill finished counter flashing at parapet walls, skylights and roof top equipment curbs. 10. Install Johns Manville TPO gray walkpads, 1/4" x 36", around all sides of all roof top equipment curbs, three restroom exhaust vents, roof access hatch and top and bottom of roof ladders. 11. Debris clean up and removal from site. 12. Fifteen (15) year manufacturer material and labor warranty. 13. Two (2) year General Works LLC maintenance agreement at no charge. LUMP SUM CONTRACT AMOUNT: 247,350.00 less FP&L rebate of $0.45 per square foot ($44,500 estimated) contingent on final inspection and approval by FP&L. It is the express intention of the parties that Contractor is an independent contractor and not an employee, agent, joint venture or partner of Wiginton. Contractor will retain the right to perform services for others during the term of this Agreement. Contractor is responsible for paying all required state and federal taxes. 2. Contractor shall furnish all certificates of insurance as required by this Contract immediately upon execution. 3. Contractor agrees to diligently pursue his portion of the work and to meet the requirements set forth in the Progress Schedule. If Contractor delays the progress of the work, he shall bear all cost of overtime, expediting and all special freight or other charges required to maintain schedule. 4. A copy of the Progress Schedule is attached hereto and by reference is fully incorporated into this agreement. 5. Work hours shall be established and mutually agreed to by Wiginton and Contractor. Unless otherwise agreed, normal working hours shall be (non -holiday) weekdays, Monday — Friday, lam to 5pm. 6. Wiginton's Project Manager for your work is named: Chuck Lake. Ph # 407-832-1475, office address 699 Aero Lane, Sanford Florida, 32771. 7. The Contractor shall furnish shop drawings and submittal data to Wiginton. The Contractor shall be responsible for all layouts and engineering of his own work. 8. The Contractor shall be responsible for clean-up of his own debris on a daily basis, and remove from site daily. 9. The Contractor shall be aware of and shall perform his work in strict compliance with any local, state and federal safety requirements and regulations. The Contractor shall furnish Material Safety Data Sheets to Wiginton upon request. Contractor'shall have same in his possession at the jobsite at all times. 10. The Contractor shall comply with the code requirements of any governmental or regulatory body having jurisdiction over the work covered herein. Any discrepancy between the code requirements, and the drawings or specifications shall be brought to the attention of Wiginton in writing immediately. 11. The Contractor shall be responsible for scheduling, deliveries and receiving of all materials and supplies required for the work included herein. Wiginton will not be responsible for unloading, handling or the condition of or the quantity of any materials delivered in the absence or presence of the Contractor, or any manner whatsoever. 12. The Contractor shall be responsible for proper staging and storing and protection of his materials while on or off site or anywhere in between. 13. The Contractor agrees to maintain "as built" documents and data applicable to the work included herein. These documents shall be provided to Wiginton prior to release of final payment. 14. Contractor shall submit a detailed Schedule of Values acceptable to Wiginton, for the purpose of approving work -in - place and/or materials suitably stored on site. 15. Prior to the final payment requisition being processed, the Contractor must 'submit to Wiginton, final lien waivers, final; warranty, as -built drawings, copies of inspections and/or permits, copies of equipment operation and maintenance manuals and any other criteria required by the contract documents. 16. Wiginton's Requisition for Payment forms must be used for all requisitions : and must bear the Contractor's original signature. 17. If a Notice to Owner, or other- preliminary notice of lien rights, is filed for this project by any Contractor, Subcontractors or any of his suppliers or Sub -subcontractors, a Partial Lien Waiver will be required before disbursement of any payment. 18. The Contractor will execute IRS document W-9 and return it with the executed contract. 19. Contractor may not assign this Contract or any monies due, or to become due. Form S-1400 Wiginton Corporation TERMS AND CONDITIONS: 1. SCOPE OF WORK: Contractor shall provide and pay for all labor, materials, services, tools, equipment and other things necessary to fully perform the Work set forth herein, in cooperation .with the other trades, in a good and workmanlike manner, and to the satisfaction and acceptance of Wiginton. Contractor has examined the premises and ascertained existing site conditions (including sub -surface conditions) and the nature and location of the Work thereon. a. No claim shall be made by Contractor due to minor variations in the actual condition of the premises from what is shown on the drawings and specifications. 2. CHANGES IN THE WORK: Whenever extra work is requested verbally or in writing, any claim for compensation for such extra work must be presented by the Contractor to Wiginton in writing within one (1) day of such request. Contractor shall furnish a complete breakdown itemized in sufficient detail to permit an analysis of all labor, material and equipment for Work added or deleted at the direction of Wiginton. In the event that a change in Work affects the current Construction Progress Schedule, Subcontractor must include within the claim and/or quotation any request for time extension. No extra work shall proceed without written confirmation by Wiginton to proceed at the agreed price. 3. PERFORMANCE: Contractor acknowledges that TIME IS OF THE ESSENCE. Contractor shall turn the Work over to the Contractor in good condition and free and clear of all claims and liens, and shall, at his expense, indemnify Wiginton and defend all suits and pay all claims arising from his actions and omissions or those of his vendors or subcontractors in his performance of this Contract. Contractor covenants, agrees and warrants that he shall not employ any labor which will interfere with labor harmony at the job site or with the introduction and storage of materials and execution of Work by other subcontractors. 4. INDEMNITY: Contractor shall defend, indemnify and hold harmless Wiginton and Owner (if different) and their officers, directors, employees and agents, from and against any and all claims, damages, liability, losses and expenses arising from the conduct, management or performance of the Work or the performance by Contractor under the terms of this Contract, including, without limitation, (i) any and all claims arising from any condition of. the Work or (ii) arising from any breach or default on the part of Contractor in the performance of any obligation on his part to be performed pursuant to this Contract or (iii) arising from any act, omission or negligence of Contractor, or any of his agents, subcontractors, suppliers, servants, employees or licensees, or (iv) arising from any accident, injury or damage whatsoever caused to any person, firm or corporation, or (v) liens relating to Contractor's Work, regardless of who performs the Work, supplies materials, or asserts such lien. The indemnity of Wiginton and Owner shall include all costs, reasonable attorneys' fees, expenses and liabilities incurred in or about any such claim, action or proceeding brought thereon. Contractor acknowledges and agrees that TEN and No/100 Dollars ($10.00) of the Contract price represents the specific consideration paid by Contractor for all the indemnification's from Contractor to Wiginton and Owner under the terms of this Contract and all Contract Documents made,a part hereof. 5. INSURANCE: Contractor shall provide and maintain at Contractor's expense, until the completion and final acceptance of the Work, the following insurance protection with companies satisfactory to Wiginton: a. Workman's Compensation Insurance must equal or exceed required legal minimums. b. General Liability --Limits must equal or exceed: (A) Combined Single Limit --Bodily Injury and Property Damage--$500,000 each occurrence: (B) Split Limits --Bodily Injury, $500,000 each occurrence,. Property Damage—$250,000 each occurrence: (C) Coverage to be on Comprehensive Form and include: Premises/Operations-Underground, explosion and collapse hazard (xcu) if any operation by subcontractor involved -Broad Form Property Damage -Personal Injury (including libel, slander, .false arrest, etc.) Automobile --limits must equal or exceed: Combined Single Limit --Bodily .Injury and Property Damage— 500,000 each occurrence or Split Limits --Bodily Injury--$250,000 each person, $500 000 each occurrence: Property Damage--$100,000 each occurrence. Coverage must include all autos including hired, and no -owned vehicles. If desired, an Umbrella Liability policy may be used as part of the indicated total required limit. Umbrella Liability policy in the amount of not less that $5,000,000. Form S-1400 Wiginton Corporation 6. DEFAULT AND REMEDIES: If at the discretion of Wiginton, the Contractor at any time fails to prosecute and complete the Work in accordance with the Construction Progress Schedule, or as herein provided, or as directed by Wiginton, or fail to diligently and continuously perform his Work, or if, in the opinion of Wiginton; the Work of Contractor cannot be completed in the time period required, or if Wiginton is notified of Contractor's failure to pay for any material or labor used on the Project, or in the event of a strike or stoppage or Work resulting from a dispute involving or affecting the labor employed by Contractor or his sub -contractors, or if Contractor fails to perform any of the requirements of this Contract, then such event shall constitute a default hereunder and Wiginton shall notify Contractor to correct such default and shall specify in such notice the action to, be taken and a reasonable date bywhichthedefaultshallbecorrected. If a default occurs and is not corrected as specified in the notice to the Contractor, Wiginton shall be entitled to exercise any or all of the following remedies: a. Wiginton may immediately take any action necessary to correct such default, including without limitation the right to provide labor, overtime and materials, and may deduct the cost of correcting such default from any payment due ortobecomeduetoContractororrecoversuchcostfromContractorifnosumsaredueorbecomeduetoContractor. 7. PAYMENT: Contractor shall at the request of Wiginton, prior to submission of his first requisition for payment, give Wiginton the name, address and telephone number of all suppliers and subcontractors furnishing materials and/or labor to Contractor for the Work covered herein. a. Requisitions for payment submitted by the 20th day of each month shall be processed by Contractor for payment by the 15th day of the following month. Wiginton may require evidence that the unpaid balance, exclusive of retainge, is at all times sufficient to complete Contractor's remaining Work. b. All monthly payments shall be subject to a ten (10) percent retainage. Retainage shall be disbursed within thirty (30) days following completion and acceptance by Wiginton. 8. REOUISTIONS: Contractor's requisitions for payments shall be in such form as is acceptable to Wiginton and shall be accompanied by valid lien waivers covering the amount of all materials and Work reflected in such requests from Subcontractors and all of his sub -contractors and suppliers and, if requested, Subcontractor shall submit evidence satisfactory to Wiginton that all payroll, bills for materials and equipment, and all known indebtedness connected with Contractor's work have been satisfied. Contractor shall defend and discharge any liens or claims arising from performance or failure to perform under this Contract and shall indemnify and hold Wiginton harmless from any losses, damages, costs, expenses and attorneys' fees relating to or resulting from mechanics' liens, arising by, through, or under Contractor or Subcontractors. 9. WARRANTY: Contractor warrants to Wiginton that all materials and equipment furnished under the Contract will be new unless otherwise specified and that all Work will be of good quality, free from faults and defects and in conformance with the Contract Documents. All Work not so conforming to these standards may be considered defective. If required by Wiginton, the Contractor shall furnish satisfactory evidence as to the kind and quality of materials and equipment. Contractor shall warrant all materials and workmanship furnished or performed hereunder to be free of defects fora period of one year from date of acceptance by Wiginton of the entire Project unless otherwise specified herein and shall, at his expense, promptly replace, repair or correct any such defective materials or workmanship appearing within warranty period as set forth herein. Contractor shall submit and assign all factory warranties on equipment and materials installed and at the option of Wiginton, shall initiate an assignment to Wiginton an/or assigns a service agreement with a local service agency coveringall equipment, workmanship and materials so installed. The Warranty provided in this paragraph and elsewhere in the Contract Documents shall be in addition to and not in limitation of any other warranty or remedy required by law or by the Contract Documents.
