EXTENSION TO LEGALLEFTY, LLC/CITY OF SANFORD
CONDITIONAL TEMPORARY PARKING EASEMENT (210 SANFORD AVENUE)
THIS EXTENSION TO CONDITIONAL TEMPORARY PARKING EASEMENT
(hereinafter "Extension" for the sake of simplicity) is entered into on this ffday of
2024, between Legallefty, LLC, whose address is 363 North Orange
Avenue, Sanford, Florida 32771, (hereinafter collectively referred to as "Legallefty") and
the City of Sanford, a Florida municipal corporation, whose address is 300 North Park
Avenue; Sanford, Florida 32771 (hereinafter referred to as the "City")..
WHEREAS, the parties to this Extension previously entered into an agreement
styled "Conditional Temporary Parking Easement" (the "Original Agreement"), which was
extended, nunc pro tunc, and desire to extend the period of effectiveness of the Original
Agreement, as previously extended; and
WHEREAS, the parties to this Extension ratify and affirm all actions taken by the
parties in the implementation of the Original Agreement, as extended, and further extend
the term of the Original Agreement in accordance with its provisions so as to enable both
parties to continue to enjoy the mutual benefits it provides and Legallefty has no claim of
any type of nature against the City; and
WHEREAS, the Original Agreement, as extended, and the essential requirements
of contract law provide that any extensions to agreements shall be expressed in writing
and duly executed by the parties.
NOW, THEREFORE, in consideration of the mutual understandings and
agreements contained herein, and other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, the parties agree to further extend the
Original Agreement as follows:
SECTION 1. RECITALS. The above stated recitals (whereas clauses) to this
Extension are hereby adopted and form a material part of this Extension and the
consideration hereof upon which the parties have relied.
SECTION 2. EXTENSION AND RENEWAL. The term of the Original Agreement,
as extended, which was to expire on midnight of June 13, 2024, in accordance with the
provisions of the Original Agreement, as extended, is further extended such that the
Original Agreement, as extended, will now terminate on midnight of June 13, 2029 and
the Original Agreement, as extended, is further renewed and extended.
SECTION 3. NO OTHER AMENDMENT; ORIGINAL AGREEMENT
COMPLIANCE. Except as specifically stated herein in this Extension, all terms and
conditions of the Original Agreement, as extended, shall remain in full force and effect
as originally set forth in said Original Agreement, as extended, and the parties agree that
both parties are not in breach and have fully complied with the provisions of the Original
Agreement, as extended.
IN WITNESS WHEREOF, the parties hereto have executed and delivered this
instrument on the days and year indicated below and the signatories below hereby
represent that they have full authority to execute this instrument and to bind the parties
set forth herein.

SUBJECT: Parking Agreement Extension; Legallefty, LLC
STRATEGIC PRIORITIES:

SYNOPSIS:
An extension of the parking agreement between the Legallefty, LLC and the City has been
prepared for the City Commission's approval.
FISCAL/STAFFING STATEMENT:
The City shall pay rent in the amount of $6,000 for the entire term of the extension to the
agreement. The $6,000 rent amount is no change to the existing lease agreement.
BACKGROUND:
This parking agreement relating to property located at 210 South Sanford Avenue has been in place
since May 7, 2014, and expires on June 13, 2024. The proposed extension will expire on June 13,
2029. The parking lot is a finished parking lot, illuminated well, and will now provide 24 public
parking spaces 24 hours/day 7 days a week with limited exceptions.
The managers of Legallefty, LLC are Bobby P. Duncan and Paula D. Duncan.
LEGAL REVIEW:
The Assistant City Attorney has prepared the extension and has no legal objections.
RECOMMENDATION:
City staff recommends that the City Commission approve the extension to the parking agreement
between Legallefty, LLC and the City.
SUGGESTED MOTION:
"I move to ratify and approve the extension and conditional temporary parking agreement, as
proposed."
