WITNESSETH: FOR AND IN CONSIDERATION OF the sum of TEN AND NO/100 DOLLARS ($10.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, GRANTOR does hereby grant and convey to GRANTEE and its assigns, subject to the provisions of this Easement, the following non-exclusive perpetual easements, to -wit: (a) a non-exclusive perpetual easement under, upon or across the lands situated in the County of Seminole, State of Florida which are more particularly described and shown on Exhibit A attached hereto and incorporated herein (the "Meter Easement Area") to enter upon, construct, install, operate, maintain and replace, all as the GRANTEE or its assigns may reasonably deem necessary, the reclaim meter, the water meter and backflow preventer, and the water pipes and/or lines leading into said meters from H. E. Thomas, Jr. Parkway (County Road 46A), which meters, backflow preventer, and water pipes and/or lines are currently located under, upon or across the Meter Easement Area (the "Meter Easement"); and (b) a non-exclusive perpetual easement over and across the lands situated in the County of Seminole, State of Florida which are more particularly described and shown on Exhibit B attached hereto and incorporated herein (the "Ingress Egress Easement Area") for the limited purpose of vehicular ingress and egress by GRANTEE or its assigns to and from Cherry Laurel Drive and the Meter Easement Area (the "Ingress Egress Easement") to the extent necessary in order to exercise the Meter Easement rights granted in subparagraph (a) above, with any use of the Ingress Egress Easement Area by Grantee or its assigns for such purpose to be in common with GRANTOR, its successors and assigns and all other persons now or hereafter entitled or permitted to use the Ingress Egress Easement Area. This City of Sanford Utility Easement shall not be construed as a grant of right of way and is specifically limited to the Meter Easement and the Ingress Egress Easement rights granted hereinabove. GRANTOR owns the real property conveyed to it by Special Warranty Deed recorded in Official Records Book 10011, Page 1311, of the Official Records of Seminole County, Florida ("Grantor's Property"). Specifically -without- limitation ofthe-foregoing,' GRANTOR—its-successors-and-assigns-shall-have,—and— GRANTOR hereby reserves to itself, its successors and assigns, and to each of its or their respective licensees, permittees, invitees, concessionaires, tenants, subtenants, contractors, subcontractors, agents, and employees from time to time, the right to use the Ingress Egress Easement Area for the purposes of pedestrian and vehicular access, ingress and egress to and from Cherry Laurel Drive and any portion of the Grantor's Property and/or for vehicular parking. Further, GRANTOR, its successors and assigns shall have, and GRANTOR hereby reserves to itself, its successors and assigns the right to grant and convey additional rights, privileges and/or easements from time to time in, on, under, upon, over, and/or across the Ingress Egress Easement Area to such other persons as GRANTOR, its successors or assigns may choose in its or their sole discretion for the purposes of parking, utility purposes, pedestrian and/or vehicular access, ingress and egress, and/or for any other purposes which are not materially inconsistent with the use of the Ingress Egress Easement Area by GRANTEE or its assigns for the purposes for which the Ingress Egress Easement is hereby granted and conveyed. GRANTOR, its successors and assigns shall have, and GRANTOR hereby reserves to itself, its successors and assigns the right to use the Meter Easement Area for construction, installation, operation, maintenance, repair, and replacement of landscape irrigation lines and water lines servicing Grantor's Property, landscaping, and/or for any other purposes which are not materially inconsistent with the use of the Meter Easement Area by GRANTEE or its assigns for the purposes for which the Meter Easement is hereby granted and conveyed. Provided, however, as to the Meter Easement Area only: (i) GRANTOR shall not have the right to grant utility easements to other parties with respect to the Meter Easement Area without the prior written consent of GRANTEE; (ii) GRANTEE and its assigns shall have the right to clear, keep clear and remove from the Meter Easement Area, only, any trees, undergrowth and other obstructions that may interfere with the construction, installation, operation, maintenance or replacement of the utility facilities installed and/or maintained thereon by GRANTEE or its assigns; and (iii) GRANTOR, its successors and assigns agree not to build, construct or create, or permit others to build, construct or create any buildings or other structures on the Meter Easement Area that may interfere with the construction, installation, operation, maintenance or replacement of the utility facilities installed and/or maintained thereon by GRANTEE or its assigns unless approved by GRANTEE. All of the rights reserved above in this Easement shall run with the land with respect to Grantor's Property and inure to the benefit of GRANTOR, its successors and assigns and others as designated above, and be binding upon GRANTEE and its successors and assigns. If GRANTEE or its assigns disturbs any landscaping or improvements within the Ingress Egress Easement Area or the Meter Easement Area, GRANTEE shall restore such landscaping or improvements to their condition prior to such disturbance.
