meet standards of all laws regulating construction in this jurisdiction. I understand that a separate permit
must be secured for electrical work, plumbing, signs, wells, pools, furnaces, boilers, heaters, tanks, and
air conditioners, etc.

McNeill, hereinafter called the "Owner."

1. Contract Documents: The Contractor shall complete the work described in the Contract Documents for the project. Contractor and the Owner
shall be bound by all the terms of the Contract Documents and assumes all the obligations of Contractor as stated therein, which are applicable to the
Contract scope. Contractor hereby affirms that it has adequately investigated the nature and conditions of the Project site and locality, has familiarized
itself with labor availability and conditions affecting the difficulty of the work, and has entered into this Contract Agreement based upon its own
examination, investigation and evaluation, and not in reliance upon any opinions or representations of Owner and/or Architect.
The "Contract Documents" shall consist of:

2. Work: Contractor shall perform and furnish all labor, supervision, services, materials, equipment, tools, scaffolds, lifts, hoists, transportation,
storage, and all other things necessary to timely and fully perform the Contractor's obligations required at the above -referenced Project in a proper and
workmanlike manner.
3. Scope of Work: Contractor agrees to the following specific scope inclusions:
a. Exhibit A - All work shall be performed in accordance with D.1 proposal E10 $,3$D dated I 25 bjb. The proposal E1'A 338D qualifications
outline the scope of work for the removal of:

b. Daily clean up and removal of debris to Contractor supplied dumpster, unless stated otherwise in Exhibit A.
c. Coordination with City and/or County building departments for the purpose of permit and inspections.
4. Unforeseen Conditions, Below Grade Damages and Landscape: The Contractor is not to be held liable for all/or any damages caused by
unforeseen conditions, damages to below grade structures, wells, septic tanks, sewer, water, cables, telephone, and irrigation including but not limited
to, caused by the use of heavy equipment during the course of the project. The relocation and/or disconnection of any of the below grade structures are
to be completed by the Owner prior to the commencement of demolition. The Owner shall be responsible for the removal / relocation of all/or any
flowers, plants, bushes, shrubbery, tress, ground covers, and/or accent lighting that is to be saved / re -used unless otherwise agreed and incorporated
within this agreements Work. The Contractor is not to be held liable for damages to landscapes / hardscapes surrounding the structure(s) (in areas of
required access) due to the use of heavy equipment. If concealed or unknown physical conditions are encountered at the site that differ materiallyfrom
the Work indicated in the Contract Documents or from those conditions ordinarily found to exist, the Contract Sum and Contract Time shall be subject
to equitable adjustment. The Contractor has agreed to the best of there abilities to remove and save magnolia tree located at front right of structure by
front porch. The Contractor.has agreed to the best of there abilities to dig down and cap off pump and save.
5. Date of Commencement and Substantial Completion: The number of calendar days available to the Contractor to substantially complete the
Work is the Contract Time. The date of commencement of the Work shall be the date of this Agreement unless otherwise indicated below. The
Contractor shall substantially complete the Work, no later than Seven Days (07) calendar days from the date of commencement, subject to adjustment
for all/or any unforeseen conditions.and as provided in Item 11 Contract Amendment. *Note: Commencement of the work is dependent upon issuance
and receipt of Permit; substantial completion shall be within the number of days following that date
6. Contract Price: The Contract Price stated in this Agreement, is the total amount payable by the Owner to the Contractor for satisfactory

subject to any additions and deductions for changes made pursuant to this Agreement.

7. Progress Payments: For purposes of payment, the Contract Sum includes the following values related to portions of the Work and is to be paid by
the Owner progressively to the Contractor on the dates of payment stated herein and/or Upon Completion:

8. Payment: Based on the Contractor's Application for Payment (Invoice), the Owner shall pay the Contractor in accordance with Item 6 Progress
Payments.. Payment application(s) shall show the amount of all previous payments to Contractor, and shall include evidence, following the initial
payment, satisfactory to Owner that the Contractor has paid all persons and entities supplying labor, materials or services in connection with the work
an amount applicable to the percentage the Contractor has received from the Owner prior to further payment(s). Contractor shall submit Unconditional
Progress Lien releases for its payment and from suppliers/vendors after each payment and before any additional payments are made to Contractor by
Owner. *Note: Payments due and unpaid under the Contract Documents shall bear interest from the date payment is due at the rate applicable to
Florida Statutes, or in the absence thereof, at the legal rate prevailing at the place of the project.
9. Retainage: Ten percent (10%) retainage will be withheld from all Progress Payments only. Retainage and final payment are to be released upon
final acceptance of the Project by the Owner.
10. Final Payment: A final payment consisting of the unpaid balance of the Contract Price shall be made upon completion, after final acceptance of
the work by Owner. The acceptance of final payment shall constitute a waiver of all claims by the Contractor arising out of or relating to this Contract
Agreement and the work provided herein except those previously made in writing and identified by the Contractor in writing as unsettled atthe time the
Final Payment Application is submitted. A Final Waiver of Lien in exchange for final payment shall be provided by the Contractor to the Owner.
11. Payment Conditions: It is specifically agreed and understood that Owner's payment to Contractor for labor, services, or materials, or applicable
portions thereof, within the scope of this Agreement shall serve as an absolute condition precedent to Contractor's duty and obligation to make
payment to all persons and entities supplying labor, materials or services in connection with the work furnished under this Contract Agreement.
12. Contract Amendment: Owner may, without invalidating the Contract Agreement, order extra and/or additional work, deletions, reductions,
alterations in scope of work, or other modifications to the work, such changes to be effective only upon written order of Owner. If such order affects the
Contract price or time of performance, Contractor shall notify Owner in writing before implementing such order and submit to Owner, in writing, its
detailed estimate of the value of and time involved in any such change or proposed change, including unit costs if requested. Owner and Contractor
agree that additional work or overtime, which involves an increase in price or costs, shall only be authorized by an executed approval from Owner.
Payments to Contractor for such work shall be paid concurrently with the Payment application and time period in which the work was completed.
13. Information and Services required of the Owner: If requested by the Contractor, the Owner shall furnish all necessary surveys and a legal
description of the site. Except for permits and fees that are the responsibility of the Contractor underthis agreement, the Owner shall obtain and pay for
other necessary approvals, easements, assessments and charges.
44. Owner's Right to Stop the Work: If the Contractor fails to correct Work which is not in accordance with the Contract Documents, the Owner may
direct the Contractor in writing to stop the Work until the correction is made.
15. Owner's Right to Carry Out the Work: If the Contractor defaults or neglects to carry out the Work in accordance with the Contract Documents
and fails within a seven day period after receipt of written notice from the Owner to commence and continue correction of such default or neglect with
diligence, the Owner may, without prejudice to other remedies, correct such deficiencies. In such case, the Contract Sum shall be adjusted to deduct
the cost of correction from payments due the Contractor.
16. Owner's Right to Perform Construction and to Award Separate Contracts: The Owner reserves the right to perform construction or operations
related to the project with the Owner's own forces at Owner's cost, and award separate contracts in connection with other portions of the Project. The
Contractor shall coordinate for agreed upon fees and cooperate with the Owner's own forces and separate contractors employed by the Owner. Costs
caused by delays or by improperly timed activities or defective construction shall be borne the party responsible therefore and the Owner shall deduct
such costs, if any, from its own forces to compensate the Contractor.
Owner, at its discretion, may terminate this Contract at any time by giving at least three (3) days prior written notice of such termination to Contractor,
and Contractor shall be entitled to payment at the Contract Price for all accepted work furnished or installed and materials stored by it. In the event of
termination hereunder, Contractor shall not be entitled to prospective profits on work unperformed and/or materials unfurnished.
17. Time: Time limits stated in the Contract Documents are of the essence of the Contract. If the Contractor is delayed at any time in progress of the
Work by changes ordered in the Work, unforeseen conditions, or by labor disputes, acts of Nature, unusual delay in deliveries, unavoidable casualties
or other causes beyond the Contractor's control, the Contract Time shall be subject to equitable adjustment.
18. Supervision and Construction Procedures: The Contractor shall supervise and direct the Work, using the Contractor's best skill and attention.
The Contractor shall be solely responsible and have control over construction means, methods, techniques, sequences, and procedures, and for
coordinating all portions of the Work. The Contractor, as soon as practicable after award on the Contract, shall furnish in writing to the Owner the
names of subcontractors, suppliers for each portion of the work. The Contractor shall enforce strict discipline and good order among the Contractor's
employees and/or subcontractors carrying out the Work. The Contract shall not permit employment of unfit persons or persons not skilled in tasks
assigned to them.
19. Permits and Fees: The Contractor shall obtain the building permit and other permits and governmental fees, licenses, and inspections for Owner
necessary for proper execution and completion of the Work. The cost for D.1 Demolition to make application and obtain the required permit(s) is priced
as an allowance; see Item 5 Contract Price. a. Allowances. The Contractor shall comply with and give notices, schedule inspections as required by
agencies having jurisdiction over the Work. The Owner shall bear the cost of tests, inspections or approvals that do not become requirements until after
this Contract is executed.
20. Use of Site and Clean Up: The Contractor shall confine operations at the site to areas permitted by law, ordinances, permits, the Contract
Documents, and the. Owner. Owner understands and agrees to allow D.1 Demolition to store / secure equipment on site in designated staging areas
and agrees to use of onsite disposal roll -off cans for the duration of the project; placement within property lines and/or as permitted on City / County
property or property within their jurisdiction. Contractor shall keep the premises and surrounding area free from accumulation of debris and trash
related to the Work. At the completion of the Work, the Contractor shall remove its tools, equipment, disposal roll -off cans, and properly dispose of
waste materials.

21. Insurance: The Contractor shall provide the Contractor's general liability and other insurance as follows:

The Owner shall provide property insurance to cover the value of the Owner's property, including any work provided under this Agreement.
22. Compliance: Contractor shall, at its own expense, obtain all necessary licenses and permits pertaining to its work and comply with all statutes,
ordinances, rules, regulations and orders of any governmental or quasi -governmental authority having jurisdiction over the work, or the performance
thereof, including but not limited to, those relating to safety, hazardous condition standards, environmental laws, wages, discrimination, and equal
employment opportunity.
23. Guarantee and Warranty: Contractor guarantees and warrants that its work shall be free from defects and shall conform to and meet the
requirements of the Contract Documents. Contractor agrees to make good, to the satisfaction of Owner, any portion or portions of the work which prove
not in compliance with the Contract Documents. Issuance of any Warranty is not applicable to the scope of work incorporated within this Agreement.
24. Labor and Cooperation: Contractor shall comply with all wage rates, reporting obligations, safety regulations and similar requirements
established under the Contract Documents and by any governmental authority having jurisdiction. Contractor shall be responsible for payment of all
sales, use, occupation, license, excise and other taxes related to the work, or its components.
Contractor shall alert adjacent properties / Owners of noise, and work to suppress dirt, debris, and dust caused by the Work. Contractor may occupy
and use portions of the site as the Work is completed.
25. Damage: Contractor shall not be liable or responsible for loss or damage to salvaged items from the property, or other personal property owned,
rented, or used by Owner, or anyone located on the site, in the performance of the work. The Owner shall take such protective action as it deems
desirable with respect to such property unless otherwise included within the Work
26. Assignment of Contract: Neither party to the Contract shall assign the Contract as a whole without written consent of the other.
27. Governing Law: This Contract Agreement shall be governed by the law of the place where the Project is located
28. Arbitration: Any controversy or claim arising out of or relating to this agreement, or the breach thereof, shall be settled by arbitration administered
by the American Arbitration Association under its Construction Industry Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may
be entered in any court having jurisdiction thereof. Venue for any such arbitration proceeding shall be Seminole County, State of Florida and this
clause shall be binding and mandatory. Should any dispute, arbitration or legal action arise out of this Contract, the prevailing party shall be entitled to
recover its attorney's fees, paralegal fees, investigative fees, expenses and costs incurred in connection with such a dispute, arbitration or action,
through all appeals, bankruptcy proceedings and collection efforts. The parties herein specifically confer upon the arbitrator(s) the power and the duty,
to determine who the prevailing party was and also to assess the amount of attorneys' fees, costs, and expenses to be assessed against the losing
party.
29. Termination by the Contractor: If the Owner fails to make payment as provided in Item 8 Payment for a period more than seven (7) days of the
required dates of payment, the Contractor may, upon eight (8) additional days' written notice to the Owner, terminate the Contract and recoverfrom the
Owner payment for Work executed including reasonable overhead and profit, and costs incurred by reason of such termination.
30. Termination by the Owner for Cause: The Owner may terminate the Contract if the Contractor;
a. Repeatedly refuses or fails to provide properly skilled manpower
b. Fails to make payment to subcontractors for materials or labor, suppliers/vendors for materials or equipment in accordance this Agreement
C. Persistently disregards laws, ordinances, or rules, regulations or orders of any public authority having jurisdiction; or
d. Is otherwise guilty of substantial breach of the Contract Documents
When any of the above reasons exist, the Owner may without prejudice to any other rights or remedies of the Owner and after giving the Contractor
and the Contractor's surety, if any, seven days' written notice, terminate employment of the Contractor and may;
1. Take possession of the site and of all materials owned by the Contractor with exception of the Contractors tools and equipment, and
2. Finish the Work by whatever reasonable method the Owner may deem expedient.
In the event of such termination of Contractor, the Contractor shall not be entitled to receive any further payment underthis Agreement until the work is
wholly finished, at which time, if the unpaid balance of the amount to be paid under this Agreement exceeds the expense incurred by Contractor in
finishing the work, such excess shall be paid by Owner to Contractor.
31. Termination by the Owner for Convenience: The Owner may, at any time, terminate the Contract for the Owner's convenience and without
cause. The Contractor shall be entitled to receive payment for Work executed, and costs incurred by reason of such termination, along with reasonable
overhead and profit on the Work executed.
If such expense exceeds the unpaid balance, the Subcontractor shall pay the difference to Contractor.
32. The Contract: This Contract Agreement, including the documents incorporated herein by reference, embodies the entire agreement of the parties
and supersedes all prior and contemporaneous negotiations, quotations, correspondence, agreements, and understandings relating to the subject
matter hereof. The Contract may be amended or modified only by written modification in accordance with Item 11, Contract Amendment.
33. Headings: All headings contained in this Agreement are for convenience of reference only, and shall not affect the construction or interpretation of
this agreement.
BY EXECUTING THIS CONTRACT, OWNER ACKNOWLEDGES HAVING READ AND UNDERSTOOD THIS CONTRACT AGREEMENT AS
