WITNESSETH: WHEREAS, the Contractor has entered into a contract (the "General Contract") with Seminole Medical Developers, LLC (the "Owner") dated the 11 'h day of March, 2009: and WHEREAS, subject to the terms and conditions set forth below, the Contractor desires to engage the services of the Subcontractor to perform a portion of the work described in the General Contract. NOW. THEREFORE, in consideration of the foregoing and the mutual promises set forth below, the parties, intending to be legally bound, agree as follows: 1. DEFINITIONS As used herein, the following words shall have the meanings set forth as follows: (a) Applicable Law means all laws, statutes, codes, ordinances, rules and regulations adopted or promulgated by any governmental entity, agency or authority having jurisdiction over the Work or the Project including, but without limiting the generality of the foregoing. environmental. safety and building codes. (b) Archirect or Engineer shall mean the Architect andior Engineer and/or their sub -consultants or other representatives of the Owner desigzlated as such by the Owner pursuant to the General Contract or otherwise and under whose supervision or inspection the Work is required to be accomplished under the terms of the General Contract between the Owner and the Contractor. (c) Building or Structure shall mean the vertical improvements to be constricted as identified in the General Contract and shall include outside utilities, side alks. landscaping, roads. streets and all other subjects and objects of construction provided for in the General Contract. ( d) Conrracr Documents shall mean this Agreement. including all addenda- exhibits amd schedules. if am•. armchcd hereto. together with the General Contract and the documents addenda schedules and exhibits incorporated therein and related thereto. including. but not limited to, the general conditions. special conditions. supplemental conditions. Plans and Specifications and all addenda or schedules related thereto. Without limiting the generality of the foregoing and if attached hereto. E�Iibit "A" shall describe the Contract Documents. The patnent provisions of the General Contract arc expressly excluded. 1c) Owner shall have the meaning set forth in the recitals above. H. SUBCONTRACT WORK The Subcontractor shall perform the Subcontract Work in a timely manner and in strict compliance with (i) the Contract Documents, (including the "Special Clauses" set forth on Exhibit "C" attached hereto and incorporated herein), (ii) the Plans and Specifications, and (iii) Applicable Law. In connection with its performance of the Subcontract Work, the Subcontractor shall (i) adopt and incorporate such programs, such as a "Drug Free Workplace," as are required under the General Contract, (ii) comply with those terms and conditions of the General Contract which are applicable to its performance of the Subcontract Work. (iii) furnish all labor, materials. scaffolding, equipment, machinery, tools, apparatus, transportation, all required shop drawings, submittals and all required samples (iv) as often as directed by the Contractor, completely clean all Subcontract Work, remove all contributing debris.from the job site and (v) perform all work necessary to complete the items of Subcontract Work as stated herein. ill. CONTRACT DOCUMENTS (a) The Contract Documents. including the drawings, plans, specifications, conditions and addenda thereto, shall be kept on file in the office of the Contractor and shall be considered as exhibits to this Agreement Subcontract Work (i) shown on or inferred from the drawings, though not mentioned or described in the specifications or (ii) not shown on drawings. though mentioned or described in the specifications, shall be executed as part of this Agreement, and the said drawings or specifications shall be construed as supplementing one another. (b) Should the Owner choose not to engage an Architect or Engineer to provide construction administration services for the General Contract, the rights of the parties, to the extent that they may arise out of or derive from the General Contract, shall be determined by the Owner or its duly appointed representative and the Contractor without the necessity of any certificate. determinations or other function to be performed by an Architect or Engineer under any Contract Documents. 1V. WARRANTIES AND REPRESENTATIONS The Subcontractor warrants and represents to the Contractor as follows: (a) It has had an opportunity to read and review the Contract Documents and is familiar with the terms and conditions Set forth therein. (b) It has conducted such investigations of the Project and the site of the Subcontract Work as it deems reasonably required. under the circumstances. to apprise it of the material conditions which will affect its performance of the Subcontract work. (c) it possesses all of the qualifications, licenses and/or permits required under the Contract Documents and Applicable Law so as to allow it to lawfully perform the Subcontract Work in accordance with the Contract Documents. (d) If applicable, it is a duly certified Minority Business Enterprise under Applicable Law, (e) It has the financial ability to fully perform this Agreement. (f) Warranties required by the Contract Documents shall commence on the date of Substantial Completion of the Work or designated portion thereof unless otherwise provided in the Certificate of Substantial Completion. V. SUBMITTALS (a) Time is of the essence of this Agreement and the Subcontractor shall proceed at once to prepare its shop d,-zwinss and other required data. The Subcontractor shall provide its submittals no later than one (1) week from signing the contract and earlier if possible. The Subcontractor shall furnish same to the Contractor for approval by the Architect/Engineer prior to fabrication of any item to be furnished under this Agreement Submittal data shall be prompt and complete to ensure scheduled delivery of such equipment and/or materials so as not to delay the progress of the Work. Submittals shall be provided in strict conformity with the Contract Docomcnts. (b) As -built documents and data shall be maintained and recorded by the Subcontractor as applicable to the Subcontract Work and shall be submitted monthly, concurrent with the Subcontractor's request for progress payments, for review and approval by the Contractor. Such review and approval shall be a condition precedent to the Contractor's duty to pay progress payments under the terms of this Agreement Vi. SUPERiNTENDENCE (c) The Subcontractor shall provide such technical services as are required or specified by the Contract Documents and which pertain to or effect the operation of equipment and/or marerial furnished under this Agreement. including performance of specific testing, if any, and shall instruct the Owners personnel in the operation, maintenance and control of such equipment. VII. MATERIALS AND WORKMANSHIP (a) All Subcontract Work shall be performed (i) in a good and workmanlike manner: (ii) free from defect; (iii) in strict compliance with the Contract Documents and Applicable Law; and (iv) to the final approval of the Architect, Engineer and Contractor, and their decision as to the performance of the Subcontract Work in accordance with the Plans and Specifications and the true constructive meaning of t& Plans and Specifications shall be final. (b) The Subcontractor shall provide safe and sufficient facilities at all times for inspections of the Subcontract Work by the Contractor, the Owner, the Architect/Engineer, or their authori7.cd representatives. (c) Should the Architcet/Enginecr decline to approve or reject any Subcontract Work and/or materials to be furnished under this Agreement ("Rejected Work"), the Subcontractor shall, within 24 hours after receiving notice from the Contractor of such determination, proceed promptly to remove and replace or repair the Rejected Work and promptly make good all such Rejected Work and all other work damaged or destroycd in removing or repairing said Rejected Work. (d) The Subcontractor shall conform to and abide by any additional specifications, drawings, approved submittals, Architect's Supplemental Instructions. Answers to RFIs, or other explanations furnished by the Architect/Engineer to illustrate the Subcontract Work to be performed. VIII. PROGRESS AND COMPLETION (a) The Contractor shall prepare and provide Subcontractor with one or more copies of a job progress schedule for the Project. The job progress schedule may thereafter be amended or modified by the Contractor from time to time. For convenience, the job progress schedule. as amended from time to time, shall be referred to as the "Job Progress Schedule". The Subcontractor shall. at all times, perform the Subcontract Work in strict conformity with the Job Progress Schedule. (b) The Contractor shall coordinate all Work; and unless otherwise expressed or provided for herein, the Subcontractor, shall begin its Subcontract Work either (i) as soon as the Project is ready, (ii) when indicated on the Job Progress Schedule or (iii) immediately upon verbal or written notice by the Contractor, and, time being of the essence, shall prosecute the Subcontract Work diligently, efficiently and at a pace which will, at all times, comply with the .lob Progress Schedule. in no event shall the Subcontractor cause delay in the progress of the Work. (c) The Subcontractor shall at all times supply adequate tools, appliances and equipment. man the Subcontract Work with a sufficient number of properly skilled workman, and provide a sufficient amount of materials and supplies of proper quality to cfftciently and properly prosecute the Subcontract Work in accordance with the Job Progress Schedule, and any modifications thereto, in order to achieve the completion date for the Project set forth therein. (d) The Subcontractor shall employ workmen who shall. at all times. work in harmony with those workmen rploved b% the Contractor and other subcontractors on the Project; and should the work or the Subcontract Work for any reason be stopped or material]%. delayed. in the judgment of the Contractor. due to the Subcontractor's failure to employ proper workmen to execute this Agreement, then the Contractor shall have the right. after fon-eight (43) hours' prior written, notice to the Subcontractor. to employ such workmen to complete or supplement the requirements of the Agreement and the cost of completing or supplementing the requirements of this Agreement shall be charged to the Subcontractor. (c) Contracts shall be awarded and labor employed on the Project in accordance with Applicable Law and without unlawful discrimination of am nature whatsoe-er including whether the employees of the Subcontractor are members or are nonmembers of any labor organization. The Subcontractor agrees that in the event of a work stoppage resulting tom a labor dispute directed to the Subcontractor_ the Contractor shall ha%.e the right to the remedy set forth in subsection (d) above. (f) If. in the opinion of the Contractor, the Subcontractor falls behind in the progms of the Subcontract Work, the Contractor shall be entitled to direct the Subcontractor to take such steps as the Contractor deems necessary to improve the Subcontractor's rate of progress. including requiring rhe Subcontractor. to increase the labor force. number of shifts and/or overtime operations, days of work. or other remedies. and to submit for approval an outlined schedule demonstrating the method or manner under which the required rate of progress will t-- regained, all without additional cost to the Contractor or increase in the Contract Sum. The Contractor may. upon forTy-eight (43) hours' prior written notice, require the Subcontractor to prosecute. in preference to all parts of the Subcontract 1i'ork, such parts as the Contractor may specify. (b) Anchoring devices, if any, required for the Subcontract work and to be built into concrete or masonry shall be furnished and installed by the Subcontractor unless otherwise indicated in the special clauses attached hereto. In all such cases, the Subcontractor shall furnish accompanying location drawings for review by the Contractor well in advance of installation of any such built-in anchoring devices. (c) The Subcontractor shall advise the Contractor in advance of any access obstacles which would hinder the installation of components to be furnished hereunder. (d) The Subcontractor shall inspect the services provided by others to which the Subcontract Work is to be applied or joined and shall immediately notify the Contractor of any observed or known defect or condition which Subcontractor believes is defective prior to the commencement of the Subcontract Work. Should the Subcontractor fail to provide such notice, it shall be deemed to have accepted the conditions of such surfaces and shall be liable for all consequences resulting therefrom. (e) The Subcontractor shall be liable for any damages to the Project caused by the performance of its Subcontract Work, either accidentally or through negligence, and shall be liable for all consequences resulting therefrom. (f) The Subcontractor hereby warrants to constantly maintain proper housekeeping controls of construction debris and litter arising from its operations and shall clean all debris and foreign material contributory to its operation and deposit in the proper container on a daily basis. (g) Storage areas for the use of the Subcontractor shall be designated by the Contractor, and no material or equipment shall be stored by the Subcontractor except in areas approved by the Contractor. Such storage areas sball be maintained in a neat and orderly condition by the Subcontractor. (h) The Subcontractor shall provide and be responsible for the proper layout of the Subcontract Work in accordance with the Contract Documents. (i) The Subcontractor shall perform all cutting. fixing, patching, sleeving, grouting and scaling of its Subcontract Work which may be required to cause it to receive or be received by the work of others shown upon, or reasonably implied by, the Contract Documents. No drilling. cutting or chipping will be commenced by the Subcontractor in walls, floors. ceilings or other structural members or mill work prior to receipt of specific approval by the Contractor. (j) Meeting the safety requirements of the Applicable Law, including netting, barricades. guide tails. etc., for the protection of the Subcontractor's employees shall be the responsibility of and provided by the Subcontractor. (k) The Subcontractor shall, at all times. strictly comply with all laws, ordinances, codes, statutes and regulations applicable to the Project and/or the 5ubeontractor. The Subcontractor shall not, under any circumstances, pollute or contaminate or cause or allow its employees, agents or servants to pollute. contaminate the Project with any hazardous substance or petroleum product (as such terms may be defined by Applicable Law from time to time). The Subcontractor hereby covenants that it shall not unlawfully incorporate any ha7.ardous substances or pollutants into the Subcontract Work. The Subcontractor shall immediately (i) notify the Contractor of any pollution, contamination which it or its agents, employees and servants cause at the Project and (ii) remediate, in accordance with Applicable Law, any such pollution or contamination. The Subcontractor covenants that the Subcontract Work shall be constructed with asbrst:os-free materials. The Subcontractor, in accordance with Applicable Law, shall' submit to the Contractor "Material Safety Data Sheets" on such basis as is required by Applicable Law and/or the Contract Documents. X. CHANCES (a) All modifications, amendments or changes to this Agreement shall be accomplished only by a writing ("Change Order"). which (i) is in such form as is required by the General ContraeL (ii) has been duly executed by the Contractor and (iii) has thereafter been approved and administered in strict accordance with the Contract Documents. No oral agreements. understandings or courses of dealings between the parties shall, under any circumstances, be deemed to constitute a modification or amendment of the terms and conditions of this Agreement. This provision may not be waived by either party, and no act or conduct by either party shall be deemed to constitute a waiver of the rcgtarement that this agrcement may only be modified by a written Change Order. (b) in the event that either party desires to change, amend or modify this Agreement, it shall prepare a proposed Change Order and thereafter submit it to the other party for review. After execution, all Change Orders shall be administered in accordance with the Contract Documents and shall become effective. if at all, only upon strict compliance with all conditions applicable thereto as set forth in the Contract Documents. (e) The Contractor may, by Change Order, at any time and without notice to Subcontractor's surety, if any, make any change in the Subcontract Work within the general scope of this Agreement (f) Should the panics hereto be unable to agree as to the value of the work described in any Change Order, the Subcontractor shall proceed under the written order of the Contractor from which order the stated value of the work shall be omitted, and the determination of the value of such Change Order work shall be referred to the Architect/Engincer, or Owner's representative, for resolution and whose decision shall be binding on the panics in all respects. XI. DELAYS (a) Should any delay on the part of the Subcontractor in the prosecution or completion of the Subcontract Work cause loss or damage to Owner for which the Contractor may be liable, or cause any loss or damage to the Contractor, the Subcontractor shall be liable to the Contractor therefor. (b) Should the Subcontractor be delayed in the prosecution of the Subcontract Work by the act, neglect or fault of the Contractor, Owner or Architect, or by any damage caused by fire, windstorm, act of God or any casualty for which the Subcontractor is not responsible. then the time fixed for the completion of the Subcontract Work hereunder and as set forth in the .lob Progress Schedule shall be extended for a period equivalent to the delay occasioned by any such cause. However, the Subcontractor shall not be entitled to any extension of time within which to perform its Subcontract work unless a written claim, in the form requited by the Contract Documents, for an extension of time shall have been delivered to the Contractor no later than seven (7) business days following the earlier of (i) the last day of the occurrence causing the delay or (ii) the date the Subcontractor knew or reasonably should have known of the existence of the happening of an occurrence which would afford it an opportunity to extend the subcontract time pursuant to this section, and such written claim is thereafter approved in writing by the Contractor. Should the Contractor refuse to approve any such timely claim for an extension of time, the matter shall be referred to the Architect/ Engineer. or Owner's representative, for determination, and his decision shall be final and binding upon the parties subject to the limits. if any, stated in the Contract Documents. The Subcontractor agrees that any such extension of time for completing the Subcontract Work precludes. satisfies and cancels any and all other claims Subcontractor may have against the Contractor on account of any such delay. Under no circumstances shall Contractor be liable to Subcontractor for any damages of any nature whatsoever resulting from the Subcontractor being delayed. It is the intent of the parties that an extension of the time within which to perform the Subcontract Work shall be the Subcontractor's sole and exclusive remedy in the event it sustains delay damages. Permitting the Subcontractor to continue performance after the time established to complete the Subcontract Work has expired shall not be construed as a waiver of any claim which Contractor may have for damages resulting therefrom, and the Subcontractor agrees that this provision shall constitute its notice to that effect. XII. DEFAULT AND TERMINATION (a) in the event the 5ubcontractor breaches or defaults in the performance of any term or condition contained herein and such breach or default continues for a period of forty-eight (48) hours after written notice of the existence of such breach or default shall have been provided to Subcontractor by the Contractor, then. in addition to any other remedy which Contractor may have at law or equit}• as a result of such breach, the Contractor may: 11) Perform or otherwise cure the breach on behalf of the Subcontractor. in which case the Subcontracior !hall not be entitled to any further payment under this A`reement and shall be liable for all expenses incurred b, the Contractor in curing the breach: andlor (2) Terminate this Agreement by written notice to the Subcontractor. in which case the Subcontractor shall not be entitled to any further payment under this Agreement and shall immediately demobilize and vacate the Project leaving. however. all of its supplies and materials which have been stored on site. (b) The remedies of the Contractor provided in this section and in any part of the Contract Deetm cM sbzll be cumulative. All losses. damages and expenses incurred in the prosecution or defense of arty action or suit incurred by or resulting to the Contractor as a result of the Subcontractors default. shall be borne by and charged against the Subcontractor, and the 5ubcontractor agrees to pay, the Contractor for such losses, damages and expenses. vorwithstattding anythin;else in the Centrad Documents. in the event of any dispute arising out of this Subcontract each pan shall bear its own attorneys' fees. XIII. TERIMINATiON FOR MWENiENCE ral Rikht to Terminate for Convenience. The Contractor shall have the richt to terminate for convenience, at aril' time. (3) Terminate all sub -subcontracts or orders to the €xtent they are related to the terminated Work: (4) As directed by the Contractor, transfer title and deliver to the Contractor any fabricated or un -fabricated parts, work in progress, completed work, supplies, and other materials produced or acquired for the Subcontract or Work terminated and the completed or partially completed plans, drawings, information, and other property that, if the Subcontract has been completed, the Subcontractor would be required to furnish to the Contractor; (5) Complete, in accordance with the terms of the Contract, any non -terminated portions of the Work if the Subcontractor's performance of only a portion of the Work has been terminated: (G) Use its best efforts to sell, as directed by the Contractor, any materials of the types referred to in paragraph (4) above; provided however, that the Subcontractor shall not he required to extend credit to any purchaser of this material and may acquire the material under the conditions prescribed by, and at prices approved by; the Contractor. The proceeds from the sale of such material shall be applied to reduce any payments due the Subcontractor from the Contractor tinder the Subcontract, credited against the price or cost of the Work, or paid in any other manner directed by the Contractor. (7) Submit to the Contractor, within 60 days following the effective date of its termination hereunder, a written termination claim, including all documentation reasonably required to support the claim; and (8) Take any other action toward termination as directed by the Contractor. (d) Effect of 01wner's Termination of General Contract. if there has been a termination of the General Contract by the Owner and. as a consequence thereof. the Subcontract shall have been terminated by the Contractor pursuant to the terms and conditions set forth in Article XiiI. then the Subcontractor shall be paid the amount due from the Owner to the Contractor for the Subcontractor's completed portion of the work prior to termination. as provided in the Contract Documents. subject to. however. and conditioned upon Contractor`s receipt of such payment by the Owner. (e) Items Not Compensated. Upon termination of the Subcontract pursuant to the terms and conditions of Article X111, the Subcontractor shall not, under any circumstances, be entitlod to be compensated for: (1) Any accounting, legal, clerical, or other expenses incurred by the Subcontractor in the preparation of the Subcontractor's termination claim: and (3) Any unabsorbed overhead and anticipated lost profits. (fl PermUred Deductions. The Contractor shall be entitled to deduct from any payment otherwise due the Subcontractor hereunder (i) any advance payment it has made to the Subcontractor for any portion of the Work not yet performed under the terms of the Subcontract; (ii) the amount of any claim that the General Contractor may have against the Subcontractor arising under the Subcontract and (iii) any other claim, demand or set-off, of any nature whatsoever, which the Contractor may then have against the Subcontractor. (g) Cowideradon. if no work has been performed by the Subcontractor at the time of its termination hereunder, Sulicontraetor shall be paid the sum of Fifty Dollars in consideration of its undertaking an obligation to perform the Su4contract. I(h) Settlement and Releose of Arty and AQ C/alms. The Subcontractors receipt of the payment if any, required to be male to it by the Contractor, pursuant to this Article X111, shall constitute a settlement and release of any and all claims whlch Subcontractor may have against the Contractor. known and unkno-n. arising under the Subcentract. XiV. CLATNiS - DISPUTES (a) The Subcontractor shall make all claims for extra expenses and extensions of time, for which the Owner may be responsible to the Contractor in the manner and the time frame provided for in the Contract Documents, if any, for like claims by the Contractor upon the Owner, and in sufficient time for the Contractor to comply with the requirements of the General Contract for making such claim to the Owner. (b) Except as otherwise provided in this Agreement, any dispute concerning the interpretation of this Agreement or dispute arising concerning the performance of the Subcontract Work which is not resolved by the parties, shall be resolved in the manner provided in the General Contract for resolving disputes between the Owner and the Contractor and any such resolution shall be binding on the parties in all respects. The Subcontractor shall carry on the work and maintain the Job Progress Schedule during any period in which the dispute remains unresolved, and the Subcontractor shall not have any right (e) In the event the Subcontractor obtains a judgment for monetary damages against the Contractor, pre judgment interest on any such damages shall be awarded at a rate of six percent (6%) per annum simple interest from the date the damages are liquidated. (f) The subcontractor agrees that its right to receive pavments due it hereunder may not, under any circumstances, be assigned nor may the performance of any portion of this Subcontmct be assigned or delegated by Subcontractor without the prior written consent of the Contractor. XV. WARRANT[1ES AND GUARANTIES (a) Such warranties, guaranties and/or maintenance services as may be required by the Contract Documents, if specified and made applicable to the Subcontract Work, shall be the full obligation and, responsibility of the Subcontractor. (b) The Subcontractor acknowledges the requirement of this Agreement to warrant the Subcontract Work in accordance with the requirements of. the General Contract and to the extent the Contractor must warrant the Subcontract Work to the Owner. (c) Unless otherwise required by the General Contract. the Subcontractor guarantees that all materials and workmanship associated with the Subcontract Work shall be free from material defect for a period of at least one year and, accordingly, agrees to execute the Contractor's standard warranty agreement attached hereto as Exhibit "E" as an absohrte condition precedent to final payment. XVI. PAYMENTS (a) The Subcontractor shall submit for Contractor's approval within ten (10) days following the Efrective Date, and, in any event, prior to its receipt of any payment made hereunder, a Schedule of the Subcontract Value ("Schedule of Value") with respective quantities illustrated, in accordance with the divisions and categories illustrated in the General Contract. (b) It is expressly agreed that time is of the essence of this Subcontract Agreement and that the payment of the Contract Sum is executory and conditioned upon completion of this Subcontract and completion of the Subcontract Work as herein specified. (c) Subject to (i) the Subcontractor's performance of the terms and conditions of this Agreement, and (ii) the performance or fulfillment of each of the "Conditions Precedent" set forth below, the Contractor shall pay to the Subcontractor tate sum of NINETEEN THOUSAND FIVE HUNDRED THIRTY-FIVE and 781100 Dollars ($12„5 S�.7F (dte "Contract Sum"). The Contractor's obligation to pay the Contract Sum shall be strictly subject to and conditioned upon the fulfillment, performance or occurrence of each of the following matters (collectively, the "Conditions Precedent"): (1) Contractor's prior receipt of the monies due Subcontractor hereunder from the Owner; and (2) Subcontractot's timely delivery to Contractor of written request for payment in the form required of the Contractor by the General Contract: and (3) Subcontractor's submittal of all supporting documentation required. under the Contract Documents. to accompany each request for pakment: and (4) Subcontractor's completion, in accordance with the Contract Documents. of the percentage of Subcontract Work for which payment is sought; and (5) Subcontractor's delivery to Contractor of a. partial or final waiver of its construction lien rights and those of each of its sub -subcontractors. laborers or matcHalmen having lien rights against the Project: and (6) Contractor's receipt of this Subcontract fi,)lh• executed: and (7) Contractor's receipt of all submittals necessary to maintain the current Job Progress Schedule: and (3) Contractor's receipt of all Certificates of Insurance required by this Subcontract including endorsements naming the Contractor and Owner as Additional Insureds: and (9) Contractor's satisfaction of anv and all backcharges. debts. or other monies owed from the Project or other construction projects upon which Contractor and Subcontractor contracted: and (2) The Contractor's obligation to pay any such progress payment is conditioned upon the Subcontractors delivery to the Contractor, prior to the twentieth (20th) day for work completed through the twenty-fifth (25th) day (or other such day as the Contractor may stipulate) of the preceding thirty (30) days, of a request for payment prepared on the Contrnctoes form and supported by the Subcontractor's approved Schedule of Value which request for payment shall describe the Subcontract Work performed during the month by the Subcontractor, including materials stored on the site, as previously defined, for which payment is requested. (3) Provided, further, that payments for stored materials shall be made as stipulated by the General Contract and such request for payments for stored materials shall be accompanied by vendor invoices itemizing respective quantities and unit cost of such stored materials. in the event payment is made for stored materials, subsequent requests for payment must indicate respective quantities and unit cost of such stored materials placed in the Subcontract Work. It is further understood and agreed that materials stored on the site, for which payment is requested, shall be in the care and custody of the Subcontractor and shall not be removed from the site without the written consent of the Contractor. (4) The final payment of the Contract Sum shall be made after satisfaction of all conditions precedent and after full and final completion of the Subcontract Work and upon issuance of a certificate from the Architect certifying that the Subcontract Work has been satisfactorily performed and that the Project has attained final completion. These conditions shall be further conditions precedent to the right of the Subcontractor to receive final payment. (e) If at any time there shall be evidence of a lien or claim for which, if established, the Contractor or Owner might become liable and which is chargeable to the Subcontractor. the Contractor shall have the right to retain out of any payment due, or to become due under this Agreement or any other agreement between the Contractor and Subcontractor, an amount sufficient to indemnify the Contractor and Owner against such lien or claim, and charge or deduct all cost of defense thereunder. including reasonable attorneys' fees. Contractor may further pay any such lien. claim or charge and deduct the amount from Subcontractor's contract balance. Should any claim or lien develop after all payments arc made. the Subcontractor shall refund the Contractor all monies that the latter may be compelled to pay in discharging such claims or liens incurred in collecting said monies from the Subcontractor. (f) No progress payment under this Subcontract shall be conclusive evidence of the performance of this Agreement, either wholly or in part, and no payment shall be construed to be acceptance of defective Subcontract Work or improper materials. (g) The Contract Sum shall not be changed, modified or amended except by Change Order. This provision may not be waived by the parties under any circumstances. XVii. WAIVER OF CLAIMS (a) The Contractor shall not be liable to the Subcontractor for any damages of any nature whatsoever which the Subcontractor may sustain as a result of (i) any modification of the Job Progress Schedule, including but without limiting the generality of the foregoing, any damages resulting from the acceleration of the pace of the Work (ii) fire or other casualties, (iii) riots, strikes, or other combined action of the workmen or others, (iv) acts of God, or other causes beyond the Contractor's control, (v) any circumstances legally caused by or contributed to by the Subcontractor, or (vi) delay in its performance of the Subcontract Work, except to the extent the Owner may be liable to the Contractor therefor under the General Contract. (b) The Subcontractor and Contractor hereby waive any claims which either may have against the other and which arise out of the occurrence of a peril or casualty. the loss or damage for which is (i) covered by insurance required to be procured and maintained by the O-%vner under the General Contract or (ii) covered bx- insurance required to be procured or maintained by either parry hereto. (c) For and in consideration of the allocation of $100.00 of the Contract Sum, receipt of which is acknowledged. the Subcontractor hereby waives any claim for damages which it might otherwise have against the Contractor and which claim is the legal result of or arises out of the negligent act or omission of the Contractor, its agents, servants or employees, occurring at the Project. XViII. INSURANCE (a) Throughout the term of this Agreement the entire project and during the entire warranty period, the Subcontractor shall procure. keep and maintain in full force and effect politics of insurance of the types and providing the coverages required of subcontractors under the terms and conditions of the General Contract If the General Contract does not specify types of coverages for subcontractors' insurance, the Subcontractor shall procure and maintain the following: (3) Business automobile liability coverage for all owned, non -owned and hired vehicles in limits of not less than $500,000 per occurrence, combined single limits. (b) The Subcontractor shall provide the Contractor with an insurance certificate evidencing the availability of the insurance types and coverages set forth above as a condition precedent to the Contractors duty to pay any of the Contract Sum to the Subcontractor. (c) All insurance coverages furnished under this Contract. except Workers Compensation and Employers' Liability. shall include Hembree Construction, Inc. and the Owner as Additional linureds, with respect to. -the activities of the Subcontractor and his subcontractors. XIX. INDEMNIFICATION (a) For and in consideration of the allocation of $100.00 of the Contract Sum, the Subcontractor hereby indemnities and holds the Contractor harmless from and against any and all claims, demands, liabilities losses and expenses, of any nature whatsoever, which may be asserted against the Contractor and which claims, demands or liabilities arise out of or are legally caused by any of the following: (1) The Subcontractors breach of the Contract Documents; or (2) The negligence of the Subcontractor or its agents, servants and employees. or (3) The Subcontractors perFormance of this Agreement; or (4) The Subcontractor or its agents, servants or employees causing the contamination or pollution of any portion of the Project in violation of Applicable Law relating to environmental matters or in violation of the Contract Documents; or (5) The negligent actor omission of the Contractor or its agents, servants or employees; or (6) The Subcontractor's violation of any provision of Applicable Law. (b) This indemnification shall include the payment of the Contractor's reasonable attorneys' fees, expert witness fees. litigation expenses and costs associated with the defense of any claim for which the Contractor is entitled to indemnification as provided above. The Subcontractor's indemnification obligation to the Contractor for occurrences caused by the sole, contributory, or concurrent negligence of Contractor shall be limited on a per occurrence basis, to the greater of $1.000.000.00 (as prescribed by section 725.06. Florida Statutes) the price of this Subcontract. or the limits of liability of the insurance politics provided pursuant to this Subcontract, which Subcontractor agrees bears a reasonable commercial relationship to this Subcontract. These provisions are deemed incorporated into the bid documents and/or specifications so as to ensure compliance with section 725.06, Florida Statutes.
