The plans and specifications together with this Agreement, any change orders, and any attachment referenced in Article 18 are referred to herein collectively as (the "Contract Documents"). The Contract Documents form the entire contract for the work. The parties intend that the Contract Documents include provision for all management necessary for the execution and completion of the work. 2.03 Owner warrants that the Contract Ducuments are accurate and complete. Owner will indemnify Contractor for any and all costs or damages incurred as a result of erroneous or incomplete information or deficient Contract Documents provided by Owner. Nothing in this Agreement shall impose any liability or obligation on the pan of Contractor for any work previously performed by any other person or entity. Contractor disclaims any responsibility for or knowledge of existing conditions beyond what is expressly set forth in this Agreement. The parties agree and intend that it is not commercially practicable to conduct funher investigation of existing conditions before undertaking the work of this Agreement. Nonetheless, Contractor is not responsible if existing conditions are less favorable than is presently expected. IV: FINANCING AND PROGRE=SS PAYMENTS 4.01 Owner has represented that the construction will be financed through personal funds (rcfen•ed to hereinafter as "Lender"). Failure of Owner to provide Contractor with proof of verification and availability of funds (via notarized letters of verification from all pertinent financial sources) and approval of Contractor's draw schedule within 5 days of executing this Agreement shall constitute del'auh by Owner. 4.02 Owner agrees that Contractor will be paid by a series of progress payments funded by said Lender and that Owner will cause said payments to be made directly and timely to Contractor. Owner recognizes and agrees that Owner is individually responsible for said timely progress payments in accordance with this Agreement and that failure of Lender to fund any progress payment or the final payment does not relieve Owner of individual responsibility for timely payment. All Lender payments shall be via wire transfers directly to Contractor. Owner shall pay all wire transfer fees.
