CLEAN UP: Contractor shall at all times clean up and remove all debris throughout the performance of the work. If the Contractor fails to do this after due notice, the Owner's Agent may proceed with clean up of the work and back -charge the cost to the Contractor. WARRANTY: Contractor warrants its work against all deficiencies and defects in materials and workmanship for one year from final payment and agrees to satisfy it without cost to Owner's Agent. Any repairs or replacement pursuant to this warranty will also be warranted for one year from the date of repair or replacement. Contractor will receive written notification that warranty work and return completed service work orders to Owner's Agent. If any substantial defects appear before final payment has been made, it is agreed that Owner's Agent may withhold payment of final payment until such defects are remedied. INDEPENDENT CONTRACTOR: Contractor agrees that it is an independent contractor and an employer subject to all unemployment compensation laws. Contractor agrees not to discriminate against any individual with respect to hire, discharge, compensation, terms, conditions, or privileges or employment, because of such individual's race, color, religion, sex, age, or national origin. CONTRACTOR'S FAILURE TO PERFORM/TERMINATION: If Contractor fails to timely perform, supervise the work provide quality labor or materials, pay the subcontractor or suppliers, violate any other provision of this contract or correct any defects after receiving written notice of default then Owner's Agent may, at its sole option, wither terminate this Contract or take whatever action it deems necessary to correct the default Contractor shall be liable for all cost Owner's Agent incurs as a result of Contractor's failure to perform. Contractor's liability shall include, but not limited to: (1) damages and other delay costs payable by Owner's Agent; (2) Owner's Agent increased costs of performance, such as extended overhead and increased performance costs resulting from Contractor -caused delays or improper work; (3) warranty and rework costs; (4) liability to third parties; (5) actual attorney fees and related costs_ If Owner's Agent must complete or correct Contractor's work Contractor shall not be entitled to receive any further payment until the work is wholly finished and the balance due, if any can be determined.
