SCOPE OF CONTRACT: Contractor shall furnish all labor, material, supervision, and equipment to complete the following'
scope: INSTALL NEW 100 AMP METER SERVICE AT PROPERTY LIFT STATION TO INCLUDE THE REMOVAL OF THE
EXISTING SINGLE PHASE 60 AMP METER BASE AND THE INSTALLATION OF NEW 100 AMP METER, THE -
INSTALLATION OF NEW GROUND RODS AND WOOD UTILITY POLE, THE REPLACEMENT OF STRUT SUPPORTS,
ALARM BELL, PERMITTING FEES AND THE COORDINATION WITH UNDERGROUND UTILITY PROVIDER.
Worksite to be clean and safe at all times. Contractor to pull all permits and schedule all, inspections. All work performed according to
code _The work shall strictly comply with al] plans and specifications. All work will be performed in a professional workmanlike
manner consistent with accepted industry practice and to the full satisfaction of the Owner's Agent. Contractor represents that he has
inspected the site, is familiar with the"site conditions. code, and building requirements and agrees to assume all the risks, which may
be encountered in the performance and satisfactory completion of the work.
PRICE: Upon completion and acceptance by Owner's Agent, Contractor shall be paid a tot sgm-of $7,399.00
SCHEDULE: Contractor shall start on or about tbd and achieve substantial completion on or before4M- se write in dates)..
WORK COMMENCEMENT AND SCHEDULE: Time is of the essence in this Contract. Contractor will start the work as
soon as directed by Owner's Agent and properly schedule and complete the work as set forth in this Agreement otherwise Owner's
Agent is likely to sustain damages. As a result, Contractor may require overtime at its own expense, work on nights, weekends, and
holidays at no additional compensation to meet completion schedule. Contractor will be liable for all direct and indirect costs incurred
by Owner's Agent as a result of any delays caused by failure to maintain the progress and schedule requirements of the project.
PAYMENT: Invoices must be submitted within 10 days of completion, along with unconditional waivers of lien and a sworn
statement provided by the Contractor. Final payment will be paid to Contractor upon receipt of all full unconditional waivers of lien,
from all parties having lien rights, a final sworn statement, settlement of all change orders, and satisfactory completion of the
Contractor's work including all "Punch List(s)". Payment terms are: NET 45 DAYS UPON CODIEPLETION AND RECEIPT OF
INVOICE.
REJECTION OF CONTRACTOR'S PAYMENT APPLICATION• Owner's Agent may reject Contractor's payment
application or nullify a previously approved Contractor payment application, in whole or in part, as may reasonably be necessary to
protect the Owner's Agent from loss or damage based upon:
1. The Contractor's failure to perform the work, failure to correct defective work, failure to maintain adequate progress and
failure to provide adequate manpower;
2_ The Contractor's failure to properly pay for labor, materials, and equipment, which cause the recording of a construction lien.
Contractor shall discharge any lien within 14 days and indemnify, defend (including attorney fees) and hold Owner and
Owner's Agent harmless from all claims arising out of the filing of any lien_
3. Reasonable evidence demonstrating that the unpaid balance of the Contract Price is insufficient to cover the cost to complete
the work.
CHANGES TO THE SCOPE OF WORK- Any changes, additions, deductions or substitutions ("Extras') to the work, bid,
pians, or specifications which will increase or decrease the Contract Price must be agreed to in advance and placed in writing signed
by the Owner's Agent on its Change Order Form: Contractor SHALL NOT PROCEED TO. DO ANY EXTRA WORK WITHOUT A
SIGNED CHANGE ORDER NO VERBAL CHANGES WILL BE RECOGNIZED.
COMPLIANCE WI'T`H BUILDING SAFETY AND ENVIRONMENTAL LAWS: Contractor shall comply with ali
applicable building, safety (i.e. OSHA) and environmental laws and code requirements and shall obtain and pay for all taxes, licenses, fees, permits, inspections, and any other charges that may be required for the satisfactory completion of the work
LICENSES, PERMITS. INSPECTIONS TAXES AND FEES: Contractor shall obtain all necessary licenses, inspections,
and permits necessary to perform the work and pay all required taxes and fees.

VENDOR EXCELLENCE PROGRAM: Contractor agrees prior to commencing any work in accordance with this Contract to
enroll in and maintain throughout the Term membership in McKinley's Vendor Excellence Program (the "Program's through its
partners Kroll and Marsh. All costs and expenses of enroUrnent and membership continuation will be the sole responsibility of
Contractor_ If at any time during the Tum of this Contract it is determined that Contractor is not in good standing in the Program, then
Agent, at its sole option, may terminate this contract immediately: Contractor acknowledges that maintaining membership in good
standing in the Program is a requirement of this Contract.
INDEMNIFICATION: Contractor shall indemnify, defend and hold harmless the Owner and Owner's Agent and any of. its
employees from any suits, claims, damages, liabilities, liens, safety, and environmental actions, losses, and expenses of any nature
whatsoever, including, but not Iimited to, actual attorney fees, arising out of the Contractor's performance of work regardless of
whether the Contractor caused the injury, damage or liability_
ASSIGNMENT: Contractor shall not subcontract, assign, or transfer this Agreement or any part without the written consent of
Owner's Agent.
CLEAN UP: Contractor shall at all times clean up and remove all debris throughout the performance of the work. If the Contractor
fails to do this after due notice, the Owner's Agent may proceed with clean up of the work and back -charge the cost to the Contractor.
WARRANTY: Contractor warrants its work against all deficiencies and defects in materials and workmanship for one year from
final payment and agrees to satisfy it without cost to Owner's Agent. Any repairs or replacement pursuant to this warranty will also
be warranted for one year from the date of repair or replacement. Contractor will receive written notification that warranty work and
return completed service work orders to Owner's Agent. If any substantial defects appear before final payment has been made, it is
agreed that Owner's Agent may withhold payment of final payment until such defects are remedied.
INDEPENDENT CONTRACTOR: Contractor agrees that it is an independent contractor and an employer subject to all
unemployment compensation laws. Contractor agrees not to discriminate against any individual with respect to hire, discharge,
compensation, terms, conditions, or privileges or employment, because of such individual's race, color, religion, sex, age, or national
origin.
CONTRACTOR'S FAILURE TO PERFORM/TERMINATION: If Contractor fails to timely perform, supervise the work
provide quality labor or materials, pay the subcontractor or suppliers, violate any other provision of this contract or correct any defects
after receiving written notice of default then Owner's Agent may, at its sole option, wither terminate this Contract or take whatever
action it deems necessary to correct the default Contractor shall be liable for all cost Owner's Agent incurs as a result of Contractor's
failure to perform. Contractor's liability shall include, but not limited to: (1) damages and other delay costs payable by Owner's
Agent; (2) Owner's Agent increased costs of performance, such as extended overhead and increased performance costs resulting from
Contractor -caused delays or improper work; (3) warranty and rework costs; (4) liability to third parties; (5) actual attorney fees and
related costs_ If Owner's Agent must complete or correct Contractor's work Contractor shall not be entitled to receive any further
payment until the work is wholly finished and the balance due, if any can be determined.
NO DAMAGES FOR DELAY: If Contractor is delayed in performing its work by any action of Owner or Owner's Agent, then
Contractor's sole remedy shall bean extension o€ time to complete its work- Contractor may not recover any damages or.increased
costs as a result of any delays, regardless of the cause and regardless of whether the delay was foreseeable_
SETTLEMENT OF CLAIMS AND DISPUTES: All claims or disputes arising out of this Contract shall be decided by
binding arbitration in accordance with the Construction Industry Rules of the American Arbitration Association. The arbitration
hearing shall be located in SEMINOLE County, A judgment on the award may be entered in any appropriate court having
jurisdiction. The arbitrator may award interest, costs, and attorney fees to the prevailing party.
INTEGRATION: This Agreement shall constitute the entire, complete, and only agreement of the parties. There are no oral or
other agreements. Any prior or simultaneous understandings are merged into this Agreement.

In consideration for authorizing the appropriate utility company to energize the facility, we agree with and
understand the following:
1. The facility will not be occupied until a certificate of occupancy has been issued.
2. If the jurisdiction hereafter finds that the facility has been occupied before a certificate of occupancy has
been issued, the jurisdiction will have the unilateral right to direct the utility -to terminate electrical"service
without notice. Furthermore, we understand and agree that should the jurisdiction exercise such right; the
jurisdiction will not be responsible for any damages or costs which may result from the exercise of such
right. Also, in the event anythird party claims damages from the exercise of such right, we agree to jointly
and individually indemnify and hold harmless the jurisdiction from all such damages and costs, including
attorney's fees.
3. The building or structure shall be weather tight and secure. The electrical wiring in the, area designated for
pre -power shall becomplete and in safe: order. All electrical services associated with the area will be 100%
complete unless specifically approved by the electrical inspector.
4. Interior electrical rooms `shall be lockable, if electrical panels are in an area that cannot be locked by,, doors,
the panels shall be equipped with a locking mechanism (approved by the AHJ). The licensed electrical
contractor or his licensed representative shall hold the keys(s) for such access to electrical panels to prevent
energizing circuits other than those that are safe.
5. If provided, the fire sprinkler system must be operational, per the local AHJ requirements, with ;water on
the, system prior to pre -power.
6. This pre=power approval is valid for a maximum of 180 days from date of approval.
7. Check with the local jurisdiction for fees associated with pre -power.
