This Subcontract Agreement ("Agreement") is entering into this 13th day of July, 2004 by and between 361 Group
Construction Services, Inc., a Delaware Corporation ("Contractor') and Modern Plumbing, a/an Florida Corporation
("Subcontractor').
RECITALS:
WHEREAS Contractor has entered into an agreement ('Contract) dated 2/2/2004 with LCG Sanford I, LLC ("Owner") to
furnish labor and materials, and to perform all work required for the construction of Sanford I Rinehart Plaza ("Project')
located in Sanford, FL in accordance with the drawings, specification and schedules prepared by GSBS Architects/CPH
Engineers ("Architect/Engineer'), which shall be part of this Agreement; and
WHEREAS Subcontractor acknowledges that it has carefully read and understands the Schedules and is familiar with the
Project, the commencement date and the completion date, the availability of labor, materials and other items required for
the Work, and agrees to comply with and perform all provisions thereof applicable to Subcontractor, and represents to
have fully investigated the site, including access and climate, and agrees to assume all risks therefrom.
WHEREAS the parties to this Contract expressly desire to contract with reference to a specific portion of the overall work,
as more fully described in the scope of work, plans, specifications and other documents as listed below ("Schedules') for
the Project.
NOW THEREFORE, in consideration of the mutual promises herein contained and intending to be legally bound, the
parties agree as follows.
TERMS AND CONDITIONS:
A. DESCRIPTION OF WORK
1. WORK DESCRIBED: Subcontractor shall, in accordance with the Schedules, furnish and pay for all labor,
materials, project administration, supervision, scheduling, plant, equipment, appliances, tools, hoisting, scaffolds,
and all other items necessary the perform the work as defined in the Schedules, and will cooperate in scheduling
and performing work with Contractor and other subcontractors and shall supervise and direct Subcontractors
work and all Gwrk incidental thereto ("Work"), namely: PLUMBING.
2. QUALITY OF WORK: Subcontractor warrants that all materials and equipment furnished and incorporated in
the Project shall be new, of good quality, free of any faults and defects and in conformity with the Schedules.
Subcontractor agrees that Contractor has the authority to reject Work that does not conform to this Agreement
and/or the Schedules.
3. SKILLED WORKFORCE: Subcontractors employees and workers shall be skilled in their trades. If Contractor
requests; Subcontractor shall make a reasonable effort to add personnel to its staff at the Project. Contractor
reserves the right to require .any of Subcontractors employees or workers to temporarily or permanently leave
the site.

Our scope of work is as follows:

3. Domestic water - SCH40 PVC below grade - 2" CW- Five feet off rear building wall.
4. Sanitary below grade -stub up for FCO every 75'.
5. Five -future 3" VTR.
Exclusions
