Contract Agreement: This contract consists of this document, any and all work to be performed are on this document, including any extra work and costs for wood replacement etc. No agreements other than those specifically set for this contract agreement shall be recognized whether oral or written. The entire understanding and contract agreement of the parties is contained in the contract agreement document(s). 2. It is understood and agreed that this contract shall not become binding upon A. Carter Roofing, Inc. until it is approved, accepted, and signed by A. Carter Roofing, Inc. or an authorized officer of A. Carter Roofing or until performance commences, or whichever occurs first. The parties understand that no sales representative has authority, express or implied to bind A. Carter Roofing, Inc. to this contract. 3. Performance of the work scope described in the contract document(s) will commence as soon as possible and to be completed as soon as possible. This is an approximation/estimate and is subject to scheduling difficulties of seller, labor and/or material shortages, acts of God and other events not foreseen by seller. A. Carter Roofing, Inc. shall not assume or be held liable for any damages to improperly maintained or constructed of fractures structures resulting from normal operations as contemplated on the face of the contract agreement. 6. A. Carter Roofing, Inc. shall not assume or be held liable for any damages to personal property or physical injury as a result of vibrations caused by hammering or walking on structure or any other normal work operations. 7. Any and all modifications, alterations, or deviations from the contract work scope/specifications involving extra costs, will be executed only upon written orders or change orders and will become an extra cost charge over and above the contract agreement. 8. In the event payment is not made by the purchaser(s) upon presentation of a final bill or presumed contract amount the balance or remaining balance due and owing shall bear interest at the rate of eighteen (18%) percent per annum, until paid in full. Carter Roofing, Inc./Contractor will reasonably cleanup and remove job related debris created by A. Carter Roofing, Inc./Contractor and is not responsible for reasonable wear and tear to driveways, parking lots, walkways, lawns, shrubs or other floral or vegetation caused by movement of the trucks, equipment, materials, work force or debris. 10. Should the purchaser(s) use this document or contract agreement as a basis for any insurance settlements) and employs another contractor, does the work him or herself, or decides not to do the repairs, or does not permit A. Carter Roofing, Inc. to complete the repairs, A. Carter Roofing, Inc. shall be entitled to liquidated damages in a minimum sum of twenty 20%) percent of the base contract agreement dollar amount. 11. Payment will be made as noted on the face of this document. In the event of customer's default on the contract, and payment schedule, all warranties are void and the customer(s) agrees to pay an initial late fee of $50.00 plus an additional 25.00 per day until paid in full. 12. All parties agree that this agreement shall be construed according to the laws of the state of Florida and any action brought thereon may be brought in the state of Florida. 13. INSURANCE CLAIMS ONLY: All work scope and/or costs specified in the contract agreement is subject to or contingent upon the approval of the insurance company. Purchaser(s) appoints A. Carter Roofing, Inc./Contractor as its representative and A. Carter Roofing, Inc./Contractor to negotiate with the insurance company for settlement of the insurance claim and further directs the insurance company to name A. Carter Roofing, Inc. as a party on the insurance check or draft. If there is a difference of work scope and/or cost A. Carter Roofing, Inc. may negotiate a reasonable replacement and/or replacement costs mutually agreed between A. Carter Roofing, Inc. and the insurance company. A. Carter Roofing, Inc. will not start work until approved by the insurance company. 14. Buyers Right to Cancel: Purchaser(s) has the right to cancel this contract within 72 hours of contract, but must do so by registered mail or by telegram. 15.
