AGREEMENT WITH
SEMINOLE COMMUNITY COLLEGE
THIS AGREEMENT is made and entered this day of May. 9,
1989, by and between City of Sanford, Florida a political
subdivision of the State of Florida, whose address is 300 North
Park Avenue, Sanford, FL 32772, hereinafter referred to as
"CITY", and SEMINOLE COMMUNITY COLLEGE, 100 Weldon Blvd.,
Sanford, Florida, 32773-6199, hereinafter referred to as
"COLLEGE".
WITNESSETH:
WHEREAS, the CITY desires to provide appropriate CITY
employees with the opportunity to be professionally trained in
emergency ~edical skills and tasks in order that the performance
of such skills and tasks may be enhanced and improved for the
benefit of the citizens of Seminole County and in order that the
CITY can maximize the provision of emergency medical services
(hereinafter "EMS") to the public; and
WHEREAS, the COLLEGE desires to make available its EMS
Intermediate Training Program to selected CITY employees
according to the terms and conditions stated herein,
NOW, THEREFORE, in consideration of the mutual
promises, understandings and covenants set forth herein·, and such
other good and valuable consideration the receipt and sufficiency
of which is hereby acknowledged, the CITY and COLLEGE hereby
agree as follows:
SECTION 1. RECITALS. The above re&itals are true and
form a material part of the Agreement upon which the parties have
relied.
SECTION 2. GENERAL SERVICES TO BE PROVIDED/INTENT.
(a) The CITY and the COLLEGE shall jointly
establish and coordinate a training program to be a part of
COLLEGE's EMS Intermediate Training Program to provide training
services for CITY employees selected by CITY to receive such
training and such other appropriate students enrolled in the
COLLEGE.
(b} Training services provided by the COLLEGE to
the CITY shall include:
(1) "Classroom training" which shall
include, but not be limited to, instruction in both a theoretical
and a laboratory environment. Said instruction -shall be
conducted at the premises and facilities of COLLEGE or at an
alternative site mutually acceptable to both parties. CITY
employees obtaining instruction at the facilities of the COLLEGE
shall be under the supervision of the COLLEGE during such
instruction.
SECTION 3. RESPONSIBILITIES OF COLLEGE.
(a) The COLLEGE shall provide the following to
the CITY prior to the CITY enrolling any CITY employees as
students in the COLLEGE's EMS Intermediate Training Program:
(1) A training plan approved by CITY
setting forth clear and definite training objectives and skills
development goals which plan includes, but is not limited to,
instructional objectives and an inventory or catalog of classroom
learning experiences as well as theoretical knowledge which will
be provided to CITY employees by the COLLEGE.
(2) Identification of an instructional
coordinator to implement and maintain the training plan.
(3) Identification of instructors to be
used in the EMS Intermediate Training Program for the theoretical
training environment and laboratory training environment. Said
instructors must be approved by CITY.
(4) Identification of training texts books,
training materials and supplies intended to be used by the
COLLEGE for the theoretical training environment and laboratory
training environment.
(5) Identification of facilities which have
received the prior approval of the CITY for the theoretical
training environment and the laboratory training environment.
(b) The COLLEGE shall pay to the CITY the sum of
THIRTY-ONE AND 25/100 DOLLARS ($31.25) for each student enrolled
in the EMS Intermediate Training Program; provided, however, that
the student must have been enrolled past the six (6) days
allowed, by COLLEGE rule, for withdrawal from a course with a
full refund.
(c) Payment shall be made by the COLLEGE upon
receipt of a bill sent to the COLLEGE by the CITY.
(d) The COLLEGE agrees to indemnify and hold
harmless the CITY from any accident, injuries, or damages arising
out of the class to the extent permitted by law and to the extent
same is consistent with and not violative of any insurance
carried by the COLLEGE.
SECTION 4. RESPONSIBILITIES OF CITY.
The CITY shall provide the following to the COLLEGE for the use
of the COLLEGE's EMS Training Programs.
(a) An EMS laboratory which will include
appropriate, suitable and necessary equipment for theoretical and
laboratory training.
(b) Payment to the COLLEGE for the following
student(s) fees at the time of registration, or a commitment
letter of intent to the COLLEGE for billing the CITY.
FEE SCHEDULE PER TERM (PER STUDENT)
1. Matriculation fee for Florida residents $31.25
(part-time students, 50 hours of training)
2. Matriculation fee for non-Florida $62.50
or foreign residents
(part-time students, 50 hours of training) ~
(c) Payment of fees should be received within
thirty (30) days from the date of the invoices submitted to CITY
by COLLEGE.
(d) The CITY shall provide and make available
the EMS laboratory for usage by COLLEGE instructors and students
enrolled in all COLLEGE EMS programs.
SECTION 50 ENROLLMENT.
(a) Enrollment in the EMS Intermediate Training
Program shall be limited to only such students as may be approved
by the COLLEGE.
(b) The COLLEGE reserves the right to cancel any
class contemplated herein, because of low enrollment as
determined by COLLEGE enrollment minimums.
SECTION 6. TERM AND TERMINATION.
'(a) Either party to this agreement may terminate
it by providing 30 days written notice.
(b) This Agreement may be terminated by either
party upon such party providing sixty (60) days written notice to
the other party; provided, however, that the COLLEGE shall be
required to complete any course, class or method of instruction
provided to the CITY that may be in process at the time of
termination.
SECTION 7. NOTICES.
(a) Wheneve~ either party desires to give notice
upon the other, notice may be sent to:

(b) Either of the parties may change, by written
notice as provided herein, the addresses or persons for receipt
of notices.
(c) All notices shall be provided by U.S. Mail,
return receipt requested.
SECTION 8. ENTIRE AGREEMENT.
(a) It is Understood and agreed by parties that
the entire and complete Agreement of and between the parties is
contained herein and that this Agreement supersedes any and all
oral agreements and negotiations between the parties relating to
the subject matter hereof as well as any and all previous
agreements presently in effect between the parties relating to
the subject matter hereof.
(b) Any alterations, amendments, deletions, or
waivers of the provisions of this Agreement shall be valid only
when expressed in writing and duly signed by the parties in a
document of equal dignity herewith. :
