FOR PROFESSIONAL CONSULTING SERVICES RELATED TO
CONFERENCE CENTER/HOTEL
BETVVEEN
THE CITY OF SANFORD
AND
HUNTER INTERESTS, INC.

Interests, Inc. (hereinafter called CONSULTANT), is mutually agreed upon
and declared an authorized Amendment to an Agreement dated
November 29, 1999, between the parties, herein setting forth the scope,
terms and conditions of the work herein authorized.
WHEREAS, the CONSULTANT has completed a feasibility study for a
conference canter/hotel development, and
WHRERAS, the CITY desires to retain the services of CONSULTANT to
assist the CITY in soliciting developer interest in the development through
and RFQ and FRP process.
NOW THEREFORE, the CITY and CONSULTANT agree as follows:
SECTION 1: SERVICES
The CONSULTANT will perform those services and perform those tasks
as further described in the Scope of Services attached hereto as Exhibit
"A" and made hereof.
SECTION 2: TERM
This Agreement shall take effect on the date of execution by the CITY and
shall run for a period of ten (10) months and, at the sole option of the
CITY, may be extended for a term determined at the sole discretion of the
SECTION 3: COMPENSATION
The CITY agrees to compensate the CONSULTANT for professional
services called for under this agreement on a "Fixed Fee" basis of Twenty
Five Thousand ($25,000.00) dollars.
SECTION 4: GENERAL
All other conditions and terms of the CITY OF SANFORD CONSULTING
SERVICE AGREEMENT between CITY and CONSULTANT, dated
November 29,1999, shall remain in full force and effect and made part of
this Agreement.
The CONSULTANT agrees to initiate work under the Scope of Services
promptly upon receipt of authorization to proceed and to prosecute the
work in a timely manner until the work is complete.

IN WITNESS WHEREOF, the parties hereto have made and executed this
Agreement the date written below for execution by the CITY.

Our firm plays varying roles in these processes, from completely managing all
aspects of the process, to functioning as an "over the shoulder" advisor. t have
suggested below a work program that keeps us more in the advisory role, with the
majority of the work accomplished by City staff.
HII Tasks: Feasibility analysis through developer selection
· Advise on RFQ process; draft RFQ document $3,000 - $4,000
· Advise on developers to contact; prepare mailing list
of qualified national developers (approximately 300-400
experienced hotel developers - City to add Florida and
local developers). $3,000 - $5,000
· Draft display ads for ~Vall Street Journal and local papers. $ 500 - $1,000
· Assist City. with visits by developers, possibly visiting
developers' projects elsewhere; checking qualifications
and references; reviewing developer submissions;
selecting ~nalists; and meeting with local government
officials to secure public finance commitments for public
sector costs (assumes 3 trips to Sanford tbr meetings and
assistance). $5,000 - $9,000
· Advise on RFP strategy based on RFQ results; draft RFP
document. $3,000 - $4,000
· Assist the City with RFP solicitation; make follow-up
calls to developers and their professional advisors
during proposal preparation; assist City in review of
proposals; assist City in ranking developers; make
follow-up calls to the losers; advise City and designated
developer on MOU negotiating process. (Assumes 2
trips to Sanford). $4.000 - $6.000
