SANFORD POLICE DEPARTMENT REMEDIAL ACTION AGREEMENT
THIS AGREEMENT is entered into this /05 day of December,
1993, by and between the CITY OF SANFORD, a Florida municipal
corporation, (hereinafter "SANFORD") and FLORIDA ENVIRONMENTAL
MANAGEMENT, INC., a Florida corporation, (hereinafter "FEM").
1. PROJECT. SANFORD hires and ~etains FEM to perform
professional services for a project known as the Implementation of
the Sanford Police Department Remedial Action Plan (hereinafter
sometimes referred to as "Project").
2. SCOPE OF WORK. FEM shall perform the tasks and supply
the services as specifically set forth in the attached Exhibit "A"
("Scope of Work") which is incorporated herein.
3. PERMITS. As a part of the tasks set forth in the Scope
of Work, FEM will apply for Certain permits for the Project.
Certain of such permits are to be issued by the City of Sanford.
SANFORD agrees that it will issue such permits under the control of
~he City of Sanford in a timely manner so as to not delay the
Project. In addition, SANFORD agrees to cooperate in whatever way
reasonably requested by FEMin the application and approval process
for any other permits for the Project.
4. ACCESS TO SITE AND SECURITY. SANFORD shall arrange and
provide access and security for all sites upon which FEM must
perform work for the Project.
5. INSURANCE. FEM shall obtain and maintain during the term
of this Agreement the insurance as specified in the attached
Exhibit "B" ("FEM insurance Schedule") which is incorporated
herein. SANFORD shall be named as an additionally named insured on
such insurance policies and upon-the request of SANFORD, FEM shall
furnish insurance certificates for all required policies. All
contractors who do work on the Project shall maintain insurance as
set forth in the attached Exhibit "C" ("Contractor Insurance
Schedule") which is incorporated herein.

a4~8 SANFORD agrees to indemnify and save FEM harmless from
exposure, liability, damage to persons and property, legal defense,
and expenses and costs relating to the defense of the below claims
(except for gross negligence or misconduct) arising from specific
performance instructions given by SANFORD to FEM specifically
including:

A. Installation of wells in the public rights-of-way
abutting private property, which installation damages
trees, shrubs, grass or landscaping improvements of
private owners within public property or on private
property.
B. Installation of wells in public rights-of-way abutting
private property, which installation and operation
depresses the water table in the immediate area thus
reducing the yield or complete loss of shallow well
capacity, damaging trees, shrubs, grass or landscaping
improvements of private owners within public property or
on private property.
C. Performance of auger borings in public rights-of-way
abutting private property, which boring operation damages
trees, shrubs, grass or landscaping improvements of
private owners within public property or on private
property.
D. The presence of contaminants in the soil or groundwater
on site where work is being performed, including, but not
limited to, contaminants which were introduced into the
soil or groundwater by FEM during the performance of its
contract.
7. PAYMENT FOR SERVICES. Payment for services shall be in
accordance with the schedule attached hereto as Exhibit "D"
("Payment Schedule") which is incorporated herein. SANFORD shall
pay invoices as submitted by FEM in accordance with the Payment
Schedule so that the payments reach FEM no later than 30 days from
the date such invoices are submitted to SANFORD.
8. DOCUMENTS AND EQUIPMENT. All equipment, calculations,
notes and original documents installed or prepared by FEMhereunder
shall remain the property of FEM. Unless specifically conveyed to
SANFORD, FEM retains the rights to all original and/or patentable
work which may result from the performance of work under this
Agreement. Damage to equipment caused by accident,- vandalism or
Act of God shall be repaired in accordance with Paragraph 9 hereof.
9. ADDITIONAL SERVICES. In the event services beyond the
services set forth in the Scope of Work attached as Exhibit "A" are
needed or appropriate, FEM agrees to perform such services based
upon the fees and costs listed in the attached Exhibit "E"
("Additional Services") which is incorporated herein, but such
services shall only be performed and fees will only be billed if a
request for such additional work is authorized in writing by
SANFORD.

10. TERMINATION. This Agreement may be terminated by either
party upon seven (7) days prior written notice. In the event of
termination by SANFORD, FEM shall be compensated by SANFORD for all
services performed up to and including the termination date,
including reimbursable expenses.

Dear Mr. Simmons:
Florida Environmental Management, Inc. (FEM) thanks the City of
Sanford for the opportunity to work on the City of Sanford Police
Department Remedial Action (RA) project. Please find attached two
(2) copies of our standard "Agreement for Professional Services",
"General Conditions-Professional Services", cost breakdown by task
and task schedule for your consideration.
Florida Environmental Management is prepared to begin work on the
project immediately upon your authorization. As agreed in the
meeting between FEM and the City of Sanford, FEM has developed a
scope of services and schedule for Phase I - Installation of the
Remedial Action Plan (RAP) approved by the Florida Department of
Environmental'Regulation (FDER).
FEM has developed a 14 Task Plan to complete the installation of
the treatment facilities described in the RAP. These tasks are
described below:
Task One
Task One will include applying for required permits to complete the
system installation:
A. St. Johns River Water Management District Well
Installation Permit
B. City of Sanford General Construction Permit
C. City of Sanford Electrical Construction Permit.
D. City of Sanford Right-of-Way Utilization Permit

Task Two
Task Two will consist of equipment procurement including: A. Groundwater extraction pumps
B. Aboveground treatment system
C. Conduit and piping
D. Sensors and controls
E. Vault boxes
F. Meters
Task Three
Task Three will include the location of utilities lines prior to
final layout and construction.
Task Four
Task Four will include coordinating the acquisition of electrical
service for the treatment system.
Task Five
Task Five will consist of installation of the six (6) recovery
wells and vault boxes.
Task Six
Task Six will consist of trenching and roadway cuts.
Task Seven
Task Seven will consist of installation of the raw water lines,
instrumental and electrical conduit.
Task Eight
Task Eight will consist power and instrumentation wiring
installation.

Task Nine
Task Nine will consist of installation of all well head
appurtenances in the well vaults (i.e. meters, backflow preventors,
and sample taps, etc.).
Task Ten
Task Ten will consist of acquisition of the nutrient supplement for
the bioremediation system.
Task Eleven
Task Eleven will consist of installation of the treatment plant.
Task Twelve
Task Twelve will consist of infiltration trench installation,
including preseeding, instrumentation, and associated conduit and
piping.
Task Thirteen
Task Thirteen will consist of system startup and initial sampling.
Task Fourteen
Task Fourteen will consist of initial slug injection and sampling
for the soils bioremediation.
Task Fifteen
Task Fifteen will consist of all site restoration, including
backfilling and pavement replacement.
Task Sixteen
Task Sixteen will consist of record drawing preparation and
submittal to FDER.

Based upon the above generally outlined tasks, FEM's proposes to
complete this portion of the project for a lump sum amount Of one
hundred, twenty-eight thousand, three hundred and sixteen
($128,316.00) dollars. Attached is a cost breakdown by task.
The City of Sanford has indicated, they would like to perform some
of the tasks with their own forces. FEM would recommend the City
consider performing the following activities:
Activity Deduction
Trenching and pavement cuts $ 2,500.00
Infiltration trench and piping $ 7,500.00
Site restoration and backfilling $ 3,000.00
$13,000.00
A proposedproject schedule is attached. FEM proposes to begin the
project immediately after a contract is executed and complete Phase
I Installation within twelve (12) weeks.
