Dear Mr. Simmons:
As follow-up to the City's letter dated September 24, 1993, we are pleased to submit to the
City this proposal for the design of a reclaimed water main extension(s) to serve the Mall
(Seminole Towne Center) vicinity as an additional service to Amendment No. 9 (Water line
extensions and Booster Plant improvements).
The required reclaimed water line extension work includes:
A. Sizing of the re-use main extension, which is proposed to run from Central
Park Drive to Rinehart Road, via Coastline Drive and unopened or future road
right-of-.way, and from Rinehart Road to Towne Center Boulevard via St.
Johns Parkway right-of-way. Sizing will be based on initial Mall and possible
road right-of-way (Towne Center Boulevard, Rinehart Road between SR46 and
Hughey Avenue, and St. Johns Parkway) irrigation requirements.
Consideration will also be given to irrigable areas of parcels in the immediate
vicinity of the mall (commercial development in the near future) as well as
future irrigation needs within this westerly area of Sanford (future
residential/commercial service) and future looping as described in Item B;
B. Preliminary sizing and choosing of routes for future looping of the reclaimed
main within the westerly area;
C.Preparation of a permit application and an approval submittal package to
FDEP for the reclaimed water main extension;
D. Incorporation within the Contract i Plans and Bid Documents (as defined in
Amendment No. 9) the re-use main extension. This extension will parallel the
proposed 16' water main between Central Park Drive and the west side of
Rinehart Road at St. Johns Parkway where these plans will terminate. (The
two mains will likely be a minimum of five feet apart along the route.) At the
Rinehart Road/St. Johns Parkway intersection, these plans will detail fittings
and capped stub lines for future irrigation of Rinehart Road (medians and
right-of way) and adjacent future development;

E. Mark-ups of St. Johns Parkway and Towne Center Boulevard plans showing
proposed locations and sizing of the reclaimed water lines along these
roadways (these mark-ups have already been done and were transmitted to the
City on October 12, 1993: we understand the mark-ups have been passed
along to PEC);
F. Review of revised Towne Center Boulevard and St. Johns Parkway plans (once
PEC revises the plans to incorporate the mark-ups described in Item E). This
review would encompass the reclaimed water line materials, sizing, location,
fittings, valves, and stub lines (for median, right-of-way, and future irrigation
of these roads and adjacent properties).
Based on the inclusion of the reclaimed line work (as outlined above), we request an extra
fee in the amount of $7,714.24 under Amendment No. 9.
If the above extra fee for the Amendment No. 9 reclaimed water line work is acceptable,
please sign and return one copy of this letter as our formal authorization to proceed.

On November 8, 1993, the City Commission conceptually approvecl the
proposed Developer's Agreement with Eoghan Kelley which would provide for the new
right-of-way between Upsala Road and Rinehart Road, as well as relocation of the
St. Johns Parkway retention pond. I will attempt to expedite this matter directly
with the property owners.

day of 1993 between the CITY OF
SANFORD, FLORIDA (hereinafter called the CITY) and CONKLIN, PORTER AND
HOLMES-ENGINEERS, XNC. (hereinafter called the ENGINEER), is mutually agreed upon
and decl~ed an authorized Amendment to an Agreement dated December 17, 1987, between the
parties, herein setting forth the scope, terms and conditions of the work herein authorized.
In case of any conflict between this Amendment and the aforementioned Agreement of December
17, 1987, this Amendment shall govern for the work described herein.

WHEREAS, the ENGINEER has previously prepared a Master Water Plan (1986)
and done a subsequent water system analysis for the CITY and under Amendment 40 is
amending, supplementing, and updating the Master Water Plan, and
WHEREAS, the existing Master Water Plan calls for the extension of the CITY
water system westward toward Interstate 4, and
WHEREAS, the CITY is entering in Agreements with Seminole Towne Center,
other developments, and Seminole County to provide water service within this westerly area and
south of Sanford, and
WHEREAS, the CITY has requested the ENGINEER to perform Engineering
Designs, Construction Documents, and limited Construction Services for three (3) watermain
extensions and providing an auxiliary power source at the French Avenue Booster Station.
WHEREAS, the ENGINEER has completed Preliminary Engineering Studies and
Report on the subject water system improvements.
NOW THEREFORE, the CITY and the ENGINEER for the considerations named
herein agree as follows:
Section 1
General
1.1 Introduction
Based on the Preliminary Design Report prepared under "Amendment No. 6 to
Agreement dated December 17, 1987" which is detailed in the report "Water Line
Extension Analysis and Booster Plant Improvement Study, July 1993" and letter
addendure from CPH dated August 30, 1993, professional engineering services
are required to construct water line extensions at three locations and make
improvements to the French Avenue Booster Plant.
Section 2
Basic Services of the ENGINEER
2.1 General Work Description
Services on this project will consist of the preparation of final engineering plans
and front-end bidding documents Crechnical Specifications would be shown on the
Drawings) suitable for bidding and construction of the water line extensions to
serve the mall and areas along South Sanford Avenue to tie into an existing line
at Fryer Lane; and also for the improvements to the French Avenue Booster
Station. Permitting will also be included. Two separate sets of construction
documents and plans would be prepared; one for the water line extensions and the
other for the French Avenue Booster Station Improvements. The Booster Station
electrical work and piping modifications would be shown on the Documents with
the City doing the piping modifications, essentially leaving the electrical work
for the bidder. The water line extension contract could be amended to eliminate
any of the lines the CITY chose to construct with its own forces. Please refer to
the Plan of Study attached hereto for additional detail and definition of the
services generally described below.
2.2 Final Design
2.2.1 Coordinate with the CITY, regulatory agencies, surveyor, soils and electrical
subconsultants and keep the CITY apprised of progress and actions needed.
2.2.2 The Engineer will obtain from others the following subconsultant services:
A. A survey of the French Avenue Water Booster Plant site showing spot elevations,
locations of existing structures, piping, property, electric service and facility,
utilities, etc. See Section 4, "The CITY's Responsibilities" for dig-ups required.
B. Route surveys showing existing rights-of-way easements, utilities, physical
culture, structures and spot elevations in plan view and profiles and cross section
information on plan and profile sheets. There is approximately ll,5001ineal feet
of surveys required on the lines to service the Seminole Towne Center and 4,000
lineal feet of surveys required on the South Sanford Avenue extension. It is
understood that the CITY will provide existing easement/title work/right-of-way
information for all project work.
C. Geotechnical shallow auger borings and report from a qualified soils firm along
the proposed water line west from Upsala Road to the mall in the unopened
portion of the road right-of-way where Basinger and Myakka (Hydrick poor
draining, high water table) soils exist. However, no environmental scientist
services arc included because they are not anticipated as being needed.
D. Subconsultant electrical engineering services for the final design of new electric
service, a new motor control center, diesel/electric generator set, automatic
transfer switch, electric motor for a pump, and wiring and appurtenances.
2.2.3 Final calculations and designs to document the size and configuration of lines and
mechanical and electrical equipment, piping, and appurtenances.

2.2.5 Prepare draft of Bidding Documents for two contracts for review by the City /
City Attorney.
2.2.6 Prepare a quantity estimate and an Opinion of Probable Construction Cost.
2.2.7 Coordinate with regulatory agencies to discuss their permitting and approval
requirements. Prepare permit and approval submittal packages for submission to:
Florida Department of Environmental Protection (FDEP) - Long form
water construction permit application including both Contracts 1 and 2
Joint FDEP/Corps of Engineers - Wetlands Resource (Dredge and Fill)
permit.
Seminole County - Right-of-way Utilization
Seminole County - Dredge and Fill Permit
2.2.8 Make reasonable revisions to Drawings and documents occasioned by regulatory
agency or CITY reviews.
2.2.9 Prepare ten (10) copies of the Drawings and other Documents for review,
progress, approval, and permitting purposes.
2.3 Bidding and construction services are not included herein and if the CITY desires
such services from the ENGINEER, they will be negotiated as an "Additional
Service" and authorized under the provisions of Section 3.
Section 3
Additional Services of the ENGINEER
3.1 If authorized by the CITY, the ENGINEER shall furnish or obtain from others
the following additional services, or the CITY may provide these services
separately or directly with the provider. Such additional services will be paid for
by the CITY as outlined in Section 5.
3.1.2 Preparation of permit applications other than those specified in Section 2.
3.1.3 Bidding services and construction inspection services.
3. i .4 Administration of construction services.
3.1.5 Additional services due to significant changes in the scope of the project or its
design including, but not limited to, changes in size, complexity, character of
construction or due to time delays in initiating or completion of the work as
described herein.
3.1.6 Provide, through subconsultants, environmental scientist, environmental
jurisdictional or permitting services, real estate record/title research and land or
easement acquisition services, construction quality control testing, or other
subconsultant services beyond the scope itemized in Section 2, if requested or
authorized in writing by the CITY.
3.1.7 Except as otherwise provided herein, services or additional costs associated with
revising previously accepted studies, reports, or other documents when such
revisions are due to causes beyond the ENGINEER's control.
3.1.8 Additional services resulting from public protests. administrative hearings, or
similar matters.
3.1.9 Preparing to serve and/or serving as an Expert Witness for the CITY in any
litigation, public hearing, condemnation proceeding, right-of-way or easement
acquisition or negotiation, or other legal / administrative proceeding.
3.1.10 Furnishing additional sets of prints of the drawings and other documents beyond
those designated in Section 2.
3.1.11 Additional engineering services required by revisions to regulations (after the date
of this Amendment) as applicable to the Florida Department of Environmental
Regulation, the St. Johns River Water Management District, Corps of Engineers,
Seminole County, or other regulatory agency requirements.
3.1.12 Additional services in connection with the project including services normally
furnished by the CITY as described in Section 4 herein and services not otherwise
provided for in this Agreement.
3.1.13 Investigations involving detailed consideration of operations, maintenance and
overhead expenses including preparation of operating and maintenance manuals,
feasibility studies, appraisals and valuations.
Section 4
The CITY'S Responsibilities
4.1 The CITY will:
4.1.2 Advise the ENGINEER of his requirements for the project and designate a person
to act as the CITY's representative with respect to the work to be performed
under this Amendment, and such person shall have complete authority to transmit
instructions, receive information, interpret and define the CITY's policies and
decisions pertinent to the work covered by this Amendment.
4.1.3 Provide data requested that is reasonably available on the existing utility and
street systems, along with operational and maintenance requirements.
4.1.4 Guarantee access to and make all provisions for the ENGINEER to enter upon
public and private lands as required for the ENGINEER to perform his work
under this Amendment.
4.1.5 Provide personnel to locate facilities and mow, trim, excavate, or otherwise make
them accessible for inspection. It is anticipated that dig-ups will be required by
the CITY at the French Avenue Booster site to determine the existence, size and
location of existing lines, valves, and fittings.
4.1.6 Examine all studies, reports, sketches, and other documents presented by the
ENGINEER and render decisions pertaining thereto within a reasonable time so
as not to delay the work of the ENGINEER.
4.1.7 Obtain approval of all governmental authorities having jurisdiction over the
project, and such approvals and consents from such other individuals or bodies
as may be necessary for completion of the Project.
4.1.8 Furnish or direct the ENGINEER in writing to provide at the CITY's expense
any subconsultant services not designated in SectiOn 2, if advised by the
ENGINEER and CITY concurs that they are necessary.
4.1.9 Furnish, or direct the ENGINEER in writing to provide at the CITY's expense,
necessary additional services as stipulated in Section 3 of this Amendment, or
other services as required.
4.1.10 Provide such legal, accounting, and insurance counseling services as may be
required for the project, and such auditing services as the CITY may require.
4.1.11 Give prompt written notice to the ENGINEER whenever the CITY observes or
otherwise becomes aware of any defect in the Project.
Section 5
Payment
5.1 Payment
Payment for services and expenses of the ENGINEER to be as set forth below:
5.1. i Principals and Employees of the ENGINEER.
5.1.2 Compensation paid ENGINEER for services described herein and rendered by
principals and employees assigned to the Project will be computed by multiplying
Direct Personnel Expense (defined in paragraph 5.2.3 herein) times a factor of
1.95 plus all reimbursable expenses. The fee for the engineering services for the
Service described in Section 2, plus out of pocket expenses of 5.2.1 at actual cost
thereof shall not exceed $57,216.00, which includes $37,862.00 for CPH labor;
$755.00 for CPH out-of-pocket expenses; $15,600.00 for surveying subconsultant
services; $1,500.00 for soils subconsultant services; and $3,000.00 for electrical
subconsultant services. All subconsultant services will be billed at direct cost
without increase.
5.2 Reimbursed Expenses
5.2.1 Expenses for items not specifically valued herein are to be reimbursed to the
ENGINEER at the actual cost thereef. Said expenses shall include transportation
and subsistence of principals and employees, when traveling in connection with
the project, toll telephone calls, telegrams, prints, photocopies, and similar
project-related items.
5.2.2 The CITY will make prompt monthly payments in response to ENGINEER's
monthly statements without retention for all categories of services rendered under
this Agreement and for reimbursable expenses incurred.
5.2.3 Direct Personnel Expense used as a basis for payment shall mean the salaries and
wages paid to principals and employees of all classifications engaged directly on
the Project, plus the cost of fringe benefits including but not limited to, social
security contributions, worker's compensation, health and retirement benefits,
bonuses, sick leave, vacation and holiday pay applicable thereto. For purposes
of this Amendment, Direct Personnel Expense shall be considered an amount
equal to 1.48 times applicable salaries and wages.
5.2.4 Charges for the services rendered by principals and employees as witnesses in any
litigation, hearing or proceeding will be computed at a rate of $600.00 per day
or any portion thereof (but compensation for time spent in preparing to appear in
any such litigation, hearing or proceeding will be computed in accordance with
the payment method as set forth in Paragraphs 5.1.2 and 5.2.1 herein).
5.2.5 If this Agreement is terminated during prosecution of the services prior tO
completion of the services of Section 2, payments to be made in accordance with
Paragraph 5.1.2 and 5.2.1 on account of that and all prior work under this
Amendment shall be due and payable, and shall constitute total payment for
services rendered. In addition, upon termination, the ENGINEER shall be paid
for any additional services authorized and rendered under Section 3.
5.2.6 Services provided by outside subconsultants will be billed at the direct cost
without increase.
Section 6
General Conditions
6.1 Since the ENGINEER has no control over the cost of labor, materials, or
equipment or over any construction Contractor's method of determining prices,
any opinion of probable construction cost which may be provided in the services
of this Amendment are made on the basis of his experience and qualifications and
represent his best judgment as a design professional familiar with the construction
industry, but the ENGINEER cannot and does not guarantee that bids or the
construction cost will not vary from opinions of probable cost prepared by him.
6.2 The CITY and the ENGINEER each binds himself and his partners, successors,
executors, administrators and assigns to the other party of this Agreement and to
partners, successors, executors, administrators, and assigns of such other party
in respect to all covenants of this Amendment. Nothing herein shall be construed
as creating any personal liability on the part of any officer or agency of any
public body which may be a party hereto, nor shall it be construed as giving any
rights or benefits hereunder to anyone other than the CITY and the ENGINEER.
6.3 The ENGINEER agrees to initiate work promptly upon receipt of authorization
to proceed and to prosecute the work in a timely manner until the Project is
completed within 90 days from Notice to Proceed based, upon availability of
fight-of-way and other information needed in a timely manner.
IN WITNESS WHEREOF, the parties hereto have made and executed this
Amendment the day and year first above written.
