HomeMy WebLinkAbout739-Florida Recycling 2nd Ext 1407~J175~6 ro 487338560~ P.02×05 CITY OF SANFORDIFLORIDA RECYCLING SERVICES, INCJSECOND EXTENSION TO AGREEMENT FOR SOLID WASTE SERVICES THIS EXTENSION TO AGREEMENT ("Extension") is made and entered into on this j0_'~day of June 2004, and is to that certain Agreement styled "Solid Waste Collection and Disposal Agreement" made and entered into on the 31st day of December, 1998 (the "Agreement"), which Agreement was extended to operate through and including June 30, .2004, between the CiTY OF SANFORD a municipal corporation organized and existing under the taws of the State of Florida (hereinafter referred to as the "CITY"), whose address is 300 North Park Avenue, Sanford, Florida 32771, and FLORIDA RECYCLING SERVICES, INC., a Florida corporation, whose.representative's address is 204 North .Park Avenue, Sanford, Florida. 32771, and wh~ose corporate address is 1099 Miller Drive, Florida 32701 (hereinafter referred to as the Aitamonte Springs, "CONTRACTOR"). WITNESSETH: WHEREAS, the CITY and the CONTRACTOR entered Into the above- referenced Agreement on December 31, 1998 and the Agreement was extended by the parties in order for the parties to continue benefitting from its terms and conditions for a period ending on June 30, 2004; and WHEREAS, the parties desire to further extend the Agreement so as to enable both parties to continue to enjoy the mutual benefits that the Agreement for a specified period of time as set forth herein; and WHEREAS, the Agreement and the essential requirements of contract law provide that any extensions to agreements shall be expressed in writing and duly executed by the parties; and WHEREAS, the parties desire to further extend the term of the Agreement through and including September 30, 2004, NOW, THEREFORE, in consideration of the mutual understandings and agreements contained herein, and other good and valuable consideration, the 'r~cei~t and sufficiency of which is hereby ACkdowledged, the parties agree to extend the Agreement as follows: SECTION '1. RECITALS. The above stated recitals (whereas clauses) to this Second Extension are hereby adopted and form a material part of this Second Extension and the consideration hereof upon which the parties have relied. SECTION 2. SECOND EXTENSION. The term of the Agreement, which is to expire on June 30, 2004 in accordance with the provisions of Section 5 of the Agreement and the extension thereto, is hereby further extended such as the Agreement will now terminate on September 30, 2004. SECTION 3. Except as specifically stated herein in this Second Extension, all terms and conditions of the Agreement, as extended, shall remain in full force and effect as originally set forth in said Agreement.
