AGREEMENT FOR POLICE DEPARTMENT COMPUTER SOFTWARE SERVICES
THIS AGREEMENT is made and entered by and between DONALD F. ESLINGER, Seminole Count),,
Sheriff's Office, hereinafter referred to as "SHERIFF", a constitutional officer of the State of Florida, whose
address is 100 Bush Boulevard, Sanford, Florida, 32773 and the CITY OF SANFORD, hereinafter referred to
as "SANFORD", whose address is 300 North Park Avenue, Sanford, Florida, 32771.
WITNESSETH:
WHEREAS, in accordance with sections 163.01(2) and 163.01(14) Florida Statutes, the SHERIFF and~~
SANFORD are authorized to enter into inter local Agreements for the provision of services; AND
WHEREAS, the SHERIFF maintains seven days per week, twenty-four hours per day computer software
support services; AND
WHEREAS, SANFORD has determined that it is advantageous to enter into a contractual agreement with
thc SHERIFF for the provision of computer soft, rare services to the Sanford Police Department.
NOW, THEREFORE, in consideration of the mutual understandings and agreements set forth herein, the
SHERIFF and SANFORD agree as follows:

Term and Termination
The TERM of this Agreement shall be from January 1, 2005 until such time as either part3, desires to
end the Agreement, the dates of signature of the parhes not withstanding.
Purpose
The purpose of this Agreement to establ/sh terms and conditions under which the SHERIFF shall
provide computer software services and support to the Sanford Police Department.
Cooperation
It is agreed that both parties shall provide all reasonable and necessary cooperation and assistance so
as to facilitate this Agreement.
4. Basic Services
1. The SHERIFF agrees to:
A. Provide CAFI~ 2000, FINDER, and other applicable software packages available on the
SHERIFF'S network to the Sanford Police Department.
B. Provide data conversion from the current Sanford Police Department record system to CAF~
2000.
Provide XCAD, a computer aided dispatch system designed by the SHERIFF, to be used by the
SHERIFF'S Telecommunication Center to dispatch for the Sanford Police Department (includes
MOBILE XCAD for laptops).
Provide network and database security, and backup of Sanford Police Department CAFI~ 2000
reports.

E. Provide necessary, instruction and training to Sanford Police Department personnel on CAF~
2000, XCAD, MOBILE XCAD, FINDER, and other applicable software.
F. Provide telephone and on-site software support to the Sanford Police Department for CAFE
2000, XCAD, MOBILE XCAD, FINDER, and other applicable software.
G. Provide for a sufficient number of appropriately qualified personnel to perform those services set
forth within this Agreement.
2. SANFORD agrees to:
A. Insure access to the SHERIFF'S information system is for authorized criminal justice purposes
only, and to regulate proper use of the information at all times.
Acknoxvledge that all software provided by the Sheriff's Office is subject to copyright protection
and may not be sold or transferred to any other agency without the express written consent of the
SHERIFF.
C. Allow only law enforcement and other criminal justice agency personnel who have been properly
screened to have access to the SHERIFF'S information system.
D. Provide adequate computer equipment compatible with the computer and network equipment
utilized by the SHERIFF.
E. Send all authorized Sanford Police Department personnel to training on CAF~ 2000, XCAD,
MOBILE XCAD, FINDER, and other applicable software.
F. Comply with all SHERIFF'S Information Services Standard Operating Procedures when using
software available on the SHERIFF'S network.
G. Administer the Sanford Police Department Domain Controller for all authorized users of the
SHERIFF'S network.
H. Maintain all required software licenses to allow access to the SHERIFF'S information systems.
Compensation and Payment
The SHERIFF agrees to provide services as set forth in this Agreement to SANFORD at no cost.
Indemnification
Pursuant to 768.28(18) Florida Statutes, neither the SHERIFF nor SANFORD waives any defense of
sovereign mamunity, or increases the limits of its liability, upon entering into this Agreement. This
Agreement does not contain any provision that requires one party to indemnify or insure the other
parD' for the other party's actions, or to assume any liability for the other party's actions.
Dispute Resolution
This Agreement shall be governed by and construed with the laws of the State of Florida. Venue shall
be in Seminole County, Florida. The SHERIFF'S designee, Deputy Director Mark Schendorf, and
SANFORD'S designee, Lt. Iq. Horan shall resolve minor disputes.

Entire Agreement
It is understood and agreed that the entire Agreement of the parties is contained herein and that this
Agreement supersedes all oral agreements and negotiations bet~veen thc parties relating to the subject
matter hereof, as ~vell as any previous Agreement presently in effect between the parties relating to the
subject matter hereof. Any alterations, amendments, deletions, or ~vaivers of the provisions of this
Agreement shall be valid only when expressed in ~vriting, approved by the respective parties and duly
executed on behalf of each part5' as set forth herein.
IN WITNESS WHEREOF, the parties to this Agreement have caused their names to be affixed hereto by
thc proper officers thereof for the purposes herein expressed.
