CITY OF SANFORD AND LAKE MONROE HARBOUR, INC.
MEMORANDUM OF AGREEMENT
THIS MEMORANDUM[ OF AGREEMENT (hereinafter referred to as the "MOA ") is

entered into this day of � , 2011, by and between the CITY OF
SANFORD, a Florida municipality (hereinafter referred to as the "City"), whose address Is
City of Sanford City Hail, 300 North Paris Avenue, Sanford, Florida 32771 and LAKE
MONROE HARBOUR, INC., a Florida corpora (hereinafter referred to as "Monroe
Harbour"), whose address is c!o Charles J. Volk, President, 531 North Palmetto Avenue,
Sanford, Florida 32771. The City and Monroe Harbour are referred to herein as the
"parties ".
WHEREAS, the Fourth of July Fireworks Celebration (hereinafter referredto as the
"Celebration ") has been historically held yearly on the lakefront of Lake Monroe in Sanford,
Florida; and
WHEREAS, the Celebration has included an annual fireworks display; and
WHEREAS, the launch site for the proposed 2041 Fireworks Display is identified in
the attached Exhibit "A "; and
WHEREAS, Exhibit "A" also identifies an area in wh}ch preparation, precautions
and public safety efforts are necessary pursuant to City, State and Federal regulations for
the protection of life and property; and
WHEREAS, Monroe Harbour, Inc. is a tenant operating a Marina dockside, dry
storage and boat basin operation within the area described in Exhibit "A "; and
WHEREAS, the City desires to ensure that the premises, property and personnel of
the tenant, Monroe Harbour, are reasonably protected against any and all personal injury

and property damage exposure resulting from the anticipated July 4, aff'i'l Celebration
planned to be conducted on the lakefront in Sanford from the launch site identified in
Exhibit "A ", and
WHEREAS, the City Staff including the Event Coordinator Supervisor of Special
Events, and Manager, CityAttonney, Police Sergeant, Dire Department Ueutenantand Risk
Management Director have conferred and twill, as necessary, confer with the officers,
directors, manager and operator of the Monroe Marina in an attempt to identify and
consider all of the concerns of the City and the Tenant germane to the anticipated 2011
Celebration; and
WHEREAS, the parties have concluded after their several discussions to
memorializing their several commitments, agreements, covenants and stipulations in the
best interests of the parties; and further, for the public good and the protection of life and
property in and about the area identified in Exhibit "A" and along the waterfront area of
Lake Monroe within the City of Sanford; and
WHEREAS, the parties desire to have in- plane a mechanism to extend the
provisions of this MOA with ease from year -to -year under the same terms and conditions
with the possibility that dates and exhibits might change.
NOW, THEREFORE, in consideration of the foregoing recitals, and for other good
and valuable considerations, the receipt and sufficiency of which are hereby acknowledged
by execution of this MOA, the parties agree and understand as follows:
1. The above recitals are true and correct and form a material part of this MOA
upon which the parties have relied and shall rely.

2. Monroe Harbour agrees as follows:
a. To cooperate with the City in consenting to continue the annual
planned Fireworks Celebration to be staged, performed and scheduled within the area
described in the attached Exhibit "A" for launch of fireworks; and
b, To facilitate the relocation and movement of Monroe Harbour property
located outside the dry storage area to the parking area west of the drystorage facility; and
c. To assist with the designation of the security area west of the dry
storagefacility so as to coordinate security and surveillance bythe City Police Department
commencing at croon on July 3, 2011 and continuing until 7:00 a.m. on July 5, 2011; and
d. To assist with the designation of exposure areas In and about the
Exhibit "'A" premises for continuous survey, surveillance and extinguishment control
activities of the City's Fife Department; and
e. To make available to designated representatives of the City's Park's
Department, Special Events Supervisor, Fire Department and Police Department keys and
authorization to enter upon the floating docks in the eastern basin for purposes of
preparation, protection and clean up of said areas prior to, during and following the
Fireworks Display event; and
f. Tender to the City0s Risk Management Director a Certificate of
insurance showing (1) Property coverage insuring the properties of Monroe Harbour; (2)
General Liability with a minimum limit of $1,000,000 and including the City of Sanford as
Additional Insured attached hereto as Exhibit "B" for ready reference by the parties).
3. The City agrees as follows:

a. To provide Monroe Harbour with a current Certificate of Insurance
showing General Liability insurance with a minimum limit of $2,000,000 per occurrence;
and
b. To provide Monroe Harbour with a current, Certificate of insurance
from East Coast Pyrotechnics or such other provider of firevrorks display services as may
be engaged by the Gity from time -to -time, showing General Liability Insurance with a
minimum limit of $5,000,ODO per occurrence and that Monroe Harbourshall be declared an
additional insured on said policy as respects commercial general liability insurance
pertaining to the operations of East Coast Pyrotechnics, or other provider, at the 2011
Celebration within the City of Sanford, Florida; and
C. Assist Monroe Harbour in designating the security parameters west of
the dry stone facility and coordinate to the satisfaction of the needs of Monroe Harbour's
and its properties security and surveillance under the direction of the Sanford Police
Department commencing at noon on July 3, 2011 and continuing until 7 a.m. on July a,
2011; and
d. Assist Monroe Harbour in designating potential extinguishment control
areas for management by the City's Fire Department including, but not limited to, the
following:
dry storage exteriors; and
ii. dry storage roof which shall be hosed prior to, during and post
event for the protection of the dry storage roof and related facilities; and
Iii. floating docks zone south of the dry storage facility within the

eastem harbour area; and
N. all premises leased to Monroe Harbour by the City; and
V. all boats, trailers, canopies, vehicles, equipment and personal
property in and about the premises of Monroe Harbourshall be protected against exposure
to damage by reason of the fireworks used in the Celebration; and
Vi. perform dud management servioes as required during and after
the Celebration to ensure the safety of persons and property.
f. Coordinate and implement clean up to the satisfaction of the parties in
areas including, but not limited to, the following:
1, dry storage roof and exterior;
ii. floating docks and the eastern basin;
island area;
iv. lake front zone; and
V. streets, alleys and travel ways on the island and within to lake
front areas.
g. Coordinate and implementthe restoration of premises and properties
to the satisfaction of the parties in areas and zones including, but not limited to, the
following:
I. south dry storage exterior;
ii. additional dry storage areas as needed and Identified;
iii. all parking areas on the island;
Iv. boat ramps:
V. floating docks in the eastern and western basins;

viii. such other areas as shall be impacted by the event, if any.
h. Establish and maintain constant communication between and to the
satisfaction of the patties so as to implement control and fulfill their respective
responsibilities to each other as described herein; and
i. The City shall have full authority and opportunity to abortthe event for
the protection of life, property and the safety, health and welfare of Monroe Harbour and
the citizens of the City of Sanford.
j. That the City Manager, or designee, may renew this MOA, upon
consent of all appropriate parties, from year -to -year in order to provide for the seamless
continuation of the Fourth of July celebrations sponsored by the City.
4. Attached hereto for ready reference by the parties, are the below listed maps,
photos, policies and renderings, to wit (all of which may be mutually modified by the parties
as needed to implement the provisions of this MOA or any extensions thereto):

5. The parties agree not to assign or transfer all or any portion of this MOA.

& The parties hereto shall indemnify and hold each other harmless In
accordance with the following covenants, agreements and stipulations, to wit:
a. City /Monroe Harbour: As a condition of this MOO, City shall indemnify
and sage Monroe Harbour harmless from any and all liability, loss, damage, expense,
cause of action, suits, claims or judgment arising from injury to any person or property
resulting, directly or indirectly, from or based capon the fireworks activities at the
Celebration. The City further shall, at its expense, defend any and all suits which may be
brought against Monroe Harbour, either alone or in conjunction with others, upon any such
liability or claim, and shall satisfy, pay and discharge any and all judgments that may be
recovered against Monroe Harbour in any action or actions; provided, however, that
Monroe Harbour shall give City written notice of any such claim or demand as required
herein. The foregoing indemnity provision is not intended as a waiver of City's common
law right of sovereign immunity, as adopted in Section 2.01, Florida Statutes. The limited
waiver of sovereign Immunity set forth in Section 788.2$, Florida Statutes for tort actions
brought against the City shall be applicable to any action brought pursuant to this indemnity
and hold harmless provision, even if the indemnity or hold harmless action sounds in
contract rather than tort.
b. Monroe Harbor /City Indemnification and Notices of Action: City shall
not be liable for any damage or injury to Monroe Harbour, or any other person, or to any
property, occurring on or in conjunction with the Celebration which results from the
negligent actions of Monroe Harbour. Monroe Harbour, tothe extent and limit permitted by
State law, but without obligation to provide separate insurance of any nature to the City,

shall hold harmless and indemnify the City from and against any and all liability, assertions,
loss, claims, damages, costs, attomeys' fees, judgments and expenses of whatsoever kind
or nature which the City may sustain, suffer er incur or be required to pay by reason of a
loss resulting from the negligent acts or omissions of Monroe Barbour. To the extent and
limit permitted by State law, in the event that any action, suit or proceeding is brought
against either party upon any alleged liability arising out of this MCA asserted to have
resulted from the negligence of the other party, the party againstwhom the action, suit or
proceeding is brought shall promptly provide notice in writing thereof to the other party by
registered or certified mail addressed to the party against whom the action, suit or
proceeding is brought at the address herein provided. Upon receiving such notice, the
party receiving notice, at its own expense, shall diligently defend the party against whom
the action, suit or proceeding is brought against such assertions, actions, lawsuits, or
proceedings and take any and all appropriate actions to prevent the obtaining of a
judgment against the party against whom the action, suit or proceeding is brought.
G. East Coast /City and Monroe Harbour: East Coast Pyrotechnics shall
furnish unto the City and Monroe Harbour an indemnifiGation document satisfactory to the
parties.
7. The parties agree that the following mutual protections are included in this
MOA for the benefit of the parties:
a. This document: is the entire agreement between the parties and
supersedes all previous agreements between the parties; and
b. Amendments to and waivers of the provisions contained in this MOA
may be made only by the parties in writing by formal amendment; and

C. Amendments and updates to Certificate of Insurance, if and when
issued, shall be immediately delivered to the other party within twenty -four (24) hours of
notification or receipt; and
d. This MOA is subject to the laws of the State of Florida; and
e. This MOA is intended to benefit only the parties who sign it and does
not create any rights for other persons or entities; and
f. This MOA is binding on both parties and each has the power and full
authority to bind themselves by signing below.
g. The effects of the prior memorandums of agreement are hereby
ratified and affirmed notwithstanding the fact that no underlying agreement had been
entered between the parties. This MOA may be renewed from year -to -year by the parties
establishing in a letter executed by the parties the pertinent dates on which actions will be
taken and attaching thereto any exhibits as may be required by this MOA.
