The City Commission of the City of Sanford, Florida met in regular sessioix� at the
City Hall in the City of Sanford, Florida, at 7:30 o'clock P.M. August 8, 1938•

Meeting called to order by the Chairman.
Minutes of regular meeting of the City Commission and meeting of the Municipal
Delinquent Tax Adjustment Board of July 25th. and adjourned meeting of the City
Commission of July 29th., 1938 , read and approved.
Current Invoices and payrolls for the month of July 1938, properly audited and
vouchered, as evidenced by vouchers Nos. 70 through 157, submitted, examined, approved
and payment authorized.
Monthly reports of the streets, sanitation, health, water, police, fire and library
departments for the month of July 1935, submitted and examined.
Bank statements in all accounts for the month of July 1935, properly reconciled,
submitted and examined.
Financial statement and statement of revenues and expenditures during the month of
July 19389 submitted and examined.
Petition, with fortyeight signers, next presented by Edward F. Lane, requesting that
traffic on Park Avenue be regulated by stopping automobiles going more than 25 miles
per ahour, prohibiting using the street with cut -outs open, and preventing the unnecessary
blowing of horns.
Matter referred to the Chief of Police with instructions to put on a motorcycle
patrolman temporarily.
Engineer Fred T. Williams next presented an,:: amended WPA project application cover-
ing the construction of a boat basin adjacent to the Municipal Pier at the Foot of Park
Avenue, to be submitted in place of one heretofore presented but returned for revision,
the new application oontemplating the expenditure of $46,522.00 of which the City's
share will be $18,534.00.
Thereupon Commissioner Coleman moved that the amended application be approved and the
Mayor and Clerk be authorized to execute same on behalf of the City.
Seconded by Commissioner Lee and carried.
Mr. Williams next advised that the City will have to furnish some rock for the French
Avenue widening and repaving project, the amount to be furnished by the Government
being insufficient to complete the job.
Thereupon, on motion duly adopted, the Clerk was authorized to purchase this rock
when needed.
The Commission was next advised that M.A.Smith, as Liquidator for the Fidelity Bank
of New Smyrna, holds coupons No. 6, due July 1, 1929, f rozp bonds Nos 1/5, Series DD, par
value $137.50, and had agreed to sell these coupons to the City at the same price hereto-
fore paid for other coupons held by the Liquidator, to -wit $4.37 per coupon.

Thereupon:, on motion duly adopted, the Clerk was authorized to purchase these coupons
at the price. offered.
The Clerk next reported as open and unpaid on the City's records a street paving
lien against Lots 1,2 and 3 of Block C Neave's Addition to Sanford, said lien being
evidenced by certificate No. 2, dated Aug 1, 1917, in amount of $83.27, and that the
County records show a satisfaction of this lien executed for the City by Geo.G.Herring
as City Attorney under date of July 10, 1922 and recorded in Satisfaction Book No. 6, page
66, on Sept. 7, 1922.
Thereupon, Commissioner Coleman moved that in order to c3M the records the foregoing
,street paving lien be cancelled on the books of the City of Sanford.
Seconded by Commissioner Lee and carried.
On motion of Commissioner Coleman, seconded by Commissioner Lee and carried, the
WHEREAS, on the first day of February, 1937, the City of Sanford, Florida, had
Commission next approved acceptance of offer of A.B.Sechrist to accept $200.00 if paid
at once as payment in full for white -way cable heretofore purchased but not to be paid
for until the next fiscal year, the total cost being $253.20.
Commissioner Coleman next introduced Resolution No. 532 entitled:

A RESOLUTION OF THE CITY COMMISSION CF THE CITY OF SANFORD , FLORIDA, ADOPTING
A PLAN OF COMPOSITION FOR THE READJUSTMENT OF ITS INDEBTEDNESS UNDER THE ACTS
OF CONGRESS RELATING TO BANKRUPTCY.
WHEREAS, on the first day of February, 1937, the City of Sanford, Florida, had
outstanding valid indebtedness evidenced by bonds and certificates of indebtedness
aggregating the principal amount of $5,900,000.00; and
WHEREAS, by Resolution No. 499, adopted by the City Commission of said City of
Sanford on the first day of February, 1937, said Resolution being entitled as follows:
" A RESOLUTION BY THE CITY COMMISSION OF THE CITY OF SANFORD, FLORIDA, AUTHORIZING
THE REFUNDING OF SAID CITY'S OUTSTANDING BONDED INDEBTEDNESS, AND THE REFUND-
ING OF JUDGMENTS SECURED THEREON BY THE ISSUANCE CF REFUNDING BONDS."
the issuance of refunding bonds in the principal amount of $5,900,000.00 to be ex-
changed for the aforesaid bonds and certificates of indebtedness of said City of Sanford,
was authorized, said refunding bonds to be designated as " Series A" in the principal
sum of $5,274,000.00 and "Series B" in the principal sum of $626,000.o0, which said
resolution. authorizing the issuance of said refunding bonds provided that said Refund-
ing Bonds of Series A should be issued in exchange for the principal of all of the
outstanding bonds of said City of Sanford except those two certain issues of bonds
designated as " Public Utility Bonds ", dated January 1, 1924 and " Improvement Bonds,
Series CC ", dated July 1, 1926, which were issued for the purpose of constructing,
enlarging and improving the water pant of said City, and said Refunding Bonds Series B
should be issued in exchange for the principal of said bonds of said issues designated
0 Public Utility Bonds ", dated January 1, 1924, and "Improvement Bonds, Series CC"

WHEREAS, said City of Sanford how has outstanding the aforesaid Refunding Bonds, Series
A, in the aggregate principal sum of $4,923,000.00 and the aforesaid Refunding Bonds,
Series B. in the aggregate principal sum of $593,000.00, and the aforesaid bonds in
the aggregate principal sum of $250,000.00 hereinbefore particularly described and
which have not been exchanged for Refunding Bonds and said City of Sanford has
endeavored by every means to effect collection of taxes levied and assessed by it for
its operating expenses and the payment of its indebtedness and has levied each year
since the year 1929, 30 mills taxes upon the taxable property in said City based upon a
full cash value of the property assessed, which rate of taxation experience has
demonstrated is the maximum amount which said assessable property is able to bear, and
an increase of approximately ten mills taxes would be necessary to pay interest upon and
create a sinking fund for the aforesaid outstanding bonds of said Ci$y which have not
been exchanged for Refunding Bonds, which increase of millage would impair and retard the
collection of taxes and make it impossible for the City to comply with its obligations
under said Refunding Bondq, and said City of Sanford is unable to pay its indebtedness
as evidenced by said Refunding Bonds, Series A. and Series B, and said bonds hereinbefore
particularly described, and is insolvent and unable to meet its debts as they mature
and desires to adopt a plan of composition for the readjustment of its bonded indebtedness
under the Acts of Congress relating to bankruptcy, as amended, and more particularly
Chapter 9, Sections 91, 92, 83 and 94, as amended by Act of Congress approved June 22,1938:

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF, SANFORD,FLORIDA:
That said City of Sanford, Florida, hereby adopts and proposes the following as
its plan of composition for the adjustment of its bonded indebtedness under the afore-
said Acts of Congress , to -wit:

The CITY OF SANFORD, FLORIDA, a municipality of the County of Seminole, State of
Florida, Southern District of Florida, debtor herein, proposes this its Plan of Compos:tjftin,
for the readjustment of its indebtedness under the Acts of Congress relating to bankruptcy, r
as amended, and more particularly under Chapter 9, Sections 81, 82, 83, and 84 of said Acts
as amended by Act of Congress approved June 22, 1938, which are rendered effective as to
municipalities, taxing districts and political subdivisions of the State of Florida, by
the provisions of Chapter 15,878 , of the Laws of Florida, Acts of 1933, and says:

the denomination of $1,000.00 each, dated March 1, 037, maturing September 1, 19779
bearing interest represented by coupons, as follows: 2% per annum from.March 1,
1937, through August 31, 1947; 2J% per annum f rom,September 1, 1947, through August 31,
1957; 20 per annum from September 1, 1957, through August 31, 1967; 3% per annum from
September 1, 1967, until paid, and issued in accordance with Resolution No. 499, passed
and adopted by the City Commission of the City of Sanford, Florida, on the 1st. day
of February , 1937, for the principal of the following outstanding bonds of said City:

from January 1, 1929, to March 1, 1937, the date of the aforesaid Refunding Bonds, or

THIRD: The aforesaid Refunding Bonds, Series A. and Series B, have been validated
by decree of the Circuit Court of the Ninth Judicial Circuit of the State of Florida,

in and for Seminole County, Florida, rendered on the 16th day of March , 1937, and by
the Supreme Court of the State of Florida, in that certain cause therein lately pending where-
in the State of Florida was appellant and City of Sanford, was Appellee , reported in
Florida_, 174 Southern,399-
FOURTH: Pending the preparation and exchange of the Refunding Bonds authorized by
the aforesaid Resolution No. 499, adopted on the first day of February, 1937, the City
agrees to comply in all respects with the terms and provisions as contained in said
Resolution.
FIFTH: Upon delivery of the Refunding Bonds in exchange for the outstanding bonds
to be refunded thereby all past due interest coupons, if any, attached to said Refunding
Bonds shall be detached and all unmatured coupons shall be attached thereto.
SIXTH: The City of Sanford will pay all costs and expenses incidental to the issuance
of the aforesaid Refunding Bonds, as well as the fees and expenses df the depositary
or depositaries through which the Rerfunding Bonds may be exchanged for indebtedness
now outstanding.
EVENTH: The CENTRAL HANOVER BANK & TRUST COMPANY, of New York City, is hereby named,
constituted and appointed, subject to the order of the Court, as the depositary through
which the aforesaid outstanding indebtedness of the City will be exchanged.

NINTH The foregoing plan of composiition does not affect the aforesaid Refunding Bonds
Series A or Series B, dated March 1, 1937•
BE IT FURTHER RESOLVED, that the foregoing plan of composition shall be
submitted to the creditors holding securities of the City and their consent thereto and
to the filing of a petition under the aforesaid Bankruptcy Act for the readjustment of
the aforesaid indebtedness evidenced by the outstanding bonds hereinbef ore partieualrly
described, be requested.
BE IT FURTHER RESOLVED that this resoltuion shall become effectite:::amliedtilely
upon its passage and adoption.
