040934MINUTES: CITY COMMISSION, .SANFORD, FLORIDA, April 9 at 7:30 P M tq 34 The City Commission of the City of Sanford, Florida met in Regular Session at the City Hall in Sanford Florida, at 7:30 O'clock P.M. April 9, 1934. Present: Commissioner W.A.Leffler, Mayor. " T0L.Dumas a H.J.Lehman " V.A.Speer S.O.Shinholser City Attorney Fred R.Wilson City Clerk F.S.Lamson Chief of Police R.G.Williams Meeting called to order by the Chairman. Minutes of regular meeting of March 26th. 1934 read and approved. Current invoices for the month of March 1934, properly audited and vo.uchered as evidenced by vouchers Nos. 5907 through 5950, submitted, examined, approved and payment ordered. Monthly report of the streets, sanitation, health , water and library departments for the month of March 1934 submitted and examined. Financial statement and statement of revenues and expenditures during the month of March 1934 submitted and examined. Bank statements in all accounts, properly reconciled, submitted and examined The Chairman next announced the appointment of the following to serve as a Citylanning nd Zoning Commission: Mrs. W.L.Morgan Mrs W.E.Watson Mr. G.D.Bishop Mr. E.J.Moughton Mr, H.B.Pope Mr. Fred T.Williams Appointments approved. Thereupon the Clerk was instructed to notify the members of this Commission of their appointment and that they will elect their own Chairman. Mr. J.W.Snow next registered protest against the use of the alleyway adjacent to his cemetery lot in Lake View Cemetery ( known as the Miller Cemetery) by F.L.Miller as a burying ground, and requested that the body buried in this alley by Mr Miller be ordered removed. After discussion of the authority of Mr. Miller to utilize the alleyways in this cemetery for burial purposes, Commissioner Speer moved that the matter be re- ferred to the City Attorney for attention and report. Seconded by Commissioner Dumas and carried. Report next read from the County Clerk giving the cost of operation of the County jail for the first six months of the fiscal year as $966.15 and advising that as this item includes fuel and blankets which will not be needed during the remaining six months, the total cost of operating the jail during the full year should not ex- ceed the $1800.00 appropriated for that purpose. The Commission was next advised that the FERA, under which it is proposed to carry on the CWA project for relaying the City's obsolete sewer system, does not contemplate furnishing engineering services for this work, and that the cost of such services must be borne by the City. ,w 229 MINUTES CITY COMMISSION, SANFORD, FLORIDA, April 9, at 7:30 P M 1934 After considerable discussion, Commissioner Shinholser moved that the Mayor and Commissioner Speer be authorized to engage engineering services for this work, together with such other work as they may see-fit on a semi- temporary basis for such length of time as may be found necessary. Seconded by Commissioner Dumas and carried. On recamenda.tion of Chief of Police Williams and Municipal Judge Wilkinson, Commissioner Speer next moved that Brodis Mathews,- sentenced March 19th in the Municipal Court on two counts, one to pay $50.00 or serve 60 days, and the other to pay $25.00 or serve 50 days, be released after serving 9 days of the-first sentence upon payment of the fine in the second count. Seconded by Commissioner Shinholser and carried. Commissioner Dumas next moved payment of the following from funds available therefor: To DeCottes and Boggs to apply on judgment $1700.00 To Kenneth M,Keefe, et al, to apply on judgment 9390.00 To United Mutual Life Insurance Co , to apply on judgment. 200.00 Seconded by Commissioner Lehman and carried. The Clerk next reported on the progress being made towards completing the terms of the agreement with the City of Sanford Bondholders Protective Committee whereby if 40 percent of the 1932 tax roll was colledted during the fiscal year 1932 -1933, interest to September 30th, 1932, on all bonds held by the Committee would be cancelled, as well as the balance unpaid of interest falling due during the year 1933 as follows: let. That as a result of this agreement, interest claims totalling $976,805.41 are being released by the Committee, and that adding this amount to the amounts released when cash payments were made from revenues of the year 1932 -1933, make a total of $1,059,074.13 interest claims released by the Committee as a result of the operations of the fiscal year 1932 -1933. 2nd. That the Committee is preparing the following receipts which will bring the total of interest claims released to $976,905.41: Additional receipt for further interest on matured bonds not in judgment from October 1, 1932 to September 30, 1934 1,567.50 Receipt for interest on judgments to September 30, 1933. 135,063.16 Receipt for interest in judgments 74.,543.50 5th. That in addition the Committee has furnished the City with a letter ag ±eement to the effect that if and when any refund- ing or readjustment of the outstanding bonded debt of the City Of Sanford is accomplished, the items of interest upon the City's bonded debt included within those certain judgments obtained by the Committee in the United States District Court for the Southern District of Florida, will be cancelled and released, together with all interest upon the items of interest on bonds so cancelled. 1 C 1 J 1 MINUTES CITY COMMISSION, SANFORD, FLORIDA, April 9 at 7:30 P M —19 L 6th. That the Committee is perfecting plans to have all matured bonds held by them under their depository agreement stamped showing that interest had been released up to September 30, 1934. Thereupon all schedules and correspondence relating to the release of interest by the Committee as reported by the Clerk were ordered spread on the minutes of this meeting as follows: " January 30: 1934 Mr. F.S.Lamson City Clerk. Sanford, Florida. Dear Mr.Lamson: We have prepared a set of calculations in connection with the pending settlement with you for the unpaid interest to September 30, 1933 due the Committee. By an amendment to the Deposit Agreement, the Committee has been vested with the authority to release and discharge the City from its obligation to pay any unpaid interest accrued to September 30, 1932, and to accept a less rate of interest on the deposited bonds and certificates of indebtedness than the rate stipulated in said bonds and certificates, in full payment of - interest on said bonds and certificates during the fiscal year beginning October 1, 1932. In view of the wording of the amendment referred to, we have treated the two periods separately; in other words, we have arranged the computations for the period ending September 30, 1932 in one statement and the computations for the fiscal year beginning October 1, 1932 and ending September 30, 1933 in another statement. Enclosed you will find the two statements we mention above, together with a memorandum showing the method in which we propose to make the settlement. On the sheet entitled " computations for period ending September 30, 1932 ", we wish to of- fer the following explanations: Item 1 represents the interest included in Judgments as of September 302 1932. This figure is taken from Schedule A -5 of the Audit Report of Pentland, Gray and Moore ( to which we shall refer hereafter as the "Audit Report ") as of September 30, 1932. The figure shown in that Schedule as interest included in all Judgments is $383,109.69. $11,761.46 and $2,988.25 represent the interest in the United Mutual and Ashton Judgments respectively. These two items make a total of $14 749.71 which, when deducted from the total mentioned above, leaves a balance of 43681359.99 - being interest included in our Judgments. Iten 2. represents the deduction of $5,947.50 being the face amount of interest coupons released from Judgments during the fiscal year 1932 -33. These releases, as you realize, were in connection with bonds released from the terms of our Deposit Agreement. It is only proper that in making a settlement as of September 30, 1932, any part of the Judgment which subsequently was released, should be taken into consideration. Item 3 is the net figure of interest in Judgments after deducting Item 2 from Item 1. Item 4 is the result of a computation of the interest on matured bonds not included in Judgments to September 30, 1932. Item 5 represents interest coupons held by the Committee , not included in Judgments, maturing to September 302 1932. The amount of such coupons is not shown-because all of such coupons are to be delivered and the amount thereof is unimportant. We are having the depositaries detach and make available all of such coupons and the amount will be determined later. Iteno 1 to 5, therefore, represent all the interest claims of the Com- mittee against the City as of September 30, 1932, excepting the interest on Judgments which is mentioned hereafter as Item 11. On the sheet entitled " Computations for Fiscal Year October 1, 1932, to September 30, 1933 ", we wish to offer the following explanations: Item 6 represents the entire interest claim for the fiscal year on all bonds deposited with the Committee, both matured and unmatured, and including those in Judgments. Item 7 represents the amount of Utility Fund payments received by us, or accrued for our account, during the fiscal year. Schedule A -6, Page 1 of the Audit Report of September 302 1933 shows that the sums of $13,970.00 and $15 482.50 were paid the Committee. The sum of $137970.00 is correct, but the sum of 615,482.50 includes $1,100 of-interest which was for the account of the State Board of Education, therefore, we have received on that payment only 14,382.50. To this total of $28,352.50, we add our percentage of the accrual of 10,583.31 shown in the Schedule referred to above - which was $9,708.39 according to the 23t 232 MINUTES CITY COMMISSION, SANFORD, FLORIDA, April 9 at 7:30 P M � 9� advice we received from Messrs.L'Engle and Shands on January 18th- which gives a to- tal of $38,060.88. We propose to use this last figure in our settlement. Item 9 represents the payments received by us, or accrued for our account as the result of tax collections during the fiscal year. Referring to Schedule A -6, page 2 of the Audit report of September 30, 1933, we find that there was paid the Committee during the fiscal year - $46,893.18, which agrees with our records. There was accrued for our account as of September 30th - $14,056.92. Under an arrangement with which you are familiar, the Committee agreed to waive, temporarily, the sum of $6,800 which the City was authorized to use in paying Hornblower, Miller, Miller and Boston. We find, on page 13 of the Audit Report of September 30, 1933, that of the $6,900 anticipated, the sum of $5,009.25 was realized; which amount we shall use in these calculations because - had the agreement not been made, we would have received 1�,009.25 in addition to the amount we did receive. The total of the sums of ,993.18, $14,056.92 and $5,009.25 is $65,949.35• Item 9 represents interest at 6% on the $478,000 of bonds in Judgment (see Schedule A -5) for the fiscal year. If the Committee is cancelling all the interest on Judgments ( see Item 11) we then are correct, in our opinion, in deducting the $28,650 of interest on these bonds from our annual interest requirements, since the figure of $303,330 ( Item 6) included interest on these same bonds. Item 10 is the net figure after deducting from.the total interest claims on all bonds the Utility Fund payments; the Tax Fund payments, and the interest on bonds in Judgment. September 30,1933 shows that the accrued interest on all Item 11 represents the interest on all our Judgments to September 30, 1933. Schedule A -5 of the Audit Report o Judgments of the City is $139,149.91. After deduct- ing accrued interest, however, on the United Mutual and Ashton Judgments, we find that the accrued interest on our Judgments to September 30th is $135,063.16 ( see Page 6 of Audit Report of September 301 1933.) On the sheet entitled " Computations for Settlement ", we wish'to of- fer the following explanations: Item 12 represents a receipt to be given by the Committee for interest on matured bonds not in Judgment to September 30, 1932 ( see Item 4). Item 13 is a receipt for the interest on Judgments explained in Item 11, Item 14 represents the interest coupons held by the Committee maturing to September 30, 1932, described in Item 5, which will be delivered to the City for cancellation. Item 15 involves the surrender of interest claims maturing subsequent to October 1, 1932, aggregating $533,052.25; though, as will be noted, since it will require coupons of such an advanced maturity to settle this sum, Mr Keefe has con- cluded that it would be advisable to use a part of our interest judgment to make up this amount. Item 16 represents the delivery to the City of a receipt for interest on matured bonds ( not in Judgment) from Octoberl, 1932 to September 30, 1934 in the amount of $97P 551,25. Item 17 represents interest coupons exclusive of Water coupons due January 1, 1933 to July 1, 1934 inclusive, amounting to $316,505. Item; 16 and 17 aggregate $404,056.25 leaving a deficit of $129,996 in our requirements of $533,052.25. Rather than use any coupons maturing later than July 1, 1934, Mr. Keefe has suggested giving the City a Receipt for Partial Payment of Judgment for $1281,996. Item 17, referred to above, is subject to correction. This amount is based on calculations we have made from our records and it is quite probable that when 1h the actual coupons are detached the aggregate sum will be slightly more or less than $316,505. Any difference in this figure will be adjusted through the Receipt for Part- ial Payment of Judgment. We shall appreciate it very much if you will give this matter, as we have outlined it, your immediate consideration and advise the writer by wire as to whether or not it seems to you to be in order. Our Attorneys in Jacksonville have checked it and they state that the calculations and method of disposing of the matter are satisfactory. If the arrangement meets with your approval And , therefore, necessitates no further complications, it is our desire to make the coupons and receipts available in Jacksonville on Monday, February 12th, if that date is satisfactory to you and to L'Engle and Shands, and on that date you and such other officials of the City as you wish to be present can meet with Captain Shands and the writer and we will check the coupons and receipts and close the entire transaction. I do not think it should take more than a day and a half to complete all the details, as we shall endeavor to have everything set up in a comprehensive manner. Interest on matured bonds not in judgments to September 30, 1932 - $39,24-8•75, which is based on the tabulation accompanying the receipt given you last week. Unpaid interest maturing October 1, 1932, to September 30, 1933, is built up as follows: Annual interest requirements $304,235. This figure is slightly higher than the amount used in previous calculations because subsequent to the first calculations, certain bonds were received for deposit and the coupons therefrom surrendered to you; hence we thought it proper to include such bonds in figuring the annual interest requirements. These requirements can be verified from the recapitulation of bonds on deposit contained in the be inning of this letter and the tabulation en- closed. From this amount - 304,235. - we have deducted $24,090.98 for Utility Fund payments received during the fiscal year 1932 -33. This amount represents the sum paid to us and accrued for our account from actual fiscal year collections. We have deducted also - $65,949.35 , which is the amount of Tax Fund payments we received during the fiscal year, leav- ing a balance of unpaid interest which was due during the year of $214,194.77. From that amount we have deducted $27,350. which is the amount of interest due within the fiscal year on bonds which have been reduced to judgment - which amount is likewise included in the annual interest requirements of $304,235; hence the deduction. This figure of $27,350 is computed on the actual interest rate of the bonds rather than the flat 6% which is payable on the judgments. After making the three deductions enumerated, the figure of unpaid int- erest for the fiscal year is $186,844.77: Interest on judgments to September 30 1933 is $135,063.16. All of these items make a total of $976,805.41 which is the amount we com- puted is to be released pending further verifications on the part of yourself and this office. Dear Mr.Bradford: I received your letter of February 23rd., enclosing list of all bonds on deposit with the Committee and also a memorandum showing the further calculations with reference to the settlement involving unpaid interest to Sept. 301 1933. I have checked your figures as well as the coupons which you turned over to me when in Jacksonville, and everything seems to be in line with the following exceptions: lst. The amount,of interest on matured bonds from October lst, 1932, to September 30, 1934, is calculated on your schedule as $97,551.25, whereas the figure I arrive at is $892115.75. I find that this difference is due to the fact that the following bonds maturing during this period have not been included in your schedule on which your calculations were made: SERIES BOND NUMBERS MATURITY DATE. This is just a typographical error as the total of1the bonds is correct. 2nd. In the various schedules of coupons delivered to me when in Jacksonville, there are a number -of typographical errors, although the number of coupons delivered for cancellation is correct. In order that you may correct your-copies of these lists, I am listing these errors below: In Central Hanover List commencing with Coupon No 15, Series D: Series 7/1/22 Coupon No. 19, Due 1/1/32. Bonds Nos 455/65, should be changed to read-455- 556/65• In other Central Hanover List: Series EX.Coupon No. 13, due 1/1/33. Add Bond Nos 1/44, 42/46 and 61/73. Series 7/l/22 Coupon No. 21, Due 1/1/33. Bonds Nos. 55/65 should be changed to read 455-556/65. Series A -1 6 %. Coupon No. 13, Due 7/1/34. 50 coupons should be changed to read 60 coupons. In Provident Savings list commencing with Coupon No. 19, Series 1222. Series A. Coupons listed as 18 and 19 should be listed as 17 and 18. In checking our Bond Coupon Register, after posting all of the coupons received, we find that there are a number of bonds on deposit with the Committee, all of the past due coupons from which have not been turned over to the City. It was my understanding that iim case we should find some missing coupons, you were to be notified with a view to their being surrendered to the City if they could be located.
