The City Commission of the City of Sanford, Florida met in Special Called
Session at the City Hall in Sanford, Florida, at 11 O'Clock A.M.January 20, 1934•

Meeting called to order by the Chairman
Communication next read from Dofnos Corporation as follows:
" January 11, 1934
City of Sanford, Florida.
Sanford, Florida.
We hereby offer to purchase all claims and demands of the City of Sanford,
Florida, against the Seminole County Bank, including that certain Receiver's Certificate
of proof of claim No. 0190 dated November 1, 1925, issued by the Receiver of said Bank,
upon the following terms and conditions.
In consideration of the assignment of such claims by the City to the under-
signed, we will deliver to the City for cancellation $69,992.50 par value of coupons
of bonds of the City of Sanford due on January 1, 1934, We also agree that if this claim
should be assigned to the undersigned we will apply all moneys received by the under-
signed from said Bank or its Liquidator in respect to the claim so assigned to the pur-
chase of bonds and certificates of indebtedness with all unpaid coupons annexed issued
by the City of Sanford at such prices as may be approved by the City Commission of
said City of Sanford, Florida, except such sums not exceeding in the aggregate
$10,000:00 as the City Commission of said City may direct us to pay in settlement of
claims against or obligations of the City not evidenced by bonds or coupons or certificates
of indebtedness. All bands, certificates of indebtedness and annexed coupons purchased by
us out of the proceeds of the claims to be assigned hereunder are to be cancelled and
delivered by us to the City.
The undersigned shall be responsible under this agreement only to the extent and not
exceeding any moneys ( without interest) which the undersigned actually receive from.
said Seminole Bank or its J+iquidator.
If the foregoing proposal meets with your approval, will you please evidence your
approval thereof by endorsing your acceptance on the copy of this letter hereto annexed.
Accepted and approved.

After careful consideration Commissioner Dumas introduced Resolution No. 449
and moved its passage and adoption.
Seconded by Commissioner Shinholser and carried by the unanimous vote of the
Commission and the Bond Trustees, said Resolution No. 449 being in words and figures as
follows:

THE CITY OF SANFORD, FLORIDA, ITS CLAIMS AND DEMANDS AGAINST THE SEMI -
NOLE COUNTY BANK, INCLUDING RECEIVER'S CERTIFICATE NO. 0190 DATED
NOVEMBER lay. 1925.
BE IT RESOLVED by the City Commissioners of the City of Sanford, Florida, that the

CITY COMMISSION, SANFORD, FLORIDA, January 20 at 11 A.M. 19-24
offer of DOFNOS CORPORATION as contained in letter from said DOFNOS CORPORATION
dated January 11, 1934, to purchase all claims and demands of the City of Sanford,
Florida, against the SEMINOLE COUNTY BANK, including that certain Receiver's Certificate
of proof of claim No 0190 dated November lot, 1928, be and the same is hereby accepted,
and that the Mayor and City Clerk be and they are hereby authorized and directed to
execute proper assignment thereof.
BE IT FURTHER RESOLVED THAT THIS Resolution shall become effective immediately
upon its passage a. d adoption.

Thereupon the Mayor and Clerk in accordance with the authority contained
in Resolution No. 449, accepted on the part of the City the offer of Dofnos Corporation
as contained in their letter as read to the Commission, and executed proper assignment
of the claim of the City against the Seminole County Bank to_said Dofnos Corporation.
Mr. Harry Martin and Mr. J.M.Bryant, representing Dofnos Corporation then
delivered to the City the following interest coupons of the City of Sanford, due January
1st. 1934, in accordance with the terms of the aforesaid letter agreement and Resolution N
