The City Commission of the City of Sanford, Florida met in adjourned session at the
City Hall in the City of Sanford, Florida, at 2:00 o'clock P M. September 14, 1946.
Present: Commissioner H.James Gut, Mayor.

Meeting called to order by the Chairman who announced %hat the purpose of %he meeting
was to confer with Mr. C.A.Maddy, Supt. of West Virginia Training School Inc, with l'urther
reference to the proposed lease agreement covering %he use of certain buildings, facilities
and personal property located on the Sanford Naval Air Station for the purpose of
operating a vocational training school. This property having been assigned to the City
under a revocable permit from the Navy.
The lease agreement was then presented and reed in full by the Clerk.
Thereupon after a lengthy discussion, Commissioner Williams moved the approval of
said lease agreement and that the Mayor and Clerk be authorized to execute same on behalf
of the City.
Seconded by Commissioner Bishop and carried
Said lease agreement being in words and figures as follows:
THIS LEASE, made this 18th day of September,19~6, between CITY OF S~NFORD,FLORIDA,
a municipal corporation, hereinafter referred to as L~SSOR, and THE WEST VIRGINIA TRAINING
SCHOOL, INC. a corporation org~nized and existing under the laws of the State of West
Virginia, authorized to do business in the State of Florida, hereinafter referred to
as LESSEE,
WI TNESSETH:
That the Lessor, in consideration of the rentals to be paid by %he Lessee, as hereinafter
stated, and the covenants to be performed by the Lessee, as hereinafter stated, has leased
and let and by these presents does lease and let unto the Lessee the following described
re~l and personal property, which is part of the property heretofore occupied by the United
States Naval Air Station, at Sanford, Florida, to-wi%:

Block A and the following/situate~ thereon.

Instruction Building
Link Trainer Building
Block B and the following buildings situated thereon:
10 Buildings ,~25 - 34 Inc. Barracks

Also the personal property described in an inventory thereof to be attached hereto and
marked "Exhibit A" and made a part hereof.
A photostatic copy of a map showing all of the above described property is attached
hereto, marked Exhibit B , and made a part hereof.
TO HAVE AND TO HOLD the above described real and personal property for and during a
term of two years from ~he first day of Octo0er, 1946, at and for an annual rental of
Ten Thousand ($10,000.00) Dollars, payable in advance in semi-annual installments of
$5,000.00 each, the first installment of said rental having been paid upon the execution
and delivery of this l~ase, wi~h an option to the Lessee to renew said lease at the end of
said two year term, for a term of three years, at a rentsl to b e agreed upon between the
Lessor and Lessee, each of said terms, however, being subject to the provisions herein-
after set forth relating to the purchase of said property by the Lessee, and the Lessor
and the Lessee do hereby covenant snd agree to and with each other as follows:
1. This lease is made subject to the aoprovel of the WAr A~sets Corpor~tion and to the
terms and conditions of that certain Agreement ( Revocable Permit) dated the 2~th day
of July,1946, between the United Stetes of America eT-~, represented by the
Chief of The Bureau of Yards and Docks, and the Lessor, under which Lessor holds
possession of said property, and the Lessee is as fully bound by said Agreement
(Revocable Permit) as if a party thereto.
2. The aforesaid buildings, land area and personal property shall be used by the
Lessee only for the purpose of operating a vocational school and for other educational
purposes, and such other purposes as may be agreed to in writing by the Lessor.
3. The Lessor will furnish to the above described property , water and sewerage
without additional cost.
4. The Lessee may have the use of the B.O.Q.Bullding ( Government No. 14) and the
use of the J.O.Q Building (Government No.15) and land immediately surrounding same,
except recreational facilities west of J.O.Q, until such time as said barracks buildings
can be renovated for dormitory purposes, but not longer than for a period of one year,
provided that the Lessor agrees to extend the period for one year's use of said buildings
for such time as may be reasonable, upon satisfactory evidence that the Lessee has

been/able to complete the renovation of said b~rracks buildings for dormitory purposes.
5- Lessee accepts full responsibility for all of the above-mentioned personal
property hereby leased and let,and shall furnish the Lessor with a good and sufficient
bond, in the sum of not less than $25,0OO.00 , with a surety company authorized to do
business in the State of Mlorida, as surety thereon and conditioned to pay the Lessor the
appraised value of any of said personal property that may be lost or destroyed from any
cause, and to pay for damage to any equipment, other than ordinary wear and tear.
6. The Lessee shall not remove any of the aforesaid personal property from said
Sanford Naval Air Station or from the buildings without the consent of the Lessor,
but if the Lessee desires to substitute any of said personal property with personal
property of its own, it may do so upon storing at its own expense the personal property
to be replaced, at such place as may be designates by the Lessor.
?. The Lessee shall maintain and keep at its own expense the aforesaid buildings
in good repair and the grounds in good condition and appearance.

of the Lessor, and the Lessor shall have the right to make inspections of said facilities
in order to determine whether the said equipment and facilities are being operated in
the proper manner.
9. The Lessor reserves the right to enter the said premises at any time during the term
of this lease for the purpose of inspecting the real and personal property in order to
determine whether the terms and conditions of this lease are being observed and carried
out by the Lessee.
10. The Lessee shall promptly pay for all utility services furnished it, except for
water, which the Lessor agrees to furnish.
ll. The Lessee shall, during the term of this lease, have the right to make alterations,
attach fixtures and erect partitions and signs in and upon the premises, which said fix-
tures, alterations or signs so placed in or upon or attached to said premises, shall be
and remain the property of the Lessee and may be removed therefrom upon the termination
of this lease, and Lessee, as required by the Lessor, shall, upon the termination of this
lease ( unless said property is purchased from the Lessor, as hereinafter provided) restore
the said premises to the same condition as that existing at the time of the Lessee's
entering upon the same under this lease,reasonable and ordinary wear and test and damage
by the elements or by circumstances over which the Lessee has no control, excepted,
provided, however, that if the Lessor requires such restoration the Lessee shall be
given written notice thereof by the Lessor at least thirty days before the termination
of this lease.

Lessee of any of the covenants hereinbefore set forth, on its part to be performed,
shall work an immediate forfeiture of this lease, snd the Lessor shell have the right
to enter upon said property and retake possession thereof without the necessity to re-
sort to process of law therefor.
15. The Lessee agrees that if and when the Lessor receives prices from the War
Assets Corporation for the purchase of personal property to be purchased by the Lessor,
for the Lessee's account, it will purchase of and from the Lessor said personal property
in cash, the full amount the Lessor is required to pay to %he
by paying to the Lessor,
War Assets Corporation.
16. The Lessor gives
the Lessee, if and when it acquires title to the aforesaid
buildings and land, the right and option to purchase said buildings and land within
thirty days after Lessor has acquired title thereto, conditioned that the use of said
buildings and land for a period of ~len years shall be only for the purpose of operating
a vocational school and/or for other educational purposes, t~e price for said buildings
and land to be such sum as may be agreed upon, and also the right and option to purchase
from the Lessor such additional land and/or buildings and for such prices as may be
agreed upon by the Lessor and Lessee. The additional land and/or buildings shall be
used only for such purposes as may be stipulated by the Lessor. Unearned rents that

at the end of the term hereof, or its earlier termination, unless the option to purchase,
hereinbefore granted, is exercised , to the Lessor, its successors or assigns.

Lessee has caused these presents to be executed in its name by its president, and attested
