Gentlemen: The undersigned Lessor, having entered into a Marina Operating Franchise Agreement with Lessee dated December 31, 1968, including the Addendum thereto and of even date therewith (the "Operating Agreement"), and being the Lessor under that certain Ground Lease (the "Lease "), dated March 14, 1967, and subsequently modified by Modification of Lease dated December 31, 1968, and Addendum to Modification of Lease dated December 31, 1968, Modification of Lease dated August 5, 1992 and Modifcation of Lease dated May 16, 1996, between Lessor and Lessee, related to that certain Property (the "Property ") particularly described in Exhibit "A" attached hereto and incorporated herein by this reference, has been requested by Lessee to make this certificate to NATIONAL BANK OF COMMERCE ( "Lender ") which has agreed to make a loan to Lessee in the original principal amount of NINE HUNDRED NINETY -EIGHT THOUSAND AND N01100 DOLLARS ($998,000.00) secured by a first mortgage on and assignment of the leasehold estate of Lessee under the Lease as well as Lessee's interest in and to the Operating Agreement. Lender is requiring, as a condition precedent to such loan transaction, and extension of credit (the "Loan "), that Lessor provide Lender with this letter and agreement. With respect to the Lease and Operating Agreement, the undersigned Lessor hereby states, certifies agrees and affirms to Lender as a material inducement to Lender to close the Loan as follows: 1. True, correct and complete copies of the Lease and Operating Agreement are attached hereto as Exhibits "B" and "C" respectively and made a part hereof and, except as set forth on said exhibits, the Lease and Operating Agreement have not been modified or amended in any respect whatsoever. 2. Lessor is the present lessor under the Lease and is the owner of the Property described in both the Lease and Operating Agreement and to the best of Lessor's knowledge said Property is free and clear of all encumbrances except for the title exceptions set forth in the Lease and those matters of record which are set forth on Exhibit "D" attached hereto. To the best of Lessor's knoweldge the owner Lessee is the present lessee under the Lease and operator under the Operating Agreement and is (or will be in the case of future leasehold improvements), subject to the Lease and Operating Agreement, of all improvements referenced in the Lease or now located (or hereafter located) on the Property, except as otherwise specified in the Lease and Operating Agreement. 3. The Lease and Operating Agreement are valid and in full force and effect and constitute the complete agreements between. REA \1657MSALEJH 4. To We best of Lessor's knowledge the Lease and Operating Agreement, and all rights of the Lessee thereunder, are fully assignable and mortgageable by Lessee, subject to the limitations set forth in the Lease and Operating Agreement of the prior approval of the Lessor which is hereby given in accordance with terms of this certificate. 5. To the best of Lessor's knowledge Lessee has fully performed all obligations under the Lease and Operating Agreement relating to construction of improvements and all other items of an inducement nature required to be performed by Lessee as of the date hereof and there are no remaining conditions precedent to the effectiveness of the Lease and Operating Agreement or the commencement of the term of the Lease or Operating Agreement. 6. To the best of Lessor's knowledge the term of the Lease commenced on June 1, 1967, and shall expire (unless extended as provided in the Lease) on May 31, 2022 and the term of the Operating Agreement commenced on December 31, 1968, and shall coincide with and expire upon expiration of the Lease term. 7. Lessor asserts no claim, and no condition currently exists which would give Lessor the right to claim, any default, offset, set -off, defense or counterclaim to the obligations of Lessor under and pursuant to the Lease or Operating Agreement or with respect to enforcement of the Lease or Operating Agreement against Lessor in accordance with their terms. 8. Lessee is not in default in making any payments of rent and other charges in accordance with the provisions of the Lease and Operating Agreement. All rental has been paid to and including any due through the date hereof and there currently exists a carry forward credit of $ -0- to be applied to rent accruing under the lease in future years. 9. Lessor has not delivered to Lessee any notice of default at any time during the term of the Lease or Operating Agreement or otherwise determined at any time during the term of the Lease or Operating Agreement that Lessee has been in default under the Lease or Operating Agreement. 10. To the best of the knowledge and belief of Lessor after review of the Lease and Operating Agreement and inquiry into the status thereof and of the Property, Lessee is not at this time in default under any of the terms or provisions of the Lease or Operating Agreement. 11. In the event of any default under the Lease or Operating Agreement, Lessor will not terminate the Lease or Operating Agreement or take any action to enforce any claim with respect to the Lease or Operating Agreement without giving to Lender at least sixty (60) days prior written notice and the right to cure such default; (a) within said period.(if said default is curable within said period), or (b) in the event said default is not curable within said period for Lender to commence (within such period) such actions as are necessary to cure said default and to diligently pursue such actions in good faith until said default is cured. 12. To Lessor's knowledge Lessor is not in default under any of the terms or provisions of the Lease or Operating Agreement. 13. To Lessor's knowledge there are no existing or impending condemnation proceedings which could affect the Property or Lessee's leasehold estate therein or ability to operate thereon pursuant to the Operating Agreement. 14, Lessor has not assigned, mortgaged or granted to any party any interest in the Lease or Operating Agreement. To Lessor's knowledge there are no existing mortgages, rights or other encumbrances which affect the fee interest, or the leasehold estate, in the Property or the ability to operate thereon pursuant to the Operating Agreement. 15. The Lessor has been fully informed that Lessee is obtaining the NINE HUNDRED NINETY -EIGHT THOUSAND AND NO 1100 DOLLAR ($998,000.00) Loan from Lender, which Loan will be secured (among other things), by the Lessee's leasehold estate in the Property and ability REA\1657MSA1_EJH to operate thereon pursuant to the Operating Agreement. Lessor has consented to the encumbrance and assignment of the Lessee's leasehold estate in the Property. 16. Lessor acknowledges Lender to be a permitted leasehold mortgagee and acknowledges receipt of a true copy of its Leasehold Mortgage and Security Agreement, Collateral Assignment of Ground Lease and Operating Agreement, and written notice thereof specifying the following as its name and address: NATIONAL BANK OF COMMERCE 1201 South Orlando Avenue Winter Park, Florida 32789 17. That Lessor has (and had) full power and authority to execute the Lease, the Operating Agreement and this instrument, and has (and had) fee simple title to the Property (and /or such property rights therein) as to make effective the vesting in Lessee of rights with respect thereto in accordance with the terms of said Lease, Operating Agreement and other instruments. 18. Lessor agrees that the Lender shall have the right with Lessor's consent which shall not be unreasonably withheld (notwithstanding the terms of the Lease and Operating Agreement) to assign and reassign (and cause to be assigned or reassigned) the Lease and Operating Agreement to any third party or entity notwithstanding whether or not such assignment or reassignment is made: (a) before foreclosure; (b) subsequent to foreclosure; (c) as an assignment in lieu of foreclosure; or (d) whether the Lender has taken title or possession to the Lessee's interest under the Lease and Operating Agreement (or a new lease and operating agreement covering the Property), 19. In the event Lender or its successors or assigns become the Lessee and /or operator under the Lease and/or Operating Agreement, Lessor agrees to allow Lender, its successors or assigns to remain undisturbed pursuant to the terms of the Lease and /or Operating Agreement, provided that Lender, its successors or assigns attorns to Lessor and pays the rent and other fees required thereunder and complies with the terms and conditions contained therein. 20. (d) Lessee acknowledges that the area described on Exhibit A has been constructed by Lessor according to plans and specifications heretofore approved by Lessee and that the same is satisfactory to Lessee from the standpoint of soil compaction, bulkheads, and other matters necessary for Lessee's contemplated construction requirements.
