I/~ 1950 The 0ity Commission of the City of Sanford, Florida, met in adjourned session at the City Hall in the City of Banford, Florida, at 8:00 o'clock P. M. September 18, 1950. Present: Commissioner Andrew Carraway, Mayor " Randall Chase " F.A. Dyson " John Krider " W.H. $temper City Attorney A. Edwin Shinholser City Manager Clifford McKibbin, Jr., Oity Clerk H. N. Sayer Meeting called to order by the Chairman. Messrs. Hugh Nicholson and S, O. Chase next appeared and requested that the utilities reservation extending north and south thru their property located between Mellonville Avenue and Bay Avenue be vacated and re-located along Bay Avenue in order that Mr. Nicholson may erec~ a building over the existing reservation. Matter referred to Engineer Fred H. Williams for recommendation. Mr. L. H. Ghormley, representing L. H. Ghormley & Company and Fisher Hawes & Company of Knoxville, Tenn., next appeared and submitted an amended proposal for financing the dock and terminal project, together with a proposed agent agreement granting them an option for 3© days in which to make preliminary studies and surveys of the project so as to determine whether or not it can be financed in accordance with their proposal. Thereupon after careful consideration of the proposed financing as outlined by Mr. Ghormley, and after amending the option agreement by incorporation therein certain stipulations authorized and directed by the Commission, Commissioner ~temper moved the approval of the amended option agreement and that the Mayor and Clerk be authorized to execute same on behalf of the City. Seconded by Commissioner Krider and carried. Said Option Agreement being in words and figures as follows: AGREEMENT entered into by and between the Mayor and City Commission of the City of Sanford, Florida, parties of the first part, and L. H. Ghormley & Company and Fisher Hawes & Company, Inc.. Knoxville, Tennessee, hereinafter dalled the "Agents#, parties of the second part. WITNESBETH THAT: In consideration of the mutual covenants hereto; and WHEREAS, The City of Sanford, Florida, is desirous of selling not to exceed $350,000 Revenue Certificates for the purpose of building a River Port Terminal; and ~,gEREAS, It is necessary that all proceedings and matters pertaining thereto be legal; therefore The City of Banford, Florida, through its properly constituted officials appoint and employ L. H. GHOBMLEY & COMPANY and FISHERHAWEB & COMPANY, INC., Knoxville, Tennessee, as "Agents" to handle the work hereinafter outlined as follows: 1. The City of Banford, Florida, hereby grants the "Agents" an option to purchase $350,0OO Revenue Certificates for a period of thirty (30) days~ at an interest cost not to ex- ceed four per cent (4%). It being understood that the "Agents" shall immediately proceed to place the Certificates as strictly Revenue Certificates, payable solely from the revenues de- rived from the operation of the River Port Terminal and the net income from the ~arking meters. The "Agents" further agree to immediately confirm purchase from the City of the ertificates as soon as they have definitely determined that the Certificates can be handled and the proper legal opinion attached thereto. Upon confirmation to t~e City for the purchase of the Certificates the #Agents" agree to handle the work as hereinafter outlined. 2. The "Agents# shall have prepared all the ordinances and resolutions for the issuance of the Certificates. 3- The "AgentsM shall submit all financial data, ordinances and/or resolutions to some firm of nationally known and recognized bond attorneys, and shall furnish the opinion of such attorneys as to the legality of the Certificates to be issued. 4. The "Agents" shall have the Certificate forms prepared and printed or lithographed on engraved certificate blanks, ready for the signatures of the proper officials. ~_ ~h. It is further understood and agreed that the City of Sanford, Florida, will adopt such resolutions and/or ordinances as our bond attorneys deem necessary to legalize and make the Certificates salable, and to furnish us with certified cop~es evidencing the adoption of same, and certified copies of all proceeding and final papers of the validating of said Certificates. The City further agrees that simultaneously with the delivery of the bonds to us they will start setting aside the net revenues from the parking meters into the Interest and Bond Redemption ~nd, to pay interest on the Certificates during construction. It is understood and agreed that the City of Banford, Florida, is not liable for any expenses incurred by the "Agents~ in connection with the issuance and sale of the Certificates with exception of the fee as set out above. In the event it shall appear to the City Commission from the preliminary surveys to be made by "Agents# that the terminal project cannot be completely constructed according to plane and specifications prepared by the Uity'e emgineers and approved by the City Commission, within the amount of the bond issue herein specified, or unless from said surveys it shall affirmatively appear to the City Commission that the tonnage can be developed to sustain the terminal oper- ation on a sound basis, there s~all be no further obligation on the part of the City to proceed under this agreement nor any liability hereunder from the City to "Agents#· For the purpose of the above transportation and tonnage survey to be made by "Agents", the "Agents" shall employ,on terms to be approved by the City Commission, at least o~ independent transportation specialist of the City's choice, whose fees and expenses shall be borne by the City. It is further understood and agreed that at such time as the City of Sanford, Florida, is prepared to proceed with the construction of a sewerage disposal plant that the same "Agents" will be given due consideration on that issue of 0e~tificates. Williams, owner of property abutting alley between 2nd and 3rd Streets and Park and Magnolia Avenues, that the alley be paved, the City Manager next submitted a cost estimate in amount of $600.00 Action deferred because of no available funds for this purpose. Application next received from T. A. Stiles for permit to sell beer and wines for con- sumption off premises at southwest corner of Celery Avenue and Locust dation of Chief of Police, same was authorized. Avenue, and on recommen- Consideration next given to request of Jack Ratigan for the City to vacate the north 6 ft of East Street between Cypress and Pine Avenues in order that he may install thereon in back of ~ls garage building a surge tank for storm drainage, and on motion duly adopted same was denied, but the ~ommlsslon agreed to grant him an easement on the street right-of-way to in- stall the surge tank. The City Manager next reported that Florida Fashions, Inc., desires to lease the Service Building at airport and also to have the porch enclosed. Thereupon Commissioner Dyson moved that the aforesaid building be leased to Florida Fashions, Inc., on same sq. ft. area basis as the other buildings under lease to them, and that the porch be enclosed and included in the sq. ft. area of the building.
