MODIFICATION OF LEASE
THIS MODIFICATION made and entered into this !0 day of
Q,(y A.D. 1996, by and between THE CITY OF SANFORD,
FLORIDA, a municipal corporation, hereinafter called "LESSOR" and
MONROE HARBOUR, INC., a Florida corporation, hereinafter called
"LESSEE", which terms shall include successors, legal
representatives and assigns whenever the content hereof so requires
or admits.
W I T N E S S E T H:
WHEREAS, on March 14, 1967, the parties hereto entered into a
Lease Agreement, which Agreement was recorded in Official Records
Book 608, Page 374, Public Records of Seminole County, Florida, and
subsequently modified by Modification of Lease dated December 31,
1968, recorded in Official Records Book 868, Page 162, Public
Records of Seminole County, Florida, and Addendum to Modification
of Lease dated December 31, 1968, recorded in Official Records Book
868, Page 167, Public Records of Seminole County, Florida and
Modification of Lease dated August 5, 1992.
WHEREAS, the parties desire to further modify the Lease
Agreement as provided herein. ,
NOW, THEREFORE, in consideration of the mutual promises herein
contained and other good and valuable consideration, it is agreed
as follows:
1. The leasehold area, Block 8, Sanford Riverfront Project
as established by modification of Lease dated December 31, 1968, is
amended to add that portion of Block 7, Sanford Riverfront Project
as shown and described on Attachment "A ", hereto.

2. Under Article XI(c), the following language is deleted:
"LESSOR covenants that it will not lease or permit the operation of
a competing facility upon the presently existing hydraulic landfill
area of which the demised premises is a part."
3. All other provisions of the aforesaid Lease Agreement,
Modifications of Lease, and Addendum to Modification of Lease shall
remained unchanged and continue in full force and .effect.
IN WITNESS WHEREOF, the parties have hereunto set their hands
and seals to this Modification of Lease which shall be effective
the date first above written.
