THIS AGREEMENT Made and entered into this 15 day of
A. D., 1969, by and between DAVID M. WHELCHEL
of an ord, Seminole County, Florida, party of the first part,
and MAYFAIR INN, INC., a Florida corporation, having its principal
place of business in Sanford, Seminole County, Florida, party of
the second part;
WITNESS: That the parties hereto for and in considera-
tion of the sum of Ten Dollars ($10.00) each to the other in hand
paid, mutually covenant and agree to and with each other as fol-
d lows, to wit:

o transfers and delivers unto the party of the second part that
Z certain Ninety -Nine Year Lease dated the 11th day of October,
e A.D., 1949, originally entered into by and between the City of
Sanford, Florida, a municipal corporation created by the laws
of the State of Florida and existing in Seminole County, Florida,
therein described as the Lessor, and Hugh C. Whelchel and J. A.
z Ponder, both of Sanford, Seminole County, Florida, therein re-
m ferred to as Lessees.

0 2) That as part of the consideration for the assign-
ment of said Lease, the party of the second part agrees that
g on the effective date of this assignment it will assume the
LL obligations and terms of the Modification and Consent Agreement
dated the 5th day of November, A.D., 1965, by and between the
City of Sanford, Florida, a municipal corporation, and David M.
Whelchel.

c 3) That it is agreed by the parties hereto that the
a party of the first part, DAVID M. WHELCHEL, will still be bound
to and under the terms and obligations of that certain Modificatioi
o and Consent Agreement referred to in Paragraph 2 above and nothing
herein shall be construed to relieve the party of the first part
from the terms and obligations set forth therein.

0 4) That the party of the first part evidences to the
City of Sanford, Florida, a municipal corporation, that the
p majority stock in the MAYFAIR INN, INC., a Florida corporation
is owned by David M. Whelchel and will continue to be owned by
David M. Whelchel for and during the period of his natural life
unless approval is given by the City of Sanford, Florida, to
transfer the said majority stock.
IN WITNESS WHEREOF, the said party of the first part
has hereunto set his hand and seal and the party of the second
part has caused these presents to be signed in its corporate
name and its corporate seal to be hereunto affixed by its proper
executive officer attested by its secretary on this the day and
year first above written.
