Dltembo' 2005, by and between The City of San_ford, Florida (the "City") and Puke Home Corporation ("Pulte") and is consented to by Harold G. Hartsock, Trusteo of Seminole Farms Trust IV ("Hartsock") and Eoghan N. Kelley ("Kelley")., RECITALS: 1. The City, Hartsock and Kelley entered into that certain Perpetual Non-exclusive Draln~ge Easement Agreement dated March 24, 2003, and recorded April 2:2, 2003, in Official Records Book 4787, Page 1713, Public Records of Seminole County, Florida (the '~Easement Agreement"); and 2. Purmmnt to the Easement Agreement, Hartsock and Kelley granted a non- exclusive drainage easement in favor of the City over, under and through the Easement Area, as defined the Easement Agreement; and 3. The City partially assigned its right under the Easement Agreement to Pulte to accommodate the stormwater and surface drainage from Pulte's adjacent property pursuant to that certain Partial Assignment recorded July 19, 2005, in Official Records Book 5814, Page 1738 of the Public Records of Seminole County, Florida (the ''Fartial Assignment"); and 4. The legal description of the Pulte Property as set forth in Exhibit "A" to the Partial Assi~ment was incorrectly described; and 5. Thc parties hereto desire to amend the Partial Assignment to incorporate the correct legal description of the Pulte Property as set forth herein; and 6. Hartsock and Kelley have agreed to consent to this First Amendment as required under Section 7 of the Easement Agreement. NOW THEREFORE, in consideration of the sum of Ten and No/100 Dollars ($I0.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto, intending to be legally bound, do hereby agree as follows: ORLDOCS 10345005 1 1. Recitals. The foregoing recitals are ~ue and correct and expressly incorporated herein by tkis rcf~'encc. 2. Legal Descrioflon of Pulte Pr0perW. The legal description of the Puke Property attached as Bxhibit "A" to tho Partial Assignment is hereby deleted in its antirety and replaced with Exhibit "A~I" attached hereto. 3. MisceHaneous. This First Amendment may be executed in counterparts, each of which shah be deemed to be an original and all of which together shall constitute one and the same instrument. b. This First Amendment shall be governed, construed, interpreted end enforced in accordance with the Laws of the State of Florida. c. This First Amendment shall bc binding upon and inure to the benefit of the City, Pulte, Hartsock and Kelley and their respective permitted legal representative, successors and assigns. e. In the event litigation arises from the effort of any party to enforce the provisions of this First Amendment, the prevailing party shall bo entitled to recover l~m the non-prevailing party its reasonable attorneys' fees and costs, whether at trial or on appeal, as well as costs incurred in any post judgement proceedings. f. Except as specifically modified and amended herein, the terms and conditions of the Partial Assignment shall remain in full force and effect.
