AMENDMENT TO AGREEMENT
FOR
RESCUE AMBULANCE BILLING AND RELATED PROFESSIONAL SERVICES
THIS AMENDMENT (the "Amendment ") is made byand between Cityof Sanford, apolitical
subdivision of the State of Florida, hereinafter referred to as "CITY, "and Advanced Data Processing,
Inc., a Delaware corporation, hereinafter referred to as "CONTRACTOR ".
WITNESSETH
WHEREAS, CITY entered into an Agreement (the "Agreement ") with CONTRACTOR dated
August 25, 2003; and
WHEREAS, the Agreement was effective for a three -year period from October 1, 2003 through
September 30, 2006, and at CITY's option may be renewed for two (2) additional one (1) year terms
under the then in force terms and conditions; and
WHEREAS, the parties now desire to amend the Agreement to change CONTRACTORS fees
NOW, THEREFORE,
IN CONSIDERATION of the mutual terms, conditions, promises, covenants, and payments
hereinafter set forth, CITY and CONTRACTOR agree as follows:
ARTICLE 1
DEFINED TERMS; RATIFICATION; CONFLICTS
1.1 DEFINED TERMS All defined terms in this Amendment shall have the same meaning as in
the Agreement except as otherwise noted.
1.2 RATIFICATION Except as amended and modified by this Amendment, all of the terms,
covenants, conditions, and agreements of the Agreement are hereby ratified and shall remain in
full force and effect.
1.3 CONFLICTS In the event of any conflict between the provisions of the Agreement and the
provisions of this Amendment, the provisions of this Amendment shall control.

ARTICLE 2
EXTENSION OF AGREEMENT
2.1. The term of the Agreement is extended through January 31, 2008 as provided pursuant to Section 3
of the Agreement. All other conditions and terms (except CONTRACTOR fee as provided for below)
of the Agreement remain in full force and effect.
ARTICLE 3
AMENDMENT OF TERMS AND CONDITIONS OF ORIGINAL AGREEMENT
3.1 Section 4 of the Agreement is Amended to reduce CONTRACTOR fee to seven and twenty -five
one - hundredths percent (7.25 %) of all monies collected byCONTRACTOR during the previous
month, excluding Medicaid accounts.
IN WITNESS WHEREOF, the CITY and CONTRACTOR have made and executed this Amendment
through its duly authorized representatives.
