022-Stadium Lease-Wes Rinker Florida Baseball SchoolL E A S E THIS LEASE, made and entered into this 27th day of June , A.D. 1977 by and between the CITY OF SANFORD, FLORIDA, a municipal corporation, hereinafter called "Lessor," and the WES RINKER FLORIDA BASEBALL SCHOOL, hereinafter called "Lessee," W I T N E S S E T H: For and in consideration of the sum of ONE DOLLAR, per year, together with other good and valuable consideration, as well as the covenants and agreements hereinafter contained, Lessor does rent and hire unto Lessee and Lessee rents and hires from Lessor the property in the City of Sanford, Florida, known as the Sanford Municipal Stadium, together with the adjacent City owned parking areas, for and during a period annually to extend from the 13th day of July , A.D. 1977 , and ending on July , A.D. 12th , 1979 , and upon the following terms and conditions: 1. The period of occupancy during each calendar year shall extend from July 13, 1977 to July 12, 1978. This lease is for a period of two years, however, the same shall automatically renew itself from year to year not to exceed ten (10) years, unless either party hereto serves written notice on the other terminating said lease, such notice to be delivered one year in advance of the effective termination date. 2. Lessee shall pay unto Lessor as rental therefor the sum of one dollar ($1.00) annually, and in addition thereto, Lessee shall pay all operating and maintenance expenses including but not limited to electrical power, gas, water, fuel, fertilizer, grass and labor required during the period of occupancy and covenants that the aforesaid facility when delivered back unto Lessor shall be in the same condition as it was when received by Lessee. 3. Lessee shall use the demised premises for baseball games and training. Other events may be scheduled if prior approval is received from the Lessor. 4. Lessee shall, during the term hereof, at its expense, perform all necessary maintenance and repair pertaining to the fences, grounds, grandstands, bleachers and light structures and to deliver up the premises at the termination of this Lease in the same condition as received, normal wear and tear excepted. 5. Lessee at all times will indemnify and save Lessor harmless from any and all fault, liability, damage, suits or other costs arising out of or in any way connected with the use or occupancy of the demised premises by Lessee, and in connection therewith, will maintain in force during the lease term a policy or policies of insurance protecting Lessor in a sum not less than ONE HUNDRED THOUSAND DOLLARS ($100,000.00) for personal injury to any one person and THREE HUNDRED THOUSAND DOLLARS ($300,000.00) for personal injury from any one accident, and TWENTY FIVE THOUSAND DOLLARS ($25,000.00) property damage. 6. At or during all athletic contests or other utilization of the demised premises by Lessee, Lessee at its own cost and expense shall provide necessary police or other personnel for crowd control, security and traffic. 7. Upon the termination of this Lease, or its earlier cancellation by the Lessee, Lessee shall have the right and option to remove from the premises all extra appurtenances installed by the Lessee including, but not limited to, lighting poles, lighting equipment, lighting fixtures, fences, locker facilities and seating stands, whether such appurtenances installed by the Lessee are portable or affixed to the premises. In the event of removal of any item referred to herein, the Lessee will be responsible for all repairs of damages from the removal process. 8. Should the Lessee discontinue baseball events at the Sanford Municipal Stadium, this Lease shall terminate and become and - 2 - be null and void and of no further force and effect. 9. The Lessee shall have the right and option to make such capital improvements as determined by the Lessee to be necessary and desirable, including additions and alterations to the present improvements, upon the premises at the Sanford Municipal Stadium. Said improvements shall be made at Lessee's expense and shall be subject to the prior approval of the Lessor. 10. Lessee acknowledge that the Lessor may utilize the premises for community events and municipally sponsored recreational activities. However, these shall be scheduled with the Lessee's approval and the Lessor shall bear all operating expenses for such events.
