2005 YOUTHBUILD IMPLEMENTATION
GRANT AGREEMENT
This Youthbuild implementation grant will be administered by the Office of
Community Planning and Development (CPD) field office that has jurisdiction for the
program project area. See Appendix A for a list of the local CPD field offices.
This Agreement is authorized under subtitle D of title IV of the Cranston -
Gonzalez National Affordable Housing Act (42 USC 12899), as added by section 164 of OC
the Housing and Community Development Act of 1992 (Pub. L. 102 -550) (the Act). The
purpose of this Agreement is to establish the required conditions under which HUD will
provide Federal financial assistance to the Recipient to implement a Youthbuild program
in accordance with the Act.
The terms "grant" or "grant funds" refer to Federal funds provided by HUD under
this Agreement. This Agreement is governed by the Act, the Youthbuild regulations (24
CFR Part 585), and the Notice of Funds Availability (SuperNOFA). The SuperNOFA
was published in the Federal Register on March 21, 2005. The Youthbuild portion of the
NOFA may be found at in the March 21, 2005, Federal Register beginning on page
13975 through page 13999.
The Grantee agrees to carry out and complete its implementation grant activities
in compliance with the Act, the regulations, the Approved Application, and any other
applicable laws, regulations and requirements (including record keeping requirements).
The Recipient is responsible for having all the participating parties comply with the
requirements of this Agreement. The following OMB Circulars and HUD regulations are
applicable to this Agreement: OMB Circulars A -21, A -87, A -110, A -122 and A -133 and
24 CFR Parts 84 and 85 (see Appendix B). This list is not intended to be exclusive. The
Grantee should be aware that other similar requirements may apply.
The Grantee's original application submissions, including the certifications and
assurances, any documentation required to meet any grant award conditions, and any
amendments made in accordance with this Agreement after the effective date hereof, are
hereby incorporated in this Agreement as finally approved by HUD (hereafter referred to
as the "Approved Application ").
The Grantee agrees to abide by the following:
I. HUD Requirements
The Grantee agrees that its program will meet the following requirements of this
Agreement including and without limitation:
1. All program participants must be youths between the ages of 16 and 24,
inclusive, at least 75 percent of all such participants must be high school
dropouts, and at least 75 percent of all such participants must be very low -
income individuals or members of very low- income families.
2. Recipient's program must be structured so that 50 percent of the time spent by
program participants is devoted to education services and activities, and the
other 50 percent is devoted to on -site training.
3. All on -site training must be performed on residential housing and related
facilities as identified in the Approved Application.
4. All housing produced must be provided for homeless, low- income, or very-
low income families.
A change in funding may be necessary to achieve compliance with any reductions
beyond the control of HUD in the amount of dollars allocated to this funding round or if
grantee's budget fails to comply with the Act and regulations. Funding will be provided,
subject to the terms of this Agreement, after the execution of this Agreement by the
Grantee and HUD.
Il. Amendments
This Agreement may be amended only by the written approval of HUD. A
Recipient's request for an amendment to this Agreement must be made by submitting a
cover letter, stating the proposed amendment and reasons for requesting the amendment.
The request shall be submitted to the jurisdictional CPD Field Office that has jurisdiction
for the program project area (see Appendix A). The Department will respond to the
request for an amendment in writing. A HUD review of any request for amendment will
take into consideration the effect that the amendment would have had on the ranking of
the application compared to other applications during the time it was reviewed.
Amendments that require HUD's written approval include any changes to:
1. The Recipient entity or any participating parties or their duties;
2. The geographic area of the project classroom site or the on -site construction
site(s);
3. The month of program completion (the term);
4. The intended youth target group;
5. The educational and support activities and on -site training that affect the 50
percent requirement; or
6. Any budget change that exceeds 10 percent per budget line item.

Minor programmatic changes to the project do not require HUD's prior written
approval if they comply with this Agreement and do not require HUD's written approval
of an amendment to the approved budget. HUD shall make the determination as to what
is a minor change.
The Recipient must maintain at its address a copy of this Agreement including all
amendments approved in writing by HUD, the Approved Application and all other
program files, including financial statements on funding sources and expenditures, third
party contracts, and semi - annual performance and evaluation reports. The Recipient
agrees to make these records available to HUD- authorized representatives or to the
Comptroller General of the United States for inspection or audit during the term of this
Agreement and for a period of three years from the date the Recipient submits its
Performance Evaluation Report.
The Recipient must use the grant funds in accordance with the approved budget
line items. The Recipient may increase or decrease the amount of a budget line item by
up to 10 percent per line item without HUD's prior written approval, provided that
HUD's total grant obligation is not increased and in no event shall administrative costs be
changed to exceed 10 percent of the grant amount.
III. Progress Reports
The Grantee shall submit progress reports to the CPD Field Office Director in
their jurisdictional Field Office on July 31 for the 6 -month period January 1 through June
30 and January 31 for the period July 1 through December 31. No progress reports need
be submitted to the HUD Headquarters' program office. Progress reports shall include
reports on both performance and financial progress and shall conform to 24 CFR 585.401
and 585.403, as well as evidencing compliance with the substantive requirements of 24
CFR 585.1 through 585.504. The Youthbuild Program Reports can be found on the HUD
website, www.hud.gov in HUDCLIPS as HUD form 40201.
No grant payments will be approved for projects with overdue progress reports.
IV. Project Closeout
The Grantee shall initiate the project closeout within 30 days of the project
completion. At HUD's option, the Grantee may delay initiation of the project closeout
until the resolution of any HUD monitoring findings have been completed. If HUD
exercises this option, the Grantee must promptly resolve the findings.
The Grantee recognizes that the closeout process may entail a review by HUD to
determine compliance with the Grant Agreement by the Grantee and all participating
parties. The Grantee agrees to cooperate with any review, in any way possible, including
making available records requested by HUD and the project for on -site HUD inspection.

Within 90 days of the end of the grant period, the Grantee shall provide HUD
with the final report as contained in HUD form 40201 and found on the HUD website,
www.hud.gov in HUDCLIPS. Additional certifications or statements may be required to
close out the grant.
The Grantee agrees that the grant funds are allowable only to the extent that the
project costs, meeting the standards of OMB Circular A -21, A -87 or A -122 as applicable,
equal the grant amount plus other sources of project funds provided.
When HUD has determined that the grant funds were allowable, the activities
were completed, as described by the Grant Agreement and all Federal requirements were
satisfied, HUD will send a close -out letter.
The close -out letter will note the Grantee's requirement to abide by any
continuing federal regulations.
V. Default
A default of this Agreement by the Recipient includes: any use of grant funds for
a purpose other than those authorized by this Agreement; non - compliance with the Act or
regulations; any material breach of the Agreement; a failure to expend grant funds in a
timely manner; failure to submit reports on a timely basis; and misrepresentation in the
application submissions or amendment submissions which would have resulted in the
grant not being awarded if HUD had been aware of the misrepresentation during the
review period.
After HUD notifies the Recipient in writing of a default, and provides the Recipient
30 days to respond, HUD may take one or more of the following actions:
1. Direct the Recipient to submit progress schedules for completing approved
activities;
2. Establish a date by which corrective actions must be completed and notify the
Recipient that more serious actions will be taken if the default is not corrected
or is repeated;
3. Direct the Recipient to stop incurring costs for the affected activity;
4. Reduce or withhold further grant payments or recapture the grant;
5. Direct the Recipient to reimburse the program accounts for costs
inappropriately charged to the program;
6. Continue the grant with a substitute Recipient selected by HUD; or,
ii
7. Take other appropriate action, including any available legal remedy such as
affirmative litigation seeking declaratory judgment, specific performance,
damages, temporary or permanent injunctions and any other available
remedies.
HUD delays or omissions in exercising a right or remedy under this Agreement
do not impair any right or remedy or constitute a waiver or acquiescence in any Recipient
default.
The Grantee's rights under this Agreement may not be assigned without the prior
written approval of HUD. This Agreement constitutes the entire Agreement between the
parties. It may be amended, only in writing, and executed by HUD and the Grantee. The
term shall be for a period of no more than thirty months from the effective date of this
Agreement.
